This division is one of its 2 famous Barrel producer brands: Seguin Moreau and Radoux. We expect that this group’s branch will reach 75.8M€e of sales in 2011/2012. According to our research this Radoux division realized 26M€ of sales in 2010/2011 with an EBITDA of 5.3M€. ANALYSIS In our opinion this move makes sense as: Oeneo will be more exposed to its growing “Cork” division (50% of group’s sales currently) up by +16.0%e in 2011/2012 to 75.4M€e in our model. In fact and over the last 3 years the “Barrel” branch (50% of group’s sales, down -2.2%e in 2011/2012 in our opinion) slowed down the total group’s top line growth since 2007. In other words, we estimate that the “Cork” division would be better valuated by the market without the “Barrel” branch. Radoux has been fully optimized by Oeneo. It is now more difficult to add value to this division without significant capex. Moreover “Tonnellerie François Frères” has the organization, the means and the will to invest and increase the value of Radoux. Oeneo needs to finance a new factory in 2013. We estimate the sale of Radoux will bring around 30M€ of cash inflow to Oeneo (we value Radoux at 6x the EBITDA) and will finance a capex need of 30/40M€ for the built of a new Corks production factory. The group will keep Seguin Moreau in its portfolio. This division has a signification appreciation potential as the margins remain in the low range of the sector. We estimate that the Oeneo’s management will take 2 years to fully optimize this branch. . VALUATION We remain very positive on the stock. We estimate that this operation will give more upside to the stock price which will also profit from the “BSA” maturity date in July 2012. If exercised, these financial instruments would add 6.7M shares to the outstanding stocks since the stock price reaches the 2.5€ strike. At 7.4xEV/EBIT2012e vs 8.4x in average over the last 3 years we maintain our BUY rating as well as our 12 months target price at 2.55€ per share (DCF 2.28€ WACC 7.5% terminal growth rate +1.5%, Peers 2.56€, Historical ratios 2.53€). We estimate that the group will continue to gain market shares in the corks market offering less expensive and more efficient products against traditional corks. This inevitable trend gives upside to the total group’s margin as Diam corks are more profitable than other corks in the Oeneo’s products range.
