Pressemitteilung Neue Spothandelsgesellschaft gegründet: EPEX Spot SE – European Power Exchange Paris / Leipzig, 19. September 2008 – Die heute erfolgte Gründung und Eintragung in das zuständige Handelsregister der neuen Spotmarktgesellschaft unter dem Namen EPEX Spot SE – European Power Exchange ist ein wichtiger Schritt auf dem Weg zur Integrierung der gesamten Handelsaktivitäten im Bereich Stromspothandel der beiden Energiebörsen EEX und Powernext mit Sitz in Leipzig und Paris. Beide Partner halten jeweils 50 Prozent der Anteile der neuen Societas Europaea (SE) mit eingetragenem Sitz in Paris. Die intensive Zusammenarbeit zwischen der EEX und Powernext, die nicht nur den Spotsondern auch den Terminmarkt und das Clearing umfasst, ist ein Impulsgeber für den gesamteuropäischen Strommarkt. Während es für den Endverbraucher von Vorteil ist, viele Stromanbieter zu haben, unter denen er wählen kann, ist auf Großhandelsebene im Sinne eines einheitlichen europäischen Binnenmarktes eine Zusammenarbeit der Handelsplätze erstrebenswert. Die Errichtung einer Societas Europaea (SE) gestattet es, in verschiedenen Mitgliedstaaten der Europäischen Union handelsgerichtlich eingetragene Unternehmen zu fusionieren bzw. Holdinggesellschaften oder ein gemeinsames Tochterunternehmen zu gründen. Praktische und juristische Beschränkungen, die auf das Bestehen verschiedener Rechtssysteme zurückzuführen sind, werden dabei vermieden. Das Unternehmen wird von einem Board of Directors geführt, das vier Mitglieder umfasst: Jean-François Conil-Lacoste, Chief Executive Officer (CEO) der Powernext, wurde zum CEO der neuen Gesellschaft ernannt. Die weiteren Mitglieder des Board sind Dr. Hans-Bernd Menzel, CEO der EEX, Iris Weidinger, Chief Financial Officer (CFO) der EEX, und Thierry Morello, Chief Operating Officer (COO) der Powernext. Die Powernext und die EEX werden ihre gesamten Spothandelsaktivitäten für Strom bis zum Ende des Jahres unter dem Dach der neu errichteten Gesellschaft zusammenführen. 1 Beide Börsen veröffentlichen auf ihrer gemeinsamen Webseite unter http://www.eexpwxcooperation.com allgemeine Informationen und Pressemitteilungen zu ihrer Zusammenarbeit. Die EEX betreibt Spot- und Terminmärkte für Energieprodukte und energienahe Produkte. Sie ist mit mehr als 200 Handelsteilnehmern aus 20 Ländern die teilnehmer- und umsatzstärkste Energiebörse Kontinentaleuropas. Strom, Erdgas und CO2-Emissions- berechtigungen werden sowohl kurzfristig am Spotmarkt als auch langfristig am Terminmarkt bis zu sechs Jahre in die Zukunft gehandelt. Überdies bietet die EEX auch Kohle-Futures mit finanzieller Abwicklung an. Das Clearing börslicher und außerbörslicher Geschäfte (OTCClearing) übernimmt die European Commodity Clearing AG (ECC). Die ECC ist das Clearing-Haus der EEX und eine Tochtergesellschaft der Börse. Die im Jahr 2001 gegründete Powernext SA betreibt mehrere komplementäre, transparente und anonyme Energiemärkte: Powernext® Day-Ahead ermöglicht an 365 Tagen im Jahr die stündliche Optimierung von physischem Strom, der am nächsten Tag auf dem französischen Markt geliefert wird. Powernext® Futures bietet die Möglichkeit der Absicherung des Strompreises über Zeiträume zwischen einem Monat und drei Jahren. Überdies ermöglicht Powernext® Balancing GRTgaz es dem Übertragungsnetzbetreiber GRTgaz, den täglichen „Balancing“-Bedarf stufenweise über einen marktbasierten Mechanismus zu decken. Kürzlich gab Powernext die Einführung eines nationalen Spot- und Terminmarktes für Gas bis zum Ende des Jahres 2008 bekannt. Both partners hold 50 percent of the shares in the new Societas Europaea (SE), which has its registered offices in Paris. The intense cooperation between EEX and Powernext, which includes not only the Spot but also the Derivatives Market and the Clearing, is an initiator for a pan-European power market. While it is advantageous for final consumers to have many power suppliers to choose from, a cooperation of the trading platforms is desirable on the wholesale level in the interest of a uniform European single market. The foundation of a Societas Europaea (SE) allows companies incorporated in different member states to merge or form a holding company or joint subsidiary, while avoiding the legal and practical constraints arising from the existence of different legal systems. The company is managed by a Board of Directors which consists of four members: JeanFrançois Conil-Lacoste, CEO Powernext, was appointed Chief Executive Officer (CEO). With more than 200 trading participants from 20 countries it is the energy exchange in continental Europe which boasts the biggest number of trading participants and the highest turnover. Power, natural gas and CO2 emission rights are traded both short-term on the Spot Market and long-term on the Derivatives Market with a time horizon of up to six years into the future. Furthermore, EEX offers financial settled coal futures. Clearing of exchange and over-the-counter transactions (OTC clearing) is provided by European Commodity Clearing AG (ECC). ECC is the clearing house of EEX and a subsidiary of the exchange. Powernext SA, incorporated in 2001, manages several complementary, transparent and anonymous energy markets : Powernext® Day-Ahead facilitates, 365 days a year, the hourly balancing of physical power delivered the following day on the French hub; Powernext® Futures provides electricity price risk hedging for a period ranging between one month and three years; Powernext® Balancing GRTgaz allows the Transmission System Operator GRTgaz to progressively cover its daily balancing needs through a market based mechanism. Chacun des deux partenaires détiendra 50% des parts de la nouvelle entité constituée sous forme de Societas Europaea (SE) et située à Paris. La collaboration entre EEX et Powernext qui inclut non seulement le marché au comptant mais aussi le marché à terme et la compensation, est une avancée majeure vers le marché unique de l’électricité en Europe. S’il est avantageux pour le consommateur final de pouvoir choisir entre plusieurs fournisseurs d’électricité, il est également bénéfique pour le développement de marché de gros que les plateformes de négociation se consolident dans la perspective du marché européen unique. La création de la Societas Europaea (SE) permet aux sociétés immatriculées dans différents Etats Membres de fusionner, de former une société holding ou une société commune, en évitant de se soumettre aux contraintes juridiques et pratiques découlant de l’existence d’autant de systèmes juridiques que de pays membres de l’Union européenne concernés. EPEX Spot SE est supervisée par un Conseil d’Administration constitué de quatre membres : M. Jean-François CONIL-LACOSTE, directeur général de Powernext, nommé également directeur général d’EPEX Spot SE, Dr. Hans-Bernd MENZEL, directeur général d’EEX, Mme Iris WEIDINGER, directrice financière d’EEX et M. Thierry MORELLO, directeur général adjoint de Powernext. Powernext et EEX intégreront toutes leurs activités électriques spot dans EPEX Spot SE avant la fin de l’année. Les deux marchés organisés communiqueront les informations et les communiqués de presse concernant cette coopération sur un site internet commun : http://www.eexpwxcooperation.com. 5 EEX opère les marchés au comptant et dérivés des produits liés à l’énergie. Avec plus de 200 membres basés dans 20 pays différents, EEX est la bourse de l’énergie d’Europe continentale qui compte le plus grand nombre de participants et le chiffre d’affaire le plus important. L’électricité, le gaz naturel et les quotas d’émission de CO2 sont négociés sur les marchés court terme et long terme à un horizon de 6 ans. En plus EEX offre des contrats financiers du charbon. La compensation des transactions sur le marché et de gré à gré (OTC) est effectuée par ECC AG (European Commodity Clearing AG). ECC AG est la chambre de compensation d’EEX et également une filiale de celle-ci. Powernext SA, immatriculée en 2001, gère plusieurs marchés de l’énergie complémentaires, transparents et anonymes : Powernext® Day-Ahead facilite, 365 jours par an, l’équilibrage horaire de l’électricité physique livrable le lendemain sur le réseau français; Powernext® Futures offre la possibilité de gérer le risque de variation du prix de l’électricité entre un mois et trois ans ; Powernext-Balancing GRTgaz permet au gestionnaire de réseau GRTgaz de faire appel au marché pour couvrir ses besoins d’équilibrage journalier. Powernext a annoncé le lancement fin 2008 d’un marché national du gaz au comptant et à terme. Powernext Carbon, le marché organisé spot de quotas de CO2 le plus important en Europe, a été acheté par NYSE Euronext en décembre 2007.
