Déclaration de l’Européen Works Council d’ALSTOM, adoptée à l’issue de la réunion
du 18/06/2014.
L’EWF est extrêmement préoccupé par les différents projets présentés récemment par GE
et Siemens /MHI, et par le devenir du Groupe ALSTOM. Il tient à rappeler :
sa préoccupation principale portant sur le maintien et le développement de l’emploi
en Europe,
sa conviction qu’ALSTOM a les moyens humains et industriels de se développer de
façon indépendante, moyennant la réalisation des conditions suivantes :
o la réalisation d’une augmentation de capital pour améliorer la situation
financière et réduire la dette,
o le déploiement d’un plan industriel sur le moyen/long terme,
o la réalisation d’alliances ou sur quelques métiers ciblés.
L’EWF demande donc :
à ce que le Conseil d’Administration travaille en priorité à assurer le développement
futur indépendant d’ALSTOM, avec des centres de décision en France et en
Europe.
à ce que les éventuelles discussions avec les opérateurs qui ont manifesté leur
intérêt pour ALSTOM, soient conduites dans cet objectif. A ce stade, l’EWF
considère en effet, qu’aucune offre présentée n’apporte à ce jour les garanties
nécessaires vis-à-vis des enjeux de développement industriel et d’emploi pour
ALSTOM.
A pouvoir disposer d’une information précise sur les différents projets déposés à ce
jour (GE et MHI/Siemens), qui ont été étudiés par le conseil d’administration et
HSBC le consultant qu’il s’est adjoint, et en particulier sur leurs volets commerciaux
et industriels en Europe, sur les engagements pris de ne pas céder une partie du
périmètre repris, sur l’effort d’investissement dans la R&D et les outils productifs
des différentes activités, sur les synergies envisagées, et sur ce qui est le plus
important, à savoir le maintien des emplois et leur développement.
L’EWF va continuer à suivre le processus très attentivement et a demandé à ses
experts extérieurs de continuer à l’accompagner dans l’analyse de ces projets.

Presseerklärung ALSTOM European Works Forum (EWF)

Das EWF verfolgt derzeit sehr aufmerksam - und auch mit Sorge - die Geschehnisse im
Zusammenhang mit den verschiedenen Angebote (General Electric (GE) sowie Mitsubishi
Heavy Industries (MHI) / Siemens), die ALSTOM jüngst unterbreitet worden sind.
In diesem Zusammenhang ist das EWF insbesondere besorgt über die Zukunft und
künftige Entwicklung der Standorte und Arbeitsplätze in Europa.
Es ist grundsätzlich der Auffassung, dass ALSTOM weiterhin über die personellen und
industriellen Ressourcen für eine eigenständige Entwicklung verfügt.
Die Bedingungen für eine solche eigenständige Entwicklung sind:
o eine Kapitalerhöhung, um die Verschuldung zu reduzieren und die finanzielle
Situation zu verbessern,
o die Entwicklung eines mittelfristig bis langfristig ausgerichteten nachhaltigen
industriellen Plans,
o das Eingehen von strategischen Allianzen in ausgewählten Bereichen, die es
zu bestimmen gilt.
Das EWF fordert daher:
Der Verwaltungsrat von ALSTOM muss in erster Linie für eine eigenständige
Zukunft von ALSTOM mit Entscheidungszentren auf französischer und
europäischer Ebene arbeiten.
Die Gespräche mit denjenigen, die Interesse für ALSTOM bekundet haben, müssen
mit dieser Zielsetzung geführt werden. Bisher ist unklar, ob die bekannten Angebote
den Zielen einer nachhaltigen industriellen Entwicklung und der Sicherung der
Arbeitsplätze entsprechen.
Eine präzise und vollständige Information über die Angebote, die heute vorliegen
und ihrerseits vom Verwaltungsrat und der ihn beratenden Bank HSBC geprüft
wurden; erforderlich sind insbesondere Informationen über die jeweiligen
industriellen Planungen, über die Absicht, bestimmte Bereiche aufzugeben, über
ihre Aktivitäten in Forschung und Entwicklung, über die Investitionen in den
verschiedenen Aktivitäten, über die vorgesehenen Synergien und vor allem über
ihre Planungen zur Sicherung der Arbeitsplätze.
Das EWF wird diesen Prozess weiter kritisch begleiten und möchte, dass die ihn
beratenden Wirtschaftsexperten weiter begleitend tätig sind und es bei der Analyse der
Angebote unterstützen.

Déclaration of the ALSTOM European Works Forum (EWF) - June 18th meeting

The European Works Forum (EWF) of ALSTOM follows attentively – and also with a lot of
concern – the events in relation with the offers submitted by General Electric (GE) and
Mitsubishi Heavy Industries (MHI) / Siemens.
In this context the EWF is especially worried about the future development of the company
and its sites and staff in Europe.
The EWF is of the opinion that ALSTOM still has the human and the industrial resources
for a stand-alone future.
Therefore the following conditions have to be ensured:
a capital increase to reduce debt and to improve Alstom’s financial situation
the development and implementation of a sustainable mid-to longterm industrial
plan
entering into strategic alliances in selected areas of the company which still to be
defined
Therefore the EWF demands:
the board of directors of Alstom has to work above all towards a future with
ALSTOM capable to stand on its own, where decisions are made on a French and
European level
Negotiations with those who have showed an interest in ALSTOM must take place
with these goals in mind. Up until now it is still uncertain if the current offers take
into consideration a sustainable development for industrial activities and
employment
there is a need for detailed and complete information of the EWF about the offers,
that are right now being evaluated by ALSTOM, especially concerning industrial
plans including parts of ALSTOM, business activities not to be continued, R&D
activities, investments in business activities, expected synergies and most of all the
plans to safeguard employment.
The EWF will continue to watch this dynamic process critically and demands to do this with
assistance by its external experts.
