This document constitutes a supplement pursuant paragraph 16 German Securities Prospectus Act (Wertpapierprospektgesetz) (the “Supplement“) to two base prospectuses of Berlin-Hannoversche Hypothekenbank AG: (i) the base prospectus in respect of non-equity securities within the meaning of Art. 22 sub-paragraph 6(4) of the Commission Regulation (EC) No. 809/2004 of 29 April 2004 (the “Commission Regulation”) and (ii) the base prospectus in respect of Pfandbriefe (non-equity securities within the meaning of Art. 22 sub-paragraph 6(3) of the Commission Regulation) (together the “Base Prospectus” or the “Prospectus”) Supplement to the Base Prospectus Dated 16 May 2012 This Supplement is supplemental to, and must be read in conjunction with the Base Prospectus dated 13 March 2012. Berlin-Hannoversche Hypothekenbank AG Berlin, Federal Republic of Germany € 25,000,000,000 Offering Programme (the “Programme”) Berlin-Hannoversche Hypothekenbank AG (“Berlin Hyp”, “Berlin Hyp AG”, the “Bank” or the “Issuer”) has requested the Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht) (the “BaFin”) in its capacity as the competent authority under the German Securities Prospectus Act (Wertpapierprospektgesetz) (the “WpPG”) to (i) approve this Supplement and (ii) provide the competent authorities in the Grand Duchy of Luxembourg, the United Kingdom of Great Britain and Northern Ireland, the Republic of Ireland, the Italian Republic and the Republic of Austria with a certificate of such approval attesting that the Supplement has been drawn up in accordance with the WpPG implementing the EU Prospectus Directive into German law (the “Notification”). Approval by the BaFin means the positive decision on the Issuer’s request regarding the examination of the Supplement’s completeness, including the coherence and comprehensibility of the provided information. The Issuer may request the BaFin to provide competent authorities in additional host Member States within the European Economic Area with a Notification. This Supplement will be published in the same way as the Base Prospectus in electronic form on the website of the Issuer (www.berlinhyp.de). Interim Report to 31 March 2012 The unaudited interim report with the financial statement of Berlin-Hannoversche Hypothekenbank AG for the period ending 31 March 2012 is presented on the following pages. The information has been published on 10 May 2012. The comparative figures of 3/12 of 2011, 31 March 2011 and 31 December 2011 derive from the audited annual report 2011, as included in the Base Prospectus dated st 13 March 2012 and from the unaudited interim report to 30 June 2011, as included in the 1 supplement to the Base Prospectus 2011, dated 10 August 2011. Key Figures of Berlin Hyp according to the German Commercial Code 3 The German economy started cautiously into the new year after a turbulent 2011. Despite the economic research organizations slightly raising their forecasts in the meantime, economic developments slowed down considerably in the wake of a weaker global economic performance and the effects of the sovereign debt crisis. Current expectations regarding the future performance of the German economy, however, remain unaffected: The Ifo Business Climate Index stood at 109.8 points in March, rising for the fifth time in a row. Positive domestic demand is regarded as the key factor here. It remains to be seen, however, if this will be enough to compensate for dropping export demand caused by the budget deficits of the EU trading partners. The total investment volume continued rising in Germany as the country, which is Europe’s largest economy, is still regarded as a safe investment haven. This particularly applied to our core market, the German real estate market. So far, it has come largely unscathed through the turbulences in the financial and capital markets. Almost all of the segments in the seven regional real estate centres recorded positive performance, with special focus remaining on investments in residential and retail properties. At the same time, supply became shorter – not least because of the focus remaining firmly on the core segment. Sentiment in the European real estate markets, on the other hand, was a lot more subdued. The debt crisis will most likely leave its mark here for some time to come. The real estate market’s previous positive performance is, however, faced by changing regulatory policies for banks and the corresponding implications for their scope of action. Numerous new regulations are being proposed at present that would have an extensive impact on banks’ equity requirements, refinancing issues and earnings potentials and that are proving a challenge for our Group as well as other European banks. Despite these more difficult conditions, Berlin Hyp was able to continue its positive development in the first quarter of 2012 − together with LBB, we continue to be one of Germany’s leading real estate finance providers. Business Performance from January to March 2012 At € 56.3 million (Q1 2011: € 54.1 million), net interest income developed positively and was slightly up on the previous year. The Bank profited from current interest rates and the further increase of the mortgage loan inventory at considerably improved conditions. This increased the overall profitability of the mortgage loan business. Net commission income amounted to € 4.1 million (€ 5.5 million). This slight decline was due to transaction volumes in the first quarter being traditionally lower. Operating expenditures came to € 19.1 million (€ 17.7 million), the main reason being staff expenditures rising from € 9.3 million to € 10.5 million on account of increased expenditures for old age pensions. Other operating expenditures remained stable at € 7.2 million (€ 7.1 million). Taking into account other operating income and expenditures, the operating result before risk provisioning of € 40.1 million was on par with the previous year (€ 39.9 million) and therefore met the Bank’s expectations. The Bank recognised risk provisioning for the lending business of € 7.0 million (€ 6.0 million). Due to the continuing uncertainty regarding the sovereign debt crisis, securities classified as liquidity were measured at € 7.6 million (€ 1.5 million). Total risk provisioning amounted to € 14.6 million (€ 7.5 million) and the operating result after risk provisioning to € 25.5 million (€ 32.4 million). Taking into account the bank levy of € 2.0 million (€ 2.1 million), income from the net asset situation of € 1.2 million (-€ 3.4 million) and other items, the Bank generated earnings before taxes of € 24.1 million (€ 26.4 million) in the first three months of the year. Balance Sheet Total and Equity Key Figures The balance sheet total was € 40.2 billion as of the reporting date (31 December 2011: € 38.6 billion). The core capital ratio, based on the total capital key figure as stated in Section 2 Paragraph 5 Solvency Directive (Solvabilitätsrichtlinie), was 8.7 % and the total key figure 11.8 % as of 31 March 2012. The cost income ratio amounted to at least 32.3 % (30.7 %). 4 Buyback of Public Pfandbriefe In April, we offered investors of selected series of our outstanding public jumbo Pfandbriefe to buy them back early. We took this action in response to the steeply risen excess cover quotas demanded by the rating agencies to maintain a AAA rating, which the Bank is no longer willing to maintain. As a rating downgrade of our public Pfandbriefe was to be expected, we aimed to make our capital market partners an equally fair and attractive offer. This measure speeds up our withdrawal from the government financing business, which we had started several years ago, and at the same time increases our profitability. The market reacted very positively to our actions. New Real Estate Financing Business The new commercial real estate financing business volume amounted to € 606 million in the traditionally weak first quarter of the year (Q1 2011: € 732 million). Extensions of existing commitments totalling € 199 million (Q1 2011: € 225 million) were added to this figure. 63 % of new business pertained to office and commercial properties, followed by residential properties at 28 % and retail properties at 2 %. Investors – mainly from Germany – were the main customer group at 77 %. 23 % of business was generated from housing societies. In terms of the Real Estate Financing division run jointly with Landesbank Berlin, new business amounted to € 1.3 billion, a figure on par with the previous year (€ 1.2 billion). Outlook Berlin Hyp started into the new financial year as planned and continued its positive customer business performance in the first three months. However, we expect general conditions to remain difficult in full year 2012. Both financial and capital markets are highly volatile and uncertainty among market participants is not dissipating. In view of the challenges mentioned at the beginning, we will focus our strength on meeting regulatory requirements in the current financial year. We will therefore even stronger than before analyse and evaluate all our future business activities under the aspects of profitability, equity requirements and strategic importance. This and also further potential market distortions means that we will only be able to provide a very limited outlook. The result before taxes and profit transfer is consequently likely to increase only to a limited extent year-on-year. The real estate market is currently facing a large refinancing wave from real estate investments carried out in boom years 2006/2007. This fundamentally offers interesting potential for new business. In the past, however, large percentages of these transactions were often financed by third parties, which no longer appears realistic considering today’s applicable risk criteria. This large demand for refinancing is meeting with an overall increased reluctance to lend by the banks. In our opinion, the availability of third-party capital will therefore be the determining growth factor for the commercial real estate market in the current financial year. Tougher equity requirements for banks are likely to make new business more difficult and more expensive. Under these conditions, the market position of the Berlin Hyp/LBB Real Estate Financing division remains unfalteringly strong, but even we have to account for the changes in general conditions. We will consequently be even more selective and take into account risk and income criteria when considering new business, while our focus will remain on business with investors in our German core market. We continue to see good prospects abroad, but even here investors are starting to expect higher returns. In view of these developments, we expect that the new business volume will not exceed that of the previous year and that the loan inventory will rise only moderately. We see opportunities in intensifying all our respective business relationships by further improving our real estate product portfolio. We will also further strengthen our role as Sparkassen partner. Joint local financing as well as property-specific products for Sparkassen will be developed. März 2012 dargestellt. Diese wurde am 10 Mai 2012 veröffentlicht. Die genannten Vergleichszahlen (3/12 von 2011, 31. März 2011 und 31. Dezember 2011) stammen aus dem testierten Jahresabschlussbericht 2011, der dem Basisprospekt vom 13. März 2012 entnommen werden kann und der ungeprüften Zwischenmitteilung zum 30. Juni 2011, die dem ersten Nachtrag zum Basisprospekt 2011 vom 10. August 2011 entnommen werden kann. Kennzahlen der Berlin Hyp nach HGB 11 Nach einem turbulenten 2011 startete die deutsche Wirtschaft verhalten in das neue Jahr. Auch wenn die etablierten Wirtschaftsforschungsinstitute zwischenzeitlich ihre Prognosen leicht nach oben korrigiert haben, hat sich die Konjunkturentwicklung im Zuge einer schwächeren Weltwirtschaft, aber auch durch die Auswirkungen der Staatsschuldenkrise deutlich verlangsamt. Davon unbeeindruckt zeigen sich aktuell noch die Erwartungen zur weiteren wirtschaftlichen Entwicklung in Deutschland: Der Ifo-Geschäftsklimaindex lag im März bei 109,8 Punkten und stieg damit zum fünften Mal in Folge. Ausschlaggebend sei hier die positive Nachfrage aus dem Inland. Ob sie jedoch die rückläufige Exportnachfrage aufgrund der Haushaltsdefizite bei den EU-Handelspartnern kompensieren kann, ist offen. Insgesamt stieg das Investitionsvolumen in Deutschland weiter an, denn die größte europäische Volkswirtschaft wird unverändert als sicherer Anlagehafen gesehen. Dies galt auch ganz besonders für den deutschen Immobilienmarkt, unseren Kernmarkt. Dieser hat die Turbulenzen an den Finanz- und Kapitalmärkten bislang weitgehend unbeschadet überstanden. In nahezu allen Segmenten in den sieben regionalen Immobilienzentren war eine positive Entwicklung zu verzeichnen, wobei Investments in Wohn- und Einzelhandelsimmobilien unverändert besonders im Fokus standen. Gleichzeitig wurde hier das Angebot – nicht zuletzt wegen der unverminderten Fokussierung auf das Core-Segment – knapper. An den europäischen Immobilienmärkten war die Stimmung dagegen deutlich verhaltener. Es ist davon auszugehen, dass sich die Schuldenkrise hier noch länger bemerkbar macht. Der bisher positiven Entwicklung des Immobilienmarktes stehen jedoch Veränderungen im ordnungspolitischen Rahmen für Banken gegenüber mit den entsprechenden Implikationen für die eigenen Handlungsspielräume. So sind aktuell zahlreiche neue Regulierungsvorhaben mit umfangreichen Auswirkungen auf Eigenkapitalerfordernisse, Refinanzierungsfragen und Ertragspotenziale von Banken initiiert worden, die unsere Unternehmensgruppe, wie auch andere europäische Banken, vor Herausforderungen stellen. Trotz dieser erschwerten Bedingungen konnte die Berlin Hyp ihre positive Entwicklung im ersten Quartal 2012 fortschreiben und ist weiterhin gemeinsam mit der LBB einer der führenden Immobilienfinanzierer in Deutschland. Geschäftsentwicklung von Januar bis März 2012 Mit 56,3 Mio. € (3/12 von 2011: 54,1 Mio. €) hat sich der Zinsüberschuss positiv entwickelt und liegt leicht über dem Niveau des Vorjahres. Hier profitierte die Bank vom aktuellen Zinsniveau und dem weiteren Ausbau des Hypothekendarlehensbestands zu deutlich verbesserten Konditionen. Insgesamt konnte hierdurch die Profitabilität im Hypothekendarlehensgeschäft gesteigert werden. Der Provisionsüberschuss stellte sich auf 4,1 Mio. € (5,5 Mio. €). Der leichte Rückgang ist auf die traditionell geringeren Transaktionszahlen des ersten Quartals zurückzuführen. Der Verwaltungsaufwand betrug 19,1 Mio. € (17,7 Mio. €). Ausschlaggebend dafür war der höhere Personalaufwand, der von 9,3 Mio. € auf 10,5 Mio. € aufgrund vergleichsweise höherer Aufwendungen für die Altersvorsorge stieg. Die Anderen Verwaltungsaufwendungen blieben stabil und stellten sich auf 7,2 Mio. € (7,1 Mio. €). Unter Berücksichtigung der sonstigen betrieblichen Erträge und Aufwendungen lag das Betriebsergebnis vor Risikovorsorge mit 40,1 Mio. € auf Vorjahresniveau (39,9 Mio. €) und entsprach damit den Erwartungen der Bank. Die Bank bildete Vorsorge für das Kreditgeschäft in Höhe von 7,0 Mio. € (6,0 Mio. €). Aufgrund der weiterhin bestehenden Unsicherheiten im Zusammenhang mit der Staatsschuldenkrise addierten sich die Bewertungsmaßnahmen auf die Wertpapiere der Liquiditätsreserve auf 7,6 Mio. € (1,5 Mio. €). Insgesamt betrug der Risikovorsorgesaldo 14,6 Mio. € (7,5 Mio. €) und das Betriebsergebnis nach Risikovorsorge 25,5 Mio. € (32,4 Mio. €). 12 Nach Berücksichtigung der Bankenabgabe in Höhe von 2,0 Mio. € (2,1 Mio. €), Erträgen aus dem Finanzanlage-Ergebnis von 1,2 Mio. € (minus 3,4 Mio. €) und den sonstigen Positionen erwirtschaftete die Bank in den ersten drei Monaten ein Ergebnis vor Steuern von 24,1 Mio. € (26,4 Mio. €). Bilanzsumme und Eigenkapitalkennziffern Die Bilanzsumme betrug zum Stichtag 40,2 Mrd. € (31. Dezember 2011: 38,6 Mrd. €). Die Kernkapitalquote basierend auf der Gesamtkapitalkennziffer des § 2 Abs. 5 der Solvabilitätsrichtlinie lag per 31. März 2012 bei 8,7 Prozent und die Gesamtkennziffer bei 11,8 Prozent. Die Cost-IncomeRatio stellte sich auf gute 32,3 Prozent (30,7 Prozent). Rückkauf Öffentlicher Pfandbriefe Im April haben wir Investoren ausgewählter Serien unserer ausstehenden Öffentlichen JumboPfandbriefe den vorzeitigen Rückkauf angeboten. Hintergrund sind die von Ratingagenturen geforderten und stark erhöhten Überdeckungsquoten zur Aufrechterhaltung des AAA-Ratings, die die Bank nicht mehr vorhalten will. Da von einer Herabstufung (Downgrade) der Ratings unserer Öffentlichen Pfandbriefe auszugehen war, war es Ziel, unseren Kapitalmarktpartnern ein gleichermaßen faires wie attraktives Angebot zu machen. Mit dieser Maßnahme beschleunigen wir den vor einigen Jahren begonnen Rückzug aus dem Staatsfinanzierungsgeschäft und verbessern gleichzeitig unsere Profitabilität. Vom Markt wurde diese Aktion sehr positiv aufgenommen. Immobilienfinanzierungsneugeschäft Die Neuzusagen im gewerblichen Immobilienfinanzierungsgeschäft betrugen in dem traditionell zu Jahresbeginn etwas schwächeren ersten 1. Quartal 2012 606 Mio. € (01-03/2011: 732 Mio. €). Hinzu kamen Prolongationen bestehender Engagements mit einem Gesamtvolumen von 199 Mio. € (0103/2001: 225 Mio. €). Von den Neuzusagen entfielen 63 Prozent auf Büro- und Geschäftshäuser, gefolgt von 28 Prozent Wohnimmobilien und zwei Prozent Einzelhandelsobjekte. Investoren – vorrangig aus dem Inland – stellten mit 77 Prozent die tragende Kundengruppe. 23 Prozent des Geschäfts wurden mit Wohnungsunternehmen realisiert. Bezogen auf das Geschäftsfeld Immobilienfinanzierung zusammen mit der Landesbank Berlin betrug das Neugeschäftsvolumen 1,3 Mrd. € und lag damit auf dem Vorjahresniveau (1,2 Mrd. €). Ausblick Die Berlin Hyp ist in den ersten drei Monaten plangemäß in das neue Geschäftsjahr gestartet und hat ihre gute Entwicklung im Kundengeschäft fortgeführt. Allerdings gehen wir davon aus, dass die Rahmenbedingungen für das Gesamtjahr 2012 unverändert schwierig bleiben werden. Finanz- und Kapitalmärkte sind durch eine extreme Volatilität gekennzeichnet, die Verunsicherung unter den Marktteilnehmern dauert an. Mit Blick auf die eingangs beschriebenen Herausforderungen werden wir unsere Kräfte im laufenden Geschäftsjahr auf die Erfüllung der regulatorischen Vorgaben konzentrieren. Vor diesem Hintergrund werden wir alle unsere Geschäftsaktivitäten noch stärker als bisher mit Blick auf Wirtschaftlichkeit, Eigenkapitalbedarf und strategische Bedeutung analysieren und bewerten. Insofern ist ein Ausblick auch vor dem Hintergrund weiterer potenzieller Marktverwerfungen nur sehr eingeschränkt möglich. Das Ergebnis vor Steuern und Gewinnabführung wird sich im Vergleich zu 2011 insoweit voraussichtlich nur bedingt steigern lassen können. Der Immobilienmarkt steht aktuell vor einer großen Refinanzierungswelle von in den Boomjahren 2006/2007 getätigten Immobilieninvestments, was grundsätzlich interessante Neugeschäftspotenziale bietet. Allerdings wurden die Transaktionen seinerzeit häufig hoch fremdfinanziert, was unter den heute anzuwendenden Risikokriterien nicht mehr realistisch erscheint. Dieser hohe Finanzierungsbedarf trifft auf eine insgesamt größere Zurückhaltung auf Bankenseite. Aus unserer Sicht wird die Verfügbarkeit von Fremdkapital daher der bestimmende Wachstumsfaktor für den gewerblichen Immobilienmarkt im laufenden Geschäftsjahr sein. Verschärfte Eigenkapitalanforderungen an die Banken werden voraussichtlich das Neugeschäft erschweren und verteuern. In diesem Umfeld ist die Marktposition des Geschäftsfeldes Immobilienfinanzierung von Berlin Hyp/LBB unverändert stark, allerdings sind auch wir gefordert, den veränderten Rahmenbedingungen 13 Rechnung zu tragen. Im Neugeschäft werden wir daher unter Risiko- und Ertragskriterien noch selektiver vorgehen, wobei unser Fokus unverändert das Investorengeschäft im Kernmarkt Deutschland bleiben wird. Im Ausland sehen wir weiterhin gute Perspektiven, allerdings werden auch hier die Renditeanforderungen anspruchsvoller. Vor diesem Hintergrund gehen wir davon aus, dass das Neugeschäftsvolumen nicht über dem Vorjahresergebnis liegen und der Kreditbestand nur moderat steigen wird. Chancen sehen wir in der Intensivierung der jeweiligen Gesamtgeschäftsverbindung durch eine weitere Verbesserung unserer Produktpalette rund um die Immobilie. Außerdem werden wir unsere Rolle als Partner für die Sparkassen weiter stärken. Neben gemeinsamen Finanzierungen vor Ort werden immobilienspezifische Produkte für Sparkassen entwickelt.
