This document constitutes a supplement pursuant paragraph 16 German Securities Prospectus Act (Wertpapierprospektgesetz) (the “Supplement“) to two base prospectuses of Berlin-Hannoversche Hypothekenbank AG: (i) the base prospectus in respect of non-equity securities within the meaning of Art. 22 sub-paragraph 6(4) of the Commission Regulation (EC) No. 809/2004 of 29 April 2004 (the “Commission Regulation”) and (ii) the base prospectus in respect of Pfandbriefe (non-equity securities within the meaning of Art. 22 sub-paragraph 6(3) of the Commission Regulation) (together the “Base Prospectus” or the “Prospectus”) Supplement to the Base Prospectus Dated 10 August 2011 This Supplement is supplemental to, and must be read in conjunction with the Base Prospectus dated 11 March 2011. Berlin-Hannoversche Hypothekenbank AG Berlin, Federal Republic of Germany Offering Programme (the “Programme”) Berlin-Hannoversche Hypothekenbank AG (“Berlin Hyp”, “Berlin Hyp AG”, the “Bank” or the “Issuer”) has requested the Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht) (the “BaFin”) in its capacity as the competent authority under the German Securities Prospectus Act (Wertpapierprospektgesetz) (the “WpPG”) to (i) approve this Supplement and (ii) provide the competent authorities in the Grand Duchy of Luxembourg, the United Kingdom of Great Britain and Northern Ireland, the Republic of Ireland, the Italian Republic and the Republic of Austria with a certificate of such approval attesting that the Supplement has been drawn up in accordance with the WpPG implementing the EU Prospectus Directive into German law (the “Notification”). Approval by the BaFin means the positive decision on the Issuer’s request regarding the examination of the Supplement’s completeness, including the coherence and comprehensibility of the provided information. The Issuer may request the BaFin to provide competent authorities in additional host Member States within the European Economic Area with a Notification. This Supplement will be published in the same way as the Base Prospectus in electronic form on the website of the Issuer (www.berlinhyp.de). Interim Management Report to 30 June 2011 The unaudited interim report with the financial statement of Berlin-Hannoversche Hypothekenbank AG for the period ending 30 June 2011 is presented on the following pages. The information has been published on 10 August 2011. The comparative figures of 6/12 of 2010, 30 June 2010 and 31 December 2010 derive from the audited annual report 2010, as included in the Base Prospectus dated nd 11 March 2011 and from the unaudited interim report to 30 June 2010, as included in the 2 supplement to the Base Prospectus 2010, dated 11 August 2010. Berlin Hyp Key Figures 3 Framework Conditions The economic upturn has arrived in Germany: production capacity is at pre-crisis levels, the unemployment rate is at a historically low level since German reunification, and domestic demand is developing positively. The companies are assessing the business climate as very positive. In June the business climate index stood at 114.5, just barely lower than the highest result in February at 115.4. In order to continue utilising the potential of the global recovery, the companies have expanded their investments and, by hiring new employees, procuring new equipment and constructing additional buildings, they have created the basis for further expansion. The credit sector has supported these measures with a considerably more relaxed lending policy. The Credit Constraint Indicator of the ifo Institute shows the lowest level since its survey in 2003. Against this background, 2011 can be expected to show economic growth on a similar level as in the previous year (growth in 2010: 3.6 percent). Already in the first quarter of 2011 the gross domestic product increased by 1.5 percent compared to the fourth quarter of the previous year. This was due, among other things, to catch-up effects in the construction industry and transport sector after bad weather in the previous quarter. The delayed increase in wages and salaries that has accompanied the economic recovery as well as the demand-related increase in raw materials prices caused domestic production to grow more expensive. The price increase for food and services also contributed to an increase in the price level measured in the harmonized consumer price index. The annual inflation rate in Germany amounted to 2.4 percent in May (previous year: 1.2 percent). In the euro zone as well, the inflation rate has been above the ECB’s important inflation target of two percent since the beginning of the year. The ECB reacted at the start of the second quarter with a first interest rate adjustment, and undertook a second interest rate adjustment at the start of the third quarter, raising the main refinancing rate by twenty-five basis points to 1.5 percent respectively, putting an end to the low interest phase during the financial market crisis. Money and capital market interest rates trended upward in the first months of the year; however, due to the increased demand for long-term first-class government bonds the long-term interest rate developed negatively again in the second quarter, resulting in a flattening of the interest curve. The low interest rate as well as its role as a secure investment form is leading once more to investments in residential housing. Particularly in urban agglomerations, increased demand and the resulting growth in residential housing prices are evident. But investors are also increasingly focusing on the commercial real estate market. The turnover with commercial properties rose by nearly a quarter in the first six months in comparison to the same period in the previous year. Thus Berlin Hyp has been operating in a relatively favourable environment as a real estate financer. But despite the very good economic development in the Federal Republic of Germany, the economic risks must not be underestimated. The economic developments in the countries of the European economic region are developing at very different rates. It is therefore possible that the high growth momentum of the German gross domestic product will decelerate over the course of the year. Greece’s insolvency has been temporarily avoided by the Greek parliament’s passing of an additional austerity programme on 29 June 2011 along with a set of related aid payments. However, it is far too early to sound the all clear, since in April Portugal also submitted an application for international financial aid, which the euro zone finance ministers approved on 16 May 2011. Even Italy is increasingly moving into the focus of the discussion on the condition of the euro zone’s public budgets. Earnings Situation Good Net Interest and Commission Income The net interest and commission income rose from 115.9 € million (periodic previous year value) to 119.5 € million. The net interest income was expanded to 108.6 € million, exceeding the periodic previous year’s value by 1.0 € million. This was also successful because comparatively high-interest refinancing funds were repaid with cash and cash equivalents acquired through the reduction of relatively low-profit assets in the form of time deposits and municipal loans. The decline of market-based funds due to the flattened 4 interest curve was also compensated in this way. However, the net interest income was also increasingly carried by the real estate financing business which, compared with municipal credit, is equipped with sufficient interest term contributions. This had a fundamental effect on the commission result, which, largely thanks to commission earnings from the lending business, rose from 8.3 € million to 10.9 € million. Expansion of Operating Expenditures At 39.2 € million, operating expenditures, which encompass staff expenses, other operating expenses as well as the depreciation of tangible and intangible assets, was 2.0 € million higher than the comparable amount for the previous year. Staff expenses rose by 2.5 € million to 21.9 € million, while other operating expenditures, at 14.8 € million, fell below the previous year’s figures by 0.4 € million. At 2.5 € million, expenditures for depreciations fell 0.1 € million below the previous year’s figures. Reasons for staff expenses exceeding the previous year’s figures were increased regular payments to the staff as well as additions to provisions, which did not appear under this item in the previous year due to the first application of the regulations of the German Accounting Law Modernisation Act (BilMoG). At the end of the first half year the balance of the other operating result stood at negative 2.4 € million (0.9 € million). This largely refers to expenditures and earnings from foreign currency valuation as well as the costs of detailed agreements and dissolution of reserves. In this way the Bank achieved an operating result before risk provisioning of 77.9 € million (79.6 € million). The ratio of operating expenditures including the other operating result to the net interest and commission income, the so-called cost income ration, reached 33.5 percent (previous year: 31.8 percent). Lower Risk Provisioning The good risk management and the improved framework conditions led to protection needs for the lending business that dropped by 5.1 € million to 18.2 € million. The risk position of the securities business continues to remain largely dependent on the development of the government debt crisis. The prevailing insecurity has resulted in relatively strong fluctuations of the market value of the asset portfolio categorised as a liquidity reserve, leading to the positive valuation result of 5.1 € million as of 30 June 2011 (previous year’s value for the period: 12.3 € million in valuation expenses). The Bank indicates a considerably improved risk provisioning balance totalling 13.1 € million (35.6 € million). Financial Investment Result The negative financial investment result was primarily due to a value adjustment on Greek government bonds to the amount of 5.9 € million on a nominal volume of 20 € million. This also includes impairment losses in the securities portfolio. Restructuring Fund The first payment to be made to the restructuring fund for credit institutes (bank levy) in 2011 burdened the result in the sum of 4.3 € million on 30 June 2011. Extraordinary Expenditure Due to the application of the German Accounting Law Modernisation Act, the prescribed re-evaluation of pension reserves caused a negative first application effect in the previous year. The resulting expenditures in the sum of 1.1 € million were considered on a periodic basis. Improved Pre-Tax Result The Bank can point to a pre-tax result of 56.2 € million (44.2 € million). A loss transfer agreement is in place with the Landesbank Berlin AG, Berlin. 5 Financial Situation The balance sheet total has been reduced by 2.1 € billion to 38.6 € billion since the beginning of the year. The decline can be explained by the reduced time deposit balances that were largely utilised for the repayment of liabilities. In addition, the municipal lending business is being discontinued according to strategy; in the first half of the year the volume of these receivables dropped by 1.2 € billion to 6.9 € billion. By contrast, the mortgage lending business is being resolutely expanded. The portfolio has risen from 16.3 € billion to 17.1 € billion in the first six months of the financial year. The portfolio of fix-interest bonds stood at 11.7 € billion and scarcely changed since the Bank behaved cautiously in light of the difficulty in assessing the situation on the capital markets. On the liabilities side, Berlin Hyp reduced its liabilities to banks by 1.4 € billion to 11.4 € billion. The volume of securitised liabilities particularly declined in the public Pfandbrief segment. The balance sheet for securitised liabilities thus dropped by 1.2 € billion to 16.7 € billion. Equity The capital and reserves shown for Berlin Hyp amount to 831 € million as of the half year result. This amount contains an accumulated equity balance carried forward in the sum of 2.2 € million. In relation to risk positions according to the Solvency Regulation, the core capital rate amounted to 8.9 percent and the overall capital index stood at 12.5 percent as of 30 June 2011. New Loan Commitments In real estate finance business, Berlin Hyp succeeded in increasing the gratifying result of the previous year in the first six months of 2011. The new business volume of 1.4 € billion stood 0.4 € billion above the previous year’s figures of 1.0 € billion on 30 June 2010. The share of financing for properties located in Germany was expanded to a total of 69 percent of new lending volume. 35 percent of this referred to properties in the old federal states and 34 percent to Berlin and the new federal states. Foreign business (properties located abroad) made up 31 percent of total new lending. New lending activities continue to concentrate on the investor business, which represents an 80% share. At the same time, there was an increase in new lending agreements with housing associations; the corresponding share of new lending rose to 17 percent of total volume. The remaining volume goes to developers. In municipal loans, no new lending occurred in the first half of 2011 (30 June 2010: 0.1 € billion). Refinancing The Bank issued 2.8 € billion in securities and promissory notes in the first six months for refinancing purposes. This included 1.7 € billion for mortgage Pfandbriefe and 10 € million for public Pfandbriefe. In addition, it succeeded in placing 1.2 € billion in the unsecured area. The public Pfandbriefe continue to enjoy the top grade of AAA from the ratings agencies of Moody’s and Fitch. The mortgage Pfandbriefe have been rated at Aa1 by Moody’s and AA+ by Fitch. The Fitch rating for unsecured issues stands at AA-. 6 Risk and Opportunity Report For a presentation of the models and an evaluation of the major opportunities and risks as well as the development of the Bank, please refer to the information contained in the risk report from the 2010 Annual Report. In the first six months of 2011 the Bank had a sufficient scope of action for risk-taking capability in both the normal scenarios and in the stress scenarios that have been examined since 2010. The structure of counterparty risks (distribution of the total credit exposure by risk class) has scarcely changed. The model used to assess the credit risk has been developed further in 2011. Rating migration is particularly being assessed for the capital market business. Moreover, individual model parameters have been recalibrated. As a result, the unexpected loss has been reduced from 241 € million as of 31 December 2010 to 203 € million as of 30 June 2011. The value at risk in the market price risk rose by 8.8 € million up to 34.6 € million in the first half of 2011. The reasons for this are particularly to be found in the increasing volatilities that have emerged due to insecurity on the capital markets. Liquidity risk management continues to receive great attention. The Bank continues to follow the discussions within the framework of stricter regulatory rules closely. The liquidity ratio according to LiqV stood at 1.36 on 30 June 2011 and thus above the regulatory value of 1.0. The economic liquidity risk is monitored daily by means of stress scenarios. The debiting of the operational risk in the risk-bearing concept is undertaken by means of an internal model on the basis of an advanced measurement approach. Outlook Berlin Hyp has continued the successful development of its core business from the previous year into the first six months of 2011. Rising transaction volumes have been confronted by intense competition. Despite increased competition, the Berlin Hyp will maintain efforts to participate, together with the Landesbank Berlin, in new business opportunities generated by the market. Uncertainty in the market is mainly due to the sovereign debt crisis and its potential impact on economic developments in the euro zone. It is thus difficult to make a forecast. But we are currently proceeding from the assumption that we will be able to continue increasing the result before income taxes and profit transfer in comparison with the previous year. 7 Excerpt from the Balance Sheet as at 30 June 2011 8 9 Profit and Loss Account from 1 January to 30 June 2011 of the Profit and Loss Account 8 | 9 10 Appendix General Information Berlin-Hannoversche Hypothekenbank Aktiengesellschaft is under no legal obligation to submit a consolidated financial statement according to the International Financial Reporting Standards (IFRS) in accordance with Section 290 in conjunction with Section 315a German Commercial Code, since Berlin-Hannoversche Hypothekenbank AG only holds shares in a subsidiary whose inclusion with respect to significance has no influence on the depiction of assets, financial position and results of operation of Berlin-Hannoversche Hypthekenbank AG. As in previous years, the interim report has not been submitted to a review in accordance with Section 317 German Commercial Code or to review by auditors. Balance Sheet and Evaluation Principles The interim report is prepared according to the principles of the German Commercial Code, the supplementary stock law regulations in consideration of the Pfandbrief Act and the regulation on the accounting of credit institutes (RechKredV). The applicable accounting standards of the DRSC are observed. The balancing and evaluation methods used in the annual report of 31 December 2010 have been utilised without change in the preparation of the shortened interim report. Securities with a nominal volume in the sum of 4,793.1 € million are evaluated as fixed assets since they do not serve as a liquidity reserve and are partially utilized to cover Pfandbriefe issued by the Bank. The book value of the securities, which is above the fair value of 2,964.8 € million, amounts to 3,046.3 € million. This takes the evaluation results of interest swaps into consideration. The Bank has avoided a value correction on the basis of the mitigated lower-of-cost-or-market principle with the exception of the valuation adjustment for Greek government bond issues, as apart from this no reasons exist for a lasting value reduction. Since 1 November 2010 the Bank has been linked with Landesbank Berlin Aktiengesellschaft via a profittransfer contract (effective starting 1 January 2010). 11 12 13 The market values are calculated on the basis of zero bond discounting factors as well as future cash flows. The arbitrage-free zero bond discount factors are drawn from the current mid-swap interest curve. The completed transactions are largely declared as hedges to shore up the interest rate and exchange rate risks of basic balance sheet transactions. The market value of the derivative financial instruments is presented on the basis of the interest rate level of 30 June 2011 without regard to deferred interest. The market values of the derivatives are contrasted with the evaluation benefits of the non-market priceevaluated balance sheet transactions. The Bank’s swap partners exclusively include credit institute groups from OECD countries, which are also appropriate credit institutes according to Section 5 paragraph 3 no. 1 PfandBG. Information in Accordance With Section 28 Pfandbriefgesetz The information to be published annually in accordance with Section 28 Pfandbrief Act is published on the Bank’s homepage: www.berlinhyp.de/kapitalmarktir/. Responsibility Statement To the best of our knowledge, and in accordance with the applicable reporting principles for interim financial reporting, the interim financial statements give a true and fair view of the assets, liabilities, financial position and profit or loss of the company, and the interim management report of the 14 company includes a fair review of the development and performance of the business and the position of the company, together with a description of the material opportunities and risks associated with the expected development of the company for the remaining months of the financial year. Zwischenlagebericht Nachfolgend wird der untestierte Zwischenlagebericht der Berlin-Hannoverschen Hypothekenbank AG für die Zeit bis zum 30. Juni 2011 dargestellt. Dieser wurde am 10. August 2011 veröffentlicht. Die genannten Vergleichszahlen (6/12 von 2010, 30. Juni 2010 und 31. Dezember 2010) stammen aus dem testierten Jahresabschlussbericht 2010, der dem Basisprospekt vom 11. März 2011 entnommen werden kann und der ungeprüften Zwischenmitteilung zum 30. Juni 2010, die dem zweiten Nachtrag zum Basisprospekt 2010 vom 11. August 2010 entnommen werden kann. Kennzahlen der Berlin Hyp 16 Zwischenlagebericht Rahmenbedingungen Der konjunkturelle Aufschwung ist in Deutschland angekommen: Die Auslastung der Produktionskapazitäten bewegt sich auf Vorkrisenniveau, die Arbeitslosenquote weist einen historisch niedrigen Stand seit der deutschen Wiedervereinigung auf und die Binnennachfrage entwickelt sich gut. Die Unternehmen schätzten das Geschäftsklima sehr positiv ein. Im Juni lag der Geschäftsklimaindex mit einem Wert von 114,5 nur knapp unter dem ermittelten Höchststand vom Februar mit 115,4. Um das Potenzial der weltwirtschaftlichen Erholung weiter nutzen zu können, weiteten die Unternehmen ihre Investitionen aus und schufen mit der Aufstockung der Belegschaften sowie der Beschaffung neuer Ausrüstungen und der Erstellung neuer Bauten Raum für weitere Expansion. Diese Maßnahmen wurden von der Kreditwirtschaft mit einer deutlich entspannten Kreditvergabepolitik unterstützt. Der Kredithürden-Indikator des ifo Instituts weist hierfür den niedrigsten Stand seit seiner Erhebung im Jahr 2003 auf. Vor diesem Hintergrund ist für das Jahr 2011 mit einem ähnlich hohen Wirtschaftswachstum wie im Vorjahr zu rechnen (Wachstum 2010: 3,6 Prozent). Bereits im ersten Quartal 2011 hat das Bruttoinlandsprodukt, unter anderem aufgrund witterungsbedingter Nachholeffekte in der Bauwirtschaft und im Verkehrswesen aus dem vierten Quartal des Vorjahres, um 1,5 Prozent zugenommen. Der mit der wirtschaftlichen Erholung einhergehende, zeitlich verzögerte Anstieg von Löhnen und Gehältern sowie die nachfragebedingten Rohstoffpreiserhöhungen verteuerten die Erzeugnisse aus der inländischen Produktion zusehends. Aber auch der Preisanstieg von Nahrungsmitteln und Dienstleistungen führte zu einer Erhöhung des am harmonisierten Verbraucherpreisindex gemessenen Preisniveaus. Die Jahresteuerungsrate betrug in Deutschland im Mai 2,4 Prozent (Vorjahr: 1,2 Prozent). Auch in der Eurozone lag die Teuerungsrate seit Jahresbeginn über dem wichtigen Inflationsziel der EZB in Höhe von zwei Prozent. Die EZB reagierte zu Beginn des zweiten Quartals mit einem ersten sowie zu Beginn des dritten Quartals mit einem zweiten Zinsschritt und erhöhte den Hauptrefinanzierungssatz jeweils um 25 Basispunkte auf 1,5 Prozent und hat damit die Niedrigzinsphase während der Finanzmarktkrise verlassen. Die Geld- und Kapitalmarktzinssätze tendierten in den ersten Monaten des Jahres aufwärts; aufgrund der verstärkten Nachfrage nach langlaufenden erstklassigen Staatsanleihen entwickelte sich das langfristige Zinsniveau im zweiten Quartal jedoch wieder rückläufig, so dass sich die Zinskurve verflachte. Das niedrige Zinsniveau sowie die Rolle als sichere Anlageform führen wieder vermehrt zu Investitionen im Wohnungsbau. Insbesondere in den Ballungsräumen sind eine Ausweitung der Nachfrage und damit einhergehend stark steigende Wohnimmobilienpreise zu verzeichnen. Aber auch der Gewerbeimmobilienmarkt rückt wieder vermehrt in den Investorenfokus. Der Umsatz mit Gewerbeimmobilien ist im ersten Halbjahr im Vergleich zum Vorjahreszeitraum um fast ein Viertel gestiegen. Damit bewegte sich die Berlin Hyp als Immobilienfinanzierer in einem relativ günstigen Umfeld. Aber trotz der sehr guten konjunkturellen Entwicklung in der Bundesrepublik Deutschland sind die wirtschaftlichen Risiken nicht zu unterschätzen. Die wirtschaftlichen Entwicklungen in den Ländern des europäischen Wirtschaftsraumes verlaufen sehr unterschiedlich, deshalb könnte sich in Deutschland im Verlaufe des Jahres das hohe Wachstumstempo des Bruttoinlandsproduktes zurückbilden. Die Zahlungsunfähigkeit Griechenlands ist durch die Verabschiedung eines weiteren Sparprogramms durch das griechische Parlament am 29. Juni 2011 und damit einhergehender weiterer Hilfszahlungen vorläufig abgewendet. Von einer Entwarnung in der Staatsschuldenkrise kann jedoch noch lange keine Rede sein, zumal im April mit Portugal ein weiteres Land einen Antrag auf internationale Finanzhilfen stellte, dem die Finanzminister des Euroraums am 16. Mai 2011 zustimmten. Sogar Italien rückt zunehmend in den Mittelpunkt der Diskussion über den Zustand der öffentlichen Haushalte des Euroraums. 17 Ertragslage Guter Zins- und Provisionsüberschuss Der Zins- und Provisionsüberschuss ist von 115,9 Mio. € (zeitanteiliger Vorjahreswert) auf 119,5 Mio. € gestiegen. Der Zinsüberschuss wurde auf 108,6 Mio. € ausgeweitet und der zeitanteilige Vorjahreswert um 1,0 Mio. € übertroffen. Dies gelang auch, weil vergleichsweise hochverzinsliche Refinanzierungsmittel aus liquiden Mitteln getilgt wurden, die durch den Abbau relativ ertragsschwacher Aktiva in Form von Termingeldern und Kommunaldarlehen gewonnen wurden. Der wegen der abgeflachten Zinskurve eintretende Rückgang des Strukturbeitrages wurde auch auf diese Weise kompensiert. Getragen wird der Zinsüberschuss aber zunehmend durch das Immobilienfinanzierungsgeschäft, das im Vergleich zum Kommunalkredit mit auskömmlichen Zinskonditionsbeiträgen ausgestattet ist. Dies wirkte sich grundsätzlich auch auf das Provisionsergebnis aus, das ganz überwiegend dank der Provisionserträge aus dem Kreditgeschäft von 8,3 Mio. € auf 10,9 Mio. € stieg. Ausweitung des Verwaltungsaufwands Der Verwaltungsaufwand, der den Personalaufwand, andere Verwaltungsaufwendungen sowie die Abschreibungen auf Sachanlagen und immaterielle Wirtschaftsgüter umfasst, liegt mit 39,2 Mio. € um 2,0 Mio. € über dem Vergleichswert des Vorjahres. Dabei erhöhte sich der Personalaufwand um 2,5 Mio. € auf 21,9 Mio. € während die anderen Verwaltungsaufwendungen in Höhe von 14,8 Mio. € den Vorjahreswert um 0,4 Mio. € und der Aufwand aus Abschreibungen in Höhe von 2,5 Mio. € den Vorjahreswert um 0,1 Mio. € unterschritten. Ursächlich für den über der Vorjahresvergleichszahl liegenden Personalaufwand sind neben den gestiegenen laufenden Zahlungen an die Mitarbeiter auch die Zuführungen zu Pensionsrückstellungen, die im Vorjahr aufgrund der erstmaligen Anwendung der Vorschriften des Bilanzrechtsmodernisierungsgesetzes (BilMoG) in dieser Position entfielen. Der Saldo des sonstigen betrieblichen Ergebnisses lag zum Halbjahresschluss bei negativen 2,4 Mio. € (0,9 Mio. €). Hier werden hauptsächlich Aufwendungen und Erträge aus Fremdwährungsbewertung, sowie Kosten der Detailvereinbarung und Auflösungen aus Rückstellungen ausgewiesen. Somit erzielte die Bank ein Betriebsergebnis vor Risikovorsorge von 77,9 Mio. € (79,6 Mio. €). Das Verhältnis des Verwaltungsaufwandes einschließlich des sonstigen betrieblichen Ergebnisses zum Zins- und Provisionsüberschuss, die sogenannte Cost-Income-Ratio, erreichte 33,5 Prozent (Vorjahr: 31,8 Prozent). Geringere Risikovorsorge Das gute Risikomanagement und die verbesserten Rahmenbedingungen führten zu einem um 5,1 Mio. € auf 18,2 Mio. € verringerten Abschirmungsbedarf für das Kreditgeschäft. Die Risikoposition des Wertpapiergeschäftes wird weiterhin unverändert wesentlich von der Entwicklung der Staatsschuldenkrise bestimmt. Aus der vorherrschenden Unsicherheit resultierten während des Berichtszeitraumes relativ starke Schwankungen der Kurswerte des als Liquiditätsreserve kategorisierten Schuldverschreibungsbestandes, die zum 30. Juni 2011 zu einem positiven Bewertungsergebnis von 5,1 Mio. € führten (anteiliger Vorjahreswert: Bewertungsaufwand 12,3 Mio. €). Die Bank weist einen deutlich verbesserten Risikovorsorgesaldo von insgesamt 13,1 Mio. € (35,6 Mio. €) aus. Finanzanlageergebnis Das negative Finanzanlageergebnis resultiert maßgeblich aus einer Wertberichtigung auf griechische Staatsanleihen in Höhe von 5,9 Mio. € auf ein Nominalvolumen von 20 Mio. €. Daneben sind hier Wertaufholungen im Wertpapierbestand enthalten. 18 Restrukturierungsfonds Die erstmals in 2011 zu leistende Zahlung des Beitrages zum Restrukturierungsfonds für Kreditinstitute (Bankenabgabe) belastete das Ergebnis zum 30. Juni 2011 in Höhe von 4,3 Mio. €. Außerordentliche Aufwendungen Aufgrund der Anwendung des Bilanzrechtsmodernisierungsgesetzes entstand im Vorjahr durch die vorgeschriebene Neubewertung von Pensionsrückstellungen ein negativer Erstanwendungseffekt. Der daraus entstandene Aufwand wird hier in Höhe von 1,1 Mio. € zeitanteilig berücksichtigt. Verbessertes Vorsteuerergebnis Die Bank weist ein Vorsteuerergebnis von 56,2 Mio. € (44,2 Mio. €) aus. Es besteht mit der Landesbank Berlin AG, Berlin, ein Ergebnisabführungsvertrag. Vermögenslage Die Bilanzsumme ist seit Jahresbeginn um 2,1 Mrd. € auf 38,6 Mrd. € vermindert worden. Der Rückgang ist auf die verringerten Termingeldguthaben zurückzuführen, die hauptsächlich zur Tilgung von Passivmitteln verwendet wurden. Außerdem läuft das Kommunaldarlehensgeschäft strategiekonform aus; im ersten Halbjahr sank das Volumen dieser Forderungen um 1,2 Mrd. € auf nunmehr 6,9 Mrd. €. Im Gegensatz dazu wird das Hypothekendarlehensgeschäft zielstrebig ausgebaut. Der Bestand ist in den ersten sechs Monaten des Geschäftsjahres von 16,3 Mrd. € auf 17,1 Mrd. € gewachsen. Der Bestand an festverzinslichen Schuldverschreibungen lag bei 11,7 Mrd. € und veränderte sich kaum, weil die Bank in Anbetracht der schwer einzuschätzenden Kapitalmarktlage zurückhaltend agiert. Auf der Passivseite führte die Berlin Hyp ihre Bankverbindlichkeiten um 1,4 Mrd. € auf 11,4 Mrd. € zurück. Auch das Volumen der verbrieften Verbindlichkeiten reduzierte sich insbesondere im Segment der öffentlichen Pfandbriefe deutlich. Der Bilanzausweis der verbrieften Verbindlichkeiten sank daher um 1,2 Mrd. € auf 16,7 Mrd. €. Eigenkapital Das ausgewiesene Eigenkapital der Berlin Hyp beträgt zum Halbjahresschluss 831 Mio. €. Darin ist ein Bilanzgewinnvortrag in Höhe von 2,2 Mio. € enthalten. Auf die Risikopositionen gemäß Solvabilitätsverordnung bezogen lagen die Kernkapitalquote am 30. Juni 2011 bei 8,9 Prozent und die Gesamtkapitalkennziffer bei 12,5 Prozent.. Darlehensneugeschäft ausgeweitet Im Immobilienfinanzierungsgeschäft konnte die Berlin Hyp im ersten Halbjahr 2011 das erfreuliche Ergebnis des Vorjahreszeitraums steigern. Das Neugeschäftsvolumen von 1,4 Mrd. € lag mit 0,4 Mrd. € über den Vorjahresvergleichszahlen zum 30. Juni 2010 von 1,0 Mrd. €. An den restriktiven Kreditvergaberichtlinien wurde dabei unverändert festgehalten. Der Anteil der Finanzierungen von im Inland gelegenen Objekten konnte auf insgesamt 69 Prozent des Neugeschäftsvolumens ausgebaut werden; davon entfielen 35 Prozent auf Objekte in den Alten Bundesländern sowie 34 Prozent auf Berlin und die Neuen Bundesländer. Das Auslandsgeschäft (Finanzierungen von im Ausland gelegenen Objekten) trug mit 31 Prozent zum gesamten Neugeschäftsvolumen bei. Unverändert konzentrieren sich die Neugeschäftsaktivitäten auf das Investorengeschäft, das einen Anteil von 80 Prozent repräsentiert. Daneben konnten verstärkt Neugeschäftsabschlüsse mit Wohnungsunternehmen verzeichnet werden; der entsprechende Anteil am Neugeschäft stieg auf 17 Prozent des Gesamtvolumens. Das verbleibende Volumen entfällt auf Developer. 19 Im Bereich der Kommunaldarlehen wurden im ersten Halbjahr 2011 keine Neugeschäfte getätigt (30. Juni 2010: 0,1 Mrd. €). Refinanzierung Zur Refinanzierung hat die Bank im ersten Halbjahr 2,8 Mrd. € Wertpapiere und Schuldscheindarlehen emittiert. Davon entfielen 1,7 Mrd. € auf Hypothekenpfandbriefe und 10 Mio. € auf öffentliche Pfandbriefe. Darüber hinaus konnten im unbesicherten Bereich insgesamt 1,2 Mrd. € platziert werden. Die öffentlichen Pfandbriefe haben von den Ratingagenturen Moody’s und Fitch unverändert die Bestnote AAA erhalten. Die Hypothekenpfandbriefe werden von Moody’s mit Aa1 und von Fitch mit AA+ bewertet. Das Fitch-Rating für unbesicherte Emissionen liegt bei AA-. Risiko- und Chancenbericht Zur Darstellung der Modelle und zur Beurteilung der wesentlichen Chancen und Risiken und der voraussichtlichen Entwicklung der Bank verweisen wir auf die Ausführungen im Risikobericht des Jahresabschlusses 2010. Im ersten Halbjahr 2011 verfügte die Bank sowohl in den Normalszenarien als auch in den seit 2010 untersuchten Stressszenarien über ausreichende Freiräume in der Risikotragfähigkeit. Die Struktur des Adressenausfallrisikos (Verteilung des Gesamtkreditexposures nach Risikoklassen) hat sich nur geringfügig geändert. Das zur Ermittlung des Kreditrisikos verwendete Modell wurde in 2011 weiterentwickelt. Insbesondere werden für Kapitalmarktgeschäfte auch Ratingmigrationen bewertet. Darüber hinaus wurden einzelne Modellparameter neu kalibriert. Infolgedessen hat sich der Unexpected Loss von 241 Mio. € per 31. Dezember 2010 auf 203 Mio. € per 30. Juni 2011 reduziert. Der Value-at-Risk im Marktpreisrisiko erhöhte sich im ersten Halbjahr 2011 um 8,8 Mio. € auf 34,6 Mio. €. Die Gründe dafür liegen insbesondere in gestiegenen Volatilitäten infolge der Unsicherheiten an den Kapitalmärkten. Dem Liquiditätsrisikomanagement wird unverändert eine hohe Bedeutung beigemessen. Die Diskussionen im Rahmen der strengeren aufsichtsrechtlichen Vorgaben werden weiterhin eng verfolgt. Die Liquiditätskennziffer nach LiqV lag zum 30. Juni 2011 bei 1,36 und damit über dem aufsichtsrechtlich vorgegebenen Wert von 1,0. Das ökonomische Liquiditätsrisiko wird anhand von Stressszenarien täglich überwacht. Die Anrechnung des Operationellen Risikos im Risikotragfähigkeitskonzept erfolgt mittels eines internen Modells auf Basis eines AMA-Ansatzes (Advanced Measurement Approach). Ausblick Die Berlin Hyp setzte im ersten Halbjahr 2011 im Kerngeschäft die erfolgreiche Entwicklung des Vorjahres fort. Steigenden Transaktionsvolumina steht ein intensiver Wettbewerb gegenüber. Die Berlin Hyp wird gemeinsam mit der Landesbank Berlin versuchen, trotz eines gestiegenen Wettbewerbs auch weiterhin an den sich am Markt ergebenden Neugeschäftsaktivitäten zu partizipieren. Unsicherheiten bestehen hingegen insbesondere aufgrund der Staatsschuldenkrise und deren potenziellen Auswirkungen auf die wirtschaftliche Entwicklung der Eurozone. Eine Prognose ist daher erschwert. Wir gehen jedoch derzeit davon aus, das Ergebnis vor Ertragsteuern und Gewinnabführung im Vergleich zum Vorjahr steigern zu können. 20 Aus der Bilanz zum 30. Juni 2011 23 Anhang Allgemeine Angaben Für die BerlinHannoversche Hypothekenbank Aktiengesellschaft besteht keine gesetzliche Verpflichtung zur Aufstellung eines Konzernabschlusses nach den International Financial Reporting Standards (IFRS) gemäß § 290 i. V. mit § 315a HGB, da die BerlinHannoversche Hypothekenbank AG nur Anteile an einem Tochterunternehmen hält, dessen Einbeziehung unter dem Aspekt der Wesentlichkeit keinen Einfluss auf die Darstellung der Vermögens, Finanz- und Ertragslage der BerlinHannoverschen Hypothekenbank AG hat. Der Halbjahresfinanzbericht ist – wie in den Vorjahren – keiner Prüfung gemäß § 317 HGB oder prüferischen Durchsicht unterzogen worden. Bilanzierungs- und Bewertungsgrundsätze Der Halbjahresfinanzbericht wird nach den Vorschriften des Handelsgesetzbuches, den ergänzenden aktienrechtlichen Bestimmungen sowie unter Berücksichtigung des Pfandbriefgesetzes und der Verordnung über die Rechnungslegung der Kreditinstitute (RechKredV) aufgestellt. Die anzuwendenden Rechnungslegungsstandards des DRSC werden beachtet. Für die Aufstellung des verkürzten Zwischenabschlusses wurden die für die Aufstellung des Jahresabschlusses zum 31. Dezember 2010 angewandten Bilanzierungs- und Bewertungsmethoden unverändert übernommen. Wertpapiere mit einem Nominalvolumen in Höhe von 4.793,1 Mio. € werden wie Anlagevermögen bewertet, da sie nicht als Liquiditätsreserve dienen und teilweise zur Deckung für von der Bank emittierte Pfandbriefe herangezogen werden. Der Buchwert der Wertpapiere, der über dem ihnen beizulegenden Wert in Höhe von 2.964,8 Mio. € liegt, beträgt 3.046,3 Mio. €. Dabei sind Bewertungsergebnisse aus Zinsswaps berücksichtigt. Auf eine Wertkorrektur wurde mit Ausnahme der vorgenommenen Wertberichtigung auf griechische Staatsanleihen verzichtet, da ansonsten Gründe für eine dauernde Wertminderung nicht vorliegen. Die Bank ist seit dem 1. November 2010 mit der Landesbank Berlin Aktiengesellschaft, Berlin, über einen Ergebnisabführungsvertrag (mit Wirkung ab dem 1. Januar 2010) verbunden. 24 25 26 Die Marktwerte sind auf Basis von Zerobondabzinsungsfaktoren sowie der zukünftigen Cashflows errechnet. Die arbitragefreien Zerobondabzinsungsfaktoren werden aus der aktuellen Swap-Mid-Zinskurve ermittelt. Die abgeschlossenen Geschäfte sind überwiegend als Sicherungsgeschäfte zur Absicherung von Zins- und Wechselkursrisiken bilanzieller Grundgeschäfte deklariert. Die Marktwerte der derivativen Finanzinstrumente sind auf Basis des am 30. Juni 2011 herangezogenen Zinsniveaus ohne Berücksichtigung der Zinsabgrenzung dargestellt. Den Marktwerten der Derivate stehen Bewertungsvorteile des nicht marktpreisbewerteten bilanziellen Geschäfts gegenüber. Die Swappartner der Bank gehören ausnahmslos Kreditinstitutsgruppen aus Ländern der OECD an, die damit auch geeignete Kreditinstitute im Sine von § 5 Abs. 3 Nr. 1 PfandBG sind.
