ASSET ALPHA JEAN-CLAUDE DA CUNHA DIRECTEUR ASSOCIÉ 12 The initiative taken by 13 major European hedge fund managers and one major US hedge fund manager to form a committee – the Hedge Fund Working Group – to define a code of good conduct is a crucial factor in positioning hedge funds (still largely managed offshore and unregulated) in the asset management universe. The final report published in January 2008 takes a stand and sets down rules of good conduct on five key points: ■ Providing investors and service providers with information ■ Asset valuation ■ Risk management ■ Governance of funds ■ Positioning of funds as shareholder, including the concept of activism Some will say that this is too late and others will say it is utopian, but it is some time since this sector, which is entering a phase of institutionalisation and even industrialisation of its distribution, cleaned up its act following various scandals that threw too much light on the unsavoury aspects of hedge funds. We regard the following points as interesting: ■ Funds must have an independent administrator to value assets. It is forgotten that US funds are still often self-administered, which means that there is no control over their valuations and assets under management. ■ Funds must give their investors and counterparties access to the composition of assets (including the illiquid proportion), investment policy, associated risks, sales terms, expenses paid by the fund and the side letters (specific terms negotiated with an investor), to be provided in prospectuses, marketing documents or management reports. ■ The fund must have a qualified, reputable team that carries out its governance and respects money laundering rules. The manager undertakes to put in place a code of practice policy with a dedicated, qualified in-house person. ■ Finally, the fund undertakes to state to the shareholders of a company whether it borrows or holds securities through derivatives. Managers adhering to these principles have until the end of December 2008 to submit their signatory form to the Hedge Fund Standards Board and doing so, benefit from the « HFSB » label. Implementation of the standards is not coercive since it relies on the principle of “comply or explain”: either the standards are applied and correctly documented or they are not observed, but this must be justified and again duly documented. The application of certain standards may in practice prove unsuitable for small hedge funds, which will necessitate additional justifications. Whatever the case, application of these rules will represent a non-negligible framework that will be difficult for small players in the industry to manage. It is for this reason that it will be interesting to monitor the momentum with which this code of good conduct is adopted by hedge funds in the UK/US world and the extent to which investors demand this new label. The Hedge Fund Standards Board, made up of acknowledged industry professionals, will be responsible for monitoring application of these standards and their ongoing adaptation, in partnership with the AIMA, while at the same time assessing the US initiative of the same type (President’s Working Group) and advances in regulation. ••• Les initiatives de 13 grands gérants de Hedge Funds européen et 1 américain de former un comité (Hedge Fund Working Group) pour définir un code de bonne conduite, est un point essentiel dans le positionnement des Hedge Funds (encore à majorité gérant des fonds offshore et non réglementés) dans l’univers de la gestion d’actifs. Le rapport final publié en janvier 2008 se positionne et édicte des règles de bonne conduite sur 5 points clés : ■ Les informations aux investisseurs et prestataires de service ■ La valorisation des actifs ■ La gestion du risque ■ La gouvernance des fonds ■ Le positionnement des fonds en tant qu’actionnaire, en incluant la notion d’activisme Trop tard diront certains ou utopique pour d’autres, il était cependant grand temps que ce secteur qui rentre dans une phase d’institutionnalisation, voire d’industrialisation de sa distribution, fasse le ménage suite à des scandales diverses qui rappellent encore trop l’aspect sulfureux des Hedge Funds. Les points selon nous intéressant à retenir : ■ Les fonds doivent avoir un administrateur indépendant pour la valorisation des actifs. On oublie que les fonds américains sont encore souvent en auto administration, c’est à dire sans aucun contrôle sur leur valorisation d’actifs et d’encours. ■ Les fonds doivent fournir à leurs investisseurs et contreparties accès à la composition des actifs (dont la proportion illiquide), la politique de gestion, les risques associés, les termes commerciaux, les frais payés par le fonds et les « side letters » (termes spécifiques négociés avec un investisseur), fournis dans les prospectus, documents marketing ou rapports de gestion. ■ Le fonds doit se doter d’une équipe qualifiée, intègre qui assure sa gouvernance et respecte les règles de blanchiment d’argent. Le gérant s‘engage à mettre en place une politique de déontologie avec une personne dédiée et qualifiée en interne. ■ Enfin, le fonds s’engage à se déclarer auprès des actionnaires d’une société s’il est emprunteur des titres ou détenteur de titres par le biais de produits dérivés. Les gérants qui adhèrent à ces principes ont jusqu’à fin décembre 2008 pour soumettre leur dossier au Hedge Fund Standards Board et ainsi bénéficier du label « HFSB ». La mise en œuvre des standards n’est pas coercitive puisqu’elle repose sur le principe d’application ou d’explication : soit les standards sont appliqués et correctement documentés, soit ils ne sont pas suivis, mais cela doit être justifié et encore dûment documenté. L’application de certains standards peut, en pratique, s’avérer inadapté aux Hedge Fund de petite tailles, ce qui nécessitera des justifications supplémentaires. En tout état de cause, l’ application de ces règles représentera un chantier non négligeable, difficilement supportable par les petits acteurs de l’industrie. C’est pourquoi il sera intéressant de suivre le momentum de l’adoption de cette charte par les hedge funds anglo-saxons et l’éventuelle exigence par les investisseurs de ce nouveau label. Le Hedge Fund Standards Board, composé de professionnels reconnus de l’industrie, se chargera du suivi de l’application de ces standards et de leurs adaptations permanentes, en partenariat avec l’AIMA, mais aussi en se mesurant à l’initiative US de même nature (President Working’s Group) ou aux avancées de la règlementation.
