ANNUAL SALES COMMENTARY Annual sales were up by +5.7% (+3.1%org) to 263.9M€ of which 49.9% are recurrent. The group’s top line has been lifted up by strong “SaaS” sales growth (7.5% of total group’s sales) up by +22.8% while “Edition Services” (25.4% of group’s sales) were up by +18% positively impacted by the N4DS new legislation and early orders from big companies due to the lack of visibility on budgets in 2012. The other business lines (Licenses, Maintenance, distribution and others) were slightly up by +0.5% to 176.9M€. The REBIT margin reached 11.0% vs 10.8% thanks to a sound control of the external charges and a good level of business during the Q4 2011. The management will suggest a dividend of 1.05€ per share to general meeting th the 10 of May 2012. ANALYSIS This press release was above our estimations as we expected higher amortization costs and a softer Q4 top line growth. Otherwise all the triggers we identify are on track: 1) Strong sales growth of SaaS solutions to 19.9M€ up by +22.8%. This trend will continue, the management having the goal to reach 40M€ to 50M€ of sales over the next 2 to 3 years. Moreover we estimate that the European investors do not valorize this division fairly as transaction multiples recently observed are significantly higher (ex: Taleo was bought by Oracle at 6x the turnover and Success Factors by SAP at 11.8x). Applying a 5x multiple, the Cegid SaaS division would be priced 100M€ (40% of the current market capitalization)! 2) The international development: today the group realizes 13M€ overseas and is very ambitious in deploying its Retail and Manufacturing solutions abroad especially in Russia, Spain and Southern America. 3) The development in the Public sector which will have significant needs over the next years. Today the group realizes 20.1M€ of sales in this division and identifies several growth drivers especially in the small organizations thanks to its subsidiary Visa and in the regional institutions with Civitas. 4) The management has the financial resources to undertake M&A operations with 136M€ of financial credits availability. Moreover the group will outsource its data centers services to IBM France and gradually transfer its current storage capacity to the IBM subsidiary over the next years. This partnership will enable the group to lower its capex and be more flexible. VALUATION At 7.4xEV/EBIT2012e and a dividend yield of 5.6% we maintain our BUY rating on the stock with a 12 months target price at 22.7€ per share (50% DCF 22.6€ WACC 8.5% terminal growth rate +1.5%, 25% Peers 27.7€, 25% Historical ratios 18.0€). We do not have any information on the Groupama’s stake future so far.
