Ostatnia szansa na uniknięcie ograniczeń. Z dniem 30 kwietnia 2016 roku wchodzi w życie ustawa z dnia 31 marca 2016 r. o wstrzymaniu sprzedaży nieruchomości Zasobu Własności Rolnej Skarbu Państwa oraz o zmianie niektórych ustaw („Ustawa”), wprowadzająca daleko idące ograniczenia, które będą dotyczyły wszelkich transakcji związanych z obrotem ziemią rolną. Co do zasady te ograniczenia to: uprawnienie ANR, przyznając jej również prawo pierwokupu udziałów i akcji w spółce, która jest właścicielem nieruchomości rolnej. Jest to istotne novum, które może zaważyć na losach wielu planów restrukturyzacyjnych grup kapitałowych. Wyjątkiem jest np. zbycie udziałów lub akcji spółki dopuszczonej do obrotu na rynku giełdowym lub na rzecz osoby bliskiej. 1) zakaz zbywania nieruchomości rolnych innym podmiotom niż rolnik indywidualny, osobom bliskim i niektórym innym podmiotom uprzywilejowanym, oraz Z powyższego wynika, iż ograniczenia, które wejdą w życie z dniem 30 kwietnia 2016 r. uniemożliwią lub utrudnią transakcje sprzedaży udziałów lub akcji w innych przypadkach, a także inne zmiany własnościowe w grupie kapitałowej, jeżeli okaże się, że spółka z grupy jest właścicielem nieruchomości rolnej. 2) prawo pierwokupu Agencji Nieruchomości Rolnej („ANR”), które przysługuje nie tylko przy nabyciu nieruchomości rolnej, ale również przy zbywaniu udziałów i akcji w spółkach będących właścicielami nieruchomości rolnej, niezależnie od jej powierzchni. Wprowadzone ograniczenia będą dotyczyły nabycia nieruchomości rolnej, przez co Ustawa rozumie przeniesienie własności nieruchomości rolnej lub nabycie własności nieruchomości rolnej w wyniku dokonania czynności prawnej lub orzeczenia sądu albo organu administracji publicznej, a także innego zdarzenia prawnego. Definicja ta jest bardzo szeroka, wobec tego nabyciem w rozumieniu Ustawy będzie nie tylko sprzedaż czy darowizna, ale także transakcje łączenia się, przejęcia i podziału spółek. Należy pamiętać, że w świetle prawa polskiego nieruchomość rolna to nieruchomość, która jest lub może być wykorzystywana do prowadzenia działalności rolniczej. Od dnia 30 kwietnia 2016 r. nieruchomość rolną będzie można zbyć wyłącznie rolnikowi indywidualnemu. Natomiast zbycie innym podmiotom, w tym spółce z grupy kapitałowej zbywcy będzie uzależnione od ukazania zgody Prezesa ANR w drodze decyzji administracyjnej. Przy czym, aby uzyskać taką zgodę strony transakcji będą musiały wykazać spełnienie szeregu warunków, między innymi tego, że nie było możliwości nabycia nieruchomości przez rolnika indywidulanego lub pomiot uprzywilejowany. Zgoda Prezesa ANR będzie wymagana nie tylko do zbycia nieruchomości, ale także przy transakcjach łączenia się spółek, jeżeli spółka przejmowana będzie właścicielem nieruchomości rolnej. W takiej sytuacji nie dojdzie do przejęcia, jeżeli Prezes ANR odmowi zgody. Dlatego już teraz warto zapobiec takim problemom, które mogą pojawić się w przyszłości i zbudować (najpóźniej do 29 kwietnia 2016 roku) odpowiednią strukturę własnościową w grupie kapitałowej wykorzystując fakt, że prawo pierwokupu ANR nie dotyczy sprzedaży udziałów i akcji w spółkach, które posiadają nieruchomości rolne pośrednio (np. spółki matki). Nawet, jeżeli w chwili obecnej nie są planowane żadne restrukturyzacje, ani sprzedaż udziałów lub akcji, to warto już teraz podjąć kroki, które umożliwią w przyszłości swobodny obrót udziałami i akcjami, a także przeprowadzenie transakcji. Last chance to avoid limitations. On 30 April 2016 enters into force the Act of 31 March 2016 on Suspension of Sale of Real Property Included in the Agricultural Property Stock of the State Treasury and on Amendment of Some other Acts (the “Act”), which introduces far-reaching limitations applicable to all transactions connected with trading in agricultural land. As a rule, the said limitations consist in: 1) prohibition to sell agricultural real property to entities other than an individual farmer, close family and other privileged entities, and 2) right of pre-emption vested in the Agricultural Property Agency (the “APA”) not only with reference to purchasing agricultural land, but also to transferring shares in companies that are agricultural property owners, irrespective of the real property area. The introduced limitations will apply to agricultural property acquisition defined by the Act as a transfer of the ownership title to agricultural property or an agricultural property acquisition as a consequence of a legal act or a decision of a court or a public authority, or other act in the law. The above definition is extremely broad, thus, within the meaning of the Act, an acquisition will be not only a sale or a donation, but also transactions for the sale, takeover and division of companies. It should be borne in mind that under Polish law an agricultural property is the one that is or may be used for running agricultural activity. From 30 April 2016 it will be possible to sell agricultural property to an individual farmer only. Transfer to other entities, including entities belonging to the seller’s capital group, will depend on obtaining the APA’s President consent given in the form of an administrative decision. Still, in order to obtain such consent, parties to the transaction will have to demonstrate they have met numerous conditions, e.g. it was impossible for them to sell real property to an individual farmer or a privileged entity. The APA’s President consent will be required not only for the sale of real property, but also for the companies’ merger if a target company is an agricultural property owner. It is a vital novelty that may become a decisive factor for restructuring plans of numerous capital groups. The exception here is for example the sale of shares in a company listed in the stock exchange or to the benefit of close family. As transpires from the above, the limitations that will enter into force on 30 April 2016 will make it impossible or really difficult to carry out transactions for the sale of shares in other cases and to implement other ownership-related changes within a capital group, if a group member proves to be an agricultural property owner. Therefore, it is advisable to counteract the above-mentioned problems that may occur in the future and to develop (by 29 April 2016 at the latest) an adequate ownership structure within a capital group, taking advantage of the fact that the APA’s pre-emption right does not apply to the sale of shares in companies that own agricultural property indirectly (e.g. parent companies). Even if no restructuring or sale of shares are planned at the moment, it is advisable to take up measures that in the future will enable free trading in shares and conduct of transactions. Die letzte Gelegenheit, Einschränkungen zu vermeiden. Am 30. April 2016 tritt das Gesetz über die Einstellung des Verkaufs von landwirtschaftlichen Flächen aus dem Immobilienbestand des Staates und über die Änderung einiger anderer Gesetze vom 31. März 2016 („Gesetz”) in Kraft, welches weitgehende Beschränkungen einführt, die sämtliche Transaktionen im Handel mit Agraraland betreffen. Generell gibt es folgende Einschränkungen: 1) Verbot der Veräußerung landwirtschaftlicher Immobilien an andere Rechtsubjekte als Einzellandwirte, nahestehende Personen, einige begünstigte Rechtsträger und 2) Vorkaufsrecht der Agentur für Agrarimmobilien - Agencja Nieruchomości Rolnej („ANR”), welches der Agentur nicht nur beim Erwerb einer landwirtschaftlichen Immobilie, sondern auch bei Veräußerung von Anteilen und Aktien an Gesellschaften, die Eigentümer von Ackerland sind, unabhängig von deren Fläche, zusteht. Die eingeführten Einschränkungen beziehen sich auf den Erwerb einer landwirtschaftlichen Immobilie, darunter versteht das Gesetz eine Übertragung des Eigentumsrechts an einer landwirtschaftlichen Immobilie oder Erwerb des Eigentumsrechts an einer landwirtschaftlichen Immobilie durch Vornahme eines Rechtsgeschäfts oder infolge der Entscheidung eines Gerichts oder öffentlicher Verwaltung sowie eines anderen rechtserheblichen Ereignisses. Diese Definition ist sehr weit gefasst, als Erwerb im Sinne des Gesetzes gelten daher nicht nur Erwerb oder Schenkung, sondern auch Verschmelzungen, Übernahmen und Spaltungen der Gesellschaften. Es sei darauf hinzuweisen, dass landwirtschaftliche Immobilie im Lichte des polnischen Rechts diejenige ist, die zur Betreibung der landwirtschaftlichen Tätigkeit genutzt wird oder werden kann. © 2016 D.Dobkowski spółka komandytowa ist eine der KPMG Polen angeschlossene Rechtsanwaltskanzlei. April 2016 ist die Veräußerung einer landwirtschaftlichen Immobilie ausschließlich an Einzellandwirt zulässig. Veräußerung zugunsten sonstiger Rechtssubjekte, darunter einer Gesellschaft aus der Kapitalgruppe des Veräußerers, hängt dagegen von der Genehmigung des ANR-Präsidenten ab, die im Wege eines Verwaltungsaktes erlassen wird. Die Vertragsparteien, die derartige Genehmigung einholen wollen, haben nachzuweisen, dass sie eine Reihe von Pflichten erfüllen, darunter dass es keine Möglichkeit bestand, diese Immobilie durch einen Einzellandwirt bzw. begünstigten Rechtsträger zu erwerben. Die Genehmigung des ANR-Präsidenten ist nicht nur bei Veräußerung der Immobilie, sondern auch bei Verschmelzungen von Gesellschaften erforderlich, sofern die übernehmende Gesellschaft Eigentümerin von landwirtschaftlicher Immobilie ist. Verweigert der ANR-Präsident seine Genehmigung, kommt die Übernahme in solch einem Fall nicht zustande. Das Gesetz führt ebenfalls noch weitergehende Befugnisse der ANR ein, ihr steht das Vorkaufsrecht auch an Anteilen oder Aktien einer Gesellschaft, die Eigentümerin von landwirtschaftlicher Immobilie ist. Es ist ein Novum von besonderem Belang, das viele Umstrukturierungspläne von Kapitalgruppen beeinträchtigen kann. Eine einzige Ausnahme ist z.B. die Veräußerung der Anteile oder Aktien an einer an der Börse zugelassenen Gesellschaft oder zugunsten einer nahestehenden Person. Daraus folgt, dass die Einschränkungen, die am 30. April 2016 in Kraft treten, den Abschluss der Kaufverträge über Aktien oder Anteile in anderen Fällen und auch sonstige Veränderungen in Besitzverhältnissen innerhalb einer Kapitalgruppe verhindern bzw. erschweren, sofern es sich erweist, dass die LEGAL ALERT | 5 Gesellschaft Eigentümerin von landwirtschaftlicher Immobilie ist. Aus dem Grunde ist es empfehlenswert, schon jetzt Problemen vorzubeugen, die in der Zukunft entstehen können und (spätestens bis zum 29. April 2016) eine entsprechende Eigentumsstruktur in der Kapitalgruppe aufzubauen, und dabei die Tatsache zu nutzen, dass Verkauf von Anteilen oder Aktien an Gesellschaften, die landwirtschaftliche Immobilien mittelbar besitzen (z.B. Muttergesellschaften), vom Vorkaufsrecht der ANR nicht erfasst sind. Sogar wenn aktuell keine Umstrukturierungen, Verkauf von Anteilen oder Aktien geplant sind, sollte man bereits jetzt geeignete Maßnahmen ergreifen, die zukünftig einen freien Verkehr der Anteile und Aktien und Abschluss von Transaktionen sichern.
