Advertising opportunities are not automatically renewed, though pro-rata rates are available on a case by case basis. An Advertisement shall include all advertisements, ad banners, text advertising messages or other material submitted to www.geoexchange.ca for publication on the website. 1. Right of refusal It is the responsibility of the Advertiser to ensure that every Advertisement conforms to all advertising standards, applicable laws and other regulations and does not contravene any third party’s rights. CGC reserves the right to, without liability, reject, omit or exclude any submitted or proposed Advertisement or to reject or terminate any links for any reason at any time, without prior notice to the Advertiser, and whether or not such Advertisement or link was previously acknowledged, accepted or published. CGC has a continuing right to require the Advertiser to change or modify the Advertisement to the extent it deems necessary to conform to its requirements. CGC may terminate any advertisement within five (5) working days’ written notice to the Advertiser. 2. Indemnification and Liabilities To the full extent permitted by law, CGC will not be liable for any loss or damage, whether direct or indirect, including consequential loss or any loss of profits or similar loss, in contract or tort or otherwise, relating to the Advertisement or any error in the Advertisement or any failure of the Advertisement to appear on the website from any cause whatsoever. 3. Cost of publication The Advertiser will be responsible for all charges, costs and expenses relating to the publication of the Advertisement on the CGC website, including production costs and the cost of any changes or modifications, throughout the whole period CGC has agreed to publish the Advertisement on its website without penalty or liability to CGC. 4. Payment and payment liabilities Payment is due pursuant to each invoice within 30 business days after receipt of such invoice. If payments are not made in a timely manner, CGC may terminate its agreement immediately without further written notice, and withdraw the Advertisement from the website. The CGC may increase advertising rates upon two weeks prior written notice. Compliance The Advertiser warrants that the Advertisement complies with all national and international legal and regulatory requirements and codes of practice (whether voluntary or obligatory). The Advertiser warrants that he owns all intellectual property rights, or holds a valid license to those rights, involved in the advertisements. Without limiting the generality of the foregoing, the Advertiser warrants that the Advertisement: does not contain any libelous, inaccurate, misleading or false material; does not unfairly prejudice the legitimate interests of any third party or infringe or violate any copyright, trade mark or other personal or proprietary right of any person; does not render the CGC liable to any proceedings whatsoever. The Advertiser will submit Advertisements that promote the Advertiser’s business or its services. The Advertiser will not submit Advertisements that contain promote or have links to any sexually explicit material, hate speech material, defamatory material, material promoting violence or discrimination or any other materials deemed harmful to the reputation of the CGC. The Advertiser avers that his company follows, promotes, and will continue to follow the CGC Code of Conduct. 6. Cancellation and termination Unless otherwise terminated in accordance with these Terms and Conditions, these Terms and Conditions shall continue in full force and effect for the period set out between the CGC and the Buyer/Advertiser. * These Terms and Conditions may be changed from time to time without prior notice or approval of the Advertiser. Ces conditions s’appliquent à toutes les publicités devant paraître sur le site Web de la CCÉG à www.geoexchange.ca. Par publicité, il faut entendre les annonces, bannières publicitaires, textes publicitaires ou autre matériel soumis à www.geoexchange.ca en vue de leur publication sur le site Web. 1. Droit de refus Il incombe au publicitaire de s’assurer que chaque publicité est conforme aux normes de publicité, aux lois applicables et aux autres textes réglementaires et ne porte pas atteinte aux droits de tiers. La CCÉG se réserve le droit, sans encourir de responsabilité, de rejeter, retirer ou exclure toute publicité soumise ou proposée ou de rejeter ou supprimer tout lien pour tout motif et en tout temps, sans préavis au publicitaire, que la publicité ou le lien ait ou non été préalablement admis, accepté ou publié. La CCÉG a un droit permanent d’exiger que le publicitaire change ou modifie la publicité dans la mesure jugée nécessaire aux yeux de la CCÉG pour la rendre conforme à ses exigences. La CCÉG peut mettre fin à toute publicité dans un délai de cinq (5) jours ouvrables. 2. Indemnisation et responsabilités Dans la pleine mesure prévue par la loi, la CCÉG ne sera nullement responsable des pertes ou dommages, directs ou indirects, y compris les préjudices indirects ou les pertes de profit ou les pertes similaires, découlant d’une responsabilité contractuelle, délictuelle ou autre, relativement à la publicité ou à toute erreur dans la publicité ou encore à l’omission d’afficher la publicité sur le site Web pour quelque cause que ce soit. 3. Frais de publication Le publicitaire sera responsable de tous les droits, frais et dépenses se rapportant à la publication de la publicité sur le site Web de la CCÉG, y compris les frais de production et les frais associés à tout changement ou à toute modification, pour l’intégralité de la période pendant laquelle la CCÉG a convenu de publier la publicité sur son site Web, sans encourir de pénalité ou de responsabilité. 4. Paiement et responsabilités liées au paiement Le paiement sera effectué conformément à chaque facture dans les 30 jours ouvrables qui suivent la réception de ladite facture. Si les paiements ne sont pas effectués dans le délai prévu, la CCÉG peut mettre fin à l’entente immédiatement sans préavis écrit additionnel et retirer la publicité de son site Web. La CCÉG peut majorer les tarifs publicitaires sur préavis écrit de deux semaines. Conformité Le publicitaire garantit que la publicité est conforme aux exigences légales et réglementaires nationales et internationales et aux codes de pratique (facultatifs ou obligatoires). Le publicitaire garantit qu’il détient tous les droits de propriété intellectuelle, ou détient une licence valide visant ces droits, se rapportant aux publicités. Sans restreindre la portée de ce qui précède, le publicitaire garantit que la publicité : ne contient aucune information diffamatoire, inexacte, trompeuse ou fausse; ne porte pas injustement atteinte aux intérêts légitimes d’un tiers et ne viole pas un droit d’auteur, une marque de commerce ou tout autre droit personnel ou propriétal; et n’expose pas la CCÉG à une poursuite. Le publicitaire soumettra des publicités qui font la promotion de ses activités ou de ses services. Le publicitaire ne soumettra pas de publicités qui mettent de l’avant (dans son contenu ou au moyen de liens) des éléments sexuellement explicites, des propos haineux, des déclarations diffamatoires, des éléments encourageant la violence ou la discrimination, ou tout autre élément pouvant nuire à la réputation de la CCÉG. Le publicitaire atteste que son entreprise se conforme et continuera de se conformer au Code de conduite de la CCÉG. 6. Annulation et résiliation À moins d’une résiliation aux termes des présentes conditions, les présentes conditions demeureront en vigueur pour la période prévue entre la CCÉG et l’acheteur/publicitaire. * Les présentes conditions peuvent être modifiées de temps à autre sans préavis et sans l’approbation préalable du publicitaire.
