ARTICLE I
SECTION I: NAME
The official name of this club shall be the "Datsun ZOOM
Club" [hereinafter "Club"].

SECTION II: GENERAL PURPOSE
The club is a non-profit organization formed to provide its
members with access to knowledge about their Z-cars.
The club is dedicated to the preservation, promotion, and
enjoyment of the Datsun / Nissan Z series and their
heritage. The club shall also provide a forum for members
and other interested parties to exchange Z-car information.
SECTION II: BUT GÉNÉRAL
Le Club est un organisme à but non-lucratif formé afin
de donner accès à ses membres à la littérature concernant
leur Z. Le Club est dédié à la préservation, la promotion
et à l’appréciation des Datsun/Nissan Z et leur héritage.
Le Club devra également fournir l’occasion à ses
membres et non-membres d’échanger de l’information
concernant la Z.
SECTION III: SPECIFIC CLUB GOALS
A: To further the interest in Z-cars by arranging
competitions, tours, discussions, and social and other
meetings.
B: To provide members with information, advice, and
assistance on matters connected with motoring and
their Datsuns/Nissans.
C: To further interest in motoring and motorsport.
D: To afford members such benefits and privileges as it
may be possible to arrange.
SECTION III: LES BUTS SPÉCIFIQUES DU CLUB
A : Promouvoir l’intérêt dans la Z en organisant des
compétitions, des randonnées, des discussions et des
rencontres à caractère social et autre.
B : Fournir à ses membres de l’information, des conseils
et de l’assistance reliés à l’utilisation de leur
Datsun/Nissan.
C : Promouvoir l’intérêt dans la conduite et les sports
automobiles.
D : Permettre à ses membres d’obtenir dans la mesure du
possible des bénéfices et privilèges.
SECTION IV: SPECIFIC PROHIBITION
The club shall not organize, sponsor, plan, assist, sanction,
or allow its name to be associated with, in any manner
whatsoever, any automotive function which is in violation
of any duly constituted legislation (e.g. a "Gumball
Rally").

A: The term "Member" applies to any person owning,
holding title to, or possessing a Datsun/ Nissan Z-car
and/or any of the Z-car's forerunners (Roadster and
Fairlady models) and/or 1969-1973 Datsun 510, whose
Annual Dues are current.

B: The term "Family Member" applies to any two people,
legally related, whose Annual Dues are current and of
whom one meets the automotive criteria contained in
Art.II, Sect. I, Parag. A.

C: The term "Associate Member" applies to anyone who
does not meet the automotive criteria contained in
Art.II, Sect. I, Parag. A and whose Annual Dues are
current.
i: Total Associate Membership is restricted to 10%
of the Total Membership (wherein a Family
Membership equals two Members).
D: The term "Honourary Member" applies to those elected
to this type of membership for special recognition by
the club. Honourary member are not assessed Annual
Dues.

SECTION II: ANNUAL DUES
A: Annual Dues are due each year by the date of entering
the club.
i: A one month grace period will be granted
for any Member to become current.
B: Annual Dues are assessed as follows:
i: $25.00 for an annual Membership.
ii: $40.00 for an annual Family Membership.
iii: $20.00 for an annual Associate
Membership.
SECTION II : PAIEMENT DE L’ABONNEMENT
A : Le paiement de l’abonnement vient à échéance à la
date d’entrée dans le club.

membres dont l’abonnement est échu.

SECTION III: MEMBERSHIP CARDS
A: Membership Cards will be issued permanently from
the Member's joining the Club.
B: Each Membership will expire annually on the last day
of the mont of its entering.
C: A Family Membership is entitled to two Membership
Cards, each with the same Membership Number.
D: Associate Members are not entitled to Membership
Cards.
E: Honourary Members will be entitled to a renewed
Membership each year upon receiving the necessary
votes of the Membership during the month the
Honourary Member was first awarded.
F: Each Member receiving a Membership card
automatically agrees to return his/her Membership
Card if he/she resigns or is expelled from the club.
SECTION III: CARTES DE MEMBRES
A : Une Carte de Membre sera émise de façon permanente
dès l’abonnement d’un membre.
B : Chaque abonnement sera échu le dernier jour du
mois d’abonnement d’un Membre.
C : Un abonnement familial donne droit à deux cartes de
membre, chacune avec le même numéro de
membre.
D : Les Membres Associés n’ont pas droit à une carte
de membre.
E : Les Membres Honoraires auront droit à leur titre
après avoir reçu l’approbation par vote le mois de
leur nomination.
F : Chaque Membre recevant une carte de membre
accepte automatiquement de retourner cette dernière
après avoir décidé de ne plus renouveler son
abonnement ou après avoir été expulsé.

SECTION IV: PARTICIPATION
A: All Members and Family Members are eligible to cast
one vote each.
B: Associate Members and Honourary Members are not
eligible to vote.
C: All Members, Family Members, Associate Members,
and Honourary Members are eligible to participate at
functions and/or activities which are open only to Club
Members.
SECTION IV: PARTICIPATION

SECTION V: RESIGNATION
Any member may resign from the club at his/her option
by:
a: Informing the Tresurer, and returning his/her
Membership Card (if applicable.)
b: Resignations become effective when received by the
Tresurer, providing the Member resigning has no
indebtedness to The Club.

SECTION VI: EXPULSION
A: A Member of The Club may be expelled from The
Club for:
i: Non-payment of Annual Dues; and/or
ii: breaching any club By-laws and/or rules;
and/or
iii: for bringing unwanted, negative publicity to
bear on The Club.
iv :for acting and driving in unsafe manners during
the club’s outings.
B: No Member may be expelled from The Club unless the
following procedure is strictly adhered to by both the
Member and The Club:
i: A recommendation to expel a Member must be
submitted, in writing, to a Club officer
outlining the specific reason(s) for the
expulsion recommendation.
ii: A Special Meeting of the Officers will be
called to review the expulsion recommendation
with both the initiator and the Member
recommended for expulsion in attendance.
iii: The Officers will review the recommendation,
attempt to obtain independent additional
information, and vote on whether to accept or
reject the expulsion recommendation.
iv: If the Officers vote to reject the expulsion
recommendation, both the initiator of the
expulsion recommendation and the Member
recommended for expulsion will be contacted
by the President.
SECTION VI: EXPULSION
A : Un membre du Club peut être expulsé pour :
i : Non paiement de son abonnement; et/ou
ii : non respect des règles et réglements du Club
et/ou;
iii : avoir donné une mauvaise publicité au Club
iv : avoir agit et conduit de façon non-sécuritaire
lors d’une sortie du club.
B : Aucun Membre ne peut être expulsé sans que le Club
et le Membre n’aient respecté les procédures
suivantes :
i : Une recommandation proposant l’expulsion d’un
Membre doit être soumise par écrit à un
représentant du Club mentionnant les raisons
spécifiques pour lesquelles ce Membre devrait
être expulsé.
ii : Une rencontre spéciale des représentants du Club
sera tenue afin d’examiner les raisons de
l’expulsion en la présence de l’initiateur de la
demande et du Membre visé par la
recommandation.
iii :Les
représentants
examineront
la
recommandation en tentant d'obtenir de
l'’nformation supplémentaire et ainsi accepter
ou refuser la recommandation.
iv : Si la recommandation est refusée, l’initiateur et
le Membre visé seront contactés par le
Président.

v:
If the Officers vote to accept the expulsion
recommendation, the Member recommended
for expulsion will be offered the option of
either resigning from The Club or
participating at the next regularly scheduled
Club meeting when the subject of the
recommended expulsion will be presented for
a vote by all the members present.
vi: If the Member opts to resign, the resignation
will be in accordance with the By-Laws
covering Resignation.
vii: If the Member refuses to resign, the
recommended expulsion will be presented at
the next regularly scheduled Club meeting
for a vote by those Members present.
viii: At that meeting, the President will introduce
the expulsion recommendation under "New
Business." The final decision on the
recommended expulsion will be determined
by a two-thirds vote of the Members present.
v:

A: The Officers of The Club shall be President, Vice
President (if necessary), Secretary (if necessary), and
Treasurer.
B: Each Officer shall hold term for one year or until such
time as their successors are elected or qualified.
C: No Member may hold more than one elected office.

A: Nominations will be entertained from the floor at The
Club's November meeting.
B: Write-in nominations must be postmarked by
December 1st.
C: No Member shall accept a nomination for more than
one office.
D: Incumbents are eligible for nomination.
E: Only current Members are eligible for nomination.

SECTION III: ELECTION OF OFFICERS

A: Voting by those Members in attendance will take place
at the regular December Club meeting.
B: Absentee ballots must be postmarked by November
20th to be counted.
C: The slate of candidates will be published in The Club's
newsletter prior to the election.
D: Ballots will be distributed in The Club's newsletter
prior to the election.
E: The election results will be announced at The Club's
January meeting only if the absentee ballots not yet
received cannot statistically change the outcome based
on the votes cast by those Members in attendance at the
January Club meeting and of absentee ballots already
received.
F: If the absentee ballots not received by The Club's
January meeting are needed to determine the results of
the election, the results will be announced at The Club's
February meeting as well as in the next possible Club
newsletter.
i: In the event of a tie for an office, those
Members present at The Club's February
meeting will recast their votes to break the
tie.
G: Officers will be installed at The Club's January meeting
and assume office on the following February’s.
i: In the event of Officer(s) being determined
only at The Club's February meeting, they
will be immediately installed and assume
office at The Club's February meeting.
A : Le vote se fera par les Membres présent à la réunion

C : Les nominations seront présentées dans le bulletin
émis avant l’élection.
D : Les bulletins de vote seront distribués avec ce bulletin.

réunion de janvier seulement si les votes non reçus ne
change pas statistiquement le vote des membres
ayant voté présent à cette réunion ainsi les votes les
absents déjà reçus.
F : Si les votes des absents non reçus en janvier sont
nécessaires pour compléter les résultats, les résultats
seront présentés à la réunion de février ainsi que dans
le prochain bulletin.
i : Dans le cas de résultats égaux, les Membres
présents à la réunion de février pourront
voter afin de briser l’égalité
G : Les Représentants seront confirmés en poste à la
réunion de janvier et en fonction à la réunion de
février.
i : Dans le cas où les Représentants seront
nommés qu’en février, ils seront confirmés
et en fonction à cette même réunion.
SECTION IV: OFFICER RESPONSIBILITIES
SECTION IV:
A: The President is the Chief Executive Officer of The
Club with the following responsibilities:
i:
Ensure The Club operates within the
parameters established by The Club's
Constitution and By-laws;
ii: Conduct regular monthly meetings;
iii: Call and conduct any special meetings;
iv: Represent The Club at various functions as
required;
v: Appoint committees as required.
B: The Vice President shall assume the responsibilities of
the President any time the President is absent or assume
those responsibilities as directed by the President.

B : Le Vice-Président devra assumer les responsabilités

Président.

C: The Treasurer shall assume the responsibilities of the
President any time the President and Vice President are
both absent or assume those responsibilities as directed
by the President and shall be specifically responsible
for:
i: Maintaining The Club's current and historical
financial records;
ii: Receiving funds for The Club;
iii: Disbursing Club funds as directed by the
President;
iv: Presenting The Club's finances at The Club's
January meeting;
v: Maintaining a chequing account for The Club,
with all cheques against that account countersigned by another Officer.
D: The Secretary shall assume the responsibilities of the
President any time the President, Vice President, and
Treasurer are all absent or assume those responsibilities
as directed by the President and shall be specifically
responsible for:
i: Recording the minutes of all Club meetings;
ii: Maintaining a current roll of all Members;
iii: Giving notice of meetings as required;
iv: Recording attendance at Club meetings and
functions;
v: Keeping the historical Club records.
C : Le Trésorier devra assumer les responsabilités du

sont tous deux absents ou assumer ces responsabilités

Président, du Vice Président et du Trésorier lorsque
ces derniers sont tous absents ou assumer ces
responsabilités à la demande du Président et sera
responsable de;
i : prendre les minutes de toutes les rencontres;
ii : maintenir à jour la liste des membres;
iii : aviser de la tenue de toutes rencontres;
iv :prendre les présence à toutes les rencontres;
v : conserver les archives du Club
SECTION V: CONFLICT OF INTEREST

Any Club Officer officially associated with a Club
Sponsor, Advertiser or Supporter, in any manner
whatsoever (e.g. employee), will automatically abstain
from any and all decisions affecting such a Club Sponsor,
Advertiser or Supporter and abstain from any and all
decisions impacting others in a similar endeavour or field
of work.
Touts Représentants officiellement associé avec un
commanditaire, un publicitaire ou un supporteur du Club
devra s’abstenir et tenu à l’écart des décisions concernant
la commandite, la publicité et le support du Club.

A: Regular monthly meetings will be held on the first
Monday of every month at 7:00 pm.

rescheduled by the President if a specific first
Monday presents a conflict.

in date, location, and time of such
rescheduled meeting(s).

iii :The first meeting of the year is exceptionnaly
scheduled on the 2nd Monday of January
due to the Holidays activities.
B: A Quorum for any monthly meeting shall be at least
20% of the current Members on The Club's rolls at the
time of the meeting, with a minimum of 7(seven)
Members.
C: Except as specified elsewhere in The Club's By-laws,
all voting at the monthly meetings shall be simple
majority.

as soon before such meeting as possible.
C: The purpose and results of any Special Meeting must be
communicated to the Members at the next regularly
scheduled monthly meeting.

A: The President shall appoint such committees as
required to conduct Club activities. The
responsibilities of each committee must be clearly
defined.
B: Each committee shall be comprised of an odd number
of Members.

A: Amendments may be proposed by either a majority of
the Officers or any 20% of the current Members.
B: All proposed amendments must be submitted to the
Secretary in writing.

C: The exact amendment will be presented in the next
newsletter to inform all Members of the proposed
change(s).
D: Voting on the amendment shall follow the same
procedure as the voting to elect Officers, excluding
the specific time reference therein.
