GWL Realty Advisors Inc Insurance Requirements 1. Requirements: The following Insurance Requirements are policy at GWLRA and work will not be allowed to commence or to proceed once commenced until all required documentation has been provided by the Tenant and or Contractor and/or their agents and is update and correct. Both the Tenants and Contractors must carry the required insurances, licenses and abide by any restrictions, safety regulations, laws and by-laws required of the work. Tenants and Contractors must abide by these GWL Realty Advisors Inc Policies and Procedures at all times. Generally, the requirements are as follows: • Tenant / Contractor responsibilities; • General Liability $5 Million • Builders Risk Insurance, minimum $5M or the value of the work or project being done • Automobile Liability Insurance minimum $2 Million • Workers compensation/WSIB/WHIMS & Hazardous Materials policy; • List of pre-approved consultants/contractors; • Ministry of Labour – Notice of Project requirements; and • Any additional information pertinent to the property. 2. Insurance: The Contractor shall at all times during the term and any renewal or extension of this Agreement, at its sole cost and expense, obtain and maintain the following insurance which shall name the Owner and Manager expressly as additional insureds and which shall insure the Owner, the Manager and the Contractor against all claims, liabilities and legal fees relating to Contractor carrying out the Work including: (a) comprehensive general liability, automobile liability and business interruption; (b) contractually assumed liability to cover any liability assumed by the Contractor under Section 11 hereof; (c) applicable Workers’ Compensation; (d) completed operations; and, (e) any other insurance requested by the Manager and related to the Work and any equipment necessary to or used in the performance of Work. Unless expressly specified to the contrary in this Agreement, such insurance shall be in the sum of at least $5,000,000.00 (five million dollars) per occurrence for bodily injury or death of persons and property damage, and $2,000,000 (two million dollars) for automobile liability. No policy shall be cancellable or subject to reduction of coverage except after 30 days’ prior written notice to the Manager by the Contractor’s Insurer. The Contractor shall provide coverage of a minimum of $100,000.00 (one hundred thousand dollars) on each Contractor personnel for losses resulting from the fraudulent or dishonest acts of all Contractor personnel. The Contractor will be responsible for insuring its equipment and anything it brings onto the site to perform its Work. Certificates of insurance as evidence of compliance with this Section 10 shall be supplied to Manager prior to commencement of the Work and, promptly upon request, during the Term of this Agreement. The insurance shall be with insurers acceptable to the Manager and with policies in form and substance satisfactory from time to time to the Manager. The Contractor acknowledges that the Manager can from time to time, acting reasonably, revise the above insurance requirements, as it deems necessary. If the Contractor is providing professional or consultant services, it shall maintain professional errors and omissions insurance for an amount equal to the amount of the general comprehensive liability insurance it is required to maintain hereunder and in a form and content satisfactory to Manager and Contractor shall supply evidence to the Manager of such insurance prior to the commencement of the Work. The Contractor must submit evidence of Good Standing from applicable provincial worker’s compensation board and optional insurance coverage (if applicable) before starting the Work and such good standing must be maintained throughout the Term of this Agreement. If at any time the Contractor is in breach of this Section 10, this Agreement may be terminated immediately by Manager. The Contractor agrees to look solely to its insurance, and does hereby release and waive any and all rights it has now, or may in the future have, to recover against the Owner and Manager and their respective trustees, beneficiaries, shareholders, officers, agents, servants, affiliates, or employees (collectively the “Releasees”), for loss or damage to property of the Contractor and Contractor personnel and injury to, or death of, employees of the Contractor and Contractor personnel and claims for contribution or indemnity or for reimbursement of workers’ compensation benefits, in any way relating to or resulting from the Work performed or to be performed under or in connection with this Agreement. The Contractor hereby waives all rights of subrogation of its insurers with respect to claims against Releasees. 3. Assurance : L’Entrepreneur devra, en tout temps pendant la durée de la présente entente ou pendant tout renouvellement de celle-ci, à ses propres frais et dépens, souscrire et maintenir les couvertures d’assurance suivantes, nommant expressément comme assurés additionnels le Propriétaire et le Gestionnaire, et assurant le Propriétaire, le Gestionnaire et l’Entrepreneur à l’encontre de toute poursuite, responsabilité et tous frais légaux reliés à l’exécution des Travaux par l’Entrepreneur, incluant : (a) la responsabilité civile générale, la responsabilité en matière d’assurance automobile et l’assurance contre les pertes reliées à l’interruption des affaires; (b) toute responsabilité assumée par l’Entrepreneur en vertu de l’article 11 des présentes; (c) les couvertures applicables en matière de santé et sécurité au travail; (d) les travaux complétés; et, (e) toute autre couverture d’assurance requise par le Gestionnaire et reliée aux Travaux et à tout équipement nécessaire à l’exécution de ceux-ci. À moins d’indication contraire dans la présente entente, ces garanties seront pour un montant minimum de 5 000 000,00 $ (cinq millions de dollars) par événement pour la responsabilité civile générale, pour blessures corporelles ou décès et pour dommage aux biens, et pour un montant de 2 000 000,00 $ (deux millions de dollars) de responsabilité en matière de responsabilité automobile. Aucune police d’assurance ne pourra être annulée or sujette à une réduction de garantie sans préavis écrit remis au Gestionnaire par l’assureur de l’Entrepreneur. L’Entrepreneur fournira une garantie minimum de 100 000,00 $ (cent mille dollars) pour chaque membre de son personnel pour toute perte résultant de tout acte frauduleux ou malhonnête commis par un membre de son personnel. L’Entrepreneur sera responsable d’assurer son équipement et tout ce qu’il apportera sur les lieux de l’exécution des Travaux. Les certificats d’assurance appropriés, en conformité au présent article, seront fournis au Gestionnaire avant le début des Travaux et promptement sur demande, durant la Période de la présente entente. Ces assurances seront souscrites auprès d’assureurs jugés acceptables par le Gestionnaire et seront rédigées à la satisfaction du Gestionnaire quant à leur forme et leur contenu. Les polices d’assurances stipuleront que l’assureur de l’Entrepreneur renonce à la subrogation contre le Propriétaire, le Gestionnaire et leurs fiduciaires, bénéficiaires, actionnaires, officiers, mandataires, sociétés affiliées, et employés respectifs (collectivement les « Quittancés »). L’Entrepreneur reconnaît que le Gestionnaire pourra, de temps à autre et de façon raisonnable, revoir les exigences d’assurances stipulées ci-dessus, lorsqu’il le jugera nécessaire. Dans l’éventualité où l’Entrepreneur fournirait des services professionnels ou de conseil, il maintiendra une assurance contre les erreurs et omissions professionnelles d’une forme et d’un contenu satisfaisant au Gestionnaire pour un montant équivalent au montant d’assurance de responsabilité civile générale stipulé au présent article, et l’Entrepreneur fournira la preuve de cette couverture au Gestionnaire avant le début des Travaux. L’Entrepreneur devra fournir une preuve qu’il est en règle auprès de la commission de la santé et sécurité au travail avant le début des Travaux, et ces couvertures devront être maintenues tout au long de la Période de la présente entente. Dans l’éventualité où l’Entrepreneur était en défaut aux termes du présent article 10, la présente entente pourra être résiliée immédiatement par le Gestionnaire. L’Entrepreneur s’engage à n’avoir recours qu’à ses assurances, et décharge les Quittancés de tout droit qu’il a ou pourrait avoir relativement à toute perte ou dommage aux biens de l’Entrepreneur et au personnel de l’Entrepreneur, ou à toute blessure ou décès d’un employé ou d’un membre du personnel de l’Entrepreneur, ainsi que de toute réclamation pour compensation ou remboursement en vertu de la Loi sur les normes du travail ou la Loi sur la santé et sécurité au travail, reliés ou résultant de quelque façon que ce soit aux Travaux exécutés ou à être exécutés en vertu de la présente entente. 2. Indemnité : L’Entrepreneur prendra fait et cause, défendra, indemnisera et dégagera de toute responsabilité le Propriétaire, le Gestionnaire et leurs sociétés affiliées, administrateurs actuels et antérieurs, officiers, mandataires, et employés respectifs quant à toute réclamation, coût, dommage, dépense, demande, hypothèque mobilière, hypothèque légale de la construction, servitude, ordonnance et montant adjugé (collectivement désignés « Réclamations ») par toute personne que ce soit, incluant tout frais légaux sur une base avocat-client et débours en autant que ceux-ci soient reliés ou résultent de gestes ou d’omissions, par négligence ou autrement, de l’Entrepreneur, de ses employés et soustraitants et de ceux qui sont sous sa responsabilité en vertu de la loi, en relation avec les Travaux, ou de la violation de toute disposition de la présente entente par l’Entrepreneur, ses employés et sous-traitants et ceux qui sont sous sa responsabilité en vertu de la loi, incluant, mais sans limiter à : (a) toute blessure à, ou décès de, toute personne, incluant mais non limitativement au personnel de l’Entrepreneur et de ses sous-traitants; (b) toute perte ou dommage à tout bien; ou (c) l’emploi ou la réalisation de services P:\NATIONAL COMMERCIAL PROPERTY MANAGEMENT\REBS 2010\Angus AnyWhere\Montreal COI\Insurance Indemnity French English .doc par le personnel de l’Entrepreneur et la terminaison, par congédiement, déguisé ou non, de cet emploi ou de la résiliation de tels services; (d) toute réclamation pour pertes économiques. Les indemnités contenues dans la présente entente ne seront pas amoindries par la résiliation de la présente entente et resteront en vigueur malgré une telle résiliation. Dans l’éventualité où toute action, poursuite ou autre procédure est instituée pour remédier à, empêcher, ou obtenir compensation suite à toute violation de la présente entente, la partie gagnante recevra remboursement de la partie perdante de tous ses frais raisonnables d’avocats sur une base avocat-client encourus dans le cadre d’une telle action, poursuite ou autre procédure. Nonobstant toute autre disposition de la présente entente, aucun officier, administrateur, actionnaire, employé ou autre mandataire du Propriétaire ou du Gestionnaire ou de leurs sociétés affiliées ne pourra être tenu responsable en relation avec la présente entente. 3. If the Contractor is providing professional or consultant services, it shall maintain professional errors and omissions insurance for an amount equal to the amount of the general comprehensive liability insurance it is required to maintain hereunder and in a form and content satisfactory to Manager and Contractor shall supply evidence to the Manager of such insurance prior to the commencement of the Work. If at any time the Contractor is in breach of this Section 10, this Agreement may be terminated immediately by Manager. The Contractor agrees to look solely to its insurance, and does hereby release and waive any and all rights it has now, or may in the future have, to recover against the Owner and Manager and their respective trustees, beneficiaries, shareholders, officers, agents, servants, affiliates, or employees (collectively the “Releasees”), for loss or damage to property of the Contractor and Contractor personnel and injury to, or death of, employees of the Contractor and Contractor personnel and claims for contribution or indemnity or for reimbursement of workers’ compensation benefits including those pursuant to the Labour Standards Act and An Act Respecting Occupational Health and Safety, in any way relating to or resulting from the Work performed or to be performed under or in connection with this Agreement. The Contractor hereby waives all rights of subrogation of its insurers with respect to claims against Releasees. 4. Indemnity: Contractor shall defend, indemnify and hold harmless the Owner, the Manager and their respective affiliates, present and former directors, officers, agents, servants and employees from and against any and all claims, costs, damages, expenses, demands, legal hypothecs, encumbrances, orders and awards (all of which collectively referred to as “claims”) by any person, together with all legal fees P:\NATIONAL COMMERCIAL PROPERTY MANAGEMENT\REBS 2010\Angus AnyWhere\Montreal COI\Insurance Indemnity French English .doc and disbursements to the extent that they are related to or arise as a result of the acts or omissions, negligent or otherwise, of the Contractor, its employees and subcontractors and those for whom Contractor is responsible in law in connection with the Work or the breach of any of the terms and provisions of this Agreement by the Contractor, its employees and subcontractors and those for whom Contractor is responsible in law, including, without limitation: (a) injury to, or death of, any person, including but not limited to Contractor and subcontractor personnel; (b) loss of, or damage to any property; or (c) the employment of or performance of services by Contractor’s personnel and the termination, constructive or otherwise, of such employment or performance of services; (d) claims for economic loss. The indemnities contained in this Agreement shall not be prejudiced by and shall survive the termination of this Agreement. If any action, suit, or other proceeding is instituted to remedy, prevent, or obtain relief from a breach of this Agreement, or arising out of a breach of this Agreement, the prevailing party shall recover from the non-prevailing party all of its reasonable legal fees on a solicitorclient basis incurred in each and every such action, suit, or other proceeding. Notwithstanding any other provision of this Agreement, no officer, director, shareholder, employee or other agent of the Owner or Manager or their respective affiliates shall have any personal liability in connection with this Agreement.
