B56385 (die «Gesellschaft») www.ubs.com Mitteilung an die Aktionäre des Subfonds UBS (Lux) Bond SICAV – Emerging Markets Bonds 2016 (EUR) Der Verwaltungsrat der Gesellschaft (der «Verwaltungsrat») möchte Sie hiermit über seine Entscheidung informieren, den Subfonds UBS (Lux) Bond SICAV – Emerging Markets Bonds 2016 (EUR) (der «Subfonds») mit Wirkung vom 31. März 2016 (dem «Datum des Inkrafttretens») gemäss den Bestimmungen der Satzung und des Verkaufsprospekts der Gesellschaft zu liquidieren. Wie im Verkaufsprospekt des Subfonds und in den zugehörigen wesentlichen Anlegerinformationen angegeben, war der Ablauf zunächst für den 31. August 2016 (das «Fälligkeitsdatum») geplant. Nach einer gründlichen Prüfung durch den Portfolioverwalter und den Verwaltungsrat und unter Berücksichtigung der Veränderungen im wirtschaftlichen und geldpolitischen Umfeld, besonders der negativen Zinssätze für Zahlungsmittelbestände, hat der Verwaltungsrat beschlossen, dass eine Liquidation vor dem Fälligkeitsdatum notwendig ist, um die Interessen der Anleger zu schützen. Das Konzept des UBS Fixed Maturity Fund impliziert, dass alle Anleihen im Portfolio eines derartigen Fonds früher ablaufen als der Fonds selbst. Die Wiederanlagemöglichkeiten für diesen freien Cashflow bis zur Fälligkeit des Fonds beeinflusst die Wertentwicklung des Fonds. Welche Rendite der Fonds in dem Zeitraum zwischen der Fälligkeit der Anleihen im Portfolio und der Fälligkeit des Fonds erzielen kann, hängt von dem entsprechenden Marktumfeld ab. Dieses wird durch die Verzinsung der Barmittel, die Steilheit der Renditekurve, die Wiederanlagemöglichkeiten, die Mittelzuflüsse in den Fonds usw. (ausgenommen Emittentenausfällen) beeinflusst. Je grösser die Differenz zwischen der mittleren Fälligkeit des Portfolios und der Fälligkeit des Fonds ist, umso wahrscheinlicher ist es, dass die tatsächlich erzielte Rendite von der ursprünglichen Rückzahlungsrendite abweicht. Je näher die Fälligkeit des Subfonds rückt, umso stärker steigen die liquiden Bestände im Portfolio, und zwar aufgrund 1) der Fälligkeitstermine der Anleihen, 2) der begrenzten Wiederanlagemöglichkeiten, da die Anleihen ein früheres Fälligkeitsdatum haben müssen als der Subfonds, und 3) der Notwendigkeit, steigende vorzeitige Rücknahmen durch die Anleger zu befriedigen. Im EUR-Raum haben sich die Anlagemöglichkeiten in Geldmarktinstrumente seit der Auflegung des Subfonds erheblich verschlechtert. Negative Zinsen und weniger Gegenparteien im Markt erschweren das Erzielen positiver Renditen mit Anlagen im EUR-Geldmarkt und die Einhaltung der im Verkaufsprospekt angegebenen Streuungspflichten hinsichtlich der Gegenparteien. Der Verwaltungsrat wurde durch den Portfolioverwalter informiert, dass die Wiederanlagemöglichkeiten für die ab März 2016 anstehenden Anleihefälligkeiten in Anleihen aus Schwellenmärkten rar sind (für Anleihen, die vor dem Fälligkeitsdatum fällig werden müssen). Der Portfolioverwalter müsste daher Mittel in Geldmarktinstrumente, die auf EUR lauten, investieren, welche negative Renditen für das Portfolio erzielen würden. Dies würde letztendlich zur Verwässerung und Senkung der bisher erreichten Rendite seit Auflegung des Subfonds führen, was nicht im Interesse der Anleger sein kann. Ausserdem würde das steigende Volumen an liquiden Mitteln des Subfonds mit seinen bis zur Fälligkeit des Subfonds erzielten negativen Renditen den erwarteten positiven Beitrag aus den übrigen Anlagen in Anleihen aufzehren. Ein Verkauf der noch nicht fälligen Anleihen im Portfolio zu aktuellen Marktkursen und die Ausschüttung der verfügbaren liquiden Mittel an die Anleger wird zu einer besseren Rendite führen als die Investition der zukünftigen liquiden Mittel im Subfonds mit negativen Zinsen und das Abwarten der Fälligkeit der verbleibenden Anleihen. Der Subfonds wird ab dem 30. März 2016 nach dem Cut-off-Zeitpunkt für die Rücknahme und den Umtausch von Aktien geschlossen. Der Subfonds kann mit sofortiger Wirkung von seiner Anlagepolitik abweichen. Ein wesentlicher Teil seiner Vermögenswerte kann insbesondere in liquide Mittel investiert werden. Alle voraussichtlichen Liquidationskosten werden dem Subfonds mit Stand vom heutigen Tag berechnet, um eine faire und gleiche Behandlung aller Aktionäre zu gewährleisten. Aktionäre, die am Tag des Inkrafttretens Aktien im Subfonds halten, werden, sobald der Subfonds liquidiert wurde, gemäß den luxemburgischen Rechtsvorschriften und sonstigen Regelungen den Anteil an den Liquidationserlösen erhalten, der ihnen zusteht. Alle aus den Liquidationserlösen verbleibenden Mittel, die bei Abschluss der Liquidation des Subfonds von den Aktionären nicht abgerufen werden, werden bei der öffentlichen Depotbank (Caisse de Consignation) zugunsten der Begünstigten hinterlegt. As stated in the Sub-Fund’s prospectus and the respective Key Investor Information Documents, the maturity was initially planned for 31. August 2016 (the “Maturity Date”). After a thorough assessment made by the Portfolio Manager and the Board of Directors and taking into account the changes in the economic and monetary environment, especially the negative interest rates for cash holdings, the Board of Directors concluded that a liquidation prior to the Maturity Date is necessary in order to protect the interests of investors. The UBS Fixed Maturity Fund concept implies that all bonds in the portfolio of such a fund mature earlier than the fund itself. The reinvestment opportunities for these cash flows until fund maturity influence the fund’s performance. How much the fund can yield during the time span between the maturities of the bonds in the portfolio and the fund maturity depends on the respective market environment, influenced by the cash rate, the steepness of the yield curve, reinvestment opportunities, flows within the fund, etc. (excl. issuer defaults). The larger the difference between the average portfolio maturity and the fund maturity is, the higher is the possibility that the actually realized return deviates from the initial yield to maturity. Approaching the Sub-Fund's maturity, the cash amount in the portfolio increases considerably due to 1) the maturity dates of the bonds, 2) limited reinvestment opportunities as bonds need to have earlier maturity than the Sub-Fund and 3) the requirement to meet increasing early redemptions of investors. Money market investment opportunities in the EUR space have worsened considerably since the Sub-Fund's launch. Negative rates and fewer counterparties in the market make it difficult to achieve positive returns with EUR money market allocations and to keep the counterparty diversification demanded by the prospectus. The Board of Directors was informed by the Portfolio Manager that for the upcoming bond maturities beginning in March 2016, reinvestment opportunities in emerging market bonds are scarce (for bonds that need to mature before the Maturity Date). The Portfolio Manager would therefore need to invest in money market vehicles denominated in EUR delivering negative returns to the portfolio. This would finally result in diluting and reducing the so far reached return since inception of the Sub-fund, which cannot be in the interest of investors. Also, the growing amount of cash in the Sub-Fund delivering negative returns until Sub-Fund maturity would erode the expected positive contribution coming from the remaining bonds investments. Selling the non-matured bonds in the portfolio at current market prices and distributing the cash available to the investors will provide better returns than investing upcoming cash in the Sub-Fund with negative rates and waiting for the remaining bonds to mature. The Sub-Fund will be closed for redemptions and conversions of shares on 30 March 2016 after cut-off. The Subfund may, with immediate effect, deviate from its investment policy. In particular, a considerable proportion of its assets may be invested in liquid funds. Shareholders with shares in the Sub-Fund on the effective date will receive the share of liquidation proceeds to which they are entitled once the Sub-Fund has been liquidated, pursuant to Luxembourg laws and provisions. Any remaining funds from the liquidation proceeds that remain unclaimed by shareholders upon completion of the Sub-Fund’s liquidation shall be deposited with the public custodian (Caisse de Consignation) in favour of the beneficiaries. B56385 (die «Gesellschaft») www.ubs.com Avis aux actionnaires du compartiment UBS (Lux) Bond SICAV – Emerging Markets Bonds 2016 (EUR) Le conseil d'administration de la société (le «conseil d'administration») souhaite vous informer de sa décision de liquider le compartiment UBS (Lux) Bond SICAV – Emerging Markets Bonds 2016 (EUR) (le «compartiment») avec effet au 31 mars 2016 (la «date d'entrée en vigueur») conformément aux dispositions des statuts et du prospectus de vente de la société. Comme indiqué dans le prospectus du compartiment et les documents d'information clé pour l'investisseur correspondants, la date d'échéance était initialement prévue au 31 août 2016 (la «date d'échéance»). Après une évaluation approfondie effectuée par le gestionnaire du portefeuille et le conseil d'administration et compte tenu des modifications du contexte économique et monétaire, en particulier les taux d'intérêt négatifs pour les liquidités détenues, le conseil d'administration a conclu qu'une liquidation préalable à la date d'échéance était nécessaire afin de protéger les intérêts des investisseurs. Le concept de l'UBS Fixed Maturity Fund implique que toutes les obligations détenues dans le portefeuille d'un tel fonds expireront plus tôt que le fonds lui-même. Les opportunités de réinvestissement pour ces flux de trésorerie jusqu'à l'expiration du fonds influencent la performance de celui-ci. Le montant du rendement que le fonds peut générer dans le laps de temps entre les échéances des obligations détenues en portefeuille et l'échéance du fonds dépend du contexte de marché respectif, influencé par le taux d'intérêt, la pentification de la courbe des rendements, les opportunités de réinvestissement, les mouvements au sein du fonds, etc. (à l'exception des défaillances des émetteurs). Plus la différence est importante entre l'échéance moyenne du portefeuille et l'échéance du fonds, plus élevée est la possibilité que le rendement effectivement réalisé dévie du rendement initial à l'échéance. A l'approche de l'échéance du compartiment, le montant des liquidités détenues dans le portefeuille augmente considérablement en raison 1) des dates d'échéance des obligations, 2) des opportunités limitées de réinvestissement du fait de la nécessité des obligations d'avoir une échéance précoce par rapport au compartiment et 3) de l'exigence visant à répondre à la recrudescence des rachats anticipés des investisseurs. Les opportunités d'investissement du marché monétaire dans la zone euro se sont considérablement détériorées depuis le lancement du compartiment. Les taux négatifs et des contreparties moins nombreuses sur le marché ont rendu difficile la réalisation de rendements positifs avec des allocations du marché monétaire en EUR et le maintien de la diversification en termes de contreparties qu'exige le prospectus. Le conseil d'administration a été informé par le gestionnaire de portefeuille que, pour les prochaines échéances des obligations débutant en mars 2016, les opportunités de réinvestissement dans les obligations des marchés émergents sont rares (pour les obligations devant expirer avant la date d'échéance). Le gestionnaire de portefeuille devrait par conséquent investir dans des titres du marché monétaire libellés en EUR générant des rendements négatifs pour le portefeuille. Cela se traduirait au final par une dilution et une diminution du rendement atteint depuis le lancement du compartiment, ce qui n'est pas dans l'intérêt des investisseurs. Le montant croissant des liquidités détenues dans le compartiment générant des rendements négatifs jusqu'à l'échéance du compartiment éroderait également la contribution positive escomptée provenant des investissements obligataires restants. La vente des obligations non échues au sein du portefeuille aux cours du marché en vigueur et la distribution des liquidités disponibles aux investisseurs généreront de meilleurs rendements que l'investissement de liquidités à venir dans le compartiment avec des taux négatifs et l'attente de l'expiration des obligations restantes. Le compartiment sera fermé aux rachats et aux conversions d'actions le 30 mars 2016 après l'heure limite de réception des ordres. Le compartiment peut, avec effet immédiat, s'écarter de sa politique de placement. En particulier, il peut investir une grande partie de ses actifs dans des liquidités. A compter de ce jour, tous les frais de liquidation anticipés sont facturés au compartiment afin de garantir une égalité et une équité de traitement entre les actionnaires. Come indicato nel prospetto informativo del Comparto e nelle Informazioni chiave per gli investitori dello stesso, la scadenza era prevista per il 31 agosto 2016 (la "Data di scadenza"). Dopo un'attenta valutazione da parte del Gestore del portafoglio e del Consiglio di amministrazione, effettuata tenendo conto delle variazioni intervenute nel contesto economico e monetario, e in particolar modo dei tassi di interesse negativi sulla liquidità, il Consiglio di amministrazione ha ritenuto necessario procedere alla liquidazione del Comparto prima della Data di scadenza, al fine di tutelare gli interessi degli investitori. La filosofia d'investimento dell'UBS Fixed Maturity Fund implica che tutte le obbligazioni detenute nel portafoglio del fondo giungano a scadenza prima del fondo stesso. Le opportunità di reinvestimento di tali flussi di cassa fino alla scadenza del fondo influiscono sulla performance di quest'ultimo. Il livello di rendimento che il fondo riesce a realizzare nel lasso di tempo che intercorre tra la scadenza delle obbligazioni in portafoglio e la scadenza del fondo stesso dipende dal relativo contesto di mercato, il quale a sua volta è influenzato dal tasso sulla liquidità, dalla ripidezza della curva dei rendimenti, dalle opportunità di reinvestimento, dai flussi all'interno del fondo, ecc. (escluse le insolvenze degli emittenti). Quanto più ampia è la differenza tra la scadenza media del portafoglio e la scadenza del fondo, tanto maggiore sarà la possibilità che il rendimento effettivamente realizzato si discosti dal rendimento alla scadenza iniziale. All'avvicinarsi della scadenza del Comparto, l'importo della liquidità presente nel portafoglio aumenta considerevolmente in ragione di quanto segue: 1) le date di scadenza delle obbligazioni; 2) le opportunità di reinvestimento limitate, in quanto le obbligazioni devono avere una scadenza più breve rispetto al Comparto e 3) la necessità di far fronte alle crescenti richieste di rimborso anticipato degli investitori. Le opportunità di investimento nel mercato monetario nell'area dell'euro si sono notevolmente deteriorate dalla data di lancio del Comparto. I tassi d'interesse negativi e la riduzione del numero di controparti nel mercato rendono difficile realizzare rendimenti positivi investendo nel mercato monetario in EUR e mantenere al contempo la diversificazione delle controparti prevista dal prospetto informativo. Il Consiglio di amministrazione è stato informato dal Gestore del portafoglio in merito alla scarsità di opportunità di reinvestimento in obbligazioni dei mercati emergenti per le obbligazioni che giungeranno a scadenza a partire da marzo 2016 (in riferimento ai titoli che scadono obbligatoriamente prima della Data di scadenza). Pertanto il Gestore del portafoglio dovrebbe investire in veicoli del mercato monetario denominati in EUR con rendimenti negativi per il portafoglio. Ciò comporterebbe da ultimo una diluizione e una riduzione del rendimento realizzato dalla data di lancio del Comparto, con pregiudizio degli interessi degli investitori. Inoltre, l'incremento del volume di liquidità all'interno del Comparto che genera un rendimento negativo fino alla scadenza dello stesso eroderebbe il contributo positivo previsto dagli altri investimenti obbligazionari in portafoglio. Vendendo le obbligazioni non ancora scadute in portafoglio agli attuali prezzi di mercato e distribuendo la liquidità disponibile agli investitori si otterranno rendimenti superiori a quelli realizzabili investendo la liquidità che il Comparto riceverà a breve a tassi negativi, in attesa che le restanti obbligazioni giungano a scadenza. A partire dal 30 marzo 2016, dopo l'orario di cut-off, non saranno più accettate richieste di rimborso e conversione di azioni per il Comparto. Il Comparto può, con effetto immediato, discostarsi dalla sua politica di investimento. In particolare, una parte considerevole del suo patrimonio potrà essere investita in disponibilità liquide. Tutti i costi della liquidazione anticipata sono imputati al Comparto in data odierna, per garantire un trattamento equo e paritario di tutti gli azionisti. Alla data di efficacia, gli azionisti che detengono azioni del Comparto riceveranno la quota dei proventi della liquidazione alla quale hanno diritto dopo la liquidazione del Comparto, ai sensi delle leggi e delle disposizioni vigenti in Lussemburgo. Tal y como se contempla en el folleto del subfondo y en los respectivos documentos de información clave para el inversor (KII por sus siglas en inglés), el vencimiento fue previsto inicialmente para el día 31 Agosto 2016 (la «fecha de vencimiento»). Tras una evaluación exhaustiva realizada por el gestor de la cartera y el Consejo de administración y, teniendo en cuenta los cambios en el entorno económico y monetario, en particular los tipos de interés negativos del efectivo disponible, el Consejo de administración llegó a la conclusión de que era necesaria una liquidación previa a la fecha de vencimiento para proteger los intereses de los inversores. El planteamiento del UBS Fixed Maturity Fund implica que todos los bonos de la cartera de dicho fondo vencen antes que el mismo fondo. Las oportunidades de reinversión de estos flujos de caja hasta el vencimiento del fondo influyen en el rendimiento del fondo. El rendimiento del fondo durante el periodo transcurrido entre los vencimientos de los bonos de la cartera y el vencimiento del fondo depende del contexto de mercado correspondiente, influido por el tipo al contado, la inclinación de la curva de rendimiento, las oportunidades de reinversión, los flujos en el fondo, etc. (exceptuando los incumplimientos del emisor). Cuanto mayor es la diferencia entre el vencimiento medio de la cartera y el vencimiento del fondo, mayor es la posibilidad de que se desvíe la rentabilidad obtenida desde el rendimiento inicial hasta el vencimiento. Al aproximarse el vencimiento del subfondo, la cantidad de efectivo de la cartera aumenta considerablemente debido 1) a las fechas de vencimiento de los bonos, 2) a las oportunidades de reinversión limitadas, ya que los bonos tienen que vencer antes que el subfondo, y 3) al requisito de satisfacer los reembolsos crecientes anticipados de los inversores. Las oportunidades de inversión del mercado monetario en el espacio EUR han empeorado sobremanera desde el lanzamiento del subfondo. Los tipos negativos y la disminución del número de contrapartes en el mercado dificultan que se consigan rentabilidades positivas con las asignaciones del mercado monetario en EUR, así como que se mantenga la diversificación de la contraparte exigida por el folleto. Al Consejo de administración le fue informado por parte del gestor de la cartera que para los próximos vencimientos de bonos, con inicio en marzo de 2016, las oportunidades de reinversión en bonos de mercados emergentes son escasas (para los bonos que deben vencer antes de la fecha de vencimiento). El gestor de la cartera tendría, por tanto, que invertir en vehículos del mercado monetario denominados en EUR ofreciendo rentabilidades negativas a la cartera. Esto daría como resultado la dilución y reducción de la rentabilidad obtenida hasta el momento tras la creación el subfondo, lo cual no favorecería a los inversores. Además, la cantidad creciente de efectivo en el subfondo ofreciendo rentabilidades negativas hasta el vencimiento de este mermaría la contribución positiva esperada procedente de las inversiones en bonos restantes.
