B 88580 (die „Gesellschaft”) www.ubs.com Mitteilung an die Aktionäre der UBS (Lux) Key Selection SICAV Der Verwaltungsrat der Gesellschaft möchte Sie über folgende Änderungen im Verkaufsprospekt der Gesellschaft, Version Oktober 2016, in Kenntnis setzen: 1) Die Portfolio Manager für den folgenden Subfonds ändern sich mit Effektivdatum 31. Oktober 2016: Subfonds Aktueller Portfolio Manager Neuer Portfolio Manager ab 31.10.2016 UBS (Lux) Key Selection SICAV – UBS AG, UBS Asset Management, UBS Asset Management (Hong Kong) Emerging Markets Income (USD) Basel und Zürich Limited, Hong Kong 2) Der Subfonds “UBS (Lux) Key Selection SICAV – Emerging Markets Income (USD)“, wird ab 15. November 2016 berechtigt sein, mittels Hong Kong-Shanghai Stock Connect ("Stock Connect") in bestimmte zulässige chinesische A-Aktien zu investieren und direkten Zugriff auf diese zu haben. Stock Connect ist ein Wertpapierhandels- und Clearing-System, das die Hong Kong Exchanges and Clearing Limited, die Shanghai Stock Exchange ("SSE") und die China Securities Depository and Clearing Corporation Limited mit dem Ziel entwickelt haben, die Aktienmärkte der Volksrepublik China und Hong Kongs zu vernetzen. Stock Connect umfasst einen Northbound Trading Link (für Anlagen in chinesische A-Aktien), der es Anlegern ermöglicht, über ihren Börsenmakler in Hong Kong und eine von der Stock Exchange of Hong Kong Limited gegründete Wertpapierdienstleistungsgesellschaft, Orders für an der SSE notierte zulässige Aktien via Order Routing an die SSE zu platzieren. Nähere Informationen zu Stock Connect können online auf folgender Webseite abgerufen werden: http://www.hkex.com.hk/eng/market/sec_tradinfra/chinaconnect/chinaconnect.htm Ziel der vorgeschlagenen Änderung ist es, durch einen zusätzlichen direkten Zugang zu an der SSE notierten chinesischen A-Aktien, die Kapazität der Subfonds zu erweitern. Die Investmentpolitik wird durch den folgenden Abschnitt ergänzt: "Anleger sollten beachten, dass das Anlageengagement des Subfonds auch Chinesische A-Aktien umfassen kann, die über Hong Kong-Shanghai Stock Connect gehandelt werden. Chinesische A-Aktien sind auf Renminbi lautende AAktien von auf dem chinesischen Festland ansässigen Unternehmen, die an chinesischen Börsen wie der Shanghai Stock Exchange und der Shenzhen Stock Exchange gehandelt werden.“ 3) Die Abschnitte der Anlagepolitik von "UBS (Lux) Key Selection SICAV – Dynamic Alpha (USD)" und "UBS (Lux) Key Selection SICAV – Dual Alpha (USD)", welche identische Anlagen beschreiben, werden angeglichen. Dies Betrifft insbesondere die Beschreibung von Anlagen in Rohstoffen, den Einsatz von Anlagen in OGA und OGAW sowie die Einstufung ("Rating") von Anleihen minderer Qualität. Diese Anpassungen der Anlagepolitiken haben keine Änderungen der bestehenden Anlagen der beiden Subfonds zur Folge. Die revidierten Anlagepolitiken lauten ab dem 15. November 2016 neu wie folgt: “UBS (Lux) Key Selection SICAV – Dynamic Alpha (USD)“ „Der Subfonds investiert im Rahmen der oben genannten Allgemeinen Anlagepolitik, um auf breit diversifizierter und dynamisch verwalteter Basis am Wachstumspotential der globalen Finanzmärkte zu partizipieren. Anlagen des Subfonds in Rohstoffen erfolgen, bis zu maximal 25% seines Nettovermögens, unter Einhaltung der gesetzlichen Vorschriften ausschliesslich indirekt über börsengehandelte- oder OTCDerivate (z B. Differenzkontrakte, Total Return Swaps und Optionen auf Rohstoffindizes), strukturierte Produkte ("Exchange Trade Commodities" (ETC)) oder mittels OGA und OGAW (inklusive ETF). Hierbei ist insbesondere sichergestellt, dass eine physische Lieferung von Rohstoffen an den Subfonds ausgeschlossen ist. Bei einem Total Return Swap ist der Subfonds Partei eines Tauschgeschäfts auf die Wertentwicklung des Total Return ("TR")-Rohstoffindizes abzüglich der im Index verwendeten Cash Rate. Typischerweise kann der Nominalwert ("Notional") des Swaps auf täglicher Basis angepasst werden (so z. B. bei Mittelzuflüsse durch Aktienzeichnungen, Mittelabflüssen durch Aktienrückgaben oder bei der Adjustierung der Anlagestrategie). Das aus einem Swap resultierende Gegenparteienrisiko ist der offene Gewinn, nicht das Notional des Swap-Vertrages. Um dieses Risiko möglichst gering und jederDie Mitteilung an die Aktionäre ist auch verfügbar auf der Website: https://www.ubs.com/lu/en/asset_management/notifications.html 1 zeit im gesetzlich zulässigen Rahmen zu halten, werden die offenen Gewinne typischerweise monatlich, bzw. in jedem Fall bei Erreichen der gesetzlich zulässigen Gegenparteirisikogrenzen beglichen (durch ein sogenanntes "Reset"). Im Allgemeinen hat ein Portfolio mit Rohstoffanlagen eine höhere Volatilität als ein reines Aktienportfolio. Anleger sollten deshalb beachten, dass sich der Subfonds nur für Anleger eignet, die eine mässige bis hohe Volatilität in Kauf zu nehmen bereit sind. Der Subfonds kann bis zu 10% seines Nettovermögens in OGA und OGAW investieren, unter der Voraussetzung, dass die Anlagepolitik dieser Zielfonds weitestgehend mit der Anlagepolitik des Subfonds übereinstimmt. Dazu können auch Investitionen bis max. 20% des Nettovermögens in Obligationen getätigt werden, die ein Rating von BB+ bis C (Standard & Poors), ein vergleichbares Rating einer anderen anerkannten Rating-Agentur oder - sofern es sich um Neuemissionen handelt, für die noch kein offizielles Rating existiert - ein vergleichbares UBS internes Rating aufweisen. Anlagen mit einem Rating von BB+ bis C weisen gegenüber Investitionen in Titel erstklassiger Emittenten eine überdurchschnittliche Rendite auf, können aber auch ein grösseres Bonitätsrisiko aufweisen. Die vorgenannten Wertpapiere entsprechen Wertpapieren nach Artikel 41 des Gesetzes von 2010. Die Anlagen des Subfonds werden in den Währungen getätigt, welche sich für die Wertentwicklung optimal eignen, und aktiv gegenüber der Rechnungswährung des Subfonds verwaltet. Der Subfonds darf ebenfalls in Länder investieren, die zu den aufstrebenden Märkten ("Emerging Markets") gehören. Dies bedeutet, dass der Subfonds spezifischen Risiken ausgesetzt ist, welche in ihrem Ausmass grösser sein können als Risiken bei Anlagen globaler Ausrichtung. Eine Übersicht über Risiken bei Anlagen mit Fokus auf Emerging Markets ist im Abschnitt "Investitionen in Emerging Markets" beschrieben. Die Nutzung von Derivaten spielt eine zentrale Rolle für die Erreichung der Anlageziele. Es ist beabsichtigt, dass die Derivate zur Beteiligung an der erwarteten Marktentwicklung und/oder zu Absicherungszwecken genutzt werden. Der Subfonds kann grösseren Wertschwankungen (Volatilität) unterliegen und eignet sich aus diesem Grund vor allem für längerfristig orientierte Anleger.“ “UBS (Lux) Key Selection SICAV – Dual Alpha (USD)“ „Das Ziel des Subfonds ist es, langfristig eine attraktive Rendite zu erwirtschaften. Um dies zu erreichen, investiert der Subfonds unabhängig von einem Referenzindex global in verschiedene überwiegend traditionelle Anlageklassen wie Aktien, Anleihen, liquide Mittel und in verschiedene Währungen. Die Anlagen des Subfonds werden sehr aktiv und flexible dem jeweiligen Marktumfeld angepasst, wobei es das Ziel ist, das Verlustrisiko möglichst gering zu halten. Der Portfolio Manager kann zusätzlich Anlageideen aus dem Chief Investment Office Bereich von UBS Wealth Management berücksichtigen. Somit wird, wie der Name des Subfonds impliziert, neben der Strategie und dem Research von UBS Asset Management in seiner Rolle als Portfolio Manager, eine zweite Quelle von Renditepotenzial erschlossen. Dabei bleibt der Portfolio Manager aber allein verantwortlich für den Subfonds und kann daher auch Vorschläge aus UBS Wealth Management zurückweisen. Der Subfonds darf Investitionen bis max. 20% des Nettovermögens in Anleihen tätigen, die ein Rating zwischen BB+ bis C (Standard & Poors), ein vergleichbares Rating einer anderen anerkannten RatingAgentur oder - sofern es sich um Neuemissionen handelt, für die noch kein offizielles Rating existiert ein vergleichbares UBS internes Rating aufweisen. Anlagen mit einem Rating von BB+ bis C weisen gegenüber Investitionen in Titel erstklassiger Emittenten eine überdurchschnittliche Rendite auf, können aber auch ein grösseres Bonitätsrisiko aufweisen. Aktionäre, die mit den oben unter 2) - 3) beschriebenen Änderungen nicht einverstanden sind, können bis zum 14. November 2016 von ihrem kostenlosen Rückgaberecht Gebrauch machen. Stock Connect is a securities trading and clearing system developed by Hong Kong Exchanges and Clearing Limited, the Shanghai Stock Exchange ("SSE") and China Securities Depository and Clearing Corporation Limited in order to link the equity markets of Hong Kong and the People's Republic of China. Stock Connect comprises a Northbound Trading Link (for investments in China A-shares) that allows investors to place orders via their Hong Kong brokers and a securities trading service company founded by Stock Exchange of Hong Kong Limited, which routes orders for permissible SSE-listed shares. Further information regarding Stock Connect can be found on the following website: 3) http://www.hkex.com.hk/eng/market/sec_tradinfra/chinaconnect/chinaconnect.htm The objective of the proposed change is to increase the Subfunds' capacity via additional direct access to SSE-listed Chinese A-shares. The following text shall be added to the investment policy: "Investors should note that the Subfund's investment exposure may also include Chinese A-shares traded via Hong Kong-Shanghai Stock Connect. Chinese A-shares are renminbi-denominated A-shares of companies domiciled in mainland China; they are traded on Chinese stock exchanges such as the Shanghai Stock Exchange and the Shenzhen Stock Exchange." 4) The sections relating to the investment policies of "UBS (Lux) Key Selection SICAV – Dynamic Alpha (USD)" and "UBS (Lux) Key Selection SICAV – Dual Alpha (USD)", which describe identical investments, shall be adjusted. This relates in particular to the description of investments in commodities, the use of investments in UCI and UCITS as well as the rating of low-grade bonds. These adjustments to the investment policies do not affect either Subfunds' existing investments. As of 15 November 2016, the revised investment policies shall read as follows: "UBS (Lux) Key Selection SICAV – Dynamic Alpha (USD)" The Subfund invests in line with the above-mentioned investment policy in order to participate in the growth potential of the global financial markets on a broadly diversified and dynamically managed basis. In accordance with the legal provisions, up to 25% of the Subfund's net assets are invested exclusively in commodities. Said investments are made indirectly via exchange-traded or OTC derivatives (e.g. contracts for difference, total return swaps and options on commodity indexes), structured products (exchange traded commodities – ETC) or via UCI and UCITS (including ETF). In doing so, the possibility of physical delivery of commodities to the Subfund is excluded. For total return swaps, the Subfund is party to the swap transaction with regard to the performance of the total return (TR) commodity index, minus the cash rate used in the index. Typically, the notional value of the swap may be adjusted on a daily basis (as is the case, for example, with inflows from share subscriptions, outflows from share redemptions or when adjusting the investment strategy). The counterparty risk resulting from a swap is the open profit (not the notional value of the swap agreement). To reduce this risk as far as possible and keep it within the legally permitted range at all times, the open profits are typically settled once a month or in any case when the legally permitted counterparty risk limits are reached (through what is referred to as a "reset"). Investors should therefore note that the Subfund is only suitable for investors who are prepared to accept moderate to high levels of volatility. The Subfund may invest up to 10% of its net assets in UCI and UCITS, provided that the investment policy of this target fund is largely in line with the Subfund's investment policy. Up to 20% of the net assets made be invested in bonds rated between BB+ and C (Standard & Poor's) or with a similar rating from another recognised agency or – insofar as a new issue is concerned that does not yet have an official rating – a comparable internal UBS rating. The above-mentioned securities are securities as defined in Article 41 of the Law of 2010. Investments of the Subfund are made in the currencies deemed best suited for good performance and are actively managed in respect of the currency of account of the Subfund. The Subfund may be exposed to greater volatility and is therefore particularly suitable for investors with a long-term orientation." In order to achieve this, the Subfund invests on a global scale in a range of predominantly traditional asset classes such as equities, bonds, liquid funds and various currencies, without the use of a reference index. The Subfund's assets are very actively and flexibly adjusted to the relevant market environment in order to reduce the risk of loss as much as possible. The Portfolio Manager may also take into account investment strategies of the Chief Investment Office of UBS Wealth Management. In this way and as the name of the Subfund implies, the strategy and research of UBS Asset Management in its role as Portfolio Manager is augmented by a second source of yield potential. However, the Portfolio Manager remains solely responsible for the Subfund and may therefore reject any suggestions by UBS Wealth Management. Shareholders who do not agree with the changes described in sections (2)–(3) may redeem their shares free of charge until 14 November 2016.
