Represented HSBC Bank Canada and a syndicate of lenders with
respect to the $193-million financing to Englobe Corp. in the context of its
acquisition of LVM Inc., a subsidiary of Dessau.

Represented Bank of Montreal and a lending syndicate with respect to
the $100-million ABL financing to Groupe Colabor Inc.

Assisted Northpoint Commercial Finance in establishing its Canadian
floor-planning operations

Represented the Bank of Nova Scotia and a lending syndicate with
respect to the $175-million financing to The CSL Group Inc., secured by
a fleet of ships.

Represented the Bank of Montreal and a lending syndicate in the $150million financing of the purchase by Morgan Stanley of Access Cash
General Partnership.

Acted for CNH Capital Canada Ltd. with respect to its Canadian
wholesale and retail securitisation programs.

Acted for Ernst & Young Inc. as advisor to the investment committee
formed to oversee the restructuring of the $35-billion third-party assetbacked commercial paper market in Canada.

Represented the Bank of Nova Scotia with respect to extending
unsecured credit facilities of $115-million to a tobacco manufacturer.

Acted for HSBC Bank Canada with respect to providing a $40-million
asset-backed facility to a Montréal-based clothing manufacturer.

Represented Caisse Desjardins with respect to a $50-million senior
secured club deal term loan in a cross-border management buy-out.
