DEAR SHAREHOLDERS, LADIES AND GENTLEMEN! die GERICOM AG ist bei ihrem Umstrukturierungsprogramm im ersten Quartal 2005 planmäßig vorangekommen. Im Mittelpunkt stand dabei die Konzentration auf die Kernkompetenzen Produktdesign, Logistik, Marketing, Vertrieb und Service. Dies verlangte weitere Anstrengungen insbesondere zur Anpassung der internen Strukturen an die neue Ausrichtung. Die Entwicklung auf den Märkten für Mobile Computing und Home Entertainment, auf die sich GERICOM fokussiert hat, verlief dabei in den ersten Monaten des Jahres 2005 verhaltener als dies von den Experten erwartet worden war. Dabei zeigten sich insbesondere die Endverbraucher in Zentraleuropa, dem Hauptabsatzgebiet für GERICOM-Produkte, zurückhaltend bei ihren Anschaffungen. Gleichzeitig nahm der Wettbewerb weiter an Schärfe zu, so dass auch die Margen im dynamischen Wachstumsmarkt Home Entertainment unter Druck gerieten. GERICOM is focused on the mobile computing and home entertainment markets. However, during the first few months of 2005, development in these areas was lower key than anticipated by the experts. Consumers in Central Europe, which is the main sales region for GERICOM products, were especially reticent as far as purchasing was concerned. At the same time, competition intensified with the result that the margins in the dynamic home entertainment growth market also came under pressure. GERICOM blieb in diesem Umfeld der Leitlinie treu, nur Aufträge anzunehmen, bei denen eine bestimmte Mindestmarge erreicht wird. Damit konnte trotz des erwarteten Umsatzrückgangs im Vergleich zum Vorjahr und der schwierigen Marktbedingungen ein positives Bruttoergebnis in Höhe von 3,5 Mio. Euro behauptet werden. Dies ist unter anderem auch auf die Sektoren Home Entertainment, Monitore und Zubehör zurückzuführen, auf die planmäßig ein immer größerer Umsatzanteil entfällt. Im ersten Quartal 2005 waren dies bereits 41,4 Prozent. Dass GERICOM für das erste Quartal dennoch ein negatives Betriebsergebnis aufweist, ist vor allem auf eine zusätzliche Belastung durch einen Rechtsstreit zurückzuführen. Dadurch wurde ein außerordentlicher Aufwand in Höhe von über 1,0 Mio. Euro verursacht. Durch die kurzfristige Umstellung der Zahlungsmodalitäten eines der Schlüsselkunden von GERICOM erscheint er für das erste Quartal 2005 mit -9,2 Mio. Euro (Vorjahr: -18,1 Mio. Euro) um etwa 19,5 Mio. Euro negativer, als dies bei üblicher Geschäftsabwicklung der Fall gewesen wäre. Ende April wurde diese Umstellung wieder rückgängig gemacht, so dass sich hieraus für das zweite Quartal ein entsprechend positiver Cash Flow einstellt. Die wesentlichen Unternehmenskennzahlen der GERICOM AG für das erste Quartal 2005 auf einen Blick: x x x x Die Umsatzerlöse erreichten 77,6 Mio. Euro nach 113,1 Mio. Euro im Vorjahresvergleichsquartal. Das Betriebsergebnis (EBIT) belief sich auf -1,5 Mio. Euro (Vorjahr: +1,9 Mio. Euro). Der Quartalsfehlbetrag stellte sich auf -1,7 Mio. Euro (Q 1 2004: +1,3 Mio. Euro), das Ergebnis pro Aktie auf -0,15 (Vorjahr: +0,12 ). Durch den weiteren Abbau von Verbindlichkeiten konnte die Eigenkapitalquote auf 42,0 Prozent (Ende 2004: 39,1 Prozent) erhöht werden. HOME ENTERTAINMENT AN GEWICHT GEWINNT IMMER STÄRKER Der Trend zum „digitalen Lifestyle“ prägt die Entwicklung auf dem Markt für Consumer Electronic (CE). Immer stärker verbreiten sich LCD- und Plasma-TV Geräte, digitale Recorder und Multimedia-Player in privaten Haushalten. Dabei gewannen die LCD- und Plasma-TV Geräte absolut am stärksten an Gewicht. GERICOM hat diesem Trend Rechnung getragen und sein Produktangebot in diesem Sektor sukzessive ausgebaut. Auf der CeBIT konnte eine neue hochwertige Produktlinie zu einem äußerst günstigen Preis präsentiert werden. Im ersten Quartal sorgte GERICOM im Markt unter anderem mit dem 42-Zoll-Plasma-Gerät GTV 4260 für Aufsehen, das auch vom Fachmagazin „Audio Video Foto“ im Vergleichstest zum Preis-Leistungs-Sieger gekürt wurde. HOME ENTERTAINMENT IMPORTANCE STEADILY GAINING IN The consumer electronics market (CE) is being increasingly influenced by the trend towards a “digital lifestyle”. LCD and plasma televisions, digital recorders and multimedia players are appearing in private households in growing numbers. In absolute terms, LCD and plasma televisions have gained the most ground. GERICOM has responded to this trend and successively expanded its range in this sector. New, high-quality products at extremely reasonable prices were presented at the CeBIT. 42-Zoll-Plasma-TV GTV 4260 In the first quarter of 2005, GERICOM grabbed the market spotlight with products including the 42 inch GTV 4260 plasma television, which was the price-performance winner in a comparative test carried out by the trade magazine, “Audio Video Foto”. GERICOM konzentrierte sich hier zunehmend auf das Angebot besser ausgestatteter und leistungsfähigerer Produkte zu einem attraktiven Preis. Neue Notebookmodelle wie der Silver Seraph PCI E oder der 1st Supersonic PCI E setzten dabei Maßstäbe und wurden vielfach ausgezeichnet. Sie verbinden die Leistung eines Desktops mit Features, die sie zum MultimediaCenter machen. KOOPERATION MIT CHINESISCHER SVA GROUP IST ANGELAUFEN LCD-TV Gerät LCD-Television Mitte Februar 2005 hat GERICOM eine Kooperationsvereinbarung mit der SVA Group, einem der größten chinesischen Produzenten für Home Entertainment Produkte, abgeschlossen. GERICOM sichert sich damit neben günstigeren Einkaufskonditionen den Zugriff auf innovative Neuentwicklungen im Home Entertainment Sektor. SVA erhält umgekehrt dadurch über die etablierten Vertriebskanäle von GERICOM Zugang zum europäischen Markt. Erste Ergebnisse der Zusammenarbeit konnten bereits bei der CeBIT im März präsentiert werden. So etwa innovative LCD-TV Geräte mit edlem Glasfront-Design. Der Vertrieb ist bereits angelaufen und soll im weiteren Jahresverlauf erstmals signifikant zum Geschäft von GERICOM beitragen. ENTWICKLUNG WICHTIGER DES VORSTANDES / MANAGEMENT REPORT 5 The first quarter in the second product segment, mobile computing, continued to be characterised by a price war. GERICOM focused increasingly on offering better-equipped products with higher performance at an attractive price. New notebooks such as the Silver Seraph PCI E and the 1st Supersonic PCI E have established fresh benchmarks and received a number of recommendations. They combine the performance of a desktop with features that turn them into multimedia centres. CO-OPERATION WITH THE CHINESE SVA GROUP HAS COMMENCED In mid-February 2005, GERICOM concluded a co-operation agreement with the SVA Group, one of the largest Chinese producers of home entertainment products. Apart from more favourable purchasing conditions, GERICOM thus secured access to innovative developments in the home entertainment sector. In return, SVA has obtained entry to the European market via GERICOM’s established sales channels. The initial results of this teamwork were already presented at the CeBIT in March, such as LCD televisions with an elegant glass front design. Sales have now commenced and in the course of the year should make an initial, significant contribution to GERICOM business. KEY INDICATOR DEVELOPMENT During the first quarter of 2005, GERICOM order backlog developed in a satisfactory manner and stood at EUR 45.0 m (2004: EUR 37.8 m). Die Vorratshaltung wurde weiter optimiert. So haben sich die Vorräte gegenüber dem Jahresanfang von 42,4 Mio. Euro auf 36,4 Mio. Euro verringert. Dementsprechend wurden auch die Lieferverbindlichkeiten abgebaut. Per Ende März beliefen sie sich noch auf 45,4 Mio. Euro (Ende 2004: 52,7 Mio. Euro). Zudem konnten die Verwaltungskosten auf 1,2 Mio. EUR (2004: 1,3 Mio. EUR) gesenkt werden. Die Vertriebskosten sanken in Vergleich zum Vorjahr sogar um 40,9 % auf 2,5 Mio. EUR (2004: 4,2 Mio. OUTLOOK Die Rückstellungen erhöhten sich gegenüber dem Jahresultimo 2004 um 5,5 Prozent auf nunmehr 16,8 Mio. EUR (Ende 2004: 15,9 Mio. EUR). Hierin sind vor allem Vorsorgen für allfällige Verpflichtungen aus Gewährleistungsansprüchen sowie produktbezogene Abgaben enthalten. AUSBLICK Trotz der von Marktforschungsinstituten weiterhin hoch eingeschätzten Wachstumsdynamik insbesondere im Bereich Home Entertainment, entwickelte sich der Markt im ersten Quartal 2005 sehr verhalten. Wenngleich speziell die Nachfrage nach Flachbildschirmen und TV-Geräten mittelfristig stark zunehmen wird, beschleunigt sich auch im Home Entertainment Bereich angesichts des Markteintritts von immer mehr Anbietern aus Asien der Preis- und Margendruck. Im weiteren Jahresverlauf wird sich unseres Erachtens der Kampf um Marktanteile sowohl bei Mobile Computing wie bei Home Entertainment weiter verschärfen. Vor diesem Hintergrund werden wir weitere Einsparungs- und Rationalisierungspotenziale identifizieren und insbesondere Fixkosten sowie die variablen Kosten bei Transport und Logistik senken. Auf der anderen Seite werden wir weiterhin daran festhalten, nur solche Aufträge zu realisieren, durch die eine bestimmte Mindestmarge erzielt werden kann. Even though the demand for flat screens and televisions will rise sharply in the medium-term, the pressure on prices and margins has also intensified in the home entertainment sector due to the market entry of a growing number of Asian suppliers. In our opinion, during the course of the year the fight for market shares will become even fiercer in both the mobile computing and home entertainment. Against this backdrop, we will identify further savings and rationalisation potential and in particular, cut both fixed costs and the variable costs derived from transport and logistics. On the other hand, we will continue to adhere to our principle of only undertaking orders, which guarantee a certain minimum margin. Aufstellungsgrundsätze und Bilanzierungsund Bewertungsgrundsätze Vorliegender ungeprüfter Zwischenabschluss der GERICOM AG ist in Verbindung mit dem geprüften Jahresabschluss zum 31.12.2004 zu betrachten. Der Zwischenabschluss wurde unter Anwendung des bei der Erstellung des Jahresabschlusses zugrunde gelegten Konsolidierungskreises nach US-amerikanischen Grundsätzen ordnungsmäßiger Bilanzierung („US-GAAP“) erstellt. II. Konsolidierungskreis SUPPLEMENTARY INFORMATION I. The unaudited GERICOM AG interim financial report is to be seen in combination with the audited annual financial report as at December 31, 2004. The interim financial report was prepared according to the scope of consolidation established during the preparation of the annual financial statements pursuant to the generally acceptable accounting principles in the USA (US-GAAP).
