OPEN TEXT CORPORATION SOFTWARE LICENSE AGREEMENT
NOTE: The hardcopy Software License Agreement supersedes all installation text files.
WARNING: READ CAREFULLY BEFORE ATTEMPTING TO USE A COPY OF THE SOFTWARE. This license is a legal agreement between you (either an individual or a single
entity) and Open Text Corporation or one of its subsidiaries (“OPEN TEXT”) for this proprietary software that includes computer software and associated printed materials, if any, and
may include on-line or electronic documentation. By downloading, installing, copying or otherwise using the software you agree to be bound by the terms of this license.
Any pre-printed terms or conditions on the front or back of purchase orders in conflict with this Agreement are hereby automatically rejected.
DEFINITIONS:
SOFTWARE. Enclosed OPEN TEXT software product(s) and its manuals and documentation. The SOFTWARE also includes any updates and maintenance releases provided to you by
OPEN TEXT.
COMPUTER. A single computer device, regardless of platform or operating environment, on which you will install and/or use the SOFTWARE.
CITRIX/TSE ENVIRONMENT. A single COMPUTER or a single cluster of COMPUTERS on which Citrix Metaframe for Windows, Citrix Presentation Server for Windows, Citrix
XenApp, Microsoft Terminal Services, or Microsoft Remote Desktop Services is installed.
PART 1: LICENSING PROVISIONS:
1. GRANT OF LICENSE.
A. Standard License. Subject to the terms of this agreement, OPEN TEXT grants you this non-exclusive license to install and use the SOFTWARE. The SOFTWARE is licensed to a
single user on a single COMPUTER. You may use the SOFTWARE on a CITRIX/TSE ENVIRONMENT provided that you have a licensed copy of SOFTWARE for each user and each
COMPUTER that can access that SOFTWARE through the CITRIX/TSE ENVIRONMENT. You may use the SOFTWARE on a network provided that you have a licensed copy of
SOFTWARE for each user and each COMPUTER that can access that SOFTWARE over the network. You may use the SOFTWARE and any related updates on the COMPUTER or the
COMPUTER that is connected to the CITRIX/TSE ENVIRONMENT while you possess and operate the COMPUTER only. A separate license agreement and fee are required for
additional COMPUTERS on which the SOFTWARE is installed, used or for additional users who can otherwise access the SOFTWARE. You may physically transfer the SOFTWARE
from one COMPUTER to another provided that you remove any copy(ies) of the SOFTWARE from the COMPUTER from which the SOFTWARE is being transferred. If the enclosed
SOFTWARE is permanently installed on a single COMPUTER and one person uses that COMPUTER more than 80% of the time it is in use, then that person may also install the
SOFTWARE on a portable or home COMPUTER.
If this SOFTWARE is OPEN TEXT evaluation SOFTWARE, then you are limited by the terms of this license and the expiration date of the SOFTWARE.
B. Open Text Exceed onDemand Named License. Subject to the terms of this agreement, OPEN TEXT grants you this non-exclusive license to install and use the SOFTWARE. Except
as otherwise provided herein, the server component of the SOFTWARE and Open Text Secure Shell (collectively the “ECS”) is licensed to a single COMPUTER (“Server”) or a single
Exceed Connection Server Cluster (“Cluster”). You may use the ECS and any related updates on the Server or Cluster while you posses and operate the Server or Cluster only. You may
physically transfer the ECS from one Server or Cluster to another provided that you remove any copy(ies) of the ECS from the Server or Cluster from which the ECS is being transferred.
Upon purchase of the SOFTWARE, OPEN TEXT shall issue a sequence of alphanumeric characters which represents the number of Open Text Exceed onDemand named licenses that
you have purchased (“Activation Key”). Each Activation Key may only be installed on one Server or Cluster. Except as otherwise provided herein the client component of the
SOFTWARE (“Exceed onDemand Client”) is licensed to a single named user. The access from the Exceed onDemand Client to the ECS is enforced through a list of named user identities
maintained on the ECS. When a user establishes a first connection from the Exceed onDemand Client to the ECS, the ECS will permanently grant an Open Text Exceed onDemand
Named License to this user. The ECS will stop granting Open Text Exceed onDemand Named Licenses to additional users when the number of Open Text Exceed onDemand Named
Licenses that have already been granted reaches the maximum number of Open Text Exceed onDemand Named Licenses based on your initial license purchase of the SOFTWARE and
any additional license purchase of the SOFTWARE. Subsequent connections from the Exceed onDemand Client to the ECS by the same named user and initiated from the same
COMPUTER will not require an additional Open Text Exceed onDemand Named License provided that the identity of this named user remains the same between the first connection and
the subsequent connections. You may use the Exceed onDemand Client and any related updates on the COMPUTER while you posses and operate the COMPUTER only. A separate
license agreement and fee are required for additional named users who wish to access the Server or Cluster.
If this SOFTWARE is OPEN TEXT evaluation SOFTWARE, then you are limited by the terms of this license and the expiration date of the SOFTWARE.
C. Open Text Exceed onDemand Server-Based License. Subject to the terms of this agreement, OPEN TEXT grants you this non-exclusive license to install and use the SOFTWARE.
Except as otherwise provided herein, the server component of the SOFTWARE and Open Text Secure Shell (collectively the “ECS”) is licensed to a single COMPUTER (“Server”) or a
single Exceed Connection Server Cluster (“Cluster”). You may use the ECS and any related updates on the Server or Cluster while you posses and operate the Server or Cluster only. You
may physically transfer the ECS from one Server or Cluster to another provided that you remove any copy(ies) of the ECS from the Server or Cluster from which the ECS is being
transferred. Upon purchase of the SOFTWARE, OPEN TEXT shall issue a sequence of alphanumeric characters which represents the number of Open Text Exceed onDemand ServerBased licenses that you have purchased (“Activation Key”). Each Activation Key may only be installed on one Server, Cluster or Exceed License Server. Except as otherwise provided
herein the client component of the SOFTWARE (“Exceed onDemand Client”) is licensed to be installed on as many COMPUTER as needed and to be used by as many users as needed.
You may use Exceed onDemand Client only to access ECS up to the allowable number of connections based on your initial license purchase of the SOFTWARE. A separate license
agreement and fee are required for additional Open Text Exceed onDemand Server-Based Licenses.
If this SOFTWARE is OPEN TEXT evaluation SOFTWARE, then you are limited by the terms of this license and the expiration date of the SOFTWARE.
D. Open Text NFS Gateway License. Subject to the terms of this agreement, OPEN TEXT grants you this non-exclusive license to install and use the SOFTWARE. Except as
otherwise provided herein, the SOFTWARE is licensed to a single COMPUTER (“Server”). You may use the SOFTWARE and any related updates on the Server. In the event that
multiple servers are used for load balancing, performance improvement or other operational performance improvements (each additional server other than the Server being referred to as a
“Node”), and connections may be made to a Node at the same time as the Server is functional, then additional licenses of the SOFTWARE are required for each Node in addition to the
Server. When you license the SOFTWARE, OPEN TEXT shall issue a sequence of alphanumeric characters (“Activation Key”) which represents the maximum number of computer
connections (“Client Connections”) that are permitted to simultaneously access each resource on the Network File System network shared by the SOFTWARE. Each Activation Key may
only be installed on one Server or Node. The number of Client Connections you are entitled to within each Server or Node is based on your initial license purchase of the SOFTWARE
and any additional license purchases of the SOFTWARE. A separate license agreement and fee are required for additional Client Connections, or additional COMPUTERS on which the
SOFTWARE is installed and/or used. You may physically transfer the SOFTWARE from one COMPUTER to another provided that you remove any copy(ies) of the SOFTWARE from
the COMPUTER from which the SOFTWARE is being transferred.
If this SOFTWARE is OPEN TEXT evaluation SOFTWARE, then you are limited by the terms of this license and the expiration date of the SOFTWARE.
E. Open Text NFS Server License. Subject to the terms of this agreement, OPEN TEXT grants you this non-exclusive license to install and use the SOFTWARE. Except as otherwise
provided herein, the SOFTWARE is licensed to a single COMPUTER (“Server”). You may use the SOFTWARE and any related updates on the Server. In the event that multiple servers
are used for load balancing, performance improvement or other operational performance improvements (each additional server other than the Server being referred to as a “Node”), and
connections may be made to a Node at the same time as the Server is functional, then additional licenses of the SOFTWARE are required for each Node, as well as for the Server. The
SOFTWARE allows an unlimited number of concurrent NFS clients operating on one or more networks to access an unlimited number of the following Windows resources shared on the
Server or Node: local drives, local directories, directories on the registered external disks, CD-ROMs, locally attached printers and network printer resources with a local print queue. A
separate license agreement and fee are required for additional COMPUTERS on which the SOFTWARE is used. You may physically transfer the SOFTWARE from one COMPUTER to
another provided that you remove any copy(ies) of the SOFTWARE from the COMPUTER from which the SOFTWARE is being transferred.
If this SOFTWARE is OPEN TEXT evaluation SOFTWARE, then you are limited by the terms of this license and the expiration date of the SOFTWARE.
F. Open Text Secure Server License. Subject to the terms of this agreement, OPEN TEXT grants you this non-exclusive license to install and use the SOFTWARE. Except as otherwise
provided herein, the SOFTWARE is licensed to a single COMPUTER (“Server”). You may use the SOFTWARE and any related updates on the Server. All connections to the
SOFTWARE on the Server initiated from the same COMPUTER using the same logon credentials shall constitute one client connection (“Client Connection”). Upon purchase of the
SOFTWARE, OPEN TEXT shall issue a sequence of alphanumeric characters which represents the maximum number of Client Connections that can be used simultaneously on a Server
at any given time. (“Activation Key”). Each Activation Key may only be installed on one Server. The number of Client Connections used at any given time cannot exceed the maximum
number of Client Connections based on your initial license purchase of the SOFTWARE and any additional license purchases of the SOFTWARE. A separate license agreement and fee

2. TITLE AND COPYRIGHT. The SOFTWARE (including any images, applets, photographs, animations, video, audio, music and text incorporated into the SOFTWARE) is owned
by OPEN TEXT or its suppliers and is protected by Canadian copyright laws and international treaty provisions. OPEN TEXT licenses you to make one copy only of the SOFTWARE
for backup purposes. Part of this SOFTWARE may have been developed by a third party software supplier, which holds copyright and other proprietary rights to the SOFTWARE.
3. RESTRICTIONS ON USE. This license is your proof of license to exercise the rights granted herein and must be retained by you. You may not: (i) transfer, sublicense, rent,
distribute or grant your rights in the SOFTWARE or in the license to others; (ii) electronically transfer the SOFTWARE from one computer to another (unless you obtain licenses from
OPEN TEXT for each of the COMPUTERS using the SOFTWARE); (iii) attempt in any way to determine the source code of the SOFTWARE, or modify, disassemble, reverse assemble,
or create derivative works based on the SOFTWARE; (iv) use the SOFTWARE in a time sharing or service bureau application; or (v) distribute this SOFTWARE outside of the country
in which the license was obtained. Use of software or hardware that reduces the number of users directly accessing or utilizing the server Software (sometimes called "multiplexing" or
"pooling" software or hardware) does not reduce the number of client Software licenses required; the required number of client licenses would equal the number of distinct inputs to the
front end of the multiplexing or pooling software or hardware. You agree to allow OPEN TEXT or its agent to inspect or conduct an independent audit from time to time on your use of
the SOFTWARE to verify your compliance to this agreement.
4. TERMINATION. You may terminate this license agreement at any time. OPEN TEXT reserves the right to terminate this license upon breach of these terms and conditions. In the
event of termination, you will either return all copies of the SOFTWARE to OPEN TEXT or, with OPEN TEXT’s prior consent, provide OPEN TEXT with a certificate of destruction of
all copies of the SOFTWARE.
5. LANGUAGE. The original of this agreement is in English. If it is translated into another language, the English language version shall prevail.
PART 2: LIMITED WARRANTY PROVISIONS:
1. SOFTWARE. Except as otherwise provided herein, OPEN TEXT warrants for a period of ninety (90) days from the date of purchase that the SOFTWARE will execute its
programming instructions in material conformance with the documentation when properly installed on the COMPUTER. Due to the complex nature of computer software, OPEN TEXT
does not warrant that the operation of the SOFTWARE will be uninterrupted or error free.
2. MEDIA. OPEN TEXT warrants the media upon which this SOFTWARE is recorded to be free of defects in materials and workmanship under normal use for a period of ninety (90)
days from the date of purchase.
3. REMEDIES. In the event this SOFTWARE fails to execute its programming instructions, or if any media proves to be defective during the warranty period, your remedy shall be to
return the media to OPEN TEXT for replacement. Should OPEN TEXT be unable to replace the media within a reasonable time, your alternative remedy shall be a refund of the purchase
price upon return of the product and all copies.
4. NOTICE OF WARRANTY CLAIMS. You must notify OPEN TEXT in writing of any warranty claim not later than thirty (30) days after the expiration of the warranty period.
5. NO OTHER WARRANTIES. To the maximum extent permitted by applicable law, OPEN TEXT disclaims all other warranties, either express or implied, including but not limited to
implied warranties of merchantability and fitness for a particular purpose, with respect to the software.
6. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. Notwithstanding any provision to the contrary in this agreement, OPEN TEXT shall not be liable to customer for any
indirect, special or consequential damages, whether in contract, tort or otherwise, arising in connection with this agreement or the use of the SOFTWARE by customer, including, without
limitation, any lost data, lost revenue or lost profits even if OPEN TEXT has been advised of the possibility of or could have foreseen such damages. Under no circumstances shall OPEN
TEXT’s cumulative liability to customer arising out of or related to this agreement, whether in contract, tort or otherwise, exceed the total software fees paid by customer to OPEN TEXT
hereunder.
7. JURISDICTION. This license is governed by the Laws of the Province of Ontario.
8. U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE and the documentation are “commercial items” as that term is defined in 48 C.F.R. 2.101 consisting of
“commercial computer software” and “commercial computer software documentation” as such terms are used in 48 C.F.R. 12.212. Consistent with 48 C.F.R. 12.212 and 48 C.F.R.
227.7202-1 through 227.7202-4, if the licensee hereunder is the U.S. Government or any agency or department thereof, the SOFTWARE and the documentation are licensed hereunder (i)
only as a commercial items, and (ii) with only those rights as granted to all other end users pursuant to the terms and conditions hereof.
9. MAINTENANCE AND SUPPORT. By licensing this Software, you have subscribed to OPEN TEXT maintenance and support and are required to pay the annual support and
maintenance fees. The initial term of maintenance and support is for a period of one (1) year; thereafter, the maintenance and support term renews automatically on the anniversary date
for successive one (1) year terms and you will be invoiced accordingly at the applicable rate, annually in advance, unless either party provides written notice of termination at least ninety
(90) days prior to the expiry of the then-current term.
10. GENERAL. To the extent permitted by law, the parties hereby agree that this agreement and all associated documents may be in the English language.
11. SUPPLEMENTARY LICENSING CONDITIONS. The following supplementary licensing conditions are hereby incorporated into and form part of this Agreement.
SUPPLEMENTARY LICENSING CONIDTIONS:
A.
If you are licensing Open Text Exceed XDK the following supplemental licensing conditions apply:
Redistribution of Open Text Exceed XDK Components.
Any application created with the components of the XDK may be distributed as long as it meets the following requirements:
a) The following executables and help files may be distributed with an application created via the X Development Kit: LOCALCON.EXE and LOCALCON.HLP.
b) The following executables and resource files may be distributed with an application created via the X Development Kit which uses the X Input Method: KINPUT2.EXE,
SJ3SERV.EXE, KINPUT2, SERVERRC, SJ3MAIN.DIC, VISUAL.DIC, SJHK, SJRC, SJRK, SJSB, and SJZH.
c) The following resource files may be distributed with an application created via the X Development Kit: XERRORDB, XKEYSYMDB, LOCALE.DIR,
LOCALE.ALIAS, COMPOSE.DIR, and all XLC_LOCALE files.
d) The following dynamic link libraries (DLLs) may not be distributed with any application created via the X Development Kit: XM.DLL, HCLMRM.DLL,
HCLMRM12.DLL, HCLMRM21.DLL, HCLXM.DLL, HCLXM12.DLL and HCLXM21.DLL. All other DLL files included with the X Development Kit may be
distributed with an application without having to obtain a prior written agreement.
e) The following static/import libraries may be linked with an application to be distributed: XLIB.LIB, HCLXMU.LIB, HCLXT.LIB, HCLXAW.LIB, HCLICE.LIB,
HCLSM.LIB, HCLXI.LIB, HCLXTST.LIB, HCLXM.LIB, HCLXIERT.LIB, HCLSHM.LIB, MRMSTAT.LIB, HCLUIL.LIB, XMSTATIC.LIB, XMSTATXT.LIB,
HUMXPM.LIB, and HUMXRENDER.LIB. The above list is subject to change without notice.
In order to distribute a derivative work or component of the XDK, which includes XM.DLL, HCLMRM.DLL, HCLMRM12.DLL, HCLMRM21.DLL, HCLXM.DLL,
HCLXM12.DLL and HCLXM21.DLL, or requires a component not listed above, you must first contact the Marketing Department at Open Text Corporation. and obtain a
written agreement.
B.
If you are licensing Open Text Exceed 3D, Open Text Exceed XDK, or Open Text Exceed PowerSuite, the following supplemental licensing conditions apply:
The contents of HCLGLX.DLL, HCLGLU.DLL, HCLGLUT.DLL, HCLAUX.DLL, HCLNURBS.DLL, LIBAUX.A, LIBGLU.A, LIBGLUT.A, LIBGLW.A, LIBGLX.A,
LIBNURBS.A, GLWSTATI.LIB, HCLAUX.LIB, HCLGLU.LIB, HCLGLX.LIB, HCLGLUT.LIB and HCLNURBS.LIB are subject to Sections 2, 3, 4, 7, 8, 10, 12 and 13

DEFINITIONEN:
SOFTWARE. Das/die beigefügte(n) OPEN TEXT-Software-Produkt(e) sowie die dazugehörigen Handbücher und Dokumentation.
Aktualisierungen und Wartungsversionen, die Ihnen von OPEN TEXT bereitgestellt werden.
Die SOFTWARE umfasst außerdem alle
COMPUTER. Ein einzelnes Computergerät, an dem Sie die SOFTWARE installieren und/oder nutzen, und zwar unabhängig von der Plattform oder Betriebsumgebung.
CITRIX/TSE-Umgebung. Ein einzelner COMPUTER oder ein einzelner COMPUTER-Cluster, auf dem Citrix Metaframe for Windows, Citrix Presentation Server for Windows, Citrix
XenApp, Microsoft Terminaldienste oder Microsoft Remotedesktop-Dienste installiert sind.
TEIL 1: LIZENZBEDINGUNGEN:
1. ERTEILUNG DER LIZENZ.
A. Standardlizenz. Gemäß den Bedingungen dieses Lizenzvertrags gewährt Ihnen OPEN TEXT diese nichtausschließliche Lizenz zur Installation und Verwendung der SOFTWARE.
Die SOFTWARE wird für einen einzigen Benutzer an einem einzigen COMPUTER lizenziert. Sie sind berechtigt, die SOFTWARE in einer CITRIX/TSE-Umgebung unter der Maßgabe
zu nutzen, daß Sie für jeden Benutzer und jeden Computer, der über die CITRIX/TSE-Umgebung auf die SOFTWARE zugreifen kann, über eine lizenzierte Kopie der SOFTWARE
verfügen. Sie dürfen die SOFTWARE unter der Maßgabe in einem Netzwerk nutzen, daß Sie für jeden Benutzer und jeden Computer, der über das Netzwerk auf die SOFTWARE
zugreifen kann, über eine lizenzierte Kopie der SOFTWARE verfügen. Sie dürfen die SOFTWARE und alle zugehörigen Aktualisierungen auf dem COMPUTER oder auf dem mit der
CITRIX/TSE-Umgebung verbundenen COMPUTER benutzen, während Sie ausschließlich den vorstehend genannten COMPUTER besitzen und betreiben. Für weitere COMPUTER, auf
denen die SOFTWARE installiert ist und verwendet werden soll, sowie für weitere Benutzer der SOFTWARE muß ein eigener Lizenzvertrag abgeschlossen und eine eigene Lizenzgebühr
entrichtet werden. Sie können die SOFTWARE von einem COMPUTER auf einen anderen übertragen, wenn Sie die Kopie der SOFTWARE von dem COMPUTER entfernen, von dem
die SOFTWARE übertragen werden soll. Wenn die mitgelieferte SOFTWARE dauerhaft auf einem einzigen COMPUTER installiert ist und dieser COMPUTER zu über 80 % von einem
einzigen Benutzer verwendet wird, darf dieser Benutzer die SOFTWARE auch auf einem Laptop oder Heimcomputer installieren.
Wenn es sich bei dieser SOFTWARE um eine Testversion von OPEN TEXT handelt, dürfen Sie die SOFTWARE nur gemäß den eingeschränkten Bedingungen dieses Lizenzvertrags und
bis zum Ablauf des Testzeitraums verwenden.
B. Open Text Exceed onDemand-Named-Lizenz. Gemäß den Bedingungen dieses Lizenzvertrags gewährt Ihnen OPEN TEXT diese nicht-exklusive Lizenz zur Installation und
Verwendung der SOFTWARE. Sofern in diesem Dokument nicht anders angegeben, ist die Server-Komponente der SOFTWARE mit Open Text Secure Shell („ECS“), für einen einzigen
COMPUTER („Server“) oder einen einzigen Exceed Connection Server-Cluster („Cluster“) lizenziert. Sie können den ECS und dazugehörige Aktualisierungen auf dem Server oder
Cluster auch verwenden, wenn Sie nur den Server oder Cluster besitzen und bedienen. Sie können den ECS von einem Server oder Cluster auf einen anderen übertragen, wenn S ie die
Kopie vom ECS von dem Server oder Cluster entfernen, von dem der ECS übertragen werden soll. Wenn Sie die SOFTWARE erwerben, veröffentlicht OPEN TEXT eine
alphanumerische Zeichenfolge, die die Anzahl der Open Text Exceed onDemand-Named-Lizenzen darstellt, die Sie erworben haben („Aktivierungsschlüssel“). Jeder
Aktivierungsschlüssel kann auf nur einem Server oder Cluster installiert werden. Sofern in diesem Dokument nicht anders angegeben, ist die Client-Komponente der SOFTWARE
(„Exceed onDemand Client“) für einen einzelnen, genannten Benutzer lizenziert. Der Zugriff vom Exceed onDemand Client auf den ECS wird über eine Liste von genannten
Benutzeridentitäten erzwungen, die auf dem ECS gepflegt wird. Wenn einer Benutzer zum ersten Mal eine Verbindung vom Exceed onDemand Client zum ECS herstellt, räumt der ECS
diesem einzelnen Benutzer eine permanente Open Text Exceed onDemand-Named-Lizenz ein. Wenn sich die Identität dieses einzelnen Benutzers bei darauffolgenden Verbindungen nicht
ändert, werden für darauffolgende Verbindungen desselben Benutzers vom Exceed onDemand Client zum ECS keine weiteren Open Text Exceed onDemand-Named-Lizenzen benötigt.
Der ECS räumt keine weiteren Open Text Exceed onDemand-Named-Lizenzen für zusätzliche Benutzer ein, wenn die Höchstzahl der bereits eingeräumten Open Text Exceed onDemandNamed-Lizenzen erreicht wurde. Dies richtet sich nach den ursprünglichen Kaufbedingungen und etwaigen weiteren erworbenen Lizenzen der SOFTWARE. Wenn sich die Identität
dieses genannten Benutzers bei darauf folgenden Verbindungen nicht ändert, wird für darauf folgende Verbindungen vom Exceed onDemand Client zum ECS desselben genannten
Benutzers, die vom selben COMPUTER eingeleitet werden, keine zusätzliche Open Text Exceed onDemand-Named-Lizenz benötigt. Sie können den Exceed onDemand Client und
dazugehörige Aktualisierungen auf dem COMPUTER verwenden, obwohl Sie nur den COMPUTER besitzen und bedienen. Für weitere genannte Benutzer, die auf den Server oder
Cluster zugreifen möchten, muss ein eigener Lizenzvertrag abgeschlossen und eine eigene Lizenzgebühr entrichtet werden.
Wenn es sich bei dieser SOFTWARE um eine Testversion von OPEN TEXT handelt, dürfen Sie die SOFTWARE nur gemäß den eingeschränkten Bedingungen dieses Lizenzvertrags und
bis zum Ablauf des Testzeitraums verwenden.
C. Open Text Exceed onDemand-Server-Based-Lizenz. Gemäß den Bedingungen dieses Lizenzvertrags gewährt Ihnen OPEN TEXT diese nicht-exklusive Lizenz zur Installation und
Verwendung der SOFTWARE. Sofern in diesem Dokument nicht anders angegeben, ist die Server-Komponente der SOFTWARE mit Open Text Secure Shell („ECS“), für einen einzigen
COMPUTER („Server“) oder einen einzigen Exceed Connection Server-Cluster („Cluster“) lizenziert. Sie können den ECS und dazugehörige Aktualisierungen auf dem Server oder
Cluster auch verwenden, wenn Sie nur den Server oder Cluster besitzen und bedienen. Sie können den ECS von einem Server oder Cluster auf einen anderen übertragen, wenn Sie die

Anzahl an Verbindungen für den Zugriff auf ECS nutzen. Diese richtet sich nach den ursprünglichen Kaufbedingungen der SOFTWARE. Für weitere Open TextExceed onDemandServer-Based-Lizenzen muss ein eigener Lizenzvertrag abgeschlossen und eine eigene Lizenzgebühr entrichtet werden.
Wenn es sich bei dieser SOFTWARE um eine Testversion von OPEN TEXT handelt, dürfen Sie die SOFTWARE nur gemäß den eingeschränkten Bedingungen dieses Lizenzvertrags und
bis zum Ablauf des Testzeitraums verwenden.
D. Open Text NFS Gateway-Lizenz. Gemäß den Bedingungen dieses Lizenzvertrags gewährt Ihnen OPEN TEXT diese nicht ausschließliche Lizenz zur Installation und Verwendung
der SOFTWARE. Sofern in diesem Dokument nicht anders angegeben, ist diese SOFTWARE für einen einzigen COMPUTER („Server“) lizenziert. Sie können diese SOFTWARE und
die dazugehörigen Aktualisierungen auf dem Server verwenden. Wenn mehrere Server für Lastenausgleich, Leistungsverbesserungen oder andere operative Leistungsverbesserungen
(jeder zusätzliche Server, der nicht als „Knoten“ bezeichnet ist) verwendet werden und Verbindungen zu einem Knoten hergestellt werden kann, während der Server funktionsfähig ist,
sind weitere SOFTWARE-Lizenzen für jeden Knoten zusätzlich zu dem Server erforderlich. Bei Lizenzierung der SOFTWARE vergibt OPEN TEXT eine alphanumerische Zeichenfolge
(„Aktivierungsschlüssel“), welche die maximale Anzahl der verbundenen Computer („Client-Verbindungen“) darstellt, die gleichzeitig auf die einzelnen von der SOFTWARE genutzten
Ressourcen innerhalb des NFS-Netzwerks (Network File System) zugreifen dürfen. Jeder Aktivierungsschlüssel kann auf nur einem Server oder Knoten installiert werden. Die Anzahl
der Client-Verbindungen, die Sie mit einem Server oder Knoten herstellen dürfen, richtet sich nach den ursprünglichen Kaufbedingungen der SOFTWARE und etwaigen weiteren
erworbenen Lizenzen für die SOFTWARE. Bei zusätzlichen Client-Verbindungen oder Computern, auf denen die SOFTWARE installiert ist bzw. verwendet wird, muss ein eigener
Lizenzvertrag abgeschlossen und eine eigene Lizenzgebühr entrichtet werden. Sie können die SOFTWARE von einem COMPUTER auf einen anderen übertragen, wenn Sie die Kopie(n)
der SOFTWARE von dem COMPUTER entfernen, von dem die SOFTWARE übertragen werden soll.
Wenn es sich bei dieser SOFTWARE um eine Testversion von OPEN TEXT handelt, dürfen Sie die SOFTWARE nur gemäß den eingeschränkten Bedingungen dieses Lizenzvertrags und
nur bis zum Ablauf des Testzeitraums verwenden.
E. Open Text NFS Server-Lizenz. Gemäß den Bedingungen dieses Lizenzvertrags gewährt Ihnen OPEN TEXT diese nicht ausschließliche Lizenz zur Installation und Verwendung der
SOFTWARE. Sofern in diesem Dokument nicht anders angegeben, ist diese SOFTWARE für einen einzigen COMPUTER („Server“) lizenziert. Sie können diese SOFTWARE und die
dazugehörigen Aktualisierungen auf dem Server verwenden. Wenn mehrere Server für Lastenausgleich, Leistungsverbesserungen oder andere operative Leistungsverbesserungen (jeder
zusätzliche Server, der nicht als „Knoten“ bezeichnet ist) verwendet werden und Verbindungen zu einem Knoten hergestellt werden kann, während der Server funktionsfähig ist, sind
weitere SOFTWARE-Lizenzen für jeden Knoten zusätzlich zu dem Server erforderlich. Die SOFTWARE erlaubt einer unbegrenzten Anzahl von gleichzeitigen NFS-Clients auf einem
oder mehreren Netzwerken den Zugriff auf eine unbegrenzte Anzahl der folgenden auf dem Server oder Knoten freigegebenen Windows-Ressourcen: lokale Laufwerke, lokale

Verzeichnisse, Verzeichnisse auf den registrierten externen Festplatten, CD-ROMs, lokal angeschlossene Drucker und Netzwerkdruckerressourcen mit einer lokalen Druckwarteschlange.
Für weitere COMPUTER, auf denen die SOFTWARE verwendet wird, muss ein eigener Lizenzvertrag abgeschlossen und eine eigene Lizenzgebühr entrichtet werden. Sie können die
SOFTWARE von einem COMPUTER auf einen anderen übertragen, wenn Sie die Kopie(n) der SOFTWARE von dem COMPUTER entfernen, von dem die SOFTWARE übertragen
werden soll.
Wenn es sich bei dieser SOFTWARE um eine Testversion von OPEN TEXT handelt, dürfen Sie die SOFTWARE nur gemäß den eingeschränkten Bedingungen dieses Lizenzvertrags und
nur bis zum Ablauf des Testzeitraums verwenden.
F. Open Text Secure Server-Lizenz. Gemäß den Bedingungen dieses Lizenzvertrags gewährt Ihnen OPEN TEXT diese nicht ausschließliche Lizenz zur Installation und Verwendung
der SOFTWARE. Sofern in diesem Dokument nicht anders angegeben, ist diese SOFTWARE für einen einzigen COMPUTER („Server“) lizenziert. Sie können diese SOFTWARE und
die dazugehörigen Aktualisierungen auf dem Server verwenden. Alle Verbindungen zu der SOFTWARE auf dem Server, die von demselben COMPUTER mit denselben
Anmeldereferenzen initiiert werden, gelten als Client-Verbindung („Client-Verbindung“). Wenn Sie die SOFTWARE erwerben, gibt OPEN TEXT eine alphanumerische Zeichenfolge

2. EIGENTUMSRECHT UND COPYRIGHT. Die SOFTWARE (einschließlich aller Bilder, Applets, Animationen, Videos, audiovisuellen Elemente, Musikstücke und Texte, die in
die SOFTWARE integriert sind) ist Eigentum von OPEN TEXT oder ihren Lieferanten und ist durch kanadisches Urheberrecht sowie die Bestimmungen aus internationalen Verträgen
geschützt. OPEN TEXT erteilt Ihnen die Lizenz, lediglich eine Kopie der SOFTWARE für Sicherungszwecke zu erstellen. Teile dieser SOFTWARE wurden eventuell von einem dritten
Softwarelieferanten entwickelt, der die Urheber- und andere ausschließlichen Rechte an der SOFTWARE besitzt.
3. NUTZUNGSBESCHRÄNKUNGEN. Diese Lizenz ist Ihr Nachweis für die Genehmigung, die hier eingeräumten Rechte wahrzunehmen, und muss von Ihnen aufbewahrt werden. Sie
dürfen keinesfalls (i) Ihre Rechte an der SOFTWARE oder unter der Lizenz übertragen, als Unterlizenz vergeben, vermieten, vertreiben oder anderen einräumen, (ii) die SOFTWARE auf

einzuräumen, Ihre Nutzung der SOFTWARE von Zeit zu Zeit zu kontrollieren oder diesbezüglich eine unabhängige Untersuchung durchzuführen, um die Einhaltung dieses
Lizenzvertrags zu überprüfen.
4. KÜNDIGUNG. Sie können diesen Lizenzvertrag jederzeit kündigen. OPEN TEXT behält sich das Recht vor, den Lizenzvertrag bei Verletzung dieser Bedingungen zu kündigen. Im

5. SPRACHE. Das Original dieses Vertrags ist in Englisch abgefasst. Wenn der Vertrag in eine andere Sprache übersetzt wird, ist die englischsprachige Version maßgebend.
TEIL 2: BESTIMMUNGEN ZUR BESCHRÄNKTEN GARANTIE:
1. SOFTWARE. Sofern in diesem Dokument nicht ausdrücklich andere Regelungen enthalten sind, gewährleistet OPEN TEXT für einen Zeitraum von neunzig (90) Tagen ab dem
Kaufdatum, dass die SOFTWARE ihre Programmierinstruktionen im wesentlichen im Einklang mit der Dokumentation ausführt, sofern sie ordnungsgemäß auf dem COMPUTER
installiert wurde. Aufgrund der komplexen Struktur von Computersoftware gewährleistet OPEN TEXT nicht, dass die Ausführung der Software ohne Unterbrechung oder fehlerfrei
erfolgt.
2. MEDIEN. OPEN TEXT gewährleistet für einen Zeitraum von neunzig (90) Tagen ab dem Kaufdatum, dass die Datenträger, auf denen diese SOFTWARE aufgezeichnet wurde, bei
normaler Nutzung frei von Mängeln in Material und Herstellung sind.
3. RECHTSMITTEL. Für den Fall, dass diese SOFTWARE ihre Programmierinstruktionen nicht ausführen kann oder dass sich einer der Datenträger als defekt erweist, und zwar
jeweils innerhalb der Gewährleistungsfrist, haben Sie lediglich das Recht, die Datenträger zum Zwecke eines Ersatzes an OPEN TEXT zurückzugeben. Falls OPEN TEXT nicht in der
Lage ist, die Datenträger innerhalb einer angemessenen Frist zu ersetzen, besteht Ihr alternatives Recht in der Erstattung des Kaufpreises nach Rückgabe des Produkts und aller Kopien.
4. ANZEIGE VON GEWÄHRLEISTUNGSANSPRÜCHEN. Sie müssen OPEN TEXT spätestens dreißig (30) Tage nach Ablauf der Gewährleistungsfrist jeden
Gewährleistungsanspruch schriftlich anzeigen.
5. KEINE SONSTIGEN GEWÄHRLEISTUNGEN. Soweit gesetzlich zulässig, schließt OPEN TEXT alle sonstigen ausdrücklichen oder stillschweigenden Gewährleistungen für die
Software aus, unter anderem einschließlich der Gewährleistung der Wirtschaftlichkeit und Eignung für einen speziellen Zweck.
6. KEINE HAFTUNG FÜR FOLGESCHÄDEN. Unbeschadet anderer gegenteiliger Bestimmungen in diesem Lizenzvertrag haftet OPEN TEXT Kunden gegenüber keinesfalls für
mittelbare oder besondere Schäden oder für Folgeschäden - weder aus Vertrag noch aus unerlaubter Handlung oder aus einem sonstigen Rechtsgrund - die in Zusammenhang mit diesem

7. RECHTSWAHL. Dieser Lizenzvertrag unterliegt dem Recht der Provinz Ontario.
8. BESCHRÄNKTE RECHTE DER REGIERUNG DER USA. Bei der Software und der Dokumentation handelt es sich um "Handelsgüter" im Sinne der Definition in 48 C.F.R.
2.101, die sich aus "handelsüblicher Computersoftware" und "handelsüblicher Dokumentation zu Computersoftware" im Sinne der Definitionen aus 48 C.F.R. 12.212 zusammensetzen.
Gemäß 48 C.F.R. 12.212 und 48 C.F.R. 227.7202-1 bis 227.7202-4 gilt, sofern es sich bei dem Lizenznehmer unter diesem Lizenzvertrag um die Regierung der USA oder eine Behörde
oder ein Ministerium unter ihrer Zuständigkeit handelt, dass die SOFTWARE und die Dokumentation unter diesem Lizenzvertrag (i) einzig als Handelsgüter lizenziert werden und (ii) nur
mit den Rechten, die allen anderen Endbenutzern gemäß diesem Lizenzvertrag lizenziert werden.
9. KUNDENDIENST UND SUPPORT. Durch die Lizenzierung dieser Software haben Sie sich für das Wartungs- und Support-Angebot von OPEN TEXT angemeldet und sind
verpflichtet, die jährlichen Wartungs- und Support-Gebühren zu entrichten. Der Wartungs- und Support-Vertrag läuft zunächst für ein (1) Jahr. Er wird anschließend um ein (1) weiteres
Jahr verlängert, sofern nicht eine der beiden Parteien den aktuell gültigen Vertrag mindestens neunzig (90) Tage vor Ablauf schriftlich kündigt. Sie erhalten im Voraus eine Rechnung
über den jährlichen Beitrag.
10. ALLGEMEINES. Soweit gesetzlich zulässig, vereinbaren die Parteien hiermit, dass dieser Lizenzvertrag in deutscher Sprache abgefasst wird und alle dazugehörigen Dokumente in
englischer Sprache abgefasst werden können.
11. ZUSÄTZLICHE LIZENZBESTIMMUNGEN. Die folgenden zusätzlichen Lizenzbestimmungen sind hiermit in diesen Vertrag integriert und stellen einen Teil dieses Vertrags dar.
ZUSÄTZLICHE LIZENZBESTIMMUNGEN:

Bei der Lizenzierung von Open Text Exceed XDK gelten die folgenden zusätzlichen Lizenzbestimmungen:
Weitervertrieb von Komponenten des Open Text Exceed XDK.
Jede Anwendung, die mit den Komponenten des XDK erstellt wird, kann vertrieben werden, sofern die folgenden Voraussetzungen erfüllt sind:
a) Die folgenden ausführbaren Dateien und Hilfedateien können mit einer Anwendung vertrieben werden, die mit dem X Development Kit erstellt wurde: LOCALCON.EXE und
LOCALCON.HLP.
b) Die folgenden ausführbaren Dateien und Betriebsmitteldateien können mit einer Anwendung, die mit dem X Development Kit unter Nutzung der X-Eingabemethode erstellt

d) Die folgenden dynamischen Linkbibliotheken (DLLs) dürfen nicht mit einer Anwendung, die mit dem X Development Kit erstellt wurde, vertrieben werden: XM.DLL,

LOGICIEL via le réseau. Vous pouvez utiliser le LOGICIEL et les mises à jour associées sur l'ORDINATEUR ou l'ORDINATEUR connecté à l'ENVIRONNEMENT CITRIX/TSE
lorsque vous possédez et utilisez uniquement l'ORDINATEUR. Pour installer et utiliser le LOGICIEL sur des ORDINATEURS supplémentaires ou pour permettre à des utilisateurs
supplémentaires d'accéder au LOGICIEL, vous devez vous procurer un Contrat de Licence supplémentaire et vous acquitter d'une redevance supplémentaire. Vous pouvez transférer
physiquement le LOGICIEL d'un ORDINATEUR à un autre, dès lors que vous supprimez toute copie du LOGICIEL se trouvant sur l'ORDINATEUR à partir duquel le LOGICIEL est
transféré. Si le LOGICIEL est installé de façon permanente sur un ORDINATEUR et si une personne utilise cet ORDINATEUR à plus de 80 % de son temps d'utilisation, cette personne
peut également installer le LOGICIEL sur un ORDINATEUR portable ou personnel.
S'il s'agit d'une version d'évaluation du LOGICIEL OPEN TEXT, vous devez vous conformer aux dispositions du présent Contrat de Licence et à la date d'expiration du LOGICIEL.
B. Licence fixe Open Text Exceed onDemand. Conformément aux termes de cet accord, OPEN TEXT vous concède une licence non exclusive pour l'installation et l’utilisation de ce
LOGICIEL. Sauf indication contraire dans le présent document, la licence concédée pour le composant serveur du LOGICIEL avec Open Text Secure Shell (« ECS »), est prévue pour un
seul ORDINATEUR (« Serveur ») ou un seul cluster Exceed Connection Server (« Cluster »). Vous pouvez utiliser le serveur ECS et toute mise à jour du Serveur ou du Cluster, dès lors
que le serveur ou le cluster est en votre possession et sous votre contrôle. Vous pouvez transférer physiquement le serveur ECS d'un Serveur ou d'un Cluster à un autre, dès lors que vous
supprimez toute copie du serveur ECS se trouvant sur le Serveur ou le Cluster à partir duquel le serveur ECS est transféré. Dès l'acquisition du LOGICIEL, une séquence de caractères
alphanumériques vous sera communiquée par OPEN TEXT, représentant le nombre de licences Open Text Exceed onDemand que vous avez achetées (« clé d'activation »). Chaque Clé
d'Activation ne peut être installée que sur un Serveur ou Cluster. Sauf indication contraire dans le présent document, la licence du composant client du LOGICIEL (« Exceed onDemand
Client ») est concédée à un seul utilisateur identifié. L'accès à ECS à partir de Exceed onDemand Client s'effectue via une liste d'utilisateurs identifiés tenue à jour sur ECS. Lorsqu'un
utilisateur établit une première connexion à partir du Client Exceed onDemand au serveur ECS, ce dernier accorde une licence permanente d'Open Text Exceed onDemand à cet utilisateur
unique. Le serveur ECS n'accordera pas de licence Open Text Exceed onDemand à des utilisateurs supplémentaires lorsque le nombre de licences Open Text Exceed onDemand déjà
concédées atteint le maximum autorisé, selon l'acquisition initiale de licences du LOGICIEL et toute acquisition supplémentaire du LOGICIEL par la suite. Les connexions suivantes à
serveur ECS à partir de Open Text Exceed onDemand Client par ces utilisateurs identifiés et établies à partir de l'ORDINATEUR ne nécessiteront pas une licence supplémentaire d'Open
Text Exceed onDemand, dès lors que l'identité des dits utilisateurs identifiés demeure la même, de la première connexion aux connexions suivantes. Vous pouvez utiliser Exceed
onDemand Client et les éventuelles mises à jour sur l'ORDINATEUR que vous possédez et utilisez uniquement. Une redevance et un contrat de licence distincts sont requis pour les
utilisateurs identifiés supplémentaires souhaitant accéder au Serveur ou au Cluster.
S'il s'agit d'une version d'évaluation du LOGICIEL OPEN TEXT, vous devez vous conformer aux dispositions du présent Contrat de Licence et à la date d'expiration du LOGICIEL.
C. Licence pour Serveur Open Text Exceed onDemand. Conformément aux termes de cet accord, OPEN TEXT vous concède une licence non exclusive pour l'installation et
l’utilisation de ce LOGICIEL. Sauf indication contraire dans le présent document, la licence concédée pour le composant serveur du LOGICIEL avec Open Text Secure Shell (« ECS »),
est prévue pour un seul ORDINATEUR (« Serveur ») ou un seul cluster Exceed Connection Server (« Cluster »). Vous pouvez utiliser le serveur ECS et toute mise à jour du Serveur ou
du Cluster, dès lors que le serveur ou le cluster est en votre possession et sous votre contrôle. Vous pouvez transférer physiquement le serveur ECS d'un Serveur ou d'un Cluster à un autre,
dès lors que vous supprimez toute copie du serveur ECS se trouvant sur le Serveur ou le Cluster à partir duquel le serveur ECS est transféré. Dès l'acquisition du LOGICIEL, une séquence
de caractères alphanumériques vous sera communiquée par OPEN TEXT, représentant le nombre de licences Open Text Exceed onDemand pour Serveur que vous avez achetées (« clé
d'activation »). Chaque clé d'activation peut uniquement être installée sur un Serveur, Cluster ou serveur de licence Exceed. Sauf indicat ion contraire dans le présent document, la licence
concédée pour le composant client du LOGICIEL (« Exceed onDemand Client ») est prévue pour autant d'ORDINATEURS que nécessaire et pour autant d'utilisateurs que nécessaire. Le
nombre de connexions autorisé pour accéder à ECS à l'aide d'Exceed onDemand Client dépend de votre acquisition de licence initiale du LOGICIEL. Une redevance et un contrat de
licence distincts sont requis pour les licences supplémentaires pour Serveur Open Text Exceed onDemand.
S'il s'agit d'une version d'évaluation du LOGICIEL OPEN TEXT, vous devez vous conformer aux dispositions du présent Contrat de Licence et à la date d'expiration du LOGICIEL.
D. Licence Open Text NFS Gateway. Sous réserve des dispositions du présent Contrat, OPEN TEXT vous concède une licence non exclusive d'installation et d’utilisation de ce
LOGICIEL. Sauf indication contraire dans le présent Contrat de Licence, la licence concédée pour ce LOGICIEL est prévue pour un seul ORDINATEUR (« Serveur »). Vous pouvez
utiliser le LOGICIEL et les éventuelles mises à jour sur le Serveur. Si de multiples serveurs sont utilisés pour équilibrer les charges, augmenter les performances ou améliorer d'autres
performances de fonctionnement (chaque serveur supplémentaire autre que le Serveur étant dénommé « Nœud ») et que des connexions sont effectuées sur un Nœud pendant que le
Serveur fonctionne, des licences supplémentaires du LOGICIEL sont requises pour chaque Nœud ajouté au Serveur. Dès l'acquisition de la licence du LOGICIEL, une séquence de
caractères alphanumériques vous sera communiquée par OPEN TEXT (« Clé d'activation ») représentant le nombre de connexions (« Connexions client ») qui peuvent être utilisées
simultanément sur le système de fichiers réseau partagé par le LOGICIEL. Chaque Clé d'Activation ne peut être installée que sur un Serveur ou Nœud. Le nombre de Connexions client
autorisé pour chaque Serveur ou Nœud dépend de votre acquisition de licence initiale et des éventuelles acquisitions supplémentaires du LOGICIEL. Pour les Connexions client
supplémentaires ou pour les ORDINATEURS supplémentaires sur lesquels le LOGICIEL est installé et/ou utilisé, vous devez vous procurer un contrat de licence distinct et vous acquitter
d'une redevance distincte. Vous pouvez transférer physiquement le LOGICIEL d'un ORDINATEUR à un autre, dès lors que vous supprimez toute copie du LOGICIEL se trouvant sur
l'ORDINATEUR à partir duquel le LOGICIEL est transféré.
S'il s'agit d'une version d'évaluation du LOGICIEL OPEN TEXT, vous devez vous conformer aux dispositions du présent Contrat de Licence et à la date d'expiration du LOGICIEL.
E. Licence pour Open Text NFS Server. Sous réserve des dispositions du présent Contrat, OPEN TEXT vous concède une licence non exclusive d'installation et d’utilisation de ce
LOGICIEL. Sauf indication contraire dans le présent Contrat de Licence, la licence concédée pour ce LOGICIEL est prévue pour un seul ORDINATEUR (« Serveur »). Vous pouvez
utiliser le LOGICIEL et les éventuelles mises à jour sur le Serveur. Si de multiples serveurs sont utilisés pour équilibrer les charges, augmenter les performances ou améliorer d'autres
performances de fonctionnement (chaque serveur supplémentaire autre que le Serveur étant dénommé « Nœud ») et que des connexions sont effectuées sur un Nœud pendant que le
Serveur fonctionne, des licences supplémentaires du LOGICIEL sont requises pour chaque Nœud ajouté au Serveur. Le LOGICIEL permet à un nombre illimité de clients NFS simultanés,
exécutés sur un ou plusieurs réseaux, d'accéder à un nombre illimité de ressources Windows indiquées ci-après, partagées sur le Serveur ou le Nœud : lecteurs locaux, répertoires locaux,
répertoires sur des disques externes enregistrés, CD-ROM, imprimantes connectées localement et ressources pour imprimantes réseau dotées d'une file d'attente d'impression locale. Pour
ajouter des ORDINATEURS sur lesquels le LOGICIEL est utilisé, vous devez vous procurer un Contrat de Licence supplémentaire et vous acquitter d'une redevance supplémentaire.
Vous pouvez transférer physiquement le LOGICIEL d'un ORDINATEUR à un autre, dès lors que vous supprimez toute copie du LOGICIEL se trouvant sur l'ORDINATEUR à partir
duquel le LOGICIEL est transféré.
S'il s'agit d'une version d'évaluation du LOGICIEL OPEN TEXT, vous devez vous conformer aux dispositions du présent Contrat de Licence et à la date d'expiration du LOGICIEL.

F. Licence Open Text Secure Server. Sous réserve des dispositions du présent Contrat, OPEN TEXT vous concède une licence non exclusive d'installation et d’utilisation de ce
LOGICIEL. Sauf indication contraire dans le présent Contrat de Licence, la licence concédée pour ce LOGICIEL est prévue pour un seul ORDINATEUR (« Serveur »). Vous pouvez
utiliser le LOGICIEL et les éventuelles mises à jour sur le Serveur. Toutes les connexions au LOGICIEL sur le Serveur établies à partir de l'ORDINATEUR et par des utilisateurs
identifiés ne nécessiteront pas de licence supplémentaire (« Connexion client »). Dès l'acquisition du LOGICIEL, une séquence de caractères alphanumériques vous sera communiquée
par OPEN TEXT, représentant le nombre de Connexions client qui peuvent être utilisées simultanément sur un Serveur ou un Nœud à tout moment .(« Clé d'Activation »). Chaque Clé
d'Activation ne peut être installée que sur un Serveur. Le nombre de Connexions client utilisé à tout moment ne peut dépasser le nombre maximum de Connexions client autorisées dans
le cadre de votre acquisition initiale de licences d'utilisation du LOGICIEL et des éventuelles acquisitions supplémentaires du LOGICIEL. Pour les Connexions client supplémentaires ou
pour utiliser et/ou installer le LOGICIEL sur des ORDINATEURS supplémentaires, vous devez vous procurer un Contrat de Licence distinct et vous acquitter d'une redevance distincte.
Vous pouvez transférer physiquement le LOGICIEL d'un ORDINATEUR à un autre, dès lors que vous supprimez toute copie du LOGICIEL se trouvant sur l'ORDINATEUR à partir
duquel le LOGICIEL est transféré.
S'il s'agit d'une version d'évaluation du LOGICIEL OPEN TEXT, vous devez vous conformer aux dispositions du présent Contrat de Licence et à la date d'expiration du LOGICIEL.
2. DROIT DE PROPRIETE INTELLECTUELLE. Le LOGICIEL (y compris les images, les micro-programmes, les photographies, les animations, les vidéos, les sons, les musiques et
les textes intégrés) est la propriété de OPEN TEXT ou de ses fournisseurs et est, à ce titre, protégé par les lois du Canada et les traités internationaux relatifs au droit d'auteur. OPEN
TEXT vous concède le droit d'effectuer une seule copie de ce LOGICIEL à des fins de sauvegarde. Sur les parties du LOGICIEL qui ont été développées par un fournisseur de logiciels
tiers, ce dernier conserve ses droits d'auteur et autres droits de propriété.
3. RESTRICTIONS D'UTILISATION. Cette licence, qui constitue une preuve de votre droit d'exercer les droits qui vous sont concédés en vertu du présent Contrat de Licence, doit être
conservée par vos soins. Vous ne pouvez pas : (i) transférer, sous-licencier, louer, distribuer ni concéder vos droits sur le LOGICIEL ou sur la présente licence à des tiers ; (ii) transférer
par voie électronique le LOGICIEL d'un ordinateur à un autre (excepté si vous obtenez de OPEN TEXT une licence d'utilisation du LOGICIEL pour chacun des ORDINATEURS) ; (iii)
tenter d'accéder au code source du LOGICIEL, de modifier, de désassembler ou de décompiler le LOGICIEL ou d'en créer des œuvres dérivées ; (iv) utiliser le LOGICIEL en temps
partagé ou en service bureau ; (v) distribuer ce LOGICIEL en dehors du pays pour lequel la présente licence vous a été concédée. L'utilisation de logiciels ou de matériel permettant de
réduire le nombre d'utilisateurs qui accèdent ou utilisent directement le Logiciel serveur (parfois appelés logiciels ou matériel de “ multiplexing ” ou de “ pooling ”) ne doivent pas avoir
pour effet de réduire le nombre effectif de licences de Logiciel client requis ; étant précisé que le nombre de licences de Logiciel client sera toujours égal au nombre d'utilisateurs tel qu'il
apparaît avant utilisation des logiciels et du matériel de “ multiplexing ” ou de “ pooling ”. Vous acceptez que OPEN TEXT ou ses agents puissent, à leur convenance, contrôler ou faire
réaliser un audit, en vue de s'assurer que vous utilisez le LOGICIEL conformément aux dispositions du présent contrat.
4. RESILIATION. Vous pouvez à tout moment résilier le présent contrat de licence. OPEN TEXT se réserve le droit de résilier le présent contrat de licence en cas de manquement à ses
dispositions. En cas de résiliation, vous devrez, soit retourner à OPEN TEXT toutes les copies du LOGICIEL, soit, avec l'accord préalable de OPEN TEXT, fournir à OPEN TEXT une
attestation certifiant que vous avez détruit toutes les copies du LOGICIEL.
5. LANGUE. L'original du présent Contrat a été rédigé en langue anglaise. En cas de traduction dans une autre langue, la version anglaise prévaut.
PARTIE 2 : LIMITATION DE GARANTIES
1. LE LOGICIEL. Sauf indication contraire dans le présent Contrat de licence, OPEN TEXT garantit, pendant un délai de quatre vingt dix (90) jours à compter de la date d'acquisition,
que le LOGICIEL, correctement installé sur l'ORDINATEUR, exécutera ses programmes conformément à sa documentation. En raison de la nature complexe d'un programme
informatique, OPEN TEXT ne garantit pas que le LOGICIEL fonctionnera de manière ininterrompue ou est exempt d'erreurs.
2. LE SUPPORT. OPEN TEXT garantit que le support, dans des conditions d'utilisation normale, sur lequel le LOGICIEL est enregistré, est exempt de défauts ou de vice de fabrication,
pendant un délai de quatre vingt dix (90) jours à compter de la date d'acquisition.
3. RECOURS. En cas de défaillance du LOGICIEL dans l’exécution de ses programmes ou de défectuosité d'un support pendant la période de garantie, vous devrez retourner le support à
OPEN TEXT pour en obtenir le remplacement. Si OPEN TEXT n'est pas en mesure de remplacer le support dans un délai raisonnable, vous pourrez obtenir le remboursement du prix de
la redevance de licence dès retour du LOGICIEL et de toutes ses copies.
4. NOTIFICATIONS POUR TOUT RECOURS EN GARANTIE. Vous devez notifier tout recours en garantie à OPEN TEXT par écrit et au plus tard dans les trente (30) jours suivant
la date d'expiration de la période de garantie.
5. EXCLUSION D'AUTRES GARANTIES. Dans les limites autorisées par la loi applicable, OPEN TEXT exclut toute autre garantie concernant le LOGICIEL, qu'elle soit expresse ou
implicite, y compris notamment, toute garantie implicite de qualité marchande et de convenance à un usage particulier.
6. EXCLUSION DE RESPONSABILITE POUR LES DOMMAGES CONSECUTIFS. Nonobstant toute disposition contraire du présent Contrat de Licence, OPEN TEXT n'est en
aucun cas légalement responsable envers le client de tout dommage indirect, spécial ou consécutif, quel que soit son fondement contractuel, délictuel ou autre, concernant l'exécution du
présent contrat ou l'utilisation du LOGICIEL par le client, y compris notamment toute perte de données, perte de chiffre d'affaires ou de bénéfices, même si OPEN TEXT a été informé de
l'éventualité de tels dommages ou aurait pu les prévoir. En aucun cas, toutes causes de responsabilité confondues, la responsabilité de OPEN TEXT résultant du présent contrat, qu'elle soit
de nature contractuelle, délictuelle ou autre, ne pourra excéder le montant total des redevances d'utilisation du LOGICIEL payé par le client à OPEN TEXT au titre du présent contrat.
7. JURIDICTION. Le présent contrat de licence est régi par le droit de la Province de l'Ontario (Canada).
8. DROITS LIMITES DU GOUVERNEMENT AMERICAIN. Le LOGICIEL et sa documentation sont des “ produits destinés au commerce ”, au sens de l'article 48 C.F.R. 2.101, se
composant de “ programmes informatiques destinés au commerce ” et de “ documentations de programmes informatiques destinés au commerce ” au sens de l'article 48 C.F.R. 12.212.
Conformément aux articles 48 C.F.R. 12.212 et 48 C.F.R. 227.7202-1 à 227.7202-4, si le licencié est le Gouvernement américain ou toute agence ou service de celui-ci, le LOGICIEL et
la documentation sont concédés sous licence en vertu du présent Contrat de Licence (i) uniquement en tant que produits destinés au commerce et (ii) avec des droits, tels que prévus aux
présentes, identiques à ceux concédés à tous les autres utilisateurs.
9. MAINTENANCE ET ASSISTANCE TECHNIQUE. En acceptant la licence de ce logiciel, vous reconnaissez avoir souscrit aux services de maintenance et d’assistance technique de
OPEN TEXT et de ce fait devoir payer des frais de maintenance et d’assistance technique annuels. Les services de maintenance et d’assistance technique sont garantis pour une durée
d’une (1) année, au terme de laquelle ils sont renouvelés automatiquement pour une (1) année supplémentaire. Ce renouvellement, qui se fait tous les ans à la date anniversaire de votre
souscription, vous sera facturé un an à l’avance au tarif en vigueur, à moins que l’une des parties n’exprime par écrit et au moins quatre-vingt dix (90) jours avant la date d’expiration du
contrat annuel sa volonté de mettre un terme à cette souscription.
10. GENERALITES. Dans la limite autorisée par la loi, les parties acceptent que cet accord et tous les documents associés soient rédigés en langue française.
11. CONDITIONS DE LICENCE SUPPLÉMENTAIRES. Les conditions de licence supplémentaires suivantes sont incluses dans le présent Contrat et en font partie intégrante.
CONDITIONS DE LICENCE SUPPLEMENTAIRES :

Toute application créée à l'aide des composants de XDK peut être distribuée dans la mesure où elle répond aux exigences suivantes :
a) Les fichiers exécutables et les fichiers d'aide suivants peuvent être distribués en même temps qu'une application créée avec le kit de développement X Developement Kit:
LOCALCON.EXE et LOCALCON.HLP.
a) Les fichiers exécutables et les fichiers de ressources suivants peuvent être distribués en même temps qu'une application créée avec le kit de développement X Developement Kit :

XKEYSYMDB, LOCALE.DIR, LOCALE.ALIAS, COMPOSE.DIR et tous les fichiers XLC_LOCALE.
d) Les fichiers de type DLL suivants (Dynamic Link Libraries) ne peuvent pas être distribués en même temps qu'une application créée avec le kit de développement X
Developement Kit : XM.DLL, HCLMRM.DLL, HCLMRM12.DLL, HCLMRM21.DLL, HCLXM.DLL, HCLXM12.DLL et HCLXM21.DLL. Tous les autres fichiers de type
DLL inclus dans le kit de développement X Developement Kit peuvent être distribués en même temps qu'une application, sans l'accord écrit et préalable de OPEN TEXT.
e) Les bibliothèques statiques/d’importation suivantes peuvent être liées à une application qui peut être distribuée : XLIB.LIB, HCLXMU.LIB, HCLXT.LIB, HCLXAW.LIB,
HCLICE.LIB, HCLSM.LIB, HCLXI.LIB, HCLXTST.LIB, HCLXM.LIB, HCLXIERT.LIB, HCLSHM.LIB, MRMSTAT.LIB, HCLUIL.LIB, XMSTATIC.LIB, XMSTATXT.LIB,
HUMXPM.LIB et HUMXRENDER.LIB. La liste ci-dessus est susceptible d’être modifiée sans préavis.
Pour distribuer une œuvre dérivée ou un composant du kit XDK, qui inclut les fichiers XM.DLL, HCLMRM.DLL, HCLMRM12.DLL, HCLMRM21.DLL, HCLXM.DLL,
HCLXM12.DLL et HCLXM21.DLL, ou qui requiert un composant non mentionné ci-dessus, vous devez au préalable contacter le Service Marketing de Open Text Corporation et
obtenir un accord écrit.

AMBIENTE CITRIX/TSE. Un singolo COMPUTER o un singolo cluster di COMPUTER su cui è installato Citrix Metaframe for Windows, Citrix Presentation Server for Windows,
Citrix XenApp, i Servizi terminal di Microsoft o i Servizi Desktop remoto di Microsoft.
PARTE 1: CLAUSOLE RELATIVE ALLA LICENZA:
1. CONCESSIONE DELLA LICENZA.
A. Licenza standard. In conformità ai termini del presente accordo, OPEN TEXT concede all'utente la licenza non esclusiva per l'installazione e l'uso del SOFTWARE. Il SOFTWARE
viene concesso in licenza a un singolo utente per un singolo COMPUTER. È possibile utilizzare il SOFTWARE in un AMBIENTE CITRIX/TSE a condizione che si disponga di una
copia concessa in licenza del SOFTWARE per ogni utente e per ogni COMPUTER che abbia accesso a tale SOFTWARE nell'AMBIENTE CITRIX/TSE. È possibile utilizzare il
SOFTWARE in rete a condizione che si disponga di una copia concessa in licenza del SOFTWARE per ogni utente e per ogni COMPUTER che abbia accesso a tale SOFTWARE in rete.
È possibile utilizzare il SOFTWARE e qualsiasi suo aggiornamento su un singolo COMPUTER o sul COMPUTER connesso all'AMBIENTE CITRIX/TSE solo finché si possiede e
utilizza tale COMPUTER. Sono richiesti un contratto e una tariffa di licenza separati per i COMPUTER supplementari sui quali venga installato e utilizzato il SOFTWARE o per gli
utenti aggiuntivi che possono accedere al SOFTWARE. Il SOFTWARE può essere trasferito fisicamente da un COMPUTER ad un altro a condizione che venga rimossa ogni copia del
SOFTWARE dal COMPUTER dal quale viene effettuato il trasferimento. Se il SOFTWARE è installato permanentemente su un singolo COMPUTER, l'utente che utilizza tale
COMPUTER per oltre l'80% del periodo complessivo di attività è autorizzato a installare il SOFTWARE anche su un COMPUTER portatile o domestico.
Se tale SOFTWARE è SOFTWARE di valutazione OPEN TEXT, l'utente è soggetto ai termini della presente licenza e alla data di scadenza del SOFTWARE.
B. Licenza convenuta Open Text Exceed onDemand. In conformità ai termini del presente accordo, OPEN TEXT concede all'utente la licenza non esclusiva per l'installazione e l'uso
del SOFTWARE. Salvo diversamente specificato nel presente documento, il componente server del SOFTWARE con Open Text Secure Shell ("ECS"), viene concesso in licenza per un
singolo COMPUTER ("Server") o un singolo cluster di Exceed Connection Server ("Cluster"). È possibile utilizzare ECS e i relativi aggiornamenti sul server o cluster solo finché si
possiede e utilizza tale server o cluster. ECS può essere trasferito fisicamente da un server o cluster ad un altro a condizione che venga rimossa ogni copia di ECS dal server o cluster dal
quale viene effettuato il trasferimento. All'acquisto del SOFTWARE, OPEN TEXT rilascerà una sequenza di caratteri alfanumerici rappresentante il numero delle licenze convenute Open
Text Exceed onDemand acquistate dall'utente (“chiave di attivazione”). Ogni chiave di attivazione può essere installata esclusivamente su un Server o su un Cluster. Salvo diversamente
specificato nel presente documento, il componente client del SOFTWARE ("Exceed onDemand Client") viene concesso in licenza a un singolo utente designato. L'accesso da Exceed
onDemand Client a ECS viene autorizzato tramite un elenco di identità degli utenti convenuti conservato su ECS. Quando un utente stabilisce una prima connessione da Exceed
onDemand Client a ECS, ECS garantirà una licenza convenuta Open Text Exceed onDemand permanente al singolo utente. ECS interromperà la concessione di licenze convenute Open
Text Exceed onDemand a utenti aggiuntivi quando il numero massimo di licenze convenute Open Text Exceed onDemand già garantite viene raggiunto, in base all'acquisto di licenza
iniziale del SOFTWARE e a eventuali acquisti di licenze aggiuntive del SOFTWARE. Per le successive connessioni tra Exceed onDemand Client ed ECS effettuate dallo stesso utente
convenuto e avviate dal medesimo COMPUTER non sarà necessaria un'altra licenza convenuta Open Text Exceed onDemand purché l'identità dell'utente resti invariata tra la prima
sessione e quelle successive. È possibile utilizzare Exceed onDemand Client e i relativi aggiornamenti sul COMPUTER solo finché si possiede e utilizza tale COMPUTER. Sono
richiesti un contratto e una tariffa di licenza separati per gli utenti convenuti aggiuntivi che desiderano accedere al Server o al Cluster.
Se tale SOFTWARE è SOFTWARE di valutazione OPEN TEXT, l'utente è soggetto ai termini della presente licenza e alla data di scadenza del SOFTWARE.
C. Licenza basata su Open Text Exceed onDemand Server. In conformità ai termini del presente accordo, OPEN TEXT concede all'utente la licenza non esclusiva per l'installazione e
l'uso del SOFTWARE. Salvo diversamente specificato nel presente documento, il componente server del SOFTWARE con Open Text Secure Shell ("ECS"), viene concesso in licenza
per un singolo COMPUTER ("Server") o un singolo cluster di Exceed Connection Server ("Cluster"). È possibile utilizzare ECS e i relativi aggiornamenti sul server o cluster solo finché
si possiede e utilizza tale server o cluster. ECS può essere trasferito fisicamente da un server o cluster ad un altro a condizione che venga rimossa ogni copia di ECS dal server o cluster dal
quale viene effettuato il trasferimento. All'acquisto del SOFTWARE, OPEN TEXT rilascerà una sequenza di caratteri alfanumerici rappresentante il numero delle licenze basate su Open
Text Exceed onDemand Server acquistate dall'utente (“chiave di attivazione”). La chiave di attivazione deve essere installata su Open Text Exceed onDemand Server. Ciascuna chiave di
attivazione può essere installata solo su un server, cluster o server licenze Exceed. Salvo diversamente specificato nel presente documento, il componente client del SOFTWARE ("Client
Exceed onDemand") viene concesso in licenza per essere installato su tutti i COMPUTER necessari e utilizzato da tutti gli utenti necessari.È possibile utilizzare Exceed onDemand Client
solo per accedere a ECS fino al numero massimo di connessioni consentite sulla base dell'acquisto di licenza iniziale del SOFTWARE. Sono richiesti un contratto e una tariffa di licenza
separati per le licenze basate su Open Text Exceed onDemand Server aggiuntive.
Se tale SOFTWARE è SOFTWARE di valutazione OPEN TEXT, l'utente è soggetto ai termini della presente licenza e alla data di scadenza del SOFTWARE.
D. Licenza Open Text NFS Gateway. In conformità ai termini del presente accordo, OPEN TEXT concede all'utente la licenza non esclusiva per l'installazione e l'uso del SOFTWARE.
Salvo ove diversamente specificato nel presente documento, il SOFTWARE viene concesso in licenza a un singolo COMPUTER ("Server"). È possibile utilizzare il SOFTWARE e i
relativi aggiornamenti su tale Server. Qualora vengano utilizzati più server per il bilanciamento del carico, il miglioramento delle prestazioni o altra ottimizzazione operativa (ciascuna
unità aggiuntiva oltre al Server verrà denominata "Nodo"), e vengano effettuate connessioni a un Nodo nello stesso momento in cui il Server è in funzione, si renderanno necessarie tante
licenze supplementari del SOFTWARE quanti Nodi impiegati oltre al Server. Quando viene concesso in licenza il SOFTWARE, OPEN TEXT rilascerà una sequenza di caratteri
alfanumerici ("Chiave di attivazione") corrispondente al numero massimo di connessioni di computer ("Connessioni client") che possono accedere contemporaneamente alle risorse della
rete Network File System condivisa dal SOFTWARE. Ogni chiave di attivazione può essere installata esclusivamente su un Server o su un Nodo. Il numero di Connessioni client
autorizzate nell'ambito di ciascun Server o Nodo si basa sull'acquisto di licenza iniziale e su eventuali acquisti di licenze aggiuntive del SOFTWARE. Sono richiesti un contratto e una
tariffa di licenza separati per le Connessioni client supplementari, o per i COMPUTER aggiuntivi sui quali è installato e/o viene eseguito il SOFTWARE. Il SOFTWARE può essere
trasferito fisicamente da un COMPUTER ad un altro a condizione che venga rimossa ogni copia del SOFTWARE dal COMPUTER dal quale viene effettuato il trasferimento.
Se tale SOFTWARE è SOFTWARE di valutazione OPEN TEXT, l'utente è soggetto ai termini della presente licenza e alla data di scadenza del SOFTWARE.
E. Licenza Open Text NFS Server. In conformità ai termini del presente accordo, OPEN TEXT concede all'utente la licenza non esclusiva per l'installazione e l'uso del SOFTWARE.
Salvo ove diversamente specificato nel presente documento, il SOFTWARE viene concesso in licenza a un singolo COMPUTER ("Server"). È possibile utilizzare il SOFTWARE e i
relativi aggiornamenti su tale Server. Qualora vengano utilizzati più server per il bilanciamento del carico, il miglioramento delle prestazioni o altra ottimizzazione operativa (ciascuna
unità aggiuntiva oltre al Server verrà denominata "Nodo"), e vengano effettuate connessioni a un Nodo nello stesso momento in cui il Server è in funzione, si renderanno necessarie tante
licenze aggiuntive del SOFTWARE quanti Nodi impiegati, oltre a quella per il Server. Il SOFTWARE consente a un numero illimitato di client NFS, presenti su una o più reti, di accedere
contemporaneamente a un numero illimitato delle seguenti risorse Windows condivise sul Server o sul Nodo: unità e directory locali, directory su dischi esterni registrati, CD-ROM,
stampanti locali e stampanti di rete con una coda di stampa locale. Sono richiesti un contratto e una tariffa di licenza separati per i COMPUTER supplementari su cui viene utilizzato il
SOFTWARE. Il SOFTWARE può essere trasferito fisicamente da un COMPUTER ad un altro a condizione che venga rimossa ogni copia del SOFTWARE dal COMPUTER dal quale
viene effettuato il trasferimento.
Se tale SOFTWARE è una versione di valutazione OPEN TEXT, l'utente è soggetto ai termini della presente licenza e alla data di scadenza del SOFTWARE.
F. Licenza Open Text Secure Server. In conformità ai termini del presente accordo, OPEN TEXT concede all'utente la licenza non esclusiva per l'installazione e l'uso del SOFTWARE.
Salvo ove diversamente specificato nel presente documento, il SOFTWARE viene concesso in licenza a un singolo COMPUTER ("Server"). È possibile utilizzare il SOFTWARE e i
relativi aggiornamenti su tale Server. Tutte le connessioni al SOFTWARE presente sul Server effettuate dal medesimo COMPUTER utilizzando le medesime credenziali di accesso
costituiscono una connessione client ("Connessione client"). All'acquisto del SOFTWARE, OPEN TEXT rilascerà una sequenza di caratteri alfanumerici rappresentante il numero

massimo di Connessioni client utilizzabili contemporaneamente su un Server ("chiave di attivazione"). Ogni chiave di attivazione può essere installata esclusivamente su un Server. Il
numero di Connessioni client utilizzate in un determinato momento non può superare il numero massimo di Connessioni client specificate al momento dell'acquisto iniziale e di qualsiasi
acquisto supplementare di licenze del SOFTWARE. Sono richiesti un contratto e una tariffa di licenza separati per le Connessioni client supplementari, o per i COMPUTER aggiuntivi
sui quali è installato e/o viene eseguito il SOFTWARE. Il SOFTWARE può essere trasferito fisicamente da un COMPUTER ad un altro a condizione che venga rimossa ogni copia del
SOFTWARE dal COMPUTER dal quale viene effettuato il trasferimento.
Se tale SOFTWARE è SOFTWARE di valutazione OPEN TEXT, l'utente è soggetto ai termini della presente licenza e alla data di scadenza del SOFTWARE.
2. PROPRIETÀ E DIRITTO D’AUTORE. Il SOFTWARE, compresi eventuali immagini, applet, fotografie, animazioni, video, audio, musica e testo incorporati nel SOFTWARE, è di
proprietà di OPEN TEXT o dei propri fornitori ed è protetto dalle leggi sul diritto d’autore canadesi e dalle norme dei trattati internazionali. OPEN TEXT concede di effettuare una copia

4. RISOLUZIONE. L'utente potrà risolvere il presente contratto di licenza in qualsiasi momento. OPEN TEXT si riserva il diritto di risolvere il contratto di licenza in caso di
inadempimento dei termini e delle condizioni qui riportati. In caso di risoluzione, l'utente dovrà restituire a OPEN TEXT tutte le copie del SOFTWARE o, previo consenso di OPENT
TEXT, fornire a OPEN TEXT un certificato che attesti la distruzione di tutte le copie del SOFTWARE.
5. LINGUA. L'originale del presente contratto è in inglese. La versione inglese avrà la precedenza sulle eventuali versioni tradotte.
PARTE 2: CLAUSOLE DI LIMITAZIONE DI GARANZIA:
1. SOFTWARE. Se non diversamente indicato, OPEN TEXT garantisce per un periodo di novanta (90) giorni dalla data di acquisto che il SOFTWARE eseguirà le istruzioni di
programmazione in conformità sostanziale con la documentazione se installato correttamente sul COMPUTER. A causa della natura complessa del software, OPEN TEXT non garantisce
che il funzionamento del SOFTWARE sarà ininterrotto e privo di errori.
2. SUPPORTI. OPEN TEXT garantisce per un periodo di novanta (90) giorni dalla data di acquisto che i supporti su cui è stato registrato il SOFTWARE sono privi di difetti di materiale
e di fabbricazione in condizioni di uso normale.
3. DIRITTI. Nel caso in cui, durante il periodo di garanzia, il SOFTWARE non dovesse eseguire le istruzioni di programmazione o i supporti dovessero rivelarsi essere difettosi, l'utente
avrà diritto a restituire i supporti a OPEN TEXT affinché vengano sostituiti. Se OPEN TEXT non dovesse essere in grado di sostituire i supporti entro un periodo di tempo ragionevole,
l'utente avrà diritto in alternativa al rimborso del prezzo di acquisto contro la restituzione del prodotto e di tutte le copie.
4. NOTIFICA DI RECLAMI IN GARANZIA. L'utente deve notificare a OPEN TEXT eventuali reclami in garanzia in forma scritta entro e non oltre trenta (30) giorni dalla scadenza
del periodo di garanzia.

del SOFTWARE da parte dell’utente, compresi, in via esemplificativa, eventuali perdite di dati, di entrate o di profitti commerciali, anche nel caso in cui OPEN TEXT sia stata informata
di tale possibilità o avesse potuto prevedere tali danni. Salvo il caso di dolo o colpa grave, la responsabilità totale di OPEN TEXT verso gli utenti, sia contrattuale che extracontrattuale,
derivante dal o relativa al presente contratto, non potrà superare l'importo totale corrisposto per il software dall’utente a OPEN TEXT in virtù del presente contratto.
7. GIURISDIZIONE. La presente licenza è regolamentata dalle leggi della provincia dell'Ontario (Canada).
8. LIMITAZIONI DEI DIRITTI PER IL GOVERNO DEGLI STATI UNITI. Il SOFTWARE e la documentazione rappresentano "articoli commerciali" secondo la definizione
riportata nell'atto 48 C.F.R. 2.101 e costituiscono rispettivamente "software commerciale" e "documentazione relativa al software commerciale" secondo le definizioni di tali termini
nell'atto 48 C.F.R. 12.212. In base agli atti 48 C.F.R. 12.212 e 48 C.F.R. da 227.7202-1 a 227.7202-4, se il licenziatario è il Governo degli Stati Uniti o un suo ente o ministero, il
SOFTWARE e la documentazione saranno concessi in licenza in virtù del presente contratto (i) solo come articoli commerciali e (ii) solo con i diritti garantit i a tutti gli altri utenti finali in
conformità ai termini e alle condizioni qui indicate.
9. MANUTENZIONE E ASSISTENZA TECNICA. La concessione in licenza del software comporta la sottoscrizione del servizio di manutenzione e assistenza tecnica fornito da
OPEN TEXT, per il quale è previsto il pagamento di una tariffa annua. La durata iniziale del servizio di manutenzione e assistenza tecnica è di un (1) anno, con rinnovo automatico alla
data di scadenza per ulteriori periodi di un (1) anno. Per tale servizio verrà emessa, in via anticipata, una fattura annua basata sulle tariffe vigenti, salvo disdetta delle parti che dovrà essere
fornita per iscritto entro e non oltre novanta (90) giorni prima della scadenza corrente del servizio stesso.
10. NOTA GENERALE. Nei limiti consentiti dalle leggi, le parti concordano che il presente contratto sia redatto in lingua italiana e che gli eventuali documenti ad esso associato
possano essere redatti in lingua inglese.
11. CONDIZIONI DI LICENZA SUPPLEMENTARI. Di seguito, vengono presentate alcune condizioni di licenza supplementari che fanno parte integrante del presente contratto.
CONDIZIONI DI LICENZA SUPPLEMENTARI:

La licenza per Open Text Exceed XDK comprende le seguenti condizioni di licenza supplementari:
Ridistribuzione dei componenti di Open Text Exceed XDK.
Eventuali applicazioni create con i componenti di XDK possono essere distribuite purché soddisfino i seguenti requisiti:

en el EQUIPO o el EQUIPO conectado al ENTORNO CITRIX/TSE, siempre y cuando usted sea el único usuario y propietario del EQUIPO. Para EQUIPOS adicionales en los que se
vaya a instalar y utilizar el SOFTWARE o para usuarios adicionales que accedan de otro modo al SOFTWARE, deberá establecerse un acuerdo de licencia y una tarifa aparte. Podrá
transferir el SOFTWARE físicamente de un EQUIPO a otro, siempre y cuando retire las copias del SOFTWARE del EQUIPO desde el que se realiza la transferencia. Si el SOFTWARE
adjunto queda instalado de manera permanente en un EQUIPO y una persona utiliza dicho EQUIPO más del 80% del tiempo que está en funcionamiento, dicha persona también podrá
instalar el SOFTWARE en un EQUIPO portátil o doméstico.

B. Licencia personal de Open Text Exceed onDemand. Conforme a los términos de este acuerdo, OPEN TEXT le otorga esta licencia no exclusiva para instalar y utilizar el
SOFTWARE. A no ser que se especifique lo contrario en este documento, la licencia del componente servidor del SOFTWARE con Open Text Secure Shell (“ECS”), se otorga a un único
EQUIPO (en lo sucesivo denominado “Servidor”) o a un único clúster de Exceed Connection Server (en lo sucesivo denominado “Clúster”). Podrá utilizar ECS, y cualquier actualización
relacionada en el Servidor o Clúster, siempre y cuando sólo utilice el Servidor o Clúster. Podrá transferir ECS físicamente de un Servidor o Clúster a otro, siempre y cuando retire las
copias de ECS del Servidor o Clúster desde el que se realiza la transferencia. Una vez adquirido el SOFTWARE, OPEN TEXT emitirá una secuencia de caracteres alfanuméricos que
representan el número de licencias personales de Open Text Exceed onDemand que haya adquirido (en lo sucesivo denominado “Clave de activación”). Cada clave de activación sólo se
podrá instalar en un servidor o en un clúster. A no ser que se especifique lo contrario en este documento, la licencia del co mponente cliente del SOFTWARE (“Exceed onDemand Client”)
se otorga a un único usuario de forma intransferible. El acceso desde Exceed onDemand Client a ECS se realiza a través de una lista de identidades de usuarios que se mantienen en el
servidor de ECS. Cuando un usuario establece la primera conexión desde Exceed onDemand Client a ECS, ECS concederá de manera permanente una licencia personal de Open Text
Exceed onDemand a este usuario solamente. ECS dejará de otorgar licencias personales de Open Text Exceed onDemand a usuarios adicionales cuando el número de licencias personales
de Open Text Exceed onDemand otorgadas supere el número máximo de licencias, de acuerdo con la primera licencia de SOFTWARE y las licencias adicionales del mismo. Las
conexiones posteriores desde Exceed onDemand Client al servidor de ECS realizadas por el mismo usuario y que se hayan establecido desde el mismo EQUIPO no necesitarán otra
licencia personal de Open Text Exceed onDemand, siempre y cuando la identidad de este usuario en esas conexiones posteriores sea la misma que en la primera. Podrá utilizar Exceed
onDemand Client en el EQUIPO y cualquier actualización relacionada con el mismo, siempre que sólo utilice el EQUIPO y sólo trabaje con él. Para cada usuario adicional que desee
acceder al servidor o al clúster deberá establecerse un acuerdo de licencia y una tarifa aparte.
Si este SOFTWARE es un SOFTWARE de evaluación de OPEN TEXT, estará limitado por los términos de esta licencia y la fecha de caducidad del SOFTWARE.
C. Licencia basada en el servidor de Open Text Exceed onDemand. Conforme a los términos de este acuerdo, OPEN TEXT le otorga esta licencia no exclusiva para instalar y utilizar
el SOFTWARE. A no ser que se especifique lo contrario en este documento, la licencia del componente servidor del SOFTWARE con Open Text Secure Shell (“ECS”), se otorga a un
único EQUIPO (en lo sucesivo denominado “Servidor”) o a un único clúster de Exceed Connection Server (en lo sucesivo denominado “Clúster”). Podrá utilizar ECS, y cualquier
actualización relacionada en el Servidor o Clúster, siempre y cuando sólo utilice el Servidor o Clúster. Podrá transferir ECS físicamente de un Servidor o Clúster a otro, siempre y cuando
retire las copias de ECS del Servidor o Clúster desde el que se realiza la transferencia. Una vez adquirido el SOFTWARE, OPEN TEXT emitirá una secuencia de caracteres alfanuméricos
que representan el número de las licencias basadas en el servidor de Open Text Exceed onDemand que haya adquirido (en lo sucesivo denominado “Clave de activación”). La clave de
activación se instalará en el Servidor, Clúster o Exceed License Server. Cada clave de activación se puede instalar en un único servidor, clúster o servidor de licencias de Exceed. A no ser
que se especifique lo contrario en este documento, la licencia del componente cliente del SOFTWARE (“Exceed onDemand Client”) permite su instalación en todos los EQUIPOS que sea
necesario, así como su uso por parte de tantos usuarios como se precise. Puede utilizar Exceed onDemand Client solamente para acceder a ECS con el número de conexiones permitido de
acuerdo con la licencia de adquisición inicial de SOFTWARE. Para cada licencia adicional basada en el servidor de Open Text Exceed onDemand, deberá establecerse un acuerdo de
licencia y una tarifa aparte.
Si este SOFTWARE es un SOFTWARE de evaluación de OPEN TEXT, estará limitado por los términos de esta licencia y la fecha de caducidad del SOFTWARE.
D. Licencia para Open Text NFS Gateway. Conforme a los términos de este acuerdo, OPEN TEXT le otorga esta licencia no exclusiva para instalar y utilizar el SOFTWARE. A no ser
que se especifique lo contrario, esta licencia de SOFTWARE se otorga a un único EQUIPO (en lo sucesivo denominado “Servidor”). Podrá utilizar el SOFTWARE y cualquier
actualización relacionada con el mismo en el Servidor. En caso de que se utilicen varios servidores (cada uno de los servidores adicionales distinto al Servidor denominado, en lo sucesivo,
“Nodo”) para realizar equilibrios de carga, mejorar el rendimiento o llevar a cabo otras mejoras operativas, y se realicen conexiones a un Nodo mientras el Servidor es funcional, se
necesitarán licencias adicionales del SOFTWARE para cada uno de los Nodos, además del Servidor. Cuando obtenga la licencia del SOFTWARE, OPEN TEXT emitirá una secuencia de
caracteres alfanuméricos (en lo sucesivo denominada “Clave de activación”) que representa el número máximo de conexiones de equipos (en lo sucesivo denominado “Conexiones de
cliente”) que se permiten para acceder de forma simultánea a cada recurso en la red Network File System compartida por el SOFTWARE. Cada Clave de activación sólo se podrá instalar
en un Servidor o Nodo. El número de Conexiones de cliente a las que tiene derecho para cada Servidor o Nodo estará basado en la licencia inicial del SOFTWARE y las licencias
adicionales del mismo que haya adquirido. Para Conexiones de cliente o EQUIPOS adicionales en los que se vaya a instalar y/o utilizar el SOFTWARE, será necesario un acuerdo de
licencia y una tarifa aparte. Podrá transferir el SOFTWARE físicamente de un EQUIPO a otro, siempre y cuando elimine todas las copias del SOFTWARE del EQUIPO desde el que se
realiza la transferencia.
Si este SOFTWARE es un SOFTWARE de evaluación de OPEN TEXT, estará limitado por los términos de esta licencia y la fecha de caducidad del SOFTWARE.
E. Licencia para Open Text NFS Server. Conforme a los términos de este acuerdo, OPEN TEXT le otorga esta licencia no exclusiva para instalar y utilizar el SOFTWARE. A no ser
que se especifique lo contrario, esta licencia de SOFTWARE se otorga a un único EQUIPO (en lo sucesivo denominado “Servidor”). Podrá utilizar el SOFTWARE y cualquier
actualización relacionada con el mismo en el Servidor. En caso de que se utilicen varios servidores (cada uno de los servidores adicionales distinto al Servidor denominado, en lo sucesivo,
“Nodo”) para realizar equilibrios de carga, mejorar el rendimiento o llevar a cabo otras mejoras operativas, y se realicen conexiones a un Nodo mientras el Servidor es funcional, se
necesitarán licencias adicionales del SOFTWARE para cada uno de los Nodos, además del Servidor. El SOFTWARE permite el acceso de un número ilimitado de clientes NFS
funcionando de forma simultánea en una o más redes a un número ilimitado de los siguientes recursos Windows compartidos en el Servidor o Nodo: unidades locales, directorios locales,
directorios en los discos externos registrados, CD-ROM, impresoras locales y recursos de impresión en red con una cola de impresión local. Para cada EQUIPO adicional en el que se
vaya a utilizar el SOFTWARE, será necesario un acuerdo de licencia y una tarifa aparte. Podrá transferir el SOFTWARE físicamente de un EQUIPO a otro, siempre y cuando elimine
todas las copias del SOFTWARE del EQUIPO desde el que se realiza la transferencia.
Si este SOFTWARE es un SOFTWARE de evaluación de OPEN TEXT, estará limitado por los términos de esta licencia y la fecha de caducidad del SOFTWARE.
F. Licencia para Open Text Secure Server. Conforme a los términos de este acuerdo, OPEN TEXT le otorga esta licencia no exclusiva para instalar y utilizar el SOFTWARE. A no ser
que se especifique lo contrario, esta licencia de SOFTWARE se otorga a un único EQUIPO (en lo sucesivo denominado “Servidor”). Podrá utilizar el SOFTWARE y cualquier

actualización relacionada con el mismo en el Servidor. Todas las conexiones al SOFTWARE del Servidor realizadas desde el mismo EQUIPO y con las mismas credenciales de inicio de
sesión, constituirán una conexión de cliente (“Conexión de cliente”). Una vez adquirido el SOFTWARE, OPEN TEXT emitirá una secuencia de caracteres alfanuméricos que representan
el número máximo de Conexiones de cliente que se pueden utilizar de forma simultánea en el Servidor en cualquier momento .(“Clave de activación”). Cada Clave de activación sólo se
podrá instalar en un Servidor. El número de Conexiones de cliente utilizadas al mismo tiempo no puede exceder el máximo de Conexiones de cliente establecidas por la licencia de
adquisición inicial del SOFTWARE y las adquisiciones adicionales del mismo. Para Conexiones de cliente o EQUIPOS adicionales en los que se vaya a instalar y/o utilizar el
SOFTWARE, será necesario un acuerdo de licencia y una tarifa aparte. Podrá transferir el SOFTWARE físicamente de un EQUIPO a otro, siempre y cuando elimine todas las copias del
SOFTWARE del EQUIPO desde el que se realiza la transferencia.
Si este SOFTWARE es un SOFTWARE de evaluación de OPEN TEXT, estará limitado por los términos de esta licencia y la fecha de caducidad del SOFTWARE.
2. TITULARIDAD Y DERECHOS DE PROPIEDAD INTELECTUAL. El SOFTWARE (incluyendo cualquier imagen, miniaplicación, fotografía, animación, vídeo, audio, música y
texto incorporado en el SOFTWARE) es propiedad de OPEN TEXT o sus distribuidores, y está protegido por las leyes de propiedad intelectual canadienses y las disposiciones de los
tratados internacionales. OPEN TEXT le autoriza a efectuar solamente una copia del SOFTWARE a efectos de seguridad. Parte de este SOFTWARE la puede haber desarrollado un
tercero dedicado a la distribución de software y que conserve los derechos de propiedad intelectual y otros derechos de propiedad sobre el SOFTWARE.
3. RESTRICCIONES DE USO. Esta licencia es la prueba de que está autorizado a ejercer los derechos concedidos en el presente acuerdo y debe conservarla en su poder. No podrá: (i)
transferir, sublicenciar, alquilar, distribuir ni ceder sus derechos sobre el SOFTWARE o expresados en la licencia a ningún tercero; (ii) transferir electrónicamente el SOFTWARE de un
equipo a otro (a menos que obtenga licencias de OPEN TEXT para cada uno de los EQUIPOS que utilice el SOFTWARE); (iii) intentar por cualquier método determinar el código fuente
del SOFTWARE, ni modificar, desensamblar o realizar ingeniería inversa ni crear trabajos derivados basados en el SOFTWARE; (iv) compartir SOFTWARE ni utilizarlo con una oficina
de servicios a terceros; ni (v) distribuir este SOFTWARE fuera del país en el que se obtuvo la licencia. El uso de software o hardware que reduzca el número de usuarios que acceden
directamente al Software servidor o que lo utilizan (a veces denominados software o hardware “multiplexor” o “pooling”) no reduce el número de licencias de SOFTWARE cliente
necesarias. El número de licencias de cliente necesarias deberá ser, en todo caso, igual al número de usuarios. Usted conviene en permitir a OPEN TEXT, o al representante de ésta,
inspeccionar o efectuar una auditoría independiente, cuando proceda, del uso que haga del SOFTWARE, a fin de verificar que esté cumpliendo el presente acuerdo.
4. TERMINACIÓN. Podrá poner término a este acuerdo de licencia en cualquier momento. OPEN TEXT se reserva el derecho de poner término y dejar sin efecto esta licencia si se
produce un incumplimiento de los presentes términos y condiciones. En caso de terminación, deberá devolver todas las copias del SOFTWARE a OPEN TEXT o, con el consentimiento
previo de OPEN TEXT, destruir el SOFTWARE y proporcionar a OPEN TEXT un certificado de destrucción de todas las copias del SOFTWARE.
5. IDIOMA. Este acuerdo está originalmente redactado en inglés. Si se ha traducido a otro idioma, prevalecerá la versión en inglés.
PARTE 2: DISPOSICIONES DE LA GARANTÍA LIMITADA:
1. SOFTWARE. Salvo lo establecido en otro sentido en el presente acuerdo, OPEN TEXT garantiza, durante un periodo de noventa (90) días desde la fecha de la compra, que el
SOFTWARE ejecutará las instrucciones de programación sustancialmente de acuerdo con la documentación, cuando esté instalado de la forma adecuada en el EQUIPO. Debido a la
compleja naturaleza de los programas informáticos, OPEN TEXT no garantiza que el funcionamiento del SOFTWARE se produzca siempre sin interrupciones ni errores.
2. SOPORTES. OPEN TEXT garantiza, durante un periodo de noventa (90) días desde la fecha de la compra, que los soportes en los que se ha grabado este SOFTWARE carecen de
defectos de materiales y fabricación, con un uso normal.
3. INDEMNIZACIÓN. En caso de que este SOFTWARE fallara en la ejecución de las instrucciones de programación, o si se demostrara que algún soporte es defectuoso, durante el
periodo de garantía, la indemnización a la que usted tendría derecho sería devolver el soporte a OPEN TEXT para su sustitución. Si OPEN TEXT no pudiera sustituir el soporte dentro de
un periodo de tiempo razonable, la indemnización alternativa a la que tendría derecho sería el reembolso del precio de compra, una vez devuelto el producto y todas sus copias.
4. RECLAMACIONES DENTRO DE LA GARANTÍA. En caso de cualquier reclamación dentro de la garantía, el plazo para comunicársela a OPEN TEXT por escrito será, como
máximo, hasta treinta (30) días después de la expiración del periodo de garantía.
5. INEXISTENCIA DE OTRAS GARANTÍAS. En la medida en que lo permita la legislación aplicable, OPEN TEXT renuncia a otorgar cualquier otra garantía, expresa o implícita,
incluidas, aunque sin limitarse a ellas, las garantías implícitas de comercialización y adecuación para un propósito determinado, con respecto al SOFTWARE.
6. RENUNCIA DE RESPONSABILIDAD POR DAÑOS CONSECUENTES. Pese a cualquier disposición en sentido contrario de este acuerdo, OPEN TEXT no será responsable ante
el cliente por ningún daño indirecto, especial ni consecuente, ya sea contractual, extracontractual o de otro tipo, derivado de este acuerdo o relacionado con el uso del SOFTWARE por
parte del cliente, incluyendo, aunque sin limitarse a ello, cualquier pérdida de datos, ingresos o beneficios, incluso si OPEN TEXT hubiera sido advertida de la posibilidad de tales daños o
los pudiera haber previsto. La responsabilidad acumulada de OPEN TEXT frente al cliente derivada de este acuerdo o relacionada con el mismo, ya sea contractual, extracontractual o de
otro tipo, no superará bajo ninguna circunstancia el precio total del software pagado por el cliente a OPEN TEXT en virtud del presente acuerdo.
7. LEY APLICABLE. Esta licencia se regirá por la legislación de la provincia de Ontario.
8. DERECHOS RESTRINGIDOS DEL GOBIERNO DE LOS EE.UU. El SOFTWARE y la documentación son “artículos comerciales”, tal como se define el término en 48 C.F.R.
2.101, consistentes en “programas informáticos comerciales” y “documentación sobre programas informáticos comerciales”, tal como se usan dichos términos en 48 C.F.R. 12.212. De
acuerdo con 48 C.F.R. 12.212 y 48 C.F.R. 227.7202-1 a 227.7202-4, si el sujeto al que se concede la licencia en virtud del presente documento es el Gobierno de EE.UU. o cualquier
agencia o departamento de éste, por el presente documento, el SOFTWARE y la documentación se conceden (i) únicamente como artículos comerciales, y (ii) únicamente con los mismos
derechos que se conceden a todos los demás usuarios finales en virtud de los términos y condiciones del presente acuerdo.
9. MANTENIMIENTO Y ASISTENCIA. Al adquirir la licencia de este Software, se ha suscrito al servicio de soporte y mantenimiento de OPEN TEXT y debe abonar los costes
anuales por este servicio. El periodo inicial de soporte y mantenimiento tiene una duración de un (1) año; de ahí en adelante, dicho periodo se irá renovando automáticamente cada año por
el término de un (1) año consecutivo y, en consecuencia, se le facturará el valor correspondiente, de forma anual y por adelantado, a no ser que alguna de las partes dé aviso por escrito de
la terminación del servicio con al menos noventa (90) días de antelación al vencimiento del periodo actual en ese momento.
10. CLÁUSULA GENERAL. En la medida en que lo permita la legislación, las partes establecen por este acuerdo que tanto éste como todos los documentos relacionados con el mismo
estarán redactados en inglés.
11. CONDICIONES ADICIONALES DE LA LICENCIA. Por la presente, las siguientes condiciones adicionales de la licencia quedan incluidas y forman parte de este Acuerdo.
CONDICIONES ADICIONALES DE LA LICENCIA:

Si es usted licenciatario de Open Text Exceed XDK, las siguientes condiciones adicionales de la licencia son aplicables:
Redistribución de componentes del Open Text Exceed XDK.
Cualquier aplicación creada con los componentes del XDK se puede distribuir siempre que la misma cumpla los requisitos siguientes:
a) Los siguientes archivos ejecutables y de ayuda se pueden distribuir con una aplicación creada con el X Development Kit: LOCALCON.EXE y LOCALCON.HLP.
b) Los siguientes archivos ejecutables y de recursos se pueden distribuir con una aplicación creada con el X Development Kit que utilice el método X Input: KINPUT2.EXE,
SJ3SERV.EXE, KINPUT2, SERVERRC, SJ3MAIN.DIC, VISUAL.DIC, SJHK, SJRC, SJRK, SJSB y SJZH.
