RAPPORTS DES CONSEILLERS COUNCILLORS REPORTS Le conseiller Ikeman fournit quelques statistiques concernant l’utilisation du Bixi au cours de la période s’étendant d’avril à juillet 2012. Councillor Ikeman gave some statistics about the use of Bixi in 2012 for the period of April to July. La conseillère Forbes informe l’assistance des principaux événements communautaires qui ont lieux depuis le début de l’été. Councillor Forbes informed the audience of the main community events that have been taking place since the beginning of summer. La conseillère Duncan informe l’assistance que le dépliant sur la programmation sera distribué à compter du 15 août. Elle Councillor Duncan announced that the Westmount programming booklet is going to be delivered as of August 15. She - 2– 2012/08/06 mentionne que l’inscription aux activités automnales s’étendra, pour les résidents, du 27 août au 5 septembre. Les non-résidents pourront s’inscrire à compter du 6 septembre. Enfin, elle fournit une information détaillée en ce qui a trait à la programmation. mentioned that registration for fall activities will extend for residents from August 27 to September 5, and will be opened to nonresidents as of September 6. She also gave detailed information with regard to the programming. La conseillère Lulham informe l’assistance qu’une assemblée portant sur le secteur sudouest de la ville aura lieu le 3 octobre à 19 h à la salle de concert du Victoria Hall. On y traitera alors du rapport de la firme B.R.I.C. Elle fait mention de certaines problématiques qui feront l’objet de discussions. Councillor Lulham announced that a public meeting regarding the South-West sector of the city will be held on October 3 at 7:00 pm at the concert hall of Victoria Hall. Some information from the B.R.I.C. report will be discussed. She mentioned some issues that will be discussed. Le conseiller Martin entretient l’assistance des problèmes de drainage de la ville. THAT the Mayor be authorized to make any decisions he deems necessary and in the best interest of the City and its citizens regarding the items on the agenda of the urban agglomeration council of Montreal meeting to be held on August 23, 2012. MODIFICATION OF THE ANNUAL REGULAR SITTINGS SCHEDULE ATTENDU QU’en vertu de l’article 319 de la Loi sur les cités et villes (L.R.Q., chapitre C-19), le conseil tient une séance ordinaire au moins une fois par mois et il établit, avant le début de chaque année civile, le calendrier de ses séances ordinaires pour cette année en fixant le jour et l'heure du début de chacune; WHEREAS in accordance with section 319 of Cities and Towns Act (R.S.Q., chapter C19), Council shall hold regular sittings at least once a month, and it shall determine the schedule of its regular sittings, setting the date and time of each sitting, before the beginning of the calendar year; ATTENDU QU’en vertu de cette même disposition, le conseil peut cependant décider qu'une séance ordinaire débutera au jour et à l'heure qu'il précise plutôt que conformément au calendrier; WHEREAS in accordance with the same section, Council may decide that a regular sitting is to begin on a date and at a time other than those specified in the schedule; ATTENDU QUE lors de la deuxième séance extraordinaire tenue le 19 décembre 2011, le conseil a, par l’adoption de sa résolution nº 2011-12-273, établi le calendrier de ses séances ordinaires pour l’année 2012; WHEREAS Council determined the schedule of its regular sittings for the year 2012 at its second special regular held on December 19, 2011, as per its resolution No. 2011-12-273; - 5– 2012/08/06 ATTENDU QUE ce calendrier prévoit que la séance ordinaire du mois de septembre aura lieu le mardi 4 septembre; WHEREAS this schedule provides that the regular sitting of September will be held on Tuesday, September 4; ATTENDU QU’en raison de la tenue des élections provinciales, il y a lieu de reporter cette séance au lundi suivant. Adopté à l’unanimité Carried unanimously 6. RECOMMANDATION AU CONSEIL D'AGGLOMÉRATION DE MONTRÉAL NOMINATION D'UN MEMBRE AU SEIN DU CONSEIL D'ADMINISTRATION DU CLD LES 3 MONTS 6. RECOMMENDATION TO THE URBAN AGGLOMERATION COUNCIL OF MONTRÉAL TO APPOINT A MEMBER OF THE BOARD OF DIRECTORS OF THE CLD LES 3 MONTS ATTENDU QU’en vertu du sousparagraphe c) du paragraphe 11º de l’article 19 de la Loi sur l’exercice de certaines compétences municipales dans certaines agglomérations (L.R.Q., chapitre E-20.001), les centres locaux de développement constituent une matière qui intéressent l'ensemble formé par les municipalités liées; WHEREAS in accordance with subparagraph c) of paragraph 11 of section 19 of An Act respecting the exercise of certain municipal powers in certain urban agglomerations (R.S.Q., chapter E-20.001), local development centres are a matter that concerns the related municipalities as a whole; ATTENDU QU’en vertu de l’article 16 de cette loi, la compétence municipale sur cette matière constitue une compétence d'agglomération; WHEREAS pursuant to section 16 of this Act, municipal power over this matter is an urban agglomeration power; - 6– 2012/08/06 ATTENDU QU’en vertu du deuxième alinéa de l’article 94 de la Loi sur le ministère du Développement économique, de l’Innovation et de l’Exportation (L.R.Q., chapitre M-30.01), le conseil d'administration d'un centre local de développement comprend notamment des élus municipaux; WHEREAS in accordance with the second paragraph of section 94 of An Act respecting the Ministère du Développement économique, de l'Innovation et de l'Exportation (R.S.Q., chapter M-30.01), the board of directors of a local development centre must especially include elected municipal officers; ATTENDU QUE lors de sa séance ordinaire du 16 novembre 2009, le conseil a, par sa résolution nº 2009-11-238, recommandé au conseil d’agglomération de Montréal de nommer les conseillers Drury et Ikeman, à titre de membres du conseil d’administration du Centre local de développement Les 3 monts; WHEREAS Council recommended to the Urban Agglomeration Council of Montréal to appoint Councillors Drury and Ikeman as members of the board of directors of the Centre local de développement Les 3 monts as per its resolution No. 2009-11238 adopted at its regular sitting held on November 16, 2009; ATTENDU QUE le 3 juillet 2012, le conseiller Ikeman a remis sa démission à titre de membre du conseil d’administration du Centre local de développement Les 3 monts; WHEREAS on or about July 3, 2012, Councillor Ikeman resigned as member of the board of directors of the Centre local de développement Les 3 monts; ATTENDU QU’il y a maintenant lieu de recommander au conseil d’agglomération de Montréal de nommer la conseillère Forbes à titre de membre du conseil d’administration du Centre local de développement Les 3 monts en remplacement du conseiller Gary Ikeman. PROCLAMATION DE LA CULTURE - JOURNÉES ATTENDU QUE la culture constitue un des principaux facteurs d’identité de la ville de Westmount et de la qualité de vie de ses résidents; WHEREAS culture constitutes one of the principal facets of the identity of the City of Westmount and a hallmark feature of the quality of life enjoyed by its citizens; ATTENDU QUE la culture est un élément indissociable du développement des individus et de la société; WHEREAS culture is an intrinsic component of both individual and societal development; ATTENDU QUE la culture naît et s’épanouit d’abord au sein des territoires locaux; WHEREAS culture arises and flourishes first locally; ATTENDU QUE la ville de Westmount a déjà manifesté, dans le cadre de sa politique culturelle ou par ses interventions, sa volonté d’appuyer concrètement les initiatives qui visent l’affirmation de son identité culturelle et la participation active de ses résidents à la vie culturelle; WHEREAS the City of Westmount, through its policy on culture or its actions, has already shown its intention to provide concrete support to projects that strengthen its cultural identity and the active participation of its citizens in the cultural life of the municipality; ATTENDU QUE le milieu culturel s’est concerté afin de mettre sur pied un évènement annuel, Les Journées nationales de la culture, visant à regrouper une multitude de manifestations culturelles sous un grand thème commun et dans l’ensemble du territoire, en favorisant le plus grand accès aux arts, au patrimoine et à la culture; WHEREAS the cultural community has created an annual national event, Culture Days, to consolidate a number of cultural events under a common theme across Canada, thereby promoting the widest possible access to the arts, heritage and culture; ATTENDU QUE l’évènement se fonde sur une véritable préoccupation de démocratisation culturelle. C) BUSINESS ARISING FROM THE MINUTES OF JUNE 18th, 2012 COTTONWOOD (POPULUS DELTOIDES) TREE Councillor Ikeman asked about our plans for the stump that remains following the removal of the tree in the Lansdowne dog run. Councillor Lulham replied that she had requested it be kept for a future use, possibly a wood sculpture, but that there was no immediate plan at this time. She will provide a follow-up in due time. Councillor Martin reported that a private tree fell across Sherbrooke Street, damaging cars as a result. It was deemed to be rotten after an examination. He proposed that Council act in an advisory capacity and that prevention measures be put in place to inform homeowners about their responsibility for private trees. Councillor Ikeman mentioned that, effectively, the City has an obligation to make sure that all trees on its territory are safe. The Director General proposed that a notice be sent with the bi-monthly Hydro Westmount statements of account to inform residents of their responsibility to ensure private trees are maintained properly. ITINERANCE The Director General reported that improvements will be made at Stayner Park following the recommendations from Public Security. He mentioned that the bushes surrounding the park will be cut, a camera will be installed near the comfort station and a plan to improve the park lighting will be prepared. As for Tupper Lane, he proposed to increase the lighting in the area. Councillor Lulham recommended that the new lights do not project onto the residences along Dorchester as was the case in the past. GENERAL COMMITTEE OF COUNCIL July 3, 2012 PAGE 3 Councillor Samiotis praised the Director of Public Security, Mr. David Sedgwick, for his positive response in addressing the issue of vagrancy and she proposed to report at the public meeting on the matter. POTABLE WATER BY-LAW As previously discussed, the Director General reported that he had obtained a copy of the City of Kirkland’s Water By-law. He mentioned that several sections of its by-law were modified from the MAMROT model, specifically regarding lawn watering, pool and spa provisions and agricultural applications. He noted that Kirkland already have water meters installed in all residential buildings. A discussion ensued about the best hours for lawn and garden watering. The Director General reiterated the recommendation to postpone the adoption of the Water By-law until September, allowing its content to be reviewed thoroughly and a communication plan put together. Councillor Martin reported on a misconception concerning his opinion on water meters. He emphasized the fact that he has been in favor of metering for the last 20 years. He explained that he is concerned about the costs involved, considering the average price of $3,500 per household. As imposing water meters might end up being an unpopular measure, he suggested that an overall study be conducted, including budget considerations before making a final recommendation. Mayor Trent indicated that most of the West Island municipalities do not charge for water through property taxes since water is metered and is charged according to consumption. He would like to move ahead with water meters for commercial buildings and to regulate the use of water for refrigeration. As for residential meters, he favored a program that would introduce meters over a longer time period. JULY SPECIAL COUNCIL MEETING The Director General informed Council that considering that two new consultation meetings must be held on July 16 at 7:00 p.m. on the proposed amendments to the Zoning By-law and the Site Planning and Architectural GENERAL COMMITTEE OF COUNCIL July 3, 2012 PAGE 4 Program by-law, the special Council meeting scheduled on the same day at noon should be re-scheduled to July 17th at noon. He explained that, according to the law, the freeze on the issuance of any permits related to the proposed changes ceases to be applicable if the second draft by-law is not adopted within a two-month period. As the next meeting on August 6th, this freeze would expire if the draft by-law is not adopted in July. Councillor Martin questioned the urgency to adopt the Zoning By-law amendment the day after the public consultation meetings. In his opinion, such expediency might be misinterpreted by the public. He proposed that the special council meeting be held on July 18. Councillor Lulham replied that she had already discussed the matter with Councillor Martin and had informed him that she will not be available on July 18. Even though her presence is not required at the Council meeting, she insisted on attending as Commissioner of Urban Planning. Furthermore, she explained that most of the issues brought up at the two meetings held on June 21st, have been addressed and that all concerns have been answered. She does not expect that major changes will be required to the draft by-law. It was agreed to re-schedule the special Council meeting to July 18, 2012 at noon. The Director General explained that the public square is not part of the current contract, but that it will be done next year. He reported that Marianne Zalzal, the Director of Public Works, and Joanne Poirier, the Director of Urban Planning, are working on the project specifically to finalize an architectural plan with estimate. Councillor Lulham proposed that a consultation meeting be held along with the landscape architect to inform the residents and merchants and seek their opinions. Councillor Ikeman reported that with respect to the vision of the planning development of the south-west sector (i.e. B.R.I.C. report), the residents and merchants have expressed disappointment that they were not consulted before any plans were made. In his opinion, a public discussion should have taken place before hiring a consultant. It was his understanding that the City would consult the merchants and the residents in order to get their input and integrate their ideas into the plans. Councillor Lulham replied that there is no final plan for the Victoria/Sherbrooke sector. She pointed out that the Urban Planner B.R.I.C. was hired to advise the Urban Planning Department and provide some tools and a vision that could subsequently be discussed at a public meeting. Because of the mixed residential and commercial uses in this sector, B.R.I.C. was requested to develop a vision taking into account the current by-laws and architecture. She explained that the objective was to get the merchants and the residents’ input GENERAL COMMITTEE OF COUNCIL July 3, 2012 PAGE 6 in a concrete fashion, once the City has some parameters to show. It is proposed to have the public meeting in the fall. ITEM 8 - TENDERS – HYDRO WESTMOUNT (CABLES) Councillor Martin expressed concern about the adoption of Item 8 – Tenders – Hydro Westmount considering the lack of information provided to Council. He questioned why the lowest bidder (Lumen) withdrew its bid two days after the public opening of the tenders. He indicated that he is not comfortable awarding the contract to the second lowest bidder who quoted $80,000 more than the lowest bid. It was agreed to withdraw Item 8 from the Council Agenda. ITEM 10 - PURCHASE OF ONE USED PORTABLE REFRIGERATED OUTDOOR ICE SKATING RINK Upon Councillor Lulham’s request about the future location of the portable ice rink, the Director General replied that no final decision has been made so far between the Westmount Athletic Ground (WAG) and King George Park. The Administration has yet to study the impacts of proximity to residences, noise and traffic issues. Upon Councillor Lulham’s suggestion, it was agreed to approve the purchase of the portable ice rink and announce publicly that Council has yet to decide between the WAG location or the King George Park. BY-LAW CONCERNING THE PREVENTION OF BREACHES OF THE PEACE, PUBLIC ORDER AND SAFETY Councillor Ikeman mentioned that some residents have expressed confusion about the adoption of a by-law to limit demonstrations when Bill 78 is already in force. Mayor Trent explained that the request originated from the Service de police de la Ville de Montréal to help it enforce the same rules that apply in the boroughs surrounding the City of Westmount. He explained that the provincial law was adopted to control different issues. In his opinion, it is important that Council support the police force and trust that they will use their best judgment in an GENERAL COMMITTEE OF COUNCIL July 3, 2012 PAGE 7 appropriate manner. His understanding is that the interpretation of the proposed by-law has been blown out of proportion and falsely compared to Bill 78. COUNCIL MINUTES Councillor Drury requested to be replaced as the mover for the confirmation of the minutes of the last meeting since he was absent from such meeting. It was agreed that Councillor Price will move the item. ITEMS FOR DISCUSSION/DECISION UPDATE ON FLOODING SITUATION Andrew Duffield, Assistant Director of Public Works, joined the meeting at 7:12 p.m. Copies were distributed of an update prepared by the Director of Public Works on the flooding situation. Mr. Duffield informed Council that the report summarized the various actions that were taken following the flooding of May 29, 2012 but before any solutions are brought forward for Council’s approval, he needs to make sure that these proposals will work. The focus has been given to the Ste. Catherine area, but other sectors were also flooded. He explained that in order to compare the floodings that occurred in previous years (2004, 2005, 2009, 2011), he has consulted the data provided from the McTavish reservoir reporting station. According to the recent statistics, rain falls have increased in the last 20 years. Mr. Duffield provided some data on the various floods that occurred in the last few years. He explained that statistical techniques are used to estimate the probability of the occurrence of a given precipitation event. He reported that for example, the May 29 storm exceeded the 100-year recurrence interval on the west side of the island. Soil saturation before a storm can influence the amount of storm water runoff into the stream system, meaning that soil that is already wet from previous rains has a lower capacity for infiltration, allowing more runoff to enter the sewer systems. GENERAL COMMITTEE OF COUNCIL July 3, 2012 PAGE 8 He provided technical information on the design and performance of the sewers at the intersection of Lansdowne and Ste. Catherine where three sewer pipes converge. The Abbot area shows a completely different pattern where the floods that occurred did not correlate necessarily with the nature of the storm. He reported that some structural issues were revealed, but the sewers are generally in good shape. They have studied the possibility of relieving pressure from the sewers by reconnecting a catch basin at Lansdowne and Ste. Catherine. A second suggestion would be to reconfigure sewers at the intersection while a third is to create a retention basin by installing large diameter pipes under Park Place. This could avoid having to install larger pipes along Ste. Catherine Street where there is limited space. The proposed projects are well defined, but the costs have to be determined. There is a need to work out the details, taking into account the information provided by the Aquapraxis, the City’s consultant. Once that information is completed, decisions can then be made as to the best course of action. Mayor Trent asked for clarification between a 1 in 10 years rain fall and the 1 in 25 years. In his opinion, the proposed solution would improve, but not necessarily solve the current problems. The meeting was adjourned at 7:57 p.m. L. Angers left at 7:57 p.m. CONFIRMATION OF RECOGNITION GIVING RISE TO PROPERTY TAXES The Committee members took note of both memorandums drafted by the City Clerk with regard to the possible confirmation, by the Commission municipale du Québec, of recognition given in 2003 to the Centre communautaire de l’avenue Greene inc. and to La fondation des centres de la jeunesse et de la famille Batshaw. Given that both organizations are recognized as valuable to the community The Committee agreed that the City remain passive in both files. Councillor Martin asked to have a list of all the “enlieu de taxes” that are paid by the governments to the City of Westmount. GENERAL COMMITTEE OF COUNCIL July 3, 2012 PAGE 9 STANDING ITEMS MTQ The Director General reported that the resolution adopted last month has been sent to the Ministère des Transports du Québec (MTQ) asking for a meeting to be arranged with the MTQ. He informed Council that the MTQ has finally acquired the derelict building on de Richelieu Street. The City will assist to fast-track the demolition as the vacant building poses a security risk and is an eye sore to the neighboring residents. The City is interested knowing if there is any contamination on this site. . MUHC No report was made. TRAFFIC MASTER PLAN The Director General reported that the City should receive later this month a report from the firm Genivar on the potential solutions to the priorities indicated by Council and residents. That is in anticipation of the “charrette type” public meeting that is proposed for the week of September 10. NEW BUSINESS DEMOLITION COMMITTEE Councillor Martin asked if it would be possible to enlarge the Demolition Committee in order to have one substitute member in case of absence of a regular member. Councillor Lulham mentioned that the provincial law is to be changed and the Demolition Committee will be replaced as a result. GENERAL COMMITTEE OF COUNCIL July 3, 2012 PAGE 10 WEB CAMERA ON CONSTRUCTION SITE Councillor Martin asked if there is any progress in installing a web camera on the Westmount Recreation Centre construction site. The Director General mentioned that as the Director of Information Technology Department, Daniel Desgens is on holiday, a follow-up will be done on his return. CLD LES 3 MONTS Councillor Ikeman announced his resignation as City’s representative member on the Centre local de développement Les 3 monts. Councillor Forbes mentioned that she is willing to replace Councillor Ikeman on the board of this organization. A resolution to that effect will have to be adopted by Council at the August meeting. ITEM No. 6 Councillor Drury WHEREAS the mandate given to Groupe financier AGA inc. to act as an external consultant to carry out the procedure of a call for tenders for the purposes of acquiring group insurance coverage expires on December 31, 2012; WHEREAS Council authorized the City of Dorval to act as proxy on its behalf to proceed with a call for tenders for a Group Insurance Broker for the reconstituted cities of the Island of Montreal, as per resolution No. 2012-07-166 adopted at its regular meeting held on July 3, 2012; WHEREAS the reconstituted cities on the Island of Montreal have since received an offer from the Union of Quebec Municipalities (UMQ) to form a group to retain the professional services of a consultant in group insurance for municipal employees; WHEREAS according to section 29.9.1 of the Cities and Towns Act (R.S.Q., chapter C-19), a municipality may enter into such an agreement with the UMQ; WHEREAS the reconstituted municipalities of the Island of Montreal wish to take part to this consolidated agreement with the UMQ; WHEREAS the UMQ wishes to proceed with a public call for tenders for a group insurance broker in the fall of 2012; WHEREAS the Director of Human Resources recommended that a mandate be given to the UMQ to proceed with this call for tenders. ANNEXE A ENTENTE TYPE SCHEDULE A STANDARD AGREEMENT Page 5 ENTENTE RELATIVE MUNICIPAUX À L’EXÉCUTION DE TRAVAUX LES PARTIES AUX PRÉSENTES CONVIENNENT DE CE QUI SUIT : ARTICLE 1 - DISPOSITIONS DÉCLARATOIRES 1.1 DÉFINITIONS Chaque fois qu'elle apparaît dans la présente entente, l'expression suivante signifie : « TRAVAUX » : La réalisation des infrastructures et la fourniture et l'installation, selon le cas, des équipements, tels que précisés à l’annexe « C » des présentes. ARTICLE 2 –OBLIGATIONS DU « PROPRIÉTAIRE » 2.1 Lorsque le « PROPRIÉTAIRE » désire débuter les « TRAVAUX » : 2.1.1 il mandate une firme d'ingénieurs-conseils ou d’architectes, autorisée préalablement par une résolution du conseil de la « VILLE », pour la préparation des plans et devis des « TRAVAUX »; 2.1.2 il fait les démarches nécessaires pour faire approuver les plans et devis des « TRAVAUX » par toute personne ou par tout organisme auquel ces plans et devis doivent être légalement soumis pour approbation, le cas échéant; 2.1.3 il fait approuver par résolution de la « VILLE », concurremment aux démarches visées au paragraphe 2.1.2, la version finale des plans et devis des « TRAVAUX »; 2.1.4 il fait approuver, le cas échéant, par la « VILLE » ainsi que par toute personne ou par tout organisme auquel ces plans et devis doivent être légalement soumis pour approbation, toute modification aux plans et devis des « TRAVAUX »; 2.1.5 il soumet le nom et l'adresse de l'entrepreneur qui exécutera les « TRAVAUX », son numéro de licence délivrée par la Régie des entreprises de construction du Québec, le bordereau de soumission présenté par ce dernier ainsi que le contrat intervenu relativement aux « TRAVAUX »; 2 2.1.6 2.2. il soumet à la « VILLE » copie de la police d'assurance responsabilité civile pour un montant minimum de deux (2) millions de dollars que son entrepreneur lui fournit; Lorsque le « PROPRIÉTAIRE » exécute les « TRAVAUX » : 2.2.1 il exécute ces « TRAVAUX » sous la surveillance de ses ingénieurs; 2.2.2 il assume tous les coûts réels et inhérents à la réalisation des « TRAVAUX »; 2.2.3 il tient la « VILLE » franche et indemne de toute réclamation de quelque nature que ce soit ou de toute responsabilité pouvant découler de l'exécution des « TRAVAUX »; 2.2.4 il prend fait et cause de la « VILLE » dans les cas prévus à l'article précédent, assume et acquitte les coûts relatifs à la défense de la « VILLE », ainsi que toute condamnation en capital, intérêts et frais pouvant en découler; 2.2.5 il remet à la « VILLE » les garanties d’exécution et les polices d'assurance qui lui sont fournis, le cas échéant, par l’entrepreneur qui réalise les « TRAVAUX »; 2.2.6 il remet à la « VILLE » après la fin des travaux une copie des plans des travaux tel que construits; 2.3 Le « PROPRIÉTAIRE » débute les « TRAVAUX » dès l’obtention des autorisations nécessaires en vertu de la Loi; 2.4 Les « TRAVAUX » doivent être complétés au plus tard le ARTICLE 3 - 2012; RÉCEPTION PROVISOIRE ET DÉFINITIVE DES « TRAVAUX » 3.1 Le « PROPRIÉTAIRE » avise par écrit la « VILLE » lorsque les « TRAVAUX » sont terminés; 3.2 La « VILLE » accepte provisoirement les « TRAVAUX », lorsqu'ils sont substantiellement complétés conformément aux plans et devis des « TRAVAUX »; cette acceptation se fait par résolution du conseil de la « VILLE »; 3.3 La « VILLE » accepte de manière définitive les « TRAVAUX » lorsqu'ils sont complétés conformément aux plans et devis des « TRAVAUX »; cette acceptation se fait par résolution du conseil de la « VILLE ». Les ingénieurs ou architectes mandatés par le 3 « PROPRIÉTAIRE » doivent produire une lettre à l’intention de la « VILLE » à l’effet que les travaux ont été réalisés conformément aux plans et aux devis et que ceux-ci sont adéquats aux fins auxquels ils sont destinés; ARTICLE 4 - LETTRE DE GARANTIE 4.1 Sous réserve de toute autre garantie qu'un tiers peut devoir légalement dispenser, le « PROPRIÉTAIRE » garantit à la « VILLE » qu'il réparera à ses frais toute défectuosité ou tous vices affectant les « TRAVAUX », cette garantie étant valable pour une période d’un (1) an suivant la réception provisoire de l'ensemble des « TRAVAUX » par la « VILLE ». 4.2 Afin de garantir la bonne et entière exécution des « TRAVAUX » et de ses obligations, le « PROPRIÉTAIRE » remet à la « VILLE », dès le début des « TRAVAUX », une lettre de garantie bancaire irrévocable émise par une banque à charte du Canada ou une caisse d'épargne et de crédit, d’une durée de dix-huit (18) mois, dont le montant correspond à 10 pour cent (10%) du coût total du contrat octroyé par le « PROPRIÉTAIRE » à son entrepreneur; 4.3 Cinq jours avant l'expiration de la lettre de garantie bancaire irrévocable, le « PROPRIÉTAIRE » la renouvelle ou la remplace par une autre lettre de garantie émise par une banque à charte ou une caisse d'épargne et de crédit pour une période additionnelle d'un (1) an. 4.4 En cas de défaut du « PROPRIÉTAIRE » de procéder aux « TRAVAUX », la « VILLE » transmet un avis au « PROPRIÉTAIRE ». Dans les dix (10) jours suivant la transmission de l’avis, si le « PROPRIÉTAIRE » est toujours en défaut, la « VILLE » peut alors s'adresser à l'émetteur de la lettre de garantie mentionnée à l'article 4.1 ou 4.2, selon le cas, et requérir de ce dernier le versement immédiat à la « VILLE » du montant complet de la garantie. Ces sommes servent alors à acquitter le coût des « TRAVAUX » non encore exécutés et à indemniser la « VILLE » pour les inconvénients subis; ARTICLE 5 - DOMICILE Tout avis, communication ou correspondance entre les parties aux présentes est signifié ou transmis par courrier recommandé à l'adresse suivante : 5.1 Pour la « VILLE » : VILLE DE WESTMOUNT À l'attention du directeur général 5.2 Pour le « PROPRIÉTAIRE » 4 À l’attention de : ARTICLE 6- ANNEXES Les parties aux présentes reconnaissent que les documents suivants joints à la présente entente, reconnus véritables et signés pour identification par elles, en font partie intégrante : 6.1 Annexe « A » Copie des résolutions autorisant la « VILLE » et le « PROPRIÉTAIRE » à signer la présente entente; 6.2 Annexe « B » Plan du « SITE »; 6.3 Annexe « C » Équipements; EN FOI DE QUOI, LES PARTIES ONT SIGNÉ LA PRÉSENTE ENTENTE À WESTMOUNT 5 Ce e jour du mois de VILLE DE WESTMOUNT La « VILLE » par : Peter F.Trent, maire par : Le « PROPRIÉTAIRE » par : 2012 ANNEXE «A» ANNEXE «B» 8 ANNEXE «C» MUNICIPAL WORKS AGREEMENT THE PARTIES HERETO AGREE AS FOLLOWS: CLAUSE 1. 1.1 DECLARATORY PROVISIONS DEFINITIONS In this Agreement, the following definition applies: "Works" means the construction of infrastructures and the supply and installation, as the case may be, of facilities, as specified in Schedule "C" hereof. CLAUSE 2. OBLIGATIONS OF THE OWNER 2.1 2.2. When the Owner wishes to commence the Works: 2.1.1 it shall instruct a firm of consulting engineers or architects, previously authorized by a resolution of the Council of the City, to prepare the plans and specification for the Works; 2.1.2 it shall take all steps required to obtain approval of the plans and specifications for the Works by the person or body to which such plans and specifications must by law be submitted for approval, as the case may be; 2.1.3 concurrently with its obligation pursuant to Clause 2.1.2, it shall submit the final version of the plans and specifications for the Works to the City for its approval by resolution; 2.1.4 It shall submit every modification, as the case may be, of the plans and specifications for the Works to the City and to any person or body to which such plans and specifications must by law be submitted for approval; 2.1.5 It shall submit the name and address of the contractor engaged to build the Works, the number of its licence issued by the Régie des entreprises de construction du Québec, the price schedule submitted by the contractor as well as the contract entered into for the Works; 2.1.6 It shall submit to the City a copy of the civil liability insurance policy of least two (2) million dollars coverage provided to it by the contractor; When the Owner carries out the Works: 2 2.2.1 it shall build the Works under the supervision of its engineers; 2.2.2 it shall pay all the actual costs involved in building the Works; 2.2.3 it shall save the City harmless against all claims of any nature whatsoever and against any liability that may result from building the Works; 2.2.4 it shall take up the City's defence in the instances referred to in the preceding paragraph, and shall assume and pay all costs in principal, interest and expenses related to the City's defence and to any order for the payment of money that may result therefrom; 2.2.5 it shall furnish the City with all the performance bonds and insurance policies provided to it, as the case may be, by the contractor building the Works; 2.2.6 upon completion of the Works, it shall provide the City with a copy of the as-built plans for the Works; 2.3 The Owner shall commence the Works when it obtains the authorizations required under the Act; 2.4 The Works must be completed by CLAUSE 3. 2012 at the latest; PROVISIONAL AND FINAL ACCEPTANCE OF THE WORKS 3.1 The Owner shall notify the City in writing when the Works have been completed; 3.2 The City shall provisionally accept the Works when they are substantially completed in accordance with the plans and specifications for the Works; such acceptance shall be given by resolution of the City's Municipal Council; 3.3 The City shall give its final acceptance of the Works when they have been completed in accordance with the plans and specifications for the Works; such acceptance shall be given by resolution of the City's Municipal Council. The engineers or architects hired by the Owner must submit a letter to the City stating that the Works were built in accordance with the plans and specifications and that they are fit for the purpose for which they were intended; CLAUSE 4. 4.1 LETTER OF GUARANTEE Subject to any other guarantee that a third party may become legally bound to give, the Owner shall guarantee to the City, that it will, at its expense, repair all malfunctions and 3 defects affecting the Works, such guarantee to remain in effect for a period of one (1) year following provisional acceptance of all the Works by the City. 4.2 To guarantee its obligations and the proper and due completion of the Works, the Owner shall, upon commencement of the Works, remit to the City an irrevocable bank letter of guarantee issued by a Canadian chartered bank or a savings and credit union, for a term of eighteen (18) months, the amount of which guarantee shall correspond to ten (10) percent (10%) of the total cost of the contract granted by the Owner to its contractor; 4.3 Five days before expiration of the irrevocable bank letter of guarantee, the Owner shall renew the letter or replace it with another letter of guarantee issued by a chartered bank or a savings and credit union, for a further period of one (1) year. 4.4 Should the Owner fail to proceed with the Works, the City shall send a notice of default to the Owner.
