EURONEXT PARIS
Le conseil d’administration de SOLOCAL GROUP a décidé de mettre en oeuvre le regroupement d’actions
approuvé par l’assemblée générale mixte des actionnaires du 11/06/2015.
Ainsi, le 26/10/2015, le regroupement sera réalisé par échange obligatoire des actions anciennes de 0,20
EUR de nominal (Code ISIN FR0010096354) contre des actions nouvelles de 6 EUR de nominal (Code ISIN
FR0012938884), à raison de 1 action nouvelle pour 30 anciennes.
Le nombre d'actions ordinaires en circulation sur EURONEXT PARIS est ainsi porté de 1 166 296 943 à
38 876 564.
Les actionnaires qui n'auraient pas un nombre d'actions anciennes permettant de procéder au regroupement
devront faire leur affaire personnelle de l'achat ou de la vente des actions de 0,20 EUR de valeur nominale,
étant précisé que ces actions anciennes cesseront de coter le 26/10/2015 et seront remplacées dès lors par
les actions nouvelles regroupées.
BNP Paribas Securities Services (030) centralisera les opérations de regroupement.

EURONEXT PARIS
SOLOCAL GROUP's board of directors has decided to carry out the reverse stock split that the combined
general shareholders’ meeting approved on 11/06/2015. The reverse stock split will be implemented
by exchange of 30 old shares (ISIN FR0010096354 of 0.20 EUR nominal value) into 1 new share (ISIN
FR0012938884 of 6 EUR nominal value).
The number of outstanding shares on EURONEXT PARIS is therefore decreased from 1 166 296 943 to
38 876 564.
Shareholders who would not own a corresponding number of shares will have to make their personal
business of the purchase or sale of old shares. It is precised that those old shares will cease to be listed/
traded as from 26/10/2015 and will then be replaced by the new shares.
BNP Paribas Securities Services (030) will be the centralizing agent of the reverse stock split.
