Announcement Tax A11005 17 January 2011 Turkey: Amended tax rates on foreign bonds issued abroad by Turkish corporations Further to Decree No. 2010/1182 of the Turkish Council of Ministers, which amended the withholding tax rates, with effect from 29 December 2010, on income from foreign bonds issued abroad by Turkish corporations, Income Tax General Communiqué No. 279 was published in the Official Gazette, on 13 January 2011, providing the principle guidelines for such taxation. Note: The information in this Announcement is based on interpretations of the amendments received from various market participants and may be subject to change. Interest Withholding tax rates, for both residents and non-residents, on interest from Turkish foreign corporate bonds issued and sold outside Turkey are applicable according to the maturity of the bond, as follows: 10% 7% 3% 0% if maturity is less than 1 year; if maturity is between 1 and 3 years; if maturity is between 3 and 5 years; if maturity is 5 years or more. It is the responsibility of the issuer of the foreign corporate bond to apply the withholding tax, which will therefore be withheld at source for such payments. Capital gains The taxation treatment of capital gains depends on whether the foreign corporate bonds are held for safekeeping in a foreign or in a domestic depository. In general, Turkish capital gains tax on income from foreign bonds issued abroad by Turkish corporations is applicable to non-residents only if the sale is executed in Turkey (that is, via domestic depository) and not if executed outside Turkey (via foreign depository). Therefore: • For such bonds held at a foreign depository, capital gains tax is not applicable. • For such bonds held at a domestic depository, the rate of capital gains tax depends on the type of investor, as follows: − For non-resident corporations, the overall tax rate is 32% (that is, 20% corporate tax plus 15% of the amount of the gain remaining after that deduction). − For non-resident individuals, the tax rate is given in an ascending scale, according to the amount of the gain. − For Turkish residents, tax is applicable but is not withheld by our depository (Türkiye Is Bankasi): Turkish residents are required to declare any capital gain via their annual tax declaration. Impact on customers For foreign bonds issued abroad by Turkish corporations and held at a foreign depository, no action is required for investors: tax on interest payments is withheld at source directly by the issuer of the bond and no capital gains tax is applicable. For foreign bonds issued abroad by Turkish corporations and held at a domestic depository, the certification required in order to hold such securities is the same as for domestic bonds but withholding tax rates vary for such foreign bonds, as described above. Rem. : Les informations mentionnées dans la présente annonce sont basées sur les interprétations des modifications reçues de la part de différents acteurs du marché et peuvent changer. Intérêts Que ce soit pour les résidents ou les non résidents, les taux de retenue d'impôts sur les intérêts provenant d'obligations étrangères de sociétés turques émises et vendues hors du territoire de la Turquie s'appliquent de la manière suivante en fonction de la maturité de l'obligation : 10% 7% 3% 0% si la maturité est inférieure à 1 an ; si la maturité se situe entre 1 et 3 ans ; si la maturité se situe entre 3 et 5 ans ; si la maturité est supérieure à 5 ans. L'émetteur de l'obligation de société étrangère sera tenu d'appliquer une retenue d'impôts à la source lors des paiements. Plus-values Le mode d'imposition des plus-values varie selon que les obligations de société étrangères sont conservées auprès d'un dépositaire local ou étranger. En règle générale, l'impôt turc sur les plus-values provenant d'obligations étrangères émises à l'international par des sociétés turques s'applique aux non résidents uniquement si la vente a lieu en Turquie (soit, via un dépositaire local) et non à l'étranger (via un dépositaire étranger). Ainsi : • Pour les obligations détenues auprès d'un dépositaire étranger, l'impôt sur les plus-values ne s'applique pas. • Pour les obligations détenues auprès d'un dépositaire local, le taux de l'impôt sur les plusvalues dépend du type d'investisseur : Pour les sociétés non résidentes, le taux d'imposition général s'élève à 32 % (20 % d'impôt sur les sociétés plus 15 % du montant du bénéfice restant après cette déduction). Pour les particuliers non résidents, le taux d'imposition augmente en fonction du montant de la plus-value. Pour les résidents turcs, l'impôt s'applique mais n'est pas retenu par notre dépositaire (Türkiye Is Bankasi): Les résidents turcs doivent déclarer toutes leurs plus-values par le biais de la déclaration de revenus annuelle. 17 janvier 2011 A11005 (1) Impact sur les clients Pour les obligations étrangères émises à l'international par des sociétés turques et détenues auprès d'un dépositaire étranger, les investisseurs n'ont aucune démarche à entreprendre : l'impôt sur les paiements d'intérêts est directement retenu à la source par l'émetteur de l'obligation et aucun impôt sur les plus-values ne s'applique. Pour les obligations étrangères émises à l'international par des sociétés turques et détenues auprès d'un dépositaire local, les attestations demandées pour la détention de ces titres sont les mêmes que celles des obligations domestiques mais les taux de retenue d'impôts diffèrent comme indiqué cidessus. Tout impôt sur les paiements d'intérêts est directement retenu à la source par la société turque ayant émis l'obligation de société étrangère et l'impôt sur les plus-values est calculé et retenu par Türkiye Is Bankasi, dans les 15 jours suivant la vente. Januar 2011 Türkei: Geänderte Steuersätze für Fremdwährungsanleihen, die im Ausland von türkischen Unternehmen emittiert wurden Ergänzend zu der Verordnung Nr. 2010/1182 des türkischen Ministerrates, die mit Wirkung vom 29. Dezember 2010 zu einer Änderung der Kapitalertragssteuersätze für Erträgnisse aus im Ausland von türkischen Unternehmen emittierten Fremdwährungsanleihen führte, wurde am 13. Januar 2011 im öffentlichen Amtsblatt das Allgemeine Communiqué zur Einkommensteuer Nr. 279 mit den grundlegenden Richtlinien für diese Besteuerung veröffentlicht. Hinweis: Informationen in dieser Kundenmitteilung basieren auf Auslegungen von Änderungen, die wir von verschiedenen Marktteilnehmern erhalten haben. Änderungen sind vorbehalten. Zinsen Kapitalertragssteuersätze, sowohl für inländische als auch ausländische Personen, auf Zinsen aus außerhalb der Türkei emittierte und verkaufte türkische Fremdwährungs-Unternehmensanleihen gelten entsprechend der Fälligkeit der Anleihe wie folgt: 10 % 7% 3% 0% bei Fälligkeit unter einem Jahr; bei Fälligkeit zwischen 1 und 3 Jahren; bei Fälligkeit zwischen 3 und 5 Jahren; bei Fälligkeit von 5 oder mehr Jahren. Es liegt in der Verantwortung des Emittenten der Fremdwährungs-Unternehmensanleihe, die Kapitalertragssteuer anzuwenden, die folglich für diese Zahlungen an der Quelle einbehalten wird. Kapitaleinkünfte Die steuerliche Behandlung von Kapitaleinkünften hängt davon ab, ob die FremdwährungsUnternehmensanleihen bei einem ausländischen oder einem inländischen Verwahrer liegen. Im Allgemeinen findet eine Kapitalertragssteuer auf im Ausland von türkischen Unternehmen emittierten Fremdwährungsanleihen für Ausländer nur dann Anwendung, wenn der Verkauf in der Türkei (d. h. über einen inländischen Verwahrer) und nicht außerhalb der Türkei (über einen ausländischen Verwahrer) abgewickelt wird. Daher gilt: • Eine Kapitalertragssteuer für Anleihen, die bei einem ausländischen Verwahrer gehalten werden, ist nicht anwendbar. • Bei Anleihen, die bei einem inländischen Verwahrer gehalten werden, hängt der Kapitalertragssteuersatz wie folgt von der Anlegergruppe ab: Bei ausländischen Unternehmen beträgt der Steuersatz 32 % (d. h. 20 % Körperschaftssteuer plus 15 % des verbleibenden Betrags nach Abzug der Körperschaftssteuer). Für ausländische Einzelpersonen steigt der Steuersatz proportonial an, entsprechend der Summe der Einkünfte. Für in der Türkei Ansässige wird Kapitalertragssteuer erhoben, diese wird aber nicht von unserem Verwahrer (Türkiye Is Bankasi) einbehalten: Ansässige in der Türkei müssen ihre Kapitaleinkünfte in ihrer jährlichen Steuererklärung angeben. 17. Januar 2011 A11005 (1) Auswirkungen auf Kunden Für von türkischen Unternehmen im Ausland emittierte Fremdwährungsanleihen, die bei einem ausländischen Verwahrer gehalten werden, ist seitens der Anleger kein Handeln erforderlich: Die Steuern auf Zinszahlungen werden an der Quelle direkt vom Emittenten der Anleihe einbehalten, und eine Steuer auf Kapitaleinkünfte ist nicht anwendbar. Für von türkischen Unternehmen im Ausland emittierte Fremdwährungsanleihen, die bei einem inländischen Verwahrer gehalten werden, ist die gleiche Zertifizierung wie für die Verwahrung inländischer Anleihen erforderlich, jedoch variieren die Kapitalertragssteuersätze für diese Anleihen wie oben beschrieben. Sämtliche Steuern auf Zinszahlungen werden an der Quelle direkt von dem türkischen Unternehmen einbehalten, das die Fremdwährungs-Unternehmensanleihe emittiert hat, und die Kapitalertragssteuer wird von Türkiye Is Bankasi berechnet und spätestens 15 Tage nach dem Verkauf einbehalten.
