Les assemblées générales des sociétés SUEZ et Gaz de France tenues le 16 juillet 2008 ont approuvé le
projet de fusion par absorption de la société SUEZ par la société Gaz de France. Durant la même
assemblée générale, la société Gaz de France a également décidé le changement de la dénomination
sociale de Gaz de France pour devenir GDF SUEZ.
La parité d'échange a été fixée à 21 actions GDF SUEZ pour 22 actions SUEZ détenues et à 21 strips VVPR
GDF SUEZ pour 22 strips VVPR SUEZ détenus .
Préalablement à la réalisation de la fusion entre SUEZ et Gaz de France, la société SUEZ procédera à la
distribution à ses actionnaires (autres qu'elle-même) au prorata de leur participation dans le capital de
SUEZ, de 65% des actions composant le capital de SUEZ Environnement Company ( Société regroupant les
activités "Eau et Propreté" du groupe Suez) par voie d'attribution d'une action SUEZ Environnement
Company pour 4 actions SUEZ détenues.

3) Fusion par absorption de SUEZ par Gaz de France par voie d'échange contre des titres portant la

Il sera procédé, à dater du 22.07.2008, à l'échange des C.R. d'actions ordinaires existantes et des strips
VVPR existants de la société SUEZ dans les proportions suivantes:
- 21 actions ordinaires nouvelles GDF SUEZ, jouissance 01.01.2008 (coupons 4 et suivants attachés (
coupons non livrables matériellement), pour 22 actions ordinaires anciennes SUEZ ( sous forme de C.R.),
coupons 28 à 36 attachés .

d'un intermédiaire financier se verront attribuer automatiquement les nouveaux titres GDF SUEZ résultant de
l'opération de fusion.
- Liquidation: Les titres GDF SUEZ ( actions et strips VVPR) ne seront pas disponibles matériellement. Les
liquidations des opérations effectuées à partir du 22/07/2008 sur les titres GDF SUEZ (achats et ventes)
s'effectueront uniquement par voie scripturale Euroclear Belgium ( = transferts de compte à compte ).
4) Transfert des C.R. d'actions SUEZ aux "Temporaires"
- Rompus d'échange: Les C.R. d' actions SUEZ, c. 28 et suivants attachés, formant rompus resteront
cotés temporairement au marché d'Euronext Brussels ( Continu - Groupe A3) et figureront à la Cote à
dater du 22/07/2008 avec la mention "Cotation temporaire" jusqu'au 22/10/2008 et seront ensuite
transférés au Simple Fixing - Groupe A8 " Temporary Listings" jusqu'au 22/06/2010 inclus.

22/10/2008, les frais de courtage et la TVA y afférente , supportés par chaque actionnaire de SUEZ, à raison
de la vente ou de l'achat des actions SUEZ formant rompus lui permettant de se voir attribuer 21 actions
GDF SUEZ. Cette prise en charge sera limitée à EUR 8 TTC maximum à l'achat ou à la vente d'un
maximum de 21 actions SUEZ par actionnaire. Les demandes de remboursement de frais de courtage
devront être envoyées à CACEIS Corporate Trust au plus tard le 21/11/2008. ( Renseignements

A compter du 23/10/2008, pour toutes les négociations réalisées sur le compartiement des valeurs
temporaires - Marché réglementé ( Groupe A8 - Temporary Listings) d'Euronext Brussels, les frais de
négociation NE SERONT PLUS PRIS EN CHARGE par l'émetteur et seront à charge des porteurs
Après le 22/06/2010, les actions nouvelles dématérialisées GDF SUEZ non demandées pourront
être vendues par GDF SUEZ selon les modalités réglementaires applicables et le produit net de la vente (
plus dividendes éventuels) sera tenu à la disposition des ayants-droit pendant 10 ans sur un compte
bloqué chez CACEIS Corporate Trust. Après ce délai, les sommes non réclamées seront versées à la
Caisse des Dépôts et Consignations qui les conservera pendant 20 ans.
Passé ce délai, les sommes seront définitivement acquises à l'Etat français.

De algemene vergaderingen van de vennootschappen SUEZ en Gaz de France gehouden op 16 juli 2008
hebben hun goedkeuring verleend aan het project "fusie door opslorping" van de vennootschap SUEZ door
de vennootschap Gaz de France. Tijdens dezelfde vergadering heeft de vennootschap Gaz de France ook
besloten haar maatschappelijke naam te veranderen van Gaz de France in GDF SUEZ.
De ruilverhouding werd vastgesteld op 21 aandelen SUEZ GDF voor 22 SUEZ-aandelen en 21 VVPR-strips
SUEZ GDF voor 22 SUEZ VVPR-strips.
Voorafgaand aan de voltooiing van de fusie tussen SUEZ en Gaz de France, zal de vennootschap
SUEZ overgaan tot een uitkering door middel van toewijzing van 65% van de aandelen die het kapitaal van
SUEZ Environnement Company (Vennootschap die de activiteiten "Water en zuiverheid" van de Suez-groep
hergroepeert ) aan haar aandeelhouders (andere dan haarzelf) in verhouding tot hun aandeel in het kapitaal
van Suez, in de verhouding van een aandeel SUEZ Environnement voor 4 aandelen SUEZ in bezit.

Kosten: Van 22/07/2008 tot 22/10/2008, zal SUEZ en later GDF Suez die de verplichtingen van SUEZ
overneemt, de makelaarskosten en de erbij horende BTW voor haar rekening nemen voor elke
aandeelhouder van SUEZ die ingeschreven is op een effectenrekening op het einde dag van vaststelling
zijnde 21/07/2008 en die verschuldigd zijn nav de verkoop of desgevallend de aankoop van de
toekenningsrechten welke fracties SUEZ Environnement Company vertegenwoordigen en dit ten laatste tot
woensdag 22/10/2008. Hierbij wordt het maximum bedrag beperkt tot het reëele bedrag aan
makelaarskosten verschuldigd nav de verkoop of aankoop van maximaal 3 rechten en in elk geval voor een
totaal bedrag van maximum 8 EUR per effectenrekening. De aanvraag tot terugbetaling van de
makelaarskosten dient ten laatste op 21 november 2008 naar CACEIS Corporate Trust verstuurd te worden (
Bijkomende informatie beschikbaar bij Eurocelar Belgium).
Notering/ schrapping van toekenningsrechten (C.27) - Groep A8 - Tijdelijke notering
Vanaf 23/10/2008 zullen de toekenningsrechten (C.27) hieronder beschreven, verhandeld worden op
Euronext Brussels "Tijdelijke notering" en zullen ze geschrapt worden op 23/06/2010.

Kosten: Vanaf 23/10/2008, zullen de kosten van alle transacties gerealiseerd op het segment "Tijdelijke
noteringen van de gereglementerde markt Euronext Brussels (Trading groep A8 - Tijdelijke Notering)" NIET
LANGER GEDRAGEN WORDEN door de emittent maar ten laste zijn van de aandeelhouders.
Na 22/06/2010, zal GDF Suez alle niet-opgevraagde gedematerialiseerde aandelen Suez Environnement
Company kunnen verkopen volgens de geldende reglementaire modaliteiten en zal de netto opbrengst van
de verkoop ter beschikking gehouden worden aan de houders van niet-uitgeoefende rechten (C.27).

Ter herinnering: In toepassing van artikel 4203/4 van de Marktregels - Boek I - Geharmoniseerde

3) Fusie door opslorping van SUEZ door Gaz de France door omruiling tegen effecten met de nieuwe
maatschappelijke benaming GDF SUEZ
Vanaf 22/07/2008, zal worden overgaan tot de omruiling van bestaande gewone CR aandelen en
bestaande VVPR strips van de vennootschap SUEZ in de volgende verhouding:
- 21 gewone nieuwe aandelen GDF SUEZ, dividendgerechtigd 01/01/2008 (coupon 4 ev aangehecht (niet
