Suite aux décisions prises lors des AGE du 05.11.2007 par les sociétés ARCELOR et ArcelorMittal, ayant
décidé la fusion par absorption de la société ArcelorMittal par la société ARCELOR, et le changement de la
dénomination sociale de la société "ARCELOR " en "ArcelorMittal", il sera procédé, à dater du 13.11.2007, à
l'échange des actions ordinaires existantes des sociétés ARCELOR et ArcelorMittal dans les proportions
suivantes:
- 1 action ordinaire nouvelle ArcelorMittal, coupons 1 et suivants attachés ( coupons non livrables
matériellement) , pour 1 action ordinaire ancienne ARCELOR ( post restructuration ), coupons 1 et suivants
attachés ( coupons non livrables matériellement )
et
- 1 action ordinaire nouvelle ArcelorMittal, coupons 1 et suivants attachés ( coupons non livrables
matériellement) , pour 1 action ordinaire ancienne ArcelorMittal (pré fusion) , coupons 6 et suivants attachés
( coupons non livrables matériellement ).
- Cours de référence: Le cours de référence de l'action nouvelle ArcelorMittal à l'ouverture le 13.11.2007
sera le cours de clôture de l'action ARCELOR (LU0325453354) le 12.11.2007.
- Les titulaires d'actions nominatives ainsi que les actionnaires ayant leurs titres ARCELOR et/ou
ArcelorMittal sur compte-titres auprès d'un intermédiaire financier se verront attribuer automatiquement les
nouveaux titres ArcelorMittal résultant de l'opération de fusion.
- Liquidation: Les actions ordinaires nouvelles ArcelorMittal ne seront pas disponibles matériellement. Les
liquidations des opérations effectuées à partir du 13.11.2007sur les nouvelles actions ArcelorMittal (achats et
ventes) s'effectueront uniquement par voie scripturale Euroclear Belgium ( = transferts de compte à compte
).
- Frais: L'échange sera effectué gratuitement pour les porteurs auprès de Fortis Banque. Les
frais éventuellement réclamés par d'autres intermédiaires financiers que l'établissement précité, et auprès
desquels des demandes d'échange seraient introduites, sont à charge du porteur.
- Etablissement-guichet: Fortis Banque
Admission aux négociations des actions émises par ArcelorMittal ( post fusion)
Euronext Brussels fait connaître qu'à partir du 13/11/2007, les actions ordinaires ci-dessous émises
par ArcelorMittal seront admises aux négociations sur Eurolist by Euronext.

- Fusie door opslorping van de vennootschap ArcelorMittal door de vennootschap ARCELOR en
- Verandering van de maatschappelijke benaming van ARCELOR in ArcelorMittal via omruiling van
effecten
- Schrapping van de gewone aandelen ARCELOR (post herstructurering)
- Schrapping van de gewone aandelen ArcelorMittal (pre herstructurering)
- Opname van de nieuwe aandelen ArcelorMittal afkomstig uit de fusie.
In navolging van de beslissingen die door de BAV van 05.11.2007 van de vennootschappen ARCELOR en
ArcelorMittal genomen werden met betrekking op de fusie door opslorping van de vennootschap
ArcelorMittal door de vennootschap ARCELOR en de wijziging van de maatschappelijke benaming van de
vennootschap „ARCELOR“ in „ArcelorMittal “, zal er vanaf 13.11.2007 overgegaan worden tot
de omruiling van de bestaande gewone aandelen van de vennootschappen ARCELOR en
ArcelorMittal tegen nieuwe aandelen ArcelorMittal in de volgende verhoudingen :
- 1 nieuw gewoon aandeel ArcelorMittal, coupon nrs 1 en volgende aangehecht (coupon niet materieel
leverbaar ) voor 1 oud gewoon aandeel ARCELOR (post herstructurering), coupon nrs 1 en volgende
aangehecht (coupon niet materieel leverbaar )
en
- 1 nieuw gewoon aandeel ArcelorMittal, coupon nrs 1 en volgende aangehecht (coupon niet materieel
leverbaar ) voor 1 oud gewoon aandeel ArcelorMittal (voor fusie), coupon nrs 6 en volgende aangehecht
(coupon niet materieel leverbaar ).
-Referentie prijs: De referentie prijs van het nieuwe aandeel ArcelorMittal op de opening van de markt op
13.11.2007 is de slotkoers van het aandeel ARCELOR (LU0325453354) op 12.11.2007.
- De houders van aandelen op naam alsook de aandeelhouders waarvan de effecten ARCELOR en /of
ArcelorMittal op een effectenrekening bij een financiële bemiddelaar aangehouden worden, zullen de nieuwe
effecten ArcelorMittal resulterend uit de fusie automatisch bekomen.
- Vereffening: de nieuwe gewone aandelen ArcelroMittal zullen niet materieel beschikbaar zijn. De
vereffeningen van de verhandelingen die vanaf 13.11.2007 op de nieuwe aandelen ArcelorMittal uitgevoerd
worden (dit zowel voor de aan als verkoopverrichtingen), zullen enkel giraal via Euroclear Belgium gebeuren
(= via overdracht tussen de rekeningnen ).
- Kosten: de omruiling zal gratis gebeuren voor de houders bij Fortis Bank.De kosten die eventueel door
andere financiële bemiddelaars dan Fortis Bank, worden aangerekend en bij wie omruilingsvragen zouden
worden ingediend zijn ten laste van de aandeelhouder.
- Loketinstelling: Fortis Bank.
Toelating tot de notering van de aandelen uitgegeven door ArcelorMittal ( post fusie)
Euronext Brussels laat hierbij weten dat vanaf 13/11/2007 de gewone aandelen hieronder beschreven en
uitgegeven door ArcelorMittal, zullen opgenomen worden op Eurolist by Euronext.

Following the approval of the submitted resolutions at the time of the EGM of 5 November 2007 by the
companies ARCELOR and ArcelorMittal, who have decided the merger by absorption of the company
ArcelorMittal by the company ARCELOR and the change of the company name of f the company
“ARCELOR” in “ArcelorMittal”, it will be proceed to an exchange of the existing ordinary shares of the
companies ARCELOR and ArcelorMittal in the following ratio as of 13 November 2007:
- 1 new ArcelorMittal ordinary share, coupons 1 and following attached ( coupons only available in
book-entry form) against 1 ARCELOR existing ordinary share ( post restructuring), coupons 1 and following
attached ( coupons only available in book-entry form)
and
- 1 new ArcelorMittal ordinary share, coupons 1 and following attached ( coupons only available in
book-entry form) against 1 ArcelorMittal existing ordinary share ( pre merger), coupons 6 and following
attached ( coupons only available in book-entry form)
- Reference price: The opening reference price of the new ArcelorMittal ordinary share will be the closing
price of 12 November 2007 of ARCELOR share( LU0325453354).
- Registered shareholders as well as the shareholders having their ARCELOR shares and/of ArcelorMittal
shares in book-entry form on an account with a financial intermediary will be credited automatically with the
new ArcelorMittal shares resulting from the merger.
- Settlement: The new ArcelorMittal ordinary shares will not be available in physical form. As of 13
November 2007, the settlement of the transactions made on the new ArcelroMittal shares (buy and sell) will
only take place in a book-entry form Euroclear Belgium (by transfer between accounts).
- Costs: The exchange will be carried out free of charge at Fortis Bank. Costs for the share exchange, the
case being, charged by other financial intermediaries than Fortis Bank will be borne by the shareholder.
- Financial agent: Fortis Bank.
Listing of the shares issued by ArcelorMittal (post merger)
Euronext Brussels announces that, from 13/11/2007, the ordinary shares described below issued
by ArcelorMittal (post merger) will be listed on Eurolist by Euronext.
