Accessories
Please make sure that only original
Shademaker accessories are used on the
sunshades. Otherwise, you’ll achieve no
optimal use and, besides, the Shademaker
guarantee will not be valid.

Schutzhülle
Die Lebensdauer und das Ausbleichen
der Stoffe kann durch den Gebrauch der
Schutzhülle verlängert werden und sie wird
daher durch Shademaker empfohlen.
Protective cover
The regular use of a protective cover extends
the fabric’s lifetime and slows down the fading
process. That’s why Shademaker recommend
the use of it.
Housse de protection
En utilisant la housse de protection il est
possible de prolonger la durée du tissu et en
ralentir le blanchissement. C’est pourquoi
Shademaker en recommande de l’utiliser.
Produktionseigenschaften
Unabhängig von dem hohen Standard
der Technik bei der Herstellung von
Markisenstoffen gibt es durch die Behandlung
der Gewebe Erscheinungen, die unvermeidlich
sind. Um Irritationen zu vermeiden, wollen wir
Sie auf nachstehende Produkteigenschaften
ausdrücklich hinweisen. Grundsätzlich treten
diese Effekte in unterschiedlicher Stärke bei
fast allen Markisenstoffen auf. Sie mindern
aber in keiner Weise die Qualität der Stoffe
und sind kein Reklamationsgrund.
Peculiarities of the production process
Regardless of the fact that high technological
levels have been reached in the production
process of fabric materials, unavoidable
situations still occur when handling textiles.
In order to avoid annoyances we expressely
draw your attention to the following product
features. Basically, peculiar effects as listed
here below appear in almost all awning
materials, though to an unequal extent. They
do, however, not reduce the quality of the
materials in any way and can’t give rise to
complaints.
Caractéristiques de fabrication
S’il est vrai que la fabrication de toile a atteint
un niveau technologique sans précédent,
on ne peut toujours pas éviter quelques
phénomènes liés au traitement du tissu. Afin
d’éviter tout désagrément, nous désirons
vous informer expressément sur les suivantes
caractéristiques du produit. Par principe,
ces phénomènes apparaissent dans presque
toutes les toiles, mais à intensité variable. Ils n’ont
cependant aucune incidence négative sur la
qualité de la toile et ne peuvent en aucun cas
être invoqués comme motif de réclamation.
Fold marks Fold marks appear when
producing and folding fabric materials. In this
case, particularly with light colours, on top of
the folds there may be surface effects that
appear darker (when held against the light).
They don’t reduce the fabric’s functionality in
any way and cannot give rise to complaints.
Plis Les plis se produisent pendant la
confection et lors du pliage des toiles. Des
effets de marbrure peuvent apparaître, plus
foncés à contre-jour, en particulier sur des
toiles à coloris clairs. Ils n’en diminuent en rien
la valeur de l’utilité pratique et ne constituent
pas un motif de réclamation.
Chalking Chalking refers to light stripes that
arise during processing, which despite utmost
care can’t always be avoided. Consequently,
claims regarding these marks are not
accepted.
Ruptures de blanc Les ruptures de blanc
sont des bandes claires qui apparaissent lors
du traitement et qui ne peuvent pas toujours
être évitées, même si l’on a pris toutes les
précautions nécessaires. Elles ne peuvent pas
faire l’objet de réclamation.
Knickfalten Bei der Konfektion und beim
Falten der Stoffe entstehen Knickfalten. Dabei
kann es, speziell bei hellen Farben, im Knick
zu Oberflächeneffekten kommen, die im
Gegenlicht dunkler wirken. Sie mindern den
Wert der Gebrauchstauglichkeit der Schirme
nicht und sind kein Reklamationsgrund.
Weissbruch Weissbruch sind helle Streifen,
die bei der Verarbeitung und durch das Falten
der Schirme entstehen. Sie lassen sich auch
bei grösster Sorgfalt nicht immer vermeiden
und sind daher kein Reklamationsgrund.
Feuchtigkeit Schirme, welche in nassem
oder feuchtem Zustand geschlossen wurden,
sind baldmöglichst zum Trocknen wieder zu
öffnen.
Dampness Shades which were closed in a
wet or damp state should be opened up again
to dry as soon as possible.
Humidité
Les parasols ayant été refermés alors qu’ils
étaient mouillés ou humides doivent être
réouverts dans les meilleurs délais afin de
pouvoir sécher.

Allgemeine Geschäftsbedingungen der GLATZ AG vom 1.1.2014
1. Geltungsbereich
Diese Allgemeinen Geschäftsbedingungen
(nachfolgend «AGB») gelten für alle Verträge,
welche die Glatz AG mit Kunden (nachfolgend
«Käufer») betreffend die von der Glatz AG
vertriebenen Produkte (nachfolgend «Produkte»)
abschliesst. Diese AGB bilden einen integralen
Vertragsbestandteil im Falle eines Vertragsschlusses
gemäss Ziffer 2 der AGB.
6. Eigentumsvorbehalt
Die Ware bleibt bis zur endgültigen Bezahlung des
Kaufpreises Eigentum der Glatz AG. Diese wird
hiermit vom Käufer ermächtigt, bis zur vollständigen
Bezahlung des Kaufpreises für die von ihm
gelieferten Waren einen Eigentumsvorbehalt im
zuständigen Register eintragen zu lassen.

2. Vertragsschluss / -inhalt
2.1 Ein Vertrag kommt erst durch die ausdrückliche
schriftliche Auftragsbestätigung der Glatz AG
zustande, wobei diese Bestätigung auch per Telefax
oder Email erfolgen kann.
2.2 Massgebend für die Produkte ist ausschliesslich die
Produktbeschreibung gemäss Preisliste der Glatz
AG für Fachhändler (nachfolgend «Preisliste»).
Mündliche Absprachen oder Zusicherungen
in Bezug auf Produkte und/oder vom Käufer im
Zusammenhang mit bestellten Produkten zur
Verfügung gestellte technische Unterlagen wie
Zeichnungen, Beschreibungen, Abbildungen
und dergleichen bedürfen zu ihrer Verbindlichkeit der
ausdrücklichen schriftlichen Bestätigung von Glatz AG.
3. Preise
3.1 Massgebend ist die zum Zeitpunkt der Lieferung der
Bestellung gemäss Ziffer 5 der AGB geltende
Preisliste. Der Käufer hat sich selber nach der
neuesten Preisliste zu erkundigen. Mit Erlass einer
neuen Preisliste gilt die alte Preisliste als annulliert.
Die Mehrwertsteuer wird, sofern geschuldet,
zusätzlich in Rechnung gestellt.
3.2 Die Preisliste versteht sich nicht als Offerte. Glatz AG
kann nach freien Ermessen Bestellungen akzeptieren
oder ablehnen (s. Ziffer 2.1 der AGB).
3.3 Die Preise beziehen sich allein auf den Produktumfang gemäss Preisliste. Änderungen an den
Produkten gemäss Preisliste und/oder zusätzliche
Leistungen von Glatz AG im Zusammenhang mit
den Produkten (wie Montageleistungen) bedürfen
der ausdrücklichen schriftlichen Bestätigung
von Glatz AG und werden dem Käufer gesondert in
Rechnung gestellt.
4. Zahlungsbedingungen
4.1 Ohne ausdrücklich anderslautende Zahlungsvereinbarung sind sämtliche Rechnungen innert
10 Tagen seit Rechnungsdatum netto zahlbar. Diese
Zahlungstermine gelten in jedem Fall und unabhängig von Leistungsverzögerungen auf Seiten
Glatz AG.
4.2 Im Falle des Zahlungsverzuges schuldet der Käufer
ohne jede Mahnung einen Verzugszins von 6 %
ab Fälligkeit.
4.3 Im Falle des Zahlungsverzuges ist Glatz AG
berechtigt, bereits bestellte, aber noch nicht
gelieferte Ware zurückzubehalten, ohne dass
dem Käufer in Bezug auf diese Bestellungen ein
Rücktrittsrecht zusteht.
4.4 Glatz AG ist berechtigt, angemessene Mahnspesen
zu fordern. Alle mit der Eintreibung verbundenen
Kosten (z.B. Inkassokosten und insbesondere
Anwaltskosten) gehen vollumfänglich zu Lasten des
säumigen Käufers.
5. Lieferung / Versand / Nutzen und Gefahr
5.1 Ohne ausdrücklich anderslautende Vereinbarung
liefert Glatz AG die Produkte Ex Works (Incoterms
2010). Die Verpackungsart wird von Glatz AG
bestimmt. Glatz AG ist in jedem Fall berechtigt,
Teillieferungen vorzunehmen, und der Käufer ist
verpflichtet, Teillieferungen zu akzeptieren. Dem
Käufer werden im Falle einer Verzögerung der
Abholung angemessene Lagerkosten in Rechnung
gestellt. Allfällige Versandkosten gehen zulasten
des Käufers.
5.2 Ohne ausdrücklich anderslautende Vereinbarung
gehen Nutzen und Gefahr bezüglich der Produkte
im Zeitpunkt der Bereitstellung zur Abholung bzw. im
Falle eines Versands mit der Aufgabe der Produkte
zum Versand auf den Käufer über. Entsprechend
erfolgt jeder Transport auf Gefahr des Käufers.

7.2
Liefertermin
Die in der Auftragsbestätigung der Glatz AG
angegeben Lieferfristen sind nicht verbindlich.
Verbindliche Lieferfristen bedürfen einer
entsprechenden ausdrücklichen schriftlichen
Vereinbarung.
Bei Nichteinhaltung einer gemäss Ziffer 7.1 der AGB
verbindlichen Lieferfrist durch Glatz AG kann
der Käufer nach Ablauf einer zwischen den Parteien
vereinbarten angemessenen Nachfrist vom Vertrag
bezüglich der betroffenen Bestellungen zurücktreten.
Betreffend bereits erfolgte Teillieferungen ist der
Rücktritt ausgeschlossen. Weitere Ansprüche des
Käufers bei Nichteinhaltung bestätigter
Liefertermine als dieser Rücktritt, insbesondere
Schadenersatzansprüche jegliche Art, sind
ausgeschlossen. Der Rücktritt ist ausgeschlossen,
wenn eine vorübergehende Unmöglichkeit der
Lieferung auf höhere Gewalt oder Betriebsstörungen
im Betrieb der Glatz AG oder bei einem Lieferanten
der Glatz AG beruht.
8. Leistungen des Käufers
8.1 Der Käufer verpflichtet sich bei Weiterverkauf der
Produkte, die einem Fachgeschäft bzw.
Fachhändler entsprechenden Leistungen zu
erbringen. Für Kundenberatung,
Produktepräsentation und Serviceleistungen (z.B.
After-Sales-Service) ist der Käufer verpflichtet, über
angemessene Ausstellungs- bzw. Geschäftsräume
und ein ausreichendes Produktelager (inkl.
Ersatzteile) vor Ort zu verfügen.
8.2 Der Käufer ist verpflichtet, seine Fachkenntnisse
bzw. diejenigen seines Personals weiterzuentwickeln,
um die von einem Fachgeschäft erwarteten
Leistungen vollumfänglich erbringen zu können.
8.3 Beabsichtigt der Käufer den Vertrieb der Produkte
der Glatz AG auch oder ausschliesslich über das
Internet zu verkaufen, so bedarf es eine separate
Vereinbarung zwischen der Glatz AG und dem
Käufer. Darüber hinaus gelten sämtliche
Bestimmungen dieser AGB uneingeschränkt auch
für den Vertrieb der Produkte durch den Käufer über
das Internet.
9. Mängelrüge und Haftung
9.1 Allfällige Mängel an den Produkten müssen der Glatz
AG schriftlich unter Angabe der detailliert
aufgeführten Mängel innerhalb von fünf Tagen
nach Eintreffen der Produkte am Glatz AG vorgängig
mitgeteilten Bestimmungsort gemeldet werden.
Versteckte Mängel müssen der Glatz AG umgehend
nach Entdeckung und schriftlich unter Angabe
der detailliert aufgeführten Mängel mitgeteilt werden,
wobei innerhalb der ersten sechs Monate seit
Eintreffen der Produkte am Glatz AG vorgängig
mitgeteilten Bestimmungsort die widerlegbare
Vermutung besteht, dass der Mangel bereits im
Zeitpunkt des Eintreffens bestanden hat.
9.2 Wird ein Mangel innerhalb von sechs Monaten
seit Eintreffen der Produkte am Glatz AG vorgängig
mitgeteilten Bestimmungsort gemäss Ziffer 9.1 der
Glatz angezeigt, so besteht die widerlegbare
Vermutung, dass der Mangel bereits beim Eintreffen
der Produkte am Glatz AG vorgängig mitgeteilten
Bestimmungsort bestand, es sei denn, diese
Vermutung ist mit der Art der Ware oder des
Mangels unvereinbar.
9.3 Nach Ablauf von zwei Jahren nach Eintreffen der
Produkte am Glatz AG vorgängig mitgeteilten
Bestimmungsort können keine Mängel an den
Produkten (ungeachtet der Art solcher Mängel)
gegenüber der Glatz AG mehr geltend gemacht
werden.
9.6
Bei Vorliegen von bestehenden und gemäss der
AGB korrekt gerügten Mängeln kann Glatz AG
nach freiem Ermessen entweder die betroffenen
Produkte reparieren, dem Käufer Ersatzprodukte
liefern oder dem Käufer eine Gutschrift ausstellen.
Weitere Mängelrechte bestehen nicht.
Insbesondere sind jegliche Schadenersatzansprüche
im Zusammenhang mit Mängeln ausgeschlossen.
Eine allfällige Rücksendung der Ware bedarf der
vorgängigen Zustimmung von Glatz AG. Glatz AG
akzeptiert nur Rücksendungen von Waren in sauberem und einwandfreiem Zustand unter Angabe des
Rücksendungsgrunds und der Rücknahmenummer.
Jede Haftung der Glatz AG im Zusammenhang mit
Produkten ist, soweit gesetzlich zulässig,
ausgeschlossen.
10. Immaterialgüterrechte
10.1 Die Rechte an den gesamten durch Glatz AG zur
Verfügung gestellten und/oder im Internet
publizierten Produktinformationen und -bilder stehen
allein der Glatz AG zu. Die vollständige oder teilweise
Vervielfältigung sowie die elektronische oder mit
anderen Mitteln erfolgte vollständige oder teilweise
Verbreitung bedürfen der vorherigen ausdrücklichen
Zustimmung der Glatz AG. Der Käufer verpflichtet
sich zur Einhaltung der jeweils gültigen Markenrichtlinien der Glatz AG und zwar unabhängig davon,
ob er die Produktinformationen und -bilder der Glatz
AG kopiert oder selber entsprechende Produktinformationen und -bilder herstellt und verwendet.
10.2 Sämtliche Gewährleistungs- und Haftungsansprüche
des Käufers betreffend Ansprüche von Dritten aus
besseren Rechten (insbesondere Markenrechte und
Urheberrechte) sind ausgeschlossen.
11. Weitere Bestimmungen
Der Käufer hat kein Verrechnungsrecht. Insbesondere
ist der Käufer nicht berechtigt, allfällig Rückvergütungen
von Glatz AG ohne ausdrückliche Zustimmung der
Glatz AG mit Warenrechnungen zu verrechnen.
11.2 Allgemeine Bedingungen des Käufers sind für
Glatz AG nur verbindlich, wenn sie von Glatz AG
unterschriftlich akzeptiert und ausdrücklich
übernommen worden sind.
11.3 Besondere Bestimmungen in individuellen
schriftlichen Verträgen zwischen dem Käufer und
Glatz AG bleiben vorbehalten. Mündliche Abreden
zwischen dem Käufer und Glatz AG entfalten
indessen keine Gültigkeit.
11.4 Diese AGB ersetzen sämtliche bestehenden
allgemeinen Bedingungen der Glatz AG und gelten
bis auf Widerruf von Seiten der Glatz AG.
11.1
12. Anwendbares Recht, Gerichtsstand
Das Vertragsverhältnis der Parteien untersteht
insgesamt, inkl. dieser AGB, schweizerischem
Recht, unter Ausschluss der kollisionsrechtlichen
Bestimmungen des schweizerischen internationalen
Privatrechts, insbesondere unter Ausschluss
des Übereinkommens der Vereinten Nationen über
Verträge über den internationalen Warenverkauf
(Wiener Kaufrecht).
12.2 Ausschliesslicher Gerichtsstand ist der Sitz der
Glatz AG.

General Terms and Conditions of Glatz AG as at 1.1.2014

1. Scope of validity
These General Terms and Conditions (referred to
hereinafter as the „GTC“) shall apply to all contracts
concluded by Glatz AG with clients (referred to
hereinafter as the „Purchasers“) in respect of the
products marketed by Glatz AG (referred to hereinafter
as the „Products“). These GTC shall form an integral
component of the contract in cases where a contract
is concluded as per clause 2 of the GTC.
2. Conclusion and content of contract
2.1 A contract shall come into being only when an explicit
written order confirmation is issued by Glatz AG; such
confirmation may also be is-sued via fax or email.
2.2 The Products shall be subject solely to the product
description as per Glatz AG’s price list for specialist
dealers (referred to hereinafter as the „Price List“).
Verbal agreements or assurances in respect of
Products and/or technical documents such as
drawings, descriptions, illustrations and the like
provided by the Purchaser in connection with
ordered Products require explicit written confirmation
from Glatz AG in order to be binding.
3. Prices
3.1 The Price List in force at the time when the order is
delivered as per clause 5 of the GTC shall apply. The
Purchaser itself must enquire after the latest Price
List. When a new Price List is issued, the old Price
List is deemed to have been cancelled. Value added
tax, if due, shall be billed as an additional item.
3.2 The Price List is not deemed to be an offer. Glatz AG
may accept or decline orders at its discretion (see
clause 2.1 of the GTC).
3.3 The prices refer solely to the Product scope as per the
Price List. Modifications to the Products as shown
in the Price List and/or additional services by
Glatz AG in connection with the Products (such
as installation services) require explicit written
confirmation by Glatz AG and shall be billed to the
Purchaser as separate items.
4. Terms of payment
4.1 Unless divergent payment conditions are explicitly
agreed, all invoices are payable net within 10 days of
the invoice date. These payment deadlines apply in all
cases, irrespective of delays in delivery by Glatz AG.
4.2 In case of defaulted payment, the Purchaser shall
owe default interest at 6 % as from the due date,
without any reminders.
4.3 In case of defaulted payment, Glatz AG is entitled
to retain goods already ordered but not yet delivered
and in this case, the Purchaser shall have no right of
withdrawal in respect of such orders.
4.4 Glatz AG is entitled to demand appropriate dunning
expenses. All expenses related to recovery (e.g.
collection costs and in particular costs of attorneys)
shall be borne entirely by the defaulting Purchaser.
5. Delivery / dispatch / use and risk
5.1 Unless explicitly agreed otherwise, Glatz AG shall
deliver the Prod-ucts „Ex Works“ (Incoterms 2010).
The type of packaging shall be determined by Glatz
AG. In all cases, Glatz AG is entitled to make partial
deliveries and the Purchaser is obliged to accept
partial deliveries. In case of delayed collection of
goods, the Purchaser shall be billed for appropriate
storage costs. Any dispatch costs shall be borne by
the Purchaser.
5.2 Unless explicitly agreed otherwise, use and risk in
respect of the Products shall be transferred to the
Purchaser when the Products are made ready for
collection or, in case of dispatch, when the Products
are handed over for dispatch. All transportation is
therefore undertak-en at the Purchaser’s risk.
6. Retention of ownership
The goods shall remain the property of Glatz AG
until final payment of the purchase price. Glatz AG
is hereby authorised by the Purchaser to have a
reservation of title entered in the relevant register
until payment of the purchase price for the goods
delivered by Glatz AG has been made in full.

Delivery deadlines
The delivery periods stated in the order confirmation
by Glatz AG are not binding. Binding delivery periods
require an explicit written agreement to this effect.
In the event that Glatz AG fails to comply with a binding
delivery period as per clause 7.1 of the GTC, the
Purchaser may withdraw from the contract in
respect of the orders concerned after the expiry of
an appropriate grace period agreed between the
parties. With-drawal in respect of partial deliveries
already made is excluded. Other than withdrawal as
per the preceding sentence, any additional claims on
the part of the Purchaser in case of failure to comply
with confirmed delivery deadlines, and in particular
claims for compensatory damages of any kind, are
excluded. Withdrawal is excluded if a temporary
inability to effect the delivery is due to force majeure
or operational disruptions at Glatz AG’s facility or at
the premises of one of Glatz AG’s suppliers.
10. Intellectual property rights
10.1 Rights to all Product information and images made
available by Glatz AG and/or published on
the internet shall be due solely to Glatz AG.
Reproduction, in whole or in part, and dissemination,
in whole or in part by electronic or other means, shall
require explicit prior agreement from Glatz AG. The
Purchaser undertakes to comply with the brand and
trademark guidelines of Glatz AG as valid at the time
in question, regardless of whether the Purchaser
copies Glatz AG’s Product information and images
or itself creates and uses appropriate Product
information and images.
10.2 All warranty and and liability claims on the part of the
Purchaser regarding third-party claims on grounds of
better/prior rights (in particular, trademark rights and
copyrights) shall be excluded.
11. Additional provisions
The Purchaser has no right to offset any amounts.
In particular, the Purchaser is not entitled to offset
any reimbursements by Glatz AG against invoices for
goods without the explicit agreement of Glatz AG.
11.2 The Purchaser’s General Terms and Conditions shall
be binding on Glatz AG only if Glatz AG has signed
to signal its acceptance thereof and has explicitly
adopted such Terms and Conditions.
11.3 Special provisions in individual written contracts
between the Purchaser and Glatz AG are reserved.
However, verbal agreements be-tween the
Purchaser and Glatz AG shall acquire no validity.
11.4 These GTC supersede all existing General Terms
and Conditions of Glatz AG and shall be valid until
revoked by Glatz AG.
11.1
8. Purchaser’s services
8.1 On resale of the Products, the Purchaser undertakes
to provide the services appropriate to a specialist
store or specialist dealer. For the purposes of advice
to customers, product presentation and services
(e.g. after-sales service), the Purchaser is obliged
to have appropriate showrooms and/or business
premises at its disposal on site, as well as an
adequate storage facility for the Products (including
spare parts).
8.2 The Purchaser is obliged to continue developing its
own expertise and/or that of its personnel so that it is
able to provide the services expected of a specialist
store in full.
8.3 If the Purchaser also intends to market Glatz AG’s
Products via the internet, either as the exclusive
channel or in addition to other channels, a separate
agreement is required between Glatz AG and the
Purchaser. In addition, all the provisions of these
GTC shall also apply without restrictions to marketing
of the Products by the Purchaser via the internet.
9. Notification of defects and liability
9.1 Any defects on the Products must be reported to
Glatz AG in writing, with a detailed list of such
defects, within five days of the arrival of the Products
at the destination previously notified to Glatz AG.
Hidden defects must be notified to Glatz AG in
writing immediately after they are discovered,
with a detailed list of such defects; within the first
six months from the arrival of the Products at the
destination previously notified to Glatz AG, the
rebuttable presumption shall obtain that the defect
was already present at the time of arrival.
9.2 If a defect is reported to Glatz AG within six
months of the arrival of the Products at the
destination previously notified to Glatz AG as per
clause 9.1, the rebuttable presumption shall obtain
that the defect was already present when the
Products arrived at the destination previously notified
to Glatz AG, unless this presumption is not compatible
with the nature of the goods or the defect.
9.3 After two years have passed since the arrival of the
Products at the destination previously notified to
Glatz AG, no further claims can be asserted against
Glatz AG in respect of defects on the Products
(regardless of the nature of such defects).
9.4 If existing defects are present which have been
correctly notified in accordance with the GTC, Glatz
AG may, at its discretion, either repair the Products
in question, deliver replacement Products to the
Purchaser, or issue a credit note to the Purchaser.
No other rights obtain in respect of defects. In
particular, any and all claims for compensatory
damages in connection with defects are excluded.
9.5 Any return shipment of goods requires the prior
agreement of Glatz AG. Glatz AG shall only accept
return shipments of goods in clean and faultless
condition, with an indication of the reason for returning
them and the goods return (takeback) number.
9.6 Any and all liability on the part of Glatz AG in
connection with the Products is excluded to the
legally permitted extent.
12. Applicable law, place of jurisdiction
The entire contractual relationship between the
parties, including these GTC, shall be governed
by Swiss law, to the exclusion of conflict of law
provisions under Swiss international private law, and
in particular to the exclusion of the United Nations
Convention on Contracts for the International Sale of
Goods (CISG) (Vienna Sale of Goods Convention).
12.2 The sole place of jurisdiction shall be at the location
of the registered office of Glatz AG.

Conditions commerciales générales de Glatz AG du 1.1.2014
1. Champ d’application
Les présentes Conditions générales (ci-après « CG
») s’appliquent à tous les contrats que Glatz AG
conclut avec ses clients (ci-après « acheteurs ») en
ce qui concerne des produits (ci-après «produits»)
distribués par Glatz AG. Elles constituent une partie
intégrante des contrats passés conformément au
chiffre 2 des présentes.
2. Conclusion et contenu du contrat
2.1 Un contrat ne peut être conclu sans la confirmation
expresse et écrite de la commande par Glatz AG,
cette confirmation pouvant se faire par téléfax ou email.
2.2 En ce qui concerne les produits, seule sert de
référence la description des produits figurant dans la
liste de prix de Glatz AG pour revendeurs spécialisés
(ci-après « liste de prix »). Pour engager Glatz AG, les
accords et les garanties donnés verbalement quant
à des produits et/ou des documents techniques,
comme des dessins, des descriptions, des images
et autres, mis à disposition par l’acheteur et se
rapportant aux produits commandés requièrent la
confirmation expresse et écrite de Glatz AG.
3. Prix
3.1 La liste de prix applicable au moment de la
livraison de la commande effectuée conformément au
chiffre 5 des CG sert de référence. L’acheteur doit se
renseigner lui-même sur la liste de prix la plus récente.
La publication d’une nouvelle liste de prix entraîne
l’annulation de la précédente. Dans la mesure où elle
est due, la TVA est facturée en supplément.
3.2 La liste de prix ne représente pas une offre.
Glatz AG a toute liberté pour accepter ou refuser des
commandes (voir chiffre 2.1 des CG).
3.3 Les prix se référent uniquement à la gamme de
produits indiquée sur la liste de prix. Des modifications
à apporter aux produits figurant sur la liste de prix et/
ou des prestations supplémentaires de Glatz AG en
rapport avec les produits (montage, par exemple)
requièrent la confirmation expresse et écrite de Glatz
AG et sont facturées séparément à l’acheteur.
4. Conditions de paiement
4.1 Sauf accord de paiement contraire, toutes les
factures sont payables net dans les dix jours de la
date de facture. Ces délais de paiement s’appliquent
dans tous les cas, y compris en cas de retard de
fourniture de prestations de la part de Glatz AG.
4.2 En cas de retard de paiement, l’acheteur doit
acquitter sans aucun rappel un intérêt moratoire de
6 % à compter de l’échéance.
4.3 En cas de retard de paiement, Glatz AG est en droit
de retenir des marchandises déjà commandées mais
pas encore livrées sans que cela donne pour autant
à l’acheteur le droit d’annuler ces commandes.
4.4 Glatz AG est en droit de demander des frais de
rappels adéquats. Tous les frais occasionnés par
le recouvrement (p. ex. frais d’encaissement et en
particulier les frais d’avocat) sont entièrement à la
charge de l’acheteur retardataire.
5. Livraison / Envoi / Utilisation et risques
5.1 Sauf accord contraire exprès, Glatz AG livre ses
produits départ usine (ex works) (Incoterms 2010).
Le mode d’emballage est déterminé par Glatz AG.
Glatz AG est dans tous les cas en droit d’effectuer
des livraisons partielles et l’acheteur est tenu
d’accepter des livraisons partielles. En cas de retard
d’enlèvement, des frais d’entreposage proportionnés
sont facturés à l’acheteur. Les frais d’expédition
éventuels sont à la charge de l’acheteur.
5.2 Sauf accord contraire exprès, le droit d’utilisation
et les risques relatifs aux produits sont transférés
au client au moment de la mise à disposition pour
enlèvement ou, en cas d’expédition, de la remise
des produits pour leur envoi. Par conséquent, tout
transport s’effectue aux risques et périls de l’acheteur.
6. Réserve de propriété
La marchandise demeure la propriété de Glatz
AG jusqu’au paiement définitif du prix d’achat.
L’acheteur autorise donc par les présentes Glatz
AG à faire inscrire au registre approprié, jusqu’au
paiement intégral du prix d’achat, une réserve de
propriété pour les marchandises livrées par lui.

Délais de livraison
Les délais de livraison indiqués dans la confirmation
de commande de Glatz AG sont sans engagement.
Pour être fermes, les délais de livraison doivent faire
l’objet d’un accord exprès et écrit dans ce sens.
Si Glatz AG ne respecte pas un des délais de
livraison fermes visés au chiffre 7.1 des CG,
l’acheteur peut, après un délai supplémentaire
convenable convenu entre les parties, annuler les
commandes concernées. Quant aux livraisons
partielles déjà effectuées, l’annulation est exclue.
D’autres droits de l’acheteur en plus de cette
annulation en cas de non-respect des délais de
livraison confirmés, en particulier des droits à
dommages et intérêts de toute nature, sont exclus.
L’annulation est exclue lorsqu’une impossibilité
temporaire de livrer est due à la force majeure, à
des dysfonctionnements chez Glatz AG ou chez un
fournisseur de Glatz AG.
8. Prestations de l’acheteur
8.1 En cas de revente des produits, l’acheteur s’engage
à fournir des prestations dignes d’un magasin
ou d’un revendeur spécialisé. Pour le conseil à
la clientèle, la présentation des produits et les
prestations de services (p. ex. le service aprèsvente), l’acheteur est tenu de disposer sur place de
locaux d’exposition ou commerciaux appropriés et
d’un stock de produits suffisant (y compris les pièces
de rechange).
8.2 L’acheteur s’engage à perfectionner ses
connaissances techniques ou celles de son
personnel pour pouvoir fournir toutes les prestations
attendues d’un magasin spécialisé.
8.3 Si l’acheteur envisage de distribuer les produits
de Glatz AG également ou exclusivement sur l’Internet,
ceci doit faire l’objet d’un accord séparé entre Glatz
AG et l’acheteur. En outre, toutes les dispositions des
présentes CG s’appliquent sans limite à la distribution
des produits par l’acheteur sur l’Internet.
9. Réclamations pour vices et responsabilité
9.1 Les éventuels vices de produits doivent être signalés
à Glatz AG par écrit avec indication détaillée des
vices dans un délai de cinq jours suivant la réception
des produits au lieu de destination préalablement
communiqué par Glatz AG. Les vices cachés doivent
être signalés à Glatz AG immédiatement après leur
découverte, par écrit et avec indication détaillée
des vices, sachant que pendant les six premiers
mois à compter de l’arrivée des produits au lieu de
destination préalablement communiqué par Glatz
AG, il existe la présomption réfutable que le vice était
déjà présent au moment de la réception.
9.2 Si un vice est signalé conformément au chiffre 9.1
dans un délai de six mois à compter de l’arrivée
des produits au lieu de destination préalablement
communiqué par Glatz AG, il existe la présomption
réfutable que le vice était déjà présent au moment
de l’arrivée des produits au lieu de destination
préalablement communiqué par Glatz AG, sauf si
cette présomption est incompatible avec la nature
de la marchandise ou du vice.
9.3 Une fois écoulés deux ans après l’arrivée des produits
au lieu de destination préalablement communiqué
par Glatz AG, il n’est plus possible de faire valoir des
vices de produits (quelle que soit la nature de ces
vices) contre Glatz AG.
9.4 Lorsqu’il existe des vices et qu’ils ont été
correctement signalés conformément aux CG, Glatz
AG peut, selon sa libre appréciation, réparer les
produits concernés, livrer à l’acheteur des produits
de remplacement ou établir à l’acheteur un avoir. Il
n’existe pas d’autres droits en matière de vices. Tous
droits à dommages et intérêts en rapport avec des
vices sont notamment exclus.
9.5 Un renvoi de la marchandise requiert l’accord préalable
de Glatz AG. Glatz AG n’accepte que les renvois
de marchandises propres et en parfait état, avec
indication du motif du renvoi et du numéro de reprise.
9.6 Pour autant que la loi l’y autorise, Glatz AG décline
toute responsabilité quant aux produits.

10. Droits de propriété intellectuelle
10.1 Les droits sur toutes les informations et images
afférentes aux produits mises à disposition et/ou
publiées sur l’Internet par Glatz AG appartiennent
uniquement à Glatz AG. La reproduction intégrale
ou partielle et la diffusion intégrale ou partielle de
celles-ci par des moyens électroniques ou autres
nécessitent l’accord préalable exprès de Glatz AG.
L’acheteur s’engage à respecter les instructions de
Glatz AG sur ses marques en cours de validité, qu’il
copie les informations et les images afférentes aux
produits de Glatz AG ou qu’il produise et utilise luimême des informations et des images afférentes aux
produits en question.
10.2 Toutes les prétentions de l’acheteur en matière
de garantie et de responsabilité concernant des
prétentions de tiers découlant de droits plus
favorables (en particulier les droits des marques et
les droits d’auteur) sont exclues.
11. Autres dispositions
L’acheteur ne peut exercer aucun droit de
compensation. Il n’a pas le droit, notamment, de
déduire d’éventuels remboursements de Glatz AG
de factures de marchandises sans l’accord exprès
de Glatz AG.
11.2 Les conditions générales de l’acheteur ne sont
obligatoires pour Glatz AG que si elles ont été
acceptées, signées et expressément reprises par
Glatz AG.
11.3 Des dispositions particulières consignées dans des
contrats écrits séparés entre l’acheteur et Glatz AG
demeurent réservées. Cependant, les accords verbaux
entre l’acheteur et Glatz AG n’ont aucune validité.
11.4 Les présentes CG remplacent toutes les conditions
générales existantes de Glatz AG et sont valables
jusqu’à leur abrogation par Glatz AG.

12. Droit applicable, for
La relation contractuelle des parties est soumise
dans son intégralité, y compris les présentes
conditions générales, au droit suisse, à l’exclusion
des dispositions du droit international privé
suisse sur le conflit de lois et, en particulier, de la
Convention des Nations unies sur les contrats de
vente internationale de marchandises.
12.2 Le for exclusif est celui du siège de Glatz AG.
