EXPORT Terms of sale and delivery : Prices are given in Euros, Ex-Works (26 MONTELIMAR - France) without packaging, and don't include shipping costs.
Every order is considered confirmed when we receive the order form and the sum of 30% deposit of the total price by bank transfer. A second payment of
30% is required at receipt of the 2nd Deposit Invoice 6/8 weeks around before delivery. The remaining sum must be paid by transfer on our bank account at
the time of delivery, 8 days before shipment. These prices can be modified without notice. *Including French taxes: the French VAT 20% is due for European
private customer.

balance by bank wire 1 week before delivery and obligatorily
credited at the time that the aircraft is made available by DTA
sarl.
DTA GYROPLANES: The price stipulated on the Purchase Order will be
settled as follows:
deposit upon order placement of 30%,
second payment of 30% upon receipt of the invoice for the 2nd
payment, 6 to 8 weeks before the delivery date provided by
DTA
balance by bank wire 1 week before delivery and obligatorily
credited at the time that the aircraft is made available by DTA
sarl.
The conditions of payment can be modified by DTA based on the delivery
dates. In this case, these conditions of payment are stipulated on the
purchase order.
In all cases, in case of late payment, the applicable penalties shall be
equal to the amount remaining due, by the legal interest rate multiplied by
5, in conformity with the provisions of article L441-6 of the Code of
Commerce

1°
Application:
The clauses hereafter apply to the contract, unless expressly waived in a
written agreement between the parties.
The designation of the aircrafts conforms to that in the Technical File filed
with the French ministry of Transport and the most recent “Data Sheets”.
The placement of any order implies adherence, without reservation, to the
present conditions.
2°
Validity of the Purchase Order:
DTA sarl is only committed by the effective receipt and completion of the
deposit corresponding to the aircraft order.
3°
Delivery
Aircrafts are delivered to the production site of DTA, (EXW) or 26200
MONTELIMAR - France, in flight condition, (wing folded or rotor
dismounted at the request of the customer), not including transport
preparation. This delivery is subject to payment in full of the corresponding
invoices and to signature of the acceptance report.
After recording and validation of the order, Dta sarl will send an expected
date of delivery. This date may be postponed:
- In case the conditions of payment have not been respected by the
customer: delay in payment of the deposit or of the second payment,
depending on the aircraft
- In case the information and definitions of the options for the aircraft or for
the order do not arrive in due time, or any new request from the buyer
which could delay delivery of the aircraft.
- In case of force majeure or events independent of the will of DTA sarl
such as strikes, war, fire, delays in the transport or receipt of merchandise,
necessity of making adjustments to products, modifications imposed by
the regulatory authorities and other unforeseen circumstances.
4°
Transfer of responsibility and pick-up of aircraft
and/or spare parts:
Acceptance must be completed by the buyer or its representative within
the 15 days following receipt of the notice of availability. Beyond this
timeframe, responsibility for the aircraft is transferred to the buyer, which
becomes the custodian of the property, and DTA sarl will be able to bill the
customer for the additional expenses related to securing and protecting
the aircraft.
Regardless of the intended purpose of the equipment and the conditions
of sale, delivery is deemed as being made upon acceptance of the
equipment by the transporter when departing from our workshops. The
risks and responsibility for the equipment sold are transferred once it is
accepted. It is the responsibility of the buyer to make all verifications, state
all reservations upon arrival of the material and to exercise, if appropriate
and within the legal timeframes, all recourse against the transporter.
5°
Modifications:
DTA reserves the right to make, without prior notice, all modifications to
the aircraft which it deems appropriate to improve or enhance safety or
reliability, or in response to requirements from the regulators or competent
authorities.
Repercussions of the modifications on timeframes and specifications
cannot result in cancellation of the order, except in the cases specified in
article 9, Cancellation and termination.
6°
Prices:
The catalogue process are expressed as ex-works Montélimar F-26200,
for the aircraft in flight condition, wing folded or rotor dismounted at the
request of the customer, not including preparation for transport and
container - crates, tubes etc.- placement in container, all French taxes
included, to the exclusion of all other expenses.
The net prices excluding taxes are used as a reference in case of
modifications of a tax or tax-related regulation, customs duty, revaluation
or devaluation.
7°
Terms of payment:
The possible charges of transfer including intermediary bank charge and
other fees are entirely at the charge of the customer. No discount will be
given for early payment.
SPARE PARTS: The price stipulated on the estimate will be settled in full
upon order placement, unless otherwise agreed beforehand.
DTA WEIGHT SHIFT CONTROL AIRCRAFTS and WINGS: The price
stipulated on the Purchase Order will be settled as follows:
deposit upon order placement of 30% FRANCE, 50% EXPORT
8°
Guarantee:
The guarantee of DTA sarl is limited to a period of 1 year starting from
signature of the acceptance report for the aircraft or from the date of the
purchase order.
The guarantees only apply within the framework of use of the aircraft
which conforms to the instructions appearing in the User Guides or any
technical document provided to the buyer which states the conditions of
use of the aircraft. Non-respect of the provisions of the Civil Aviation Code
and the related texts, which causes an accident or incident, releases DTA
sarl from any guarantee vis-à-vis the operator in violation.
Normal wear of renewable parts is not covered by a guarantee. Any
modification of the aircraft by the buyer shall result in forfeiture of the
guarantee of DTA sarl if it has not been approved beforehand in writing by
this latter party.
The guarantee covering the motor and its accessories, equipment and
components which are not built by DTA sarl, including the wings, rotors,
motors, propellers, instruments, etc., shall be exercised under the
conditions and limits set by the manufacturers of these products.
The guarantee is limited to replacement or repair of any defective part due
to a defect related to materials or manufacture, to the exclusion of damage
due to poor maintenance or improper use, in the workshops of DTA sarl
or, after approval from DTA, at a workshop approved by DTA sarl. The
guarantee is limited to the obligation to repair or replace the parts provided
by DTA sarl, recognized as defective by its technical departments and
which have been sent to it carriage-paid, without the possibility of claiming
any indemnity for harm endured, such as an accident involving persons,
loss of enjoyment, operating losses, commercial prejudice or lost profits.
The benefit of the guarantee can only be invoked if the customer notifies
DTA sarl without delay and in writing about the defects that it attributes to
its materials, and provides all documentation to support the reality of these
defects. It must give DTA sarl every possibility to observe the defects and
to remedy them. The guarantee does not apply if the material is not
returned to DTA sarl in the condition in which it malfunctioned, or if it has
been previously disassembled, repaired or modified by either a third party,
the user or the customer.
The obligations of DTA sarl as stated above constitute the limit of the
guarantees granted.
9°
Cancellation, termination:
DTA sarl will be able to cancel any order if circumstances beyond its
control substantially modify the conditions or costs to manufacture the
aircraft, such that the timeframes or costs surpass the conditions specified
in the present contract.
In case of non-payment in full for the aircraft 15 days after formal notice by
registered letter with confirmation of receipt, DTA sarl reserves the right to
cancel the sale.
10°
Clause of reservation of ownership
By express agreement, the merchandise and aircraft remain the property
of the manufacturer and/or seller until the date of payment in full, in
conformity with the terms of law no. 80-835 of 12/05/80.
11°
Law and arbitration:
The present contract is governed by French law. Any contestation or
dispute related to this contract shall come under the jurisdiction of Romans
sur Isère 26 - Drôme

Conditions générales de vente
1°
Application :
Les clauses ci-après s'appliquent au contrat sauf dérogation faisant
expressément l'objet d'une convention écrite entre les parties.
La désignation des aéronefs est conforme à celle du Dossier Technique
déposé auprès du ministère des Transports et des "Fiches de
Caractéristiques" les plus récentes.
Toute commande implique l'adhésion complète et sans réserve aux
présentes conditions.
2°
Validité du Bon de Commande :
DTA sarl n'est engagée que par l'encaissement et la bonne fin de
l'acompte correspondant à la commande des aéronefs
3°
Livraison
Les aéronefs sont livrés sur le lieu de production de DTA, (EXW) soit
26200 MONTELIMAR - France, en état de vol, (aile repliée ou rotor
démonté à la demande du client), sans emballage de transport. Cette
livraison est subordonnée à l'acquittement complet des factures
correspondantes et à la signature du procès verbal de prise en charge.
Après enregistrement et validation de la commande, Dta sarl transmettra
une date indicative de livraison. Cette date peut être reportée :
- Dans le cas où les conditions de paiement n’auraient pas été observées
par le client : retard dans le versement de l’acompte ou du second
versement d’acompte suivant les aéronefs
- Dans le cas où les renseignements et définitions des options de l’aéronef
ou de la commande ne seraient pas arrivés en temps voulu ou de toute
demande nouvelle de l'acheteur susceptible de retarder la livraison de
l'aéronef.
- En cas de force majeure ou d’évènements indépendants de la volonté
DTA sarl tels que grèves, guerre, incendie, retards dans les transports ou
réception de marchandises, nécessité de mises au point de produits,
modifications imposées par les autorités de tutelle et autres cas fortuits.
4°
Transfert de responsabilité

La prise en charge doit être effectuée par l'acheteur ou son mandataire au
plus tard dans les 15 jours suivant l'avis de mise à disposition. Passé ce
délai, la responsabilité de l'aéronef est transférée à l'acheteur qui devient
gardien de la chose et DTA sarl pourra facturer en sus les frais de mise en
sûreté de l'aéronef et les frais de gardiennage y afférant.
Quelques soient la destination du matériel et les modalités de la vente, la
livraison est réputée effectuée dès prise en charge du matériel par le
transporteur au départ de nos ateliers. Les risques et la responsabilité du
matériel vendu ont lieu dès la dite prise en charge. Il appartient à
l’acheteur d’effectuer toutes les vérifications, de faire toutes les réserves à
l’arrivée du matériel et d’exercer s’il y a lieu et dans les délais
réglementaires tous recours contre le transporteur.
5°
Modifications :
DTA sarl se réserve le droit d'apporter sans préavis, toutes modifications
aux aéronefs qu'il jugerait opportunes afin d'en améliorer ou conforter la
sécurité, la fiabilité, ou imposées par l'autorité de tutelle et / ou
compétentes.
Les répercussions des modifications sur les délais et spécifications ne
peuvent entraîner d'annulation de la commande, sauf cas prévus à l'article
9 Annulation et résiliation.
6°
Prix :
Les prix catalogue s'entendent départ usine de Montélimar F-26200, pour
les aéronefs en état de vol, aile repliée ou rotor démonté à la demande du
client, non compris emballage et conteneur de transport - caisses, tubes
etc.- mise en conteneur, toutes taxes françaises comprises, à l'exclusion
de tous autres frais.
Les prix nets H.T. font référence en cas de modification d'une
réglementation fiscale ou parafiscale, droit de douane, réévaluation ou
dévaluation.
7°
Conditions de paiement :
Les éventuels frais bancaires de virement, incluant les frais de banque
intermédiaire et tout autre frais, sont à la charge du client. Aucun
escompte pour paiement anticipé ne sera accordé.
PIECES DETACHEES : Le prix stipulé au devis sera intégralement réglé à
la commande sauf accord préalable.
PENDULAIRES et AILES DTA : Le prix stipulé au Bon de Commande
sera réglé comme suit :
acompte à la commande de 30% FRANCE, 50% EXPORT
solde par virement bancaire 1 semaine avant livraison et
obligatoirement crédité lors de la mise à disposition de l'aéronef
par DTA sarl.
AUTOGIRES DTA : Le prix stipulé au Bon de Commande sera réglé
comme suit :
acompte à la commande de 30%,
second acompte de 30 % à réception de la 2de facture
d’acompte, 6 à 8 semaines avant la date de livraison transmise
par DTA
solde par virement bancaire 1 semaine avant livraison et
obligatoirement crédité lors de la mise à disposition de l'aéronef
par DTA sarl.
Ces conditions de paiement peuvent être modifiées par DTA suivant les
délais de livraison. Dans ce cas, ces conditions de paiement sont
stipulées sur le bon de commande.
Dans tous les cas, en cas de règlement tardif, les pénalités applicables
seront égales au montant restant dû, par le taux d'intérêt légal multiplié
par 5, conformément aux dispositions de l’article L441-6 du Code du
Commerce
8°
Garantie :
La garantie de DTA sarl est limitée à une durée de 1 an à partir de la
signature du procès verbal de prise en charge de l’aéronef ou de la date
du bon de livraison.
Les garanties ne s'appliquent que dans le cadre d'une exploitation de
l'aéronef conforme aux instructions figurant dans le ou les Manuels
Utilisateur ou tout document technique fixant les conditions d'utilisation de
l'aéronef remis à l'acheteur. Le non respect des dispositions du code de
l'Aviation Civile et des textes afférents, ayant pour conséquence un
accident ou incident, exonère DTA sarl de toute garantie vis à vis de
l'opérateur en infraction.
L'usure normale d'éléments renouvelables ne fait l'objet d'aucune garantie.
Toute modification de l'aéronef par l'acheteur entraînera la déchéance de
la garantie de DTA sarl dès lors qu'elle n'aura pas été au préalable
approuvée par écrit par DTA sarl.
La garantie couvrant le moteur et ses accessoires, les équipements et
composants qui ne sont pas construits par DTA sarl, dont les ailes, les
rotors les moteurs, les hélices, les instruments, etc., s'exercera aux
conditions et limites fixées par les fabricants de ces produits.
La garantie se limite au remplacement ou à la réparation de toute pièce
défectueuse par suite d’un défaut de matière ou de fabrication, à
l’exclusion de détériorations dues à un mauvais entretien ou une utilisation
non-conforme, dans les ateliers de DTA sarl ou après accord de DTA
auprès d'un atelier agréé par DTA sarl. La garantie est limitée à
l’obligation de remettre en état ou remplacer les pièces fournies par DTA
sarl, reconnus défectueux par ses services techniques et qui lui auront été
adressées franco, sans qu’il puisse lui être réclamé une indemnité pour un
quelconque préjudice subi, tel qu’accident aux personnes, privation de
jouissance, pertes d’exploitation, préjudice commercial ou manque à
gagner.
Le bénéfice de la garantie ne peut être invoqué que si le client avise DTA
sarl sans retard, et par écrit, des vices qu’il impute à son matériel, et
fournit toutes justifications quant à la réalité de ceux-ci. Il doit donner à
DTA sarl toutes facultés pour procéder à la constatation des vices et pour
y porter remède. La garantie ne s’applique pas si le matériel n’est pas
retourné à DTA sarl dans l’état où il est tombé en panne, ou s’il a été
préalablement démonté, réparé, modifié soit par un tiers, soit par
l’utilisateur ou le client.
Les obligations de DTA sarl énoncées ci-dessus constituent la limite des
garanties accordées.
9°
Annulation, résiliation :
DTA sarl pourra annuler toute commande dès lors qu'une raison étrangère
à sa volonté modifie de façon substantielle les conditions de fabrication ou
les coûts de fabrication de l'aéronef de telle façon que les délais ou les
prix dépasseraient les conditions prévues dans le présent contrat.
En cas de non paiement total de l'aéronef 15 jours après mise en demeure
par L. A. R., DTA sarl se réserve le droit d'annuler la vente.
10°
Clause de réserve de propriété
Par convention expresse, les marchandises et aéronefs restent la
propriété du constructeur et / ou du vendeur jusqu'au dernier jour de leur
parfait paiement, ceci conformément aux termes de la loi n° 80-835 du
12/05/80.
11°
Loi et arbitrage :
Le présent contrat est régi par le droit français. Toute contestation ou litige
à ce contrat sera du ressort de la juridiction de Romans sur Isère 26 Drôme
Date, nom et signature précédée de la mention manuscrite: "lu et approuvé".
