______________, residing professionally at _________________________________________,
being a Member of CHINALUX, China-Luxembourg Chamber of Commerce, A.S.B.L., a not-forprofit association (association sans but lucratif, A.s.b.l.), incorporated under Luxembourg laws,
having its registered office at 7 rue Alcide de Gasperi L-2981 Luxembourg - Kirchberg
(hereinafter the “Principal”),
hereby appoints Mr./Mrs. ____________________, as his/her true and lawful proxy (hereinafter
the “Proxy”), to vote for and in the name of the undersigned at the forthcoming Extraordinary
General Meeting of CHINALUX to be held in Luxembourg on 19 June 2014 with the following
agenda:
To consider and if thought fit, approve amendments to the Articles of Association of the Chamber
as follows:
1. Amendment of Article 6 allowing for the creation of Sustaining Membership (changes
indicated in bold):
ENGLISH VERSION
“Art. 6. The Chamber shall consist of Founder Members, Sustaining Members and
Ordinary Members (hereinafter individually referred to as “Member” and collectively
referred as “Members”). All Members shall have the right to vote at General Meetings of
the Chamber. The number of Members may not be less than three.
Founder Members are the individuals, firms and companies who have formed the
Chamber as founder members and are prepared to support the birth and life of the
Chamber by contributing an initial sponsorship in the form of a special annual fee
for the first two years of their membership.
Sustaining Members are the individuals, firms and companies who are prepared to
support the life of the Chamber by contributing an initial sponsorship in the form of
a special annual fee for the first two years of their membership and enjoy the same
rights as the Founder Members (other than the use of the title Founder Members).
Founder Members and Sustaining Members have the following rights and
obligations:
1. Attending with no voting right, the Chamber's Executive Board and/or
Advisory Board on a regular basis. The Founder and Sustaining Members agree
to devote such time and attention to the business of the Chamber in a diligent
manner as may be reasonably requested by the Chamber.
2. The Founder and Sustaining Member shall have the right, for as long as it is a
Member and after approval by the Chamber, to indicate in its documentation,
press releases, marketing, advertising and promotional materials that it is a
Founder Member or a Sustaining Member of the Chamber and to reproduce the
logo of the Chamber next to such mention. The Chamber's approval shall be
valid for one use and every new use shall be subject to approval.

3. Other privileges of being a Founder Member or a Sustaining Member of the
Chamber include:
• Being visible with the Founding Members and Sustaining Members logo
on theChamber webpage and distributed material;
• A dedicated part of the Chamber webpage with company description
and contact details;
• Five admissions free of charge to all the Chamber events and,
• The opportunity to be a keynote speaker at a Chamber event.
Ordinary Members are the individuals, firms and companies who are interested in
the purpose of the Chamber.
Membership shall be open to individuals or corporate bodies who agree to the fulfilment of
the Chamber’s object.
Requests for the admission of new Members shall be made in writing addressed to the
Executive Board.”

Contributeurs et des Membres Ordinaires (ci-après désigné individuellement comme
«Membre» et collectivement comme «Membres»). Tous les Membres auront le droit
de vote à l’Assemblée Générale de la Chambre. Le nombre des Membres ne peut
être inférieur à trois.
Les Membres Fondateurs sont les individus, entreprises et sociétés ayant
formé la Chambre en tant que membres fondateurs et étant prêts à soutenir la
Chambre lors de sa création et au cours de sa vie par un parrainage initial
prenant la forme d’une cotisation annuelle spéciale versée pendant les deux
premières années suivant leur adhésion.
Les Membres Contributeurs sont les individus, entreprises et sociétés prêts à
soutenir la Chambre au cours de sa vie par un parrainage initial prenant la
forme d’une cotisation annuelle spéciale versée pendant les deux premières
années suivant leur adhésion et bénéficiant des mêmes droits que les
Membres Fondateurs (autres que le droit d’utiliser l’appellation de Membre
Fondateur).
Les Membres Fondateurs et les Membres Contributeurs disposent des droits
et des obligations suivants:
1. Participer sans droit de vote au Conseil Exécutif et/ou au Conseil
Consultatif de manière régulière. Les Membres Fondateurs et les Membres
Contributeurs s’engagent à consacrer avec diligence le temps et l’attention
nécessaires aux affaires de la Chambre tel que la Chambre pourrait
raisonnablement le demander.
2. Chaque Membre Fondateur ou Contributeur dispose, tant qu’il demeure
Membre et après autorisation par la Chambre, du droit d’indiquer dans ses
documents, communiqués de presse, publicités et moyens de

commercialisation et de promotion qu’il est un Membre Fondateur ou
Membre Contributeur de la Chambre et de reproduire le logo de la Chambre à
côté de cette mention. L’autorisation donnée par la Chambre n’est valable
que pour une seule utilisation de ce droit et chaque nouvelle utilisation doit
faire l’objet d’une autorisation.
3. Les autres privilèges liés à la qualité de Membre Fondateur ou de
Membre Contributeur comprennent le fait de:
• Figurer dans le logo parmi les Membres Fondateurs et les Membres
Contributeurs sur la page Web et sur le matériel distribué de la Chambre;
• Consacrer une partie de la page Web de la Chambre à la description du
Membre avec ses coordonnées;
• Recevoir cinq entrées gratuites pour tous les événements organisés par
la Chambre; et
• Avoir la possibilité d’être conférencier d’honneur à un événement
organisé par la Chambre.
Les Membres Ordinaires sont les individus, entreprises et sociétés qui sont
intéressés par l’objet de la Chambre.
L’adhésion à une quelconque catégorie sera ouverte à toute personne physique ou morale
qui accepte de se conformer à l’objet de la Chambre.
Les demandes d’admission des Membres sont faites par écrit et sont adressées au Conseil
Exécutif.”
2. Amendment of Article 23 allowing for an increase in the number of directors of the Executive
Board, from 16 to 25 (changes indicated in bold).
ENGLISH VERSION
“Art. 23. The Chamber is administered by an Executive Board comprising a minimum of
three and a maximum of twenty-five directors who are appointed, discharged and
dismissed by the General Meeting. In the event of a vacancy for one or more directors, the
Executive Board may co-opt a director to fill such vacancy up to the next General Meeting.
At least half of the directors shall be individuals of Chinese origin and Chinese speaking.”
