Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) Tab 13.1 THE LAW SOCIETY OF UPPER CANADA BY-LAWS MADE UNDER SUBSECTIONS 62 (0.1) AND (1) OF THE LAW SOCIETY ACT BY-LAW 6 [PROFESSIONAL LIABILITY INSURANCE] MOTION TO BE MOVED AT THE MEETING OF CONVOCATION ON APRIL 25, 2013 MOVED BY SECONDED BY THAT By-Law 6 [Professional Liability Insurance], made by Convocation on May 1, 2007 and amended by Convocation on June 28, 2007, February 21, 2008, September 24, 2009, November 24, 2011 and September 27, 2012, be amended as follows: 1. Subsection 12 (1) of the English version of the By-Law is amended by adding “and subject to subsection (1.1)” after “exempted”. 2. Subsection 12 (1) of the French version of the By-Law is amended by adding “et du paragraphe (1.1)” after “exemption”. 3. Section 12 of the English version of the By-Law is amended by adding the following subsection: Insurance to be maintained under policy issued by the Lawyers’ Professional Indemnity Company (1.1) A licensee who holds a Class P1 licence and who is a partner in a partnership that includes licensees who hold a Class L1 licence, where the business of the partnership is the practice of law in Ontario or the provision of legal services in Ontario, shall maintain insurance against professional liability under a policy of professional liability insurance issued by Lawyers’ Professional Indemnity Company. 1 481 Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) 4. Section 12 of the French version of the By-Law is amended by adding the following subsection: Assurance à maintenir en vertu de la police émise par l’Assurance responsabilité civile professionnelle des avocats (1.1) Un titulaire de permis de catégorie P1 associé d’une société en nom collectif qui comprend des titulaires de permis de catégorie L1, et dont l’activité est l’exercice du droit ou la prestation de services juridiques en Ontario, souscrit une assurance responsabilité civile professionnelle émise par l’Assurance responsabilité civile professionnelle des avocats. 2 482 Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) Tab 13.2 THE LAW SOCIETY OF UPPER CANADA BY-LAWS MADE UNDER SUBSECTIONS 62 (0.1) AND (1) OF THE LAW SOCIETY ACT BY-LAW 7 [BUSINESS ENTITIES] MOTION TO BE MOVED AT THE MEETING OF CONVOCATION ON APRIL 25, 2013 MOVED BY SECONDED BY THAT By-Law 7 [Business Entities], made by Convocation on May 1, 2007 and amended by Convocation on June 28, 2007, February 21, 2008, October 30, 2008, November 27, 2008, April 30, 2009 and June 28, 2012, be amended as follows: 1. Section 30 of the English version of the By-Law is revoked and the following substituted: Insurance requirements 30. (1) Subject to subsection (2), a licensee who, under subsection 18 (1), has entered into a partnership with a professional shall maintain professional liability insurance coverage for the professional, in an amount equal to the total of the amount of coverage that is required of the licensee and the amount of coverage that the licensee maintains for herself, himself or itself in excess of that required of the licensee. Insurance to be maintained under policy issued by the Lawyers’ Professional Indemnity Company (2) If any services through a partnership entered into under subsection 18 (1) are to be provided by a licensee who holds a Class L1 licence, the licensee who has entered into the partnership shall maintain that portion of the professional liability insurance coverage for the professional that is equal to the amount of coverage that is required of the licensee through the Lawyers’ Professional Indemnity Company. 1 483 Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) 2. Section 30 of the French version of the By-Law is revoked and the following substituted: Exigences relatives à l’assurance 30. Assurance à maintenir en vertu de la police émise par l’Assurance responsabilité civile professionnelle des avocats (2) Si par l’intermédiaire d’une société en nom collectif à laquelle il s’est associé en vertu du paragraphe 18 (1), des services doivent être fournis par un titulaire de permis de catégorie L1, celui-ci souscrit la partie de l’assurance responsabilité civile professionnelle pour le professionnel équivalente à celle exigée du titulaire de permis par l’Assurance responsabilité civile professionnelle des avocats. 2 484 Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) Tab 13.3 THE LAW SOCIETY OF UPPER CANADA BY-LAWS MADE UNDER SUBSECTION 62 (0.1) AND (1) OF THE LAW SOCIETY ACT BY-LAW 11 [REGULATION OF CONDUCT, CAPACITY AND PROFESSIONAL COMPETENCE] MOTION TO BE MOVED AT THE MEETING OF CONVOCATION ON APRIL 25, 2013 MOVED BY SECONDED BY THAT By-Law 11 [Regulation of Conduct, Capacity and Professional Competence], made by Convocation on May 1, 2007 and amended by Convocation on June 28, 2007, February 21, 2008, April 24, 2008, October 30, 2008, January 29, 2009 and October 28, 2010, be further amended as follows: 1. Subsection 44 (2) of the English version of the By-Law is revoked and the following substituted: Composition (2) The Committee shall consist of six persons appointed by Convocation, (a) at least one of whom shall be the chair or a vice-chair of the Professional Regulation Committee; (b) at least one of whom shall be the chair or a vice-chair of the Professional Development and Competence Committee; (c) at least one of whom shall be an elected bencher who is licensed to practise law in Ontario as a barrister and solicitor; (d) at least one of whom shall be an elected bencher who is licensed to provide legal services in Ontario; and (e) at least one of whom shall be a person who is not a licensee. 485 Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) 2. Subsection 44 (2) of the French version of the By-Law is revoked and the following substituted: Composition 3. (2) Le Comité est composé de six personnes nommées par le Conseil, dont a) une au moins assume la présidence ou la vice-présidence du Comité de réglementation de la profession; b) une au moins assume la présidence ou la vice-présidence du Comité du perfectionnement professionnel; c) une au moins est conseillère ou conseiller élu qui détient un permis pour exercer le droit à titre d’avocate ou d’avocat en Ontario; d) une au moins est conseillère ou conseiller élu qui détient un permis pour fournir des services juridiques en Ontario; e) une au moins n’est pas titulaire de permis. Subsection 44 (3) of the By-Law is revoked. 4. Subsection 47 (2) of the English version of the By-Law is revoked and the following substituted: Temporary members (2) If no two members of the Committee are able to constitute a quorum because five or more members of the Committee are unable for any reason to act, the chair of the Committee may appoint one or more persons as temporary members of the Committee for the purposes of constituting a quorum, and the temporary members shall be deemed, for the purposes of subsection (1), to be members of the Committee. 5. Subsection 47 (3) of the By-Law is revoked. 487 Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) Tab 13.4 THE LAW SOCIETY OF UPPER CANADA BY-LAWS MADE UNDER SUBSECTIONS 62 (0.1) AND (1) OF THE LAW SOCIETY ACT BY-LAW 12 [COMPENSATION FUND] MOTION TO BE MOVED AT THE MEETING OF CONVOCATION ON APRIL 25, 2013 MOVED BY SECONDED BY THAT By-Law 12 [Compensation Fund], made by Convocation on May 1, 2007 and amended by Convocation on June 28, 2007, May 27, 2010, and September 22, 2011, be further amended as follows: 1. Subsection 4 (2) of the By-Law is revoked. 2. The English version of the By-Law is amended by adding the following: Powers 4.1 The Compensation Fund Committee may make such arrangements and take such steps as it considers advisable to carry out its responsibilities. Appointment of Claims Officers 4.2 (1) The Compensation Fund Committee may appoint as many persons as it considers necessary as Claims Officers for the purposes of assisting it to decide whether to make a grant from the Compensation Fund. Approval by Convocation of appointment not required (2) The appointment of a person as a Claims Officer is not subject to the approval of Convocation. 1 488 Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) Assistance to be provided by Claims Officer (3) The Compensation Fund Committee may refer to a Claims Officer for consideration any question that is not a question of law alone arising from an application for a grant from the Compensation Fund. Procedure to be followed by Claims Officer (4) The Compensation Fund Committee shall determine the procedure to be followed by a Claims Officer in the consideration of a question, including requiring a hearing. Recommendation of Claims Officer (5) Committee. 3. A recommendation of a Claims Officer is not binding on the Compensation Fund The French version of the By-Law is amended by adding the following: Pouvoirs 4.1 Le Comité du Fonds d’indemnisation peut prendre toutes mesures et dispositions qu’il juge utiles pour l’exercice de ses fonctions. Nomination d’officiers des réclamations 4.2 (1) Le Comité du Fonds d’indemnisation peut nommer autant de personnes qu’il juge nécessaires comme officiers des réclamations pour l’aider à décider d’accorder ou non une indemnité à partir du Fonds d’indemnisation. Approbation des nominations par le Conseil non requise (2) La nomination d’une personne comme officier des réclamations n’est pas assujettie à l’approbation du Conseil. Aide à fournir par l’officier des réclamations (3) Le Comité du Fonds d’indemnisation peut soumettre pour considération à un officier des réclamations toute question qui n’est pas uniquement une question de droit qui découle d’une demande d’indemnisation du Fonds. Procédure à suivre par l’officier des réclamations (4) Le Comité du Fonds d’indemnisation détermine la procédure à suivre par un officier des réclamations lors de la considération d’une question, y compris les demandes d’audience. 2 489 Convocation - Motions re: Amendments to By-Laws 6, 7, 11 and 12 (Bilingual) Recommandations de l’officier des réclamations (5) Les recommandations d’un officier des réclamations ne lient pas le Comité du Fonds d’indemnisation. 3 490
