This present session of our Board of Directors coincides with a political and social climate in Tunisia oscillating between serenity and engagement, between satisfaction and an urge for caution. L'année 2013 n'a pas été facile. Elle a connu des épisodes graves ou complexes qui ont perturbé le bon déroulement de la transition démocratique et affecté l'environnement des affaires qui souffrait à l'époque du marasme économique dans nombre de pays partenaires de la Tunisie. L'environnement des affaires n'a pas été épargné. Aussi le rebond qu'a connu l'économie tunisienne en 2012, où elle a enregistré un taux de croissance du PIB de 3.6%, n'a pas suivi le même rythme en 2013. La stagnation des investissements, des exportations et des industries manufacturières ainsi que le rendement modeste des deux secteurs clés - le tourisme et l'exploitation minière - ont fragilisé les indicateurs fondamentaux. En dépit de ces facteurs négatifs, les derniers développements dans le paysage politique focalisent l'attention des observateurs dont les appréciations laissent entrevoir de bonnes perspectives même si la période à venir parait encore complexe. 06 ABC Bank - Tunisia Rapport Annuel 2013 Annual Report ABC maintient sa confiance et poursuivra sa contribution à la relance et au développement de l'activité économique, d'autant plus que le bilan de notre banque pour l'exercice 2013 est positif et s'inscrit dans la bonne direction. It witnessed serious or complex episodes that have disrupted the smooth functioning of the democratic transition and affected the business environment which was already challenged at the time by the economic downturn in several partner countries of Tunisia. ABC has capitalized on the success of the Tunisian Spring. It maintains its confidence and continues to provide its support and contribution for the recovery and development of the economic activity, especially as our bank's balance sheet for 2013 reveals a good performance and goes in the right direction. Un récent communiqué de presse du FMI (n°14/32 du 30/01/2014) conforte notre optimisme. Je cite : " la Tunisie traverse une période de transition prolongée et doit faire face à un environnement national et régional délicat. En dépit de cela, l'économie a maintenu le cap de la croissance, certes à un rythme modéré. Les tensions inflationnistes sont maitrisées et la situation extérieure s'est stabilisée. La récente adoption d'une nouvelle constitution et la formation d'un nouveau gouvernement pour organiser les prochaines élections sont d'importants pas en avant ". The business environment has not been spared. The economic rebound which Tunisia experienced in 2012, where the country recorded a GDP growth rate of 3.6%, has not kept the same pace in 2013. In this regard, let me anticipate the bank's balance sheet for 2014 and announce with great pleasure the decisions made by the Extraordinary General Assembly of ABC-Tunisie' shareholders, held in March 2014, to offset the losses recorded in recent years on one hand, and increase the capital of our bank to raise it to 68 million Tunisian dinars on the other hand. The cost of the recapitalization is 40 million Tunisian dinars. This gives more clarity and transparency to our accounts, while allowing the bank to comply with regulatory measures in terms of capital requirements, to strengthen its resources for a greater contribution to the development efforts of Tunisia. Mon prédécesseur a déclaré l'an dernier en paraphrasant des propos attribués à Hannibal que la Tunisie saura le chemin menant à son objectif ou trouvera une autre voie pour l'atteindre. ABC a misé sur le succès du Printemps tunisien. Elle maintient sa confiance et poursuivra sa contribution à la relance et au développement de l'activité économique, d'autant plus que le bilan de notre banque pour l'exercice 2013 est positif et s'inscrit dans la bonne direction. A ce propos, je me permets d'anticiper le bilan 2014 et vous annoncer avec plaisir la double décision de l'Assemblée Générale Extraordinaire des actionnaires de ABC de mars 2014 d'éponger les pertes des dernières années d'une part et d'augmenter le capital de notre banque pour le porter à 68 Millions de dinars. Le coût de cette recapitalisation s'élève à 40 Millions de Dinars. Ceci donne plus de clarté à la transparence des comptes et permet à la banque tout en se conformant aux dispositions réglementaires en matière d'exigence en fonds propres, de renforcer ses ressources pour une contribution accrue à l'effort de développement de la Tunisie. Pour conclure, je voudrais réitérer la confiance du Conseil d'Administration au Management, remercier l'ensemble du personnel et renouveler aux Autorités monétaires tunisiennes l'expression de notre haute considération et notre reconnaissance pour le soutien qu'elles ont toujours manifesté à l'égard de notre institution. The stagnation of investments, exports and manufacturing industries as well as the modest performance of the country's two key economic sectors, i.e. tourism and mining, has weakened the fundamental indicators. Despite these negative factors, the latest developments in the political landscape focus the attention of observers whose assessments suggest favorable prospects even if the coming period still seems complex and difficult. It is a fact that the economic potential and assets of Tunisia remain unaltered. The development of these assets is subject to restoring the confidence of domestic and foreign economic and financial agents, while bearing in mind that this trust is conditioned by the stability and predictability in the country. A recent press release from the IMF (No. 14/32 dated 30.01.2014) reassures us and fuels our optimism. I quote: "Tunisia is going through a prolonged period of transition and is facing a national and regional delicate environment. Despite this, the economy has stayed on course for growth, albeit at a moderate pace. Inflationary pressures are being controlled and the external situation has stabilized. The recent adoption of a new constitution and the formation of a new government to organize the next elections are important steps forward". To conclude, I would like to reaffirm the Board of Directors' absolute confidence in the bank's Management team, thank all staff members and reiterate to the Tunisian monetary authorities the expression of our highest consideration and appreciation for the support they have always demonstrated towards our institution. On relève une augmentation du Produit Net Bancaire par rapport aux années précédentes... The balance sheet of our bank for year 2013 is positive and gives us confidence. We notice an increase in the bank's income compared to previous years... Mr. Ali Kooli La conjoncture politique et économique qui a prévalu en Tunisie au cours de l'année 2013 dénote avec le bilan de notre banque pour la même période. La conjoncture était en effet compliquée et soulevait des questionnements. Nos réalisations par contre nous incitent à l'optimisme. The political and economic conditions that prevailed in Tunisia during year 2013 display a different picture from the performance achieved by our bank for the same period. As a matter of fact, while the economic situation was complicated and raised several doubts, our achievements give us grounds for optimism. La Tunisie durant l'année 2013 a connu deux gouvernements provisoires, ce qui a ajouté l'imprévisibilité à l'instabilité. Elle a été marquée par une atonie de l'activité économique. La reprise de la croissance observée en 2012 (3.6% du PIB) n'a pas été maintenue en 2013 (2.6% du PIB). Les clignotants étaient souvent au rouge sinon à l'orange (déficit de la balance commerciale, baisse des réserves en devises, taux d'inflation, taux de chômage, déficit budgétaire, contraction des liquidités bancaires…). Pour certains analystes, la situation est complexe et les perspectives pour 2014 sont incertaines. 10 ABC Bank - Tunisia Rapport Annuel 2013 Annual Report Cependant il apparait des derniers développements intervenus sur la scène politique (dialogue national, approbation de la nouvelle Constitution, formation d'un gouvernement de compétences indépendantes avec une feuille de route consensuelle…) que la Tunisie dispose d'atouts incontestables qui lui permettent de compter sur le soutien de ses partenaires pour restaurer la confiance des agents économiques nationaux et étrangers et stimuler la relance de son économie. Le bilan 2013 de notre banque est positif et nous conforte dans notre optimisme. On relève une augmentation du Produit Net Bancaire par rapport aux années précédentes, une extension du réseau et une stabilisation ou plutôt une réduction des charges d'exploitation. Les dépôts d'épargne et les crédits-clientèle sont également en augmentation dans leurs ratios respectifs. La contraction des dépôts à vue ou à terme est le reflet du manque de prévisibilité politique qui pousse à la réserve. En résumé, ABC-Tunisie a poursuivi en 2013 sa politique de prudence en matière d'octroi des crédits à sa clientèle publique et privée en tenant compte de la nature des projets et de leur rentabilité, de la qualité du client, de sa capacité de remboursement sans retard et des garanties offertes. Elle reste, comme par le passé, à l'écoute de sa clientèle en comptant sur l'esprit d'ouverture et d'initiative de ses effectifs. During 2013, Tunisia witnessed two provisional governments. This added unpredictability to the country's instability. The year was marked by weak economic activity. The resumption of growth observed in 2012 (3.6% of GDP) was not maintained in 2013 (2.6 % of GDP). The indicators were often flashing red, otherwise orange (negative trade balance, falling foreign exchange reserves, inflation rate, unemployment rate, budget deficit, contraction of bank liquidity...). For some analysts, the situation is complex and the prospects for 2014 are uncertain. However it appears from the latest political events in Tunisia (i.e. the national dialogue, the endorsement of a new Constitution, the formation of a government broadly constituted by independent competences which has adopted a consensual roadmap...), that the country has definite assets that allow it to count on the support of its partners to restore the confidence of domestic and foreign economic agents and stimulate the recovery of its economy. In summarizing, ABC-Tunisie has maintained throughout 2013 its policy of prudence in granting loans to its public and private customers, taking into account the nature of the projects and their profitability, the creditworthiness of the customers, the ability to settle installments at due date and the guarantees proposed. The bank remains, as in the past, attentive to its clients' needs and relies on the staff's spirit of initiative and openness. We notice an increase in the bank's income compared to previous years, the expansion of the retail network along with the stabilization or rather a reduction in operating expenses. Savings deposits and credit facilities to customers have also recorded an increasing trend in their respective ratios. The contraction of deposits at sight or at term reflects the lack of political predictability which led to restraint and carefulness. ABC Bank - Tunisia Rapport Annuel 2013 Annual Report 11 Rétrospective de l'Exercice 2013 2013 Business Review ABC-Tunisie a poursuivi sa politique de financement de l'économie par des crédits destinés essentiellement à faciliter les financements de projets des Entreprises. ABC-Tunisie has continued to finance the Tunisian economy through loans essentially designed to facilitate project finance operations. 1. Les Dépôts de la Clientèle Les dépôts collectés auprès de la Clientèle s'élèvent au 31 décembre 2013 à la somme de 274.555 KDT (contre 561.326 KDT en 2012) dont : 218.152 KDT de dépôts à vue contre 519.546 KDT en 2012 9.785 KDT sous forme de dépôts d'épargne contre 8.449 KDT en 2012. 3.540 KDT de dépôts à terme par rapport à 26.172 KDT en 2012. Concernant les dépôts d'épargne, 9.634 KDT (contre 8.301 KDT en 2012) correspondent à des Comptes d'Epargne sur Livret et 151KDT (contre 148 KDT en 2012) représentent des Comptes Proprio, à savoir des comptes spéciaux d'épargne ouverts dans le cadre d'un plan d'épargne logement afin de bénéficier du CrédiProprio, le crédit conçu par ABC pour l'acquisition d'un logement. Concernant les dépôts à terme, 6.866 KDT (contre 6.810 KDT en 2012) correspondent à des dépôts en dinars, et un total de 16.674 KDT (contre 19.362 KDT en 2012) représente des dépôts en devises. Les dépôts à terme se répartissent en : Bons de caisse pour un montant total de 860 KDT (contre 41 KDT en 2012). Comptes à terme pour un total de 22.680 KDT (contre 24.631 KDT en 2012). 2. Les Crédits à la Clientèle Au cours de son douzième Exercice, ABC-Tunisie a poursuivi sa politique de financement de l'économie par des crédits destinés essentiellement à faciliter les financements de projets des Entreprises. Au terme de l'année 2013, le volume des crédits en capitaux s'est situé à la somme de 129.818 KDT (contre 67.482 KDT en 2012). Ces crédits se répartissent comme suit : 1. Customers' deposits On 31st, December 2013, deposits from customers reached TND274,555 thousand (vs. TND561,326 thousand in 2012). These deposits are mainly composed of the following : At sight deposits which reached TND519,546 thousand compared to TND519,546 thousand in 2012. Savings deposits which reached TND9,785 thousand compared to TND8,449 thousand in 2012. Term deposits which reached TND 23,540 thousand (vs. TND26,172 thousand in 2012). With regards to savings deposits, TND9,634 thousand (versus TND8,301 thousand in 2012) represent Booklet Savings accounts and TND151 thousand (versus TND148 thousand in 2012) correspond to ABC's Proprio Accounts - a special savings account specifically designed for clients interested in ABC's mortgage (i.e. CrédiProprio). As regards term deposits, TND6,866 thousand (compared to TND6,810 thousand in 2012) correspond to deposits in Tunisian dinars, and TND16,674 thousand (compared to TND19,362 thousand in 2012) represent deposits in foreign currencies. Term deposits are split between: Specific certificate of deposits locally referred to as Bons de Caisse which amounted to TND860 thousand (versus TND41 thousand in 2012), Time deposits for a volume of TND22,680 thousand compared to TND24,631 thousand in 2012. 2. Customers' Loans During its twelfth year of activity, ABC-Tunisie has continued to finance the Tunisian economy through loans essentially designed to facilitate project finance operations. On 31st December 2013, total gross volume of loans reached TND129,818 thousand (compared to TND67,482 thousand in 2012). The interest margin achieved during 2013 was in line with the budgeted figure thanks to the good margin earned on the TND business segment and resulting from a well-controlled cost of funding and a gradual increase on the TMM which moved from 4.11% in January to 4.74% in December 2013. Les taux d'intérêts sur le Dollar américain (USD) et l'Euro (EUR) ont maintenu leurs très faibles niveaux en 2013 et la marge d'intérêts réalisée sur les excédents de liquidités en USD et EUR a été principalement générée par les placements de fonds stables à un an avec une marge appréciable au-dessus du taux de référence de 3 mois. En ce qui concerne l'activité de change, l'année 2013 a connu une dépréciation nette de la monnaie locale par rapport aussi bien au Dollar américain qu'à l'Euro. En effet, le Dollar s'est échangé à 1,55 DT au début de l'année puis s'est renforcé à 1,68 DT à la fin de l'année. L'Euro a pour sa part, observé une progression forte et continue par rapport au TND, passant de 2,05 à 2,30 TND, de Janvier à Décembre 2013. Il est à noter que la dépréciation de la devise locale a été largement causée par la situation politique que le pays a traversée en 2013. La Banque Centrale de Tunisie a réussi à gérer de près les niveaux de change de TND en fournissant des marges " bid /offer " de 30 points de base seulement contre 120 points de base précédemment et en offrant les USD et EUR chaque fois que le marché était demandeur de devises étrangères. The interest rates on the USD and the EUR maintained their very low levels during 2013 and the interest margin earned on the USD and EUR liquidity excesses was mainly generated from placements of the stable funds at one year with good margin above the 3 months reference rates. Regarding the Foreign Exchange, 2013 witnessed a clear depreciation of the local currency against both the USD and the EUR: the USD started the year trading at 1.55 TND and strengthened to 1.68 TND by the year end. The EUR observed continuous gradual strength versus the TND moving from 2.05 TND to 2.30 TND from January to December 2013. It is to note that the TND smooth depreciation was largely caused by the political turmoil the country witnessed during 2013. The Central Bank of Tunisia managed closely the TND foreign exchange levels by providing "bid/ offer margins" of 30 basis points only against 120 basis points previously and by offering the USD and the EUR whenever the market is too short on the foreign currencies. En effet, FATCA exige que les institutions financières étrangères transmettent aux autorités fiscales américaines des informations relatives aux comptes américains ou à appliquer une retenue à la source en sa faveur. L'objectif principal de cette loi est de lutter contre l'évasion fiscale des contribuables américains. Certaines obligations de cette loi seront applicables dès juillet 2014. ABC-Tunisie held meetings at the Professional Association of Banks to discuss the application of this law in Tunisia. It is worth reminding that FATCA requires from foreign financial institutions to transmit to U.S. tax authorities any information on US accounts or to apply a withholding tax in its favor. The main objective of this law is to fight against tax evasion by US taxpayers. Some requirements of this Act shall apply from July 2014. We conducted our audit in accordance with approved standards on auditing in Tunisia. PARAGRAPHE D'OBSERVATION Sans remettre en cause notre opinion exprimée ci-dessus, nous attirons votre attention sur le fait que la banque est défenderesse dans deux procès l'opposant à deux de ses anciennes relations et se voit réclamer le paiement de dédommagements portant sur des montants significatifs (Cf. note aux états financiers 4.27). L'issue finale de ce procès ne peut actuellement être anticipée et, de ce fait, aucune provision au titre d'un passif éventuel pouvant résulter de cette action en justice n'a été constituée dans les états financiers. OBSERVATIONS Without qualifying our opinion as expressed in the previous paragraph, we draw your attention to the fact that the Bank is a defendant in two lawsuits involving two of its past business relationships, and is claimed a significant compensation amount for losses and damages (ref. Note to Financial Statements nr.4.27). The ultimate outcome of thislawsuits is not yet known and therefore, no provision for any contingent liability has resulted from this legal action in the financial statements. EXERCICE COMPTABLE 2. FINANCIAL PERIOD L'Exercice comptable commence le 1er janvier et s'achève le 31 décembre de la même année. The financial year covers the period from January 1st to December 31st, of the same year. 3. BASES DE MESURE ET PRINCIPES COMPTABLES PERTINENTS APPLIQUÉS 3. ACCOUNTING POLICIES Les Etats Financiers l'ABC-Tunisie sont élaborés sur la base de la mesure des éléments du patrimoine au coût historique. Les principes comptables les plus significatifs se résument comme suit : 3.1- Comptabilisation des engagements et des revenus y afférents Comptabilisation des engagements hors bilan Les lettres de crédit et de garantie sont portées en hors bilan à mesure qu'elles sont contractées et sont transférées au bilan au fur et à mesure des déblocages de fonds pour le montant du décaissement. Comptabilisation des prêts auprès de la clientèle Les crédits d'escompte sont présentés au bilan pour leur valeur nominale déduction faite des intérêts décomptés d'avance et non encore courus. Les crédits décaissés et les comptes courants débiteurs sont présentés déduction faite des intérêts et agios réservés et des provisions y afférentes. Comptabilisation des revenus sur prêts auprès de la clientèle Les intérêts et produits assimilés ainsi que les commissions sont pris en compte en Résultat de l'Exercice clos au 31 décembre 2013 pour leurs montants rattachés audit Exercice. Les intérêts sur crédits nets d'escompte sont comptabilisés dans les comptes d'intérêts constatés d'avance au moment du déblocage de ces crédits et sont comptabilisés en produits au fur et à mesure qu'ils sont courus. Les intérêts échus et non encore encaissés relatifs aux prêts classés parmi les "Actifs incertains" (classe B2) ou parmi les "Actifs préoccupants" (classe B3) ou parmi les "Actifs compromis" (classe B4), au sens de la Circulaire BCT n° 91-24, sont constatés en produits réservés et sont déduits du poste "Créances sur la Clientèle". Ces intérêts sont pris en compte en Résultat lors de leur encaissement effectif. Les intérêts courus et non échus relatifs aux prêts classés parmi les "Actifs courants" (classe A) ou parmi les "Actifs nécessitant un suivi particulier" (classe B1), au sens de la Circulaire BCT n°91-24, sont portés en Résultat au fur et à mesure qu'ils sont courus. Les agios sur les comptes courants gelés sont réservés et présentés en fin d'Exercice en déduction des comptes courants débiteurs. 40 ABC Bank - Tunisia Rapport Annuel 2013 Annual Report The Financial Statements of ABC-Tunisie are established on the basis of the historical cost. The accounting principles, policies, and practices applied are summarized hereafter. 3.1 - Loans and related Income Off balance sheet exposure The letters of credit and letters of guarantee are recorded within the off-balance sheet items when corresponding contracts are signed, and are transferred for the amount of disbursement to the balance sheet when the funds are released. Customer loans The discounted loans are disclosed in the balance sheet at their nominal value. The interests related to these loans and received in advance are deducted from the nominal value. The reserved interests and commissions in addition to the provisions on loans and overdrafts are deducted from these items. Revenues recognition Interest on loans and commissions are recognised as revenues of the financial period closed at December 31st 2013 for the amounts occurred during the period then ended. Interests on discounted loans are booked as interests received in advance. They are recognised as revenues on a time proportion basis. The interests on loans classified as “satisfactory assets”(class A) or as "Special mention assets" (class B1), according to the CBT memorandum N°91-24 dated December 17th, 1991, are recognised as revenues of the period during which they are accrued. The unpaid accrued interest on loans classified as "substandard assets" (class B2), or as "doubtful assets" (class B3) or as "loss/write off assets" (classified B4), according to the CBT memorandum N°91-24 dated on December 17th, 1991, are recorded as "reserved interests" and deduced from the “Loans and advances to customers” item. These interests are recorded as income when actually collected. The provision rates are applied on the customers' net exposure. In other words, on the commitment of wich are deducted : Reserved interests, Financial guarantees, Real estate guarantees, Government guarantees, Banks and insurance companies guarantees. 3.2 - Comptabilisation des intérêts encourus et charges assimilées Les intérêts encourus et charges assimilées sont pris en compte en Résultat au fur et à mesure qu'ils sont courus. En revanche, les charges décaissées et relatives à des Exercices futurs ne sont pas comptabilisées en tant que charges de l'Exercice et sont portées au bilan de la Banque en compte de régularisation. 3.2 - Interests and similar expenses Interests and similar expenses are recognised as charges of the period when incurred. However, interests paid in advance are not taken into account among the period expenses and they are disclosed as other assets in the balance sheet. 3.3 - Conversion des opérations en monnaies étrangères Les comptes de bilan et hors bilan libellés en monnaies étrangères font l'objet d'une réévaluation aux cours de change en vigueur à la date de clôture de l'Exercice. The results received from tax authorities on August 24th, 2010, mentioned a total potential impact of TND512 thousand, broken-down as follows : An amount of TND 104 thousand to be paid; A reduction of corporate tax credit of TND 390 thousand. In collaboration with our tax advisor, we estimated the tax risk as following: Tax and penalties to be paid: TND72 thousand; Reduction of corporate tax credit: TND73 thousand. Suite à cette taxation et conformément à la réglementation en vigueur, la banque a formulé ses avis et observations sur la proposition de redressement ainsi que sur la réponse à l'opposition dans les délais prévus et ce afin de réduire le montant de la taxation initiale et de procéder à la clôture de l'affaire dans les meilleurs délais. Note 4.27 - Affaires en contentieux Il est a signalé les faits juridiques suivants : Note 4.27 - Legal affairs We would like to draw your attention on the following litigating actions: Affaire 1 Une relation a intenté une action en référé contre la Banque pour transferts illégaux entre ABC Tunis Branch et ABC Tunisie en réclamant la somme de 3.000.000 DT objet des dits transferts; Il a intenté une action en référé réclamant le paiement immédiat de 50% de la somme demandée et la banque a obtenu gain de cause en première instance et en appel. Par ailleurs, le client a intenté une affaire de fond pour le même objet et il n'a pas eu gain de cause en première instance ainsi qu'en appel. En date du 09 février 2011, la même relation a intenté un pourvoi en cassation pour la même affaire. En date du 14 Juin 2011, la Cour de Cassation a instauré le renvoi de l'affaire à la Cour d'Appel avec une nouvelle composition. En date du 21 mai 2013, la Cour d'Appel a confirmé le jugement de 1ère Instance rendu en notre faveur. Case 1 A business relationship has sued the bank for unjustified transfers carried between ABC-Tunis (OBU) and ABC-Tunisie between 2000 and 2002. The business relationship is claiming the sum of TND 3 million which represents the amount of these transfers and damages incurred. The relationship filed the case against the bank, claiming an immediate 50% compensation. The bank won the first trial and the appeal. The client equally attempted a fundamental action against the bank but didn't win the case. On February 9th, 2011, the relationship brought the case before the Supreme Court. On 14th June 2011, the Supreme Court decided to send the matter before the Appeal Court to review it with a new composition. st The audience was fixed on 31 January, 2013 and postponed to 6th March, 2013. On May 5th, 2013, the Court of Appeal upheld the judgment of first instance rendered in favor of the bank Affaire 2 Une deuxième relation a intenté une action en référé contre la Banque pour transferts illégaux entre ABC Tunis (branche offshore) et ABC Tunisie et réclame la somme de 4.500.000 USD. Il a été débouté en première instance ainsi qu'en appel. En Mars 2011, le client s'est pourvu en cassation. En Septembre 2011, la cour de cassation a instruit le renvoi de l'affaire devant la cour d'appel avec une nouvelle composition. En ce sens, l'audience à la Cour d'Appel a été ajournée à plusieurs reprises. Lors de l'audience du 22/01/2014, la banque a présenté les éléments de défense en se basant sur le fait que la banque a eu gain de cause dans une affaire similaire (Affaire 1). Consequently, they do not reflect events occurring after that date. 52 ABC Bank - Tunisia Rapport Annuel 2013 Annual Report Case 2 A second business relationship has taken legal action against the Bank for unjustified transfers between ABC-Tunis branch and ABCTunisie, and thereby claiming the sum of US$ 4.5 million. The relationship lost the trial as well as the appeal. The client brought the matter before Supreme Court during March 2011. In September 2011, the Supreme Court decided to send the matter before the Appeal Court to review it with a new composition. The audience was fixed on 30th January, 2013 and postponed many times until 22th January, 2014. During the audience held on 22th January, 2014, the bank presented documents proving that it won a similar case and asked to apply the same judgment for the current case. EXTRAIT DES RESOLUTIONS DE L'ASSEMBLEE GENERALE EXTRAORDINAIRE Deuxième Résolution L'Assemblée Générale Extraordinaire, après lecture et approbation du rapport du Conseil d'Administration ainsi que le rapport des commissaires aux comptes relatif à la réduction du capital décide de réduire le capital de la banque d'un montant de 22.751.740,000 dinars pour le porter de 50.000.000 dinars à 27.248.260 dinars. Cette réduction de capital par la diminution du nombre d'actions anciennes rentre dans le cadre du projet de recapitalisation de la banque et l'absorption des pertes cumulées antérieures. Troisième Résolution L'Assemblée Générale Ordinaire, après examen des Etats Financiers individuels relatifs à l'exercice clos le 31/12/2013, et après lecture du Rapport Général des Commissaires aux Comptes, approuve les dits Etats Financiers individuels. Quatrième Résolution L'Assemblée Générale Ordinaire, après avoir entendu la lecture du Rapport Spécial des Commissaires aux Comptes sur les conventions réglementées conclues au cours de l'exercice 2012, approuve l'ensemble des conventions qui y sont mentionnées. EXTRACT FROM THE EXTRAORDINARY GENERAL ASSEMBLY RESOLUTIONS Second Resolution The Extraordinary General Assembly, after reading and approving the Board of Directors' report and the Statutory Auditors' report relevant to the capital reduction, decides to decrease the bank's capital amount by TND22,751,740 bringing it from TND 50,000,000 to TND27,248,260. This capital reduction through the decrease in number of shares fits in the scope of the proposed recapitalization of the bank and the absorption of accumulated past losses. The Extraordinary General Assembly, after reading and approving the Board of Directors' Report and the Statutory Auditors' Report on the capital increase decides to raise the share capital by an amount of TND40,751,740 hence bringing it from TND27,248,260 to TND68,000,000. Third Resolution The Extraordinary General Assembly authorizes the Board of Directors to proceed with : The formalities relevant to the capital reduction. Practical procedures relevant to the capital increase. Fifth Resolution The Extraordinary General Assembly grants full powers to the bearer of an original document, a copy or an extract of the minutes of the Assembly's meeting to carry out all formalities and complete all legal publication or regulation prescribed by law. EXTRACT FROM THE ORDINARY GENERAL ASSEMBLY RESOLUTIONS First Resolution The General Ordinary Assembly approves the agenda, the modality and the period of notice for the meeting. Second Resolution The Ordinary General Assembly approves the Board of Directors' Management Report on the bank's activity for the year ended December 31st, 2013. Third Resolution After examining the bank's individual accounts for the year ended December 31st, 2013, and after reading the relevant Statutory Auditors' General Report, the Ordinary General Assembly approves the bank's individual financial statements. Fourth Resolution The General Meeting , having heard the special report of the Statutory Auditors on regulated agreements entered into during fiscal 2012 , approves all agreements referred to therein.
