The Elia Board of Directors has set the agenda for the annual general
meeting of shareholders to be held on 20 May 2014. The Board of
Directors will submit a proposal to appoint Mr Luc De Temmerman, Mr
Frank Donck and Mrs Saskia Van Uffelen as new independent directors
of the company, and Mr Luc Hujoel as a non-independent director at
the proposal of Publi-T.
The directorships of Mr Luc Van Nevel, Mr Thierry Willemarck and Mr Clément De
Meersman will end at the next general meeting of shareholders, due to legal
requirements, since they have been independent directors on the Elia Board for 12
years.
Mr Luc De Temmerman earned a degree in chemical engineering and a PhD in applied
sciences from the University of Leuven, as well as an MBA from the University of
Brussels. He is currently an independent consultant after spending nearly 30 years in key
positions at Monsanto Chemical Company, Solutia Inc and Galata Chemicals, LLC.
Mr Frank Donck earned a degree in law from the University of Ghent and holds a Master
in Finance from the Vlerick Management School. He is the managing director of 3D
Participaties, a Belgian company, and holds directorships at Telenet Group, KBC,
Greenyard Foods and Atenor Group.
Mrs Saskia Van Uffelen earned a degree in physical education from the Hoger Instituut
voor Lichamelijke Opvoeding and a degree in pedagogy from the Hoger Pedagogisch
Instituut in Antwerp. Over the course of 25 years, she has acquired acknowledged
professional experience at Xerox, Compaq Computer, Hewlett-Packard Belux,
NorthgateArinso and Bull Belux. She holds directorships at various organisations,
including Berenschot, Universiteit Antwerpen, IMinds, Vlaamse Administratie.
Pursuant to a proposal submitted by core shareholder Publi-T, the Board of Directors will
also submit a proposal to the general meeting to appoint Mr Luc Hujoel as a nonindependent director to succeed Jennifer Debatisse, who is resigning her directorship. Mr
Luc Hujoel holds a Master in Economic Sciences and has held various positions in the gas
and electricity sector for the last 30 years. He is the managing director of distribution
system operator Sibelga. He holds directorship at Fluxys S.A.
The Elia Board of Directors comprises 14 directors, half of whom are independent.
The current directors and the Management Committee of Elia would like to thank
Mrs Jennifer Debatisse, Mr Clément De Meersman, Mr Luc Van Nevel and Mr Thierry
Willemarck for their invaluable expertise and their contributions to the development of
the Elia Group.
