CARMIGNAC PORTFOLIO Société d’Investissement à Capital Variable AVIS AUX ACTIONNAIRES FRANÇAIS Le 16 Novembre 2015 Cher Actionnaire, Les membres du conseil d’administration (le « Conseil ») de CARMIGNAC PORTFOLIO, une société d’investissement à capital variable, constituée selon les lois du Grand-Duché de Luxembourg (la “Société”) et régie par la partie I de la loi du 17 décembre 2010 concernant les organismes de placement collectif (les « OPC »), ont l’honneur de vous informer par la présente des modifications suivantes apportées au précédant prospectus daté Mai 2015 de la Société: INSERTION D’UN CONVERTIBLES : NOUVEAU CHAPITRE SUR LES OBLIGATIONS CONTINGENTES Le Conseil a décidé de modifier le prospectus afin de permettre aux différents compartiments d’investir dans les Obligations Contingentes Convertibles. A cet effet un nouveau paragraphe 25.II est inséré avec les précisions suivantes : Les Contingent Convertible Obligations (« CoCos bonds ») : sont des instruments complexes règlementés et hétérogènes dans leur structuration. Ils présentent un rendement souvent supérieur à des obligations classiques de par leur structuration spécifique et la place qu’ils occupent dans la structure de capital de l’émetteur. Ils sont émis par des établissements bancaires sous la surveillance d’une autorité. Ils associent : 1. 2. les caractéristiques obligataires a. ce sont des instruments de dette subordonnés b. le paiement des taux d’intérêt peut être suspendu de manière discrétionnaire ou en fonction d’un élément extérieur objectif fixé dans le contrat d’émission. Les caractéristiques actions, car ce sont des instruments convertibles hybrides. a. La conversion peut être de plusieurs formes b. L’élément déclencheur de la conversion est fixé dans un objectif de protection du capital des établissements bancaires. Les risques associés à ce type d’instrument sont : Risque lié au seuil de déclenchement : Chaque instrument comporte des caractéristiques qui lui sont propres. Le niveau de risque de conversion peut varier par exemple selon la distance du ratio Tier 1 de l’émetteur à un seuil défini dans les termes de l’émission. La survenance de l’événement contingent peut amener une conversion en actions ou encore un effacement temporaire ou définitif de la totalité ou partie de la créance, Risque de perte de coupon : Sur certain type de CoCos, le paiement des coupons est discrétionnaire et peut être annulé par l’émetteur, à tout moment et pour une période indéterminée, Risque d’inversion de la structure de capital : contrairement à la hiérarchie classique de capital, les investisseurs en CoCos peuvent supporter une perte supérieure à celle des actionnaires dans certaines circonstances. C’est le cas notamment lorsque le seuil de déclenchement se situe à des niveaux élevés, Risque de non exercice de l’option de remboursement par l’émetteur: Les CoCos peuvent être émis comme des instruments perpétuels, les investisseurs peuvent être amenés à ne pouvoir récupérer leur capital aux dates de remboursements optionnels prévus dans les termes de l’émission, Siège social : 5, Allée Scheffer, L-2520 Luxembourg, RCS Luxembourg No B 70.409 1 Risque lié à la complexité de l’instrument : L’instrument étant relativement récent, leur comportement en période de stress et de test des niveaux de conversion peut être très imprévisible. Risque de valorisation : le rendement attrayant sur ce type d’instrument ne peut être le seul critère guidant la valorisation et la décision d’investissement, ce dernier doit être compris comme une prime de complexité et de risque. Il sera précisé dans chaque politique d’investissement de chaque compartiment le pourcentage maximum envisagé sur ce type d’instrument, lorsqu’un investissement est prévu dans les Obligations Contingentes Convertibles. INSERTION D’UNE LIMITE AUX OBLIGATIONS CONTINGENTES CONVERTIBLES DANS CHAQUE COMPARTIMENT : Le Conseil décide de permettre aux compartiments suivants d’investir une partie leur actif net dans les obligations contingentes convertibles, dans les limites suivantes : Possibilité d'investir Pourcentage maximum de l’actif net GRANDE EUROPE COMMODITIES Oui 10% Oui 10% EMERGING DISCOVERY Oui 10% GLOBAL BOND Oui 20% CAPITAL PLUS Oui 10% EMERGING PATRIMOINE Oui 10% EMERGENTS Oui 10% EURO-ENTREPRENEURS Oui 10% EURO-PATRIMOINE Oui 10% INVESTISSEMENT Oui 10% PATRIMOINE Oui 15% SECURITE Oui 10% INVESTISSEMENT LATITUDE Oui 10% CAPITAL CUBE Oui 20% CROSS ASSET OPPORTUNITIES Oui 10% CHINA Oui 10% ACTIVE RISK ALLOCATION Oui 10% Compartiment A cet effet il sera précisé dans les parties spécifiques de chaque compartiment, l’information suivante : Obligations Contingentes Convertibles (« CoCo Bonds ») : Le compartiment peut investir dans ce type d’instrument à hauteur de 10% (le pourcentage étant adapté sur base du tableau précédant) de son actif net et subir les risques spécifiques liés aux CoCo Bonds tels que décrits dans le point 25.II. de la partie générale du présent prospectus. INSERTION D’UN NOUVEAU POINT « III » AU CHAPITRE 25 SUR DISTRESSED SECURITIES / DEFAULT SECURITIES: Le Conseil décide de modifier le prospectus afin de permettre aux différents compartiments d’investir dans les « Distressed Securities » et « Default Securities ». A cet effet un nouveau paragraphe 25.III est inséré avec les précisions suivantes : Sont considérées comme « Distressed Securities » : les dettes officiellement en restructuration ou en défaut de paiement, dont la marge de crédit est au moins supérieure de 10% (en absolu) au taux sans risque (taux applicable à la devise d’émission) et dont la notation (par au moins l’une des principales agences de notation) est inférieure à CCC-. Les compartiments suivants sont autorisés à investir sur ce type d’instrument : Siège social : 5, Allée Scheffer, L-2520 Luxembourg, RCS Luxembourg No B 70.409 2 Jusqu’à GLOBAL BOND Eligible oui CAPITAL PLUS oui 4% EMERGING PATRIMOINE oui 5% PATRIMOINE oui 5% SECURITE oui 4% CAPITAL CUBE Les risques associés à ce type d’instrument sont : oui 5% compartiment 5% 1. « Risque de crédit » : Ce risque est particulièrement élevé dans le cas de la dette distressed, s’agissant d’une dette en restructuration ou en défaut. La probabilité de recouvrir l’investissement est alors très faible. 2. « Risque de liquidité » : Ce risque est particulièrement élevé dans le cas de la dette distressed, s’agissant d’une dette en restructuration ou en défaut. La probabilité de pouvoir la revendre à court ou moyen terme est alors très faible. A cet effet il sera précisé dans les parties spécifiques de chaque compartiment, l’information suivante : Distressed securities : Le compartiment peut investir dans ce type d’instrument à hauteur de 5% (le pourcentage étant adapté sur base du tableau précédant) de son actif net et subir les risques spécifiques liés à ce type d’instruments tels que décrits dans le point 25.III de la partie générale du présent prospectus. INSERTION D’UN NOUVEAU CHAPITRE 26 AFIN DE PRECISER LA CONTRIBUTION DES INTRUMENTS DERIVES A LA GESTION DES COMPARTIMENTS: Le Conseil décide de modifier le prospectus afin de mieux expliquer aux investisseurs comment les instruments dérivés et moteurs de performance contribuent aux politiques principales. Onze différents types de contribution ont été identifiés. Il est entendu que les dérivés sont utilisés afin de réaliser la politique d’investissement principale de chaque compartiment : 1. Les dérivés actions : Les contrats dérivés action sont utilisés à l’achat et à la vente pour ajuster d’une part l'exposition globale du portefeuille aux marchés actions, et d’autre part l'allocation entre les différents secteurs d'activité, pays ou zones géographiques. Le contrat dérivé action pourra être utilisé pour couvrir l'exposition à une entité ou en vue de s'exposer à une entité. 2. Les dérivés de change : Les contrats dérivés de change sont utilisés pour ajuster l'allocation devises du portefeuille (gestion du risque de change) en exposant le portefeuille à une devise ou en couvrant l'exposition du portefeuille ou de manière extensive pour gérer la trésorerie. 3. Les dérivés de taux d’intérêt : Les contrats dérivés de taux d'intérêt sont utilisés à l’achat et à la vente pour ajuster d’une part l'exposition globale du portefeuille aux marchés de taux et d’autre part l'allocation entre les différents segments de courbes, pays ou zones géographiques. 4. Les dérivés de crédit : Les contrats dérivés de crédit sont utilisés à l’achat et à la vente pour ajuster d’une part l'exposition globale du portefeuille aux marchés crédit, et d’autre part l'allocation entre les différents secteurs d'activité, pays ou zones géographiques. Les contrats dérivés de crédit pourront également être utilisés pour se protéger contre le risque de défaut d'un émetteur ou dans le cadre de stratégies d'exposition au risque de crédit d'un émetteur. Dérivés de volatilité : Les contrats dérivés de volatilité ou de variance sont utilisés à l’achat et à la vente pour ajuster d'une part l'exposition du portefeuille à la volatilité ou la variance des marchés, et d'autre part l'allocation entre les différentes classes d'actifs, pays ou zones géographiques. 6. Dérivés sur Matières Premières : Les contrats dérivés sur matières premières, sous réserve d'éligibilité, sont utilisés à l’achat et à la vente pour ajuster d’une part l'exposition globale du portefeuille aux marchés des matières premières, et d’autre part l'allocation entre les différentes matières premières. 7. “Long/Short” et “Short only” actions: Les contrats dérivés actions permettent de mettre en œuvre des stratégies dites de « relative value », en étant en position acheteuse et vendeuse sur les marchés actions, et des stratégies directionnelles « short only » en étant en position vendeuse uniquement. Ces stratégies permettent d'exploiter des différences de valeurs entre des émetteurs, des secteurs d'activité, des pays ou zones géographiques. 8. “Fixed Income Arbitrage” et “Short only” de taux : Les contrats dérivés de taux permettent de mettre en œuvre des stratégies dites de « relative value », en étant en position acheteuse et vendeuse sur les marchés de taux, et des stratégies directionnelles « short only » en étant en position vendeuse uniquement. Ces stratégies permettent d'exploiter des différences de valeurs entre des segments de courbes, des pays ou des zones géographiques. 9. “Long/Short” et “Short only” devises: Les contrats dérivés de change permettent de mettre en œuvre des stratégies dites de « relative value », en étant en position acheteuse et vendeuse sur les marchés de change, et des stratégies directionnelles « short only » en étant en position vendeuse uniquement. Ces stratégies permettent d'exploiter des différences de valeurs entre des devises. 10. “Long/Short” et “Short only” crédit : Les contrats dérivés de crédit permettent de mettre en œuvre des stratégies dites de « relative value », en étant en position acheteuse et vendeuse sur les marchés de crédit, et des stratégies directionnelles « short only » en étant en position vendeuse uniquement. Ces stratégies permettent d'exploiter des différences de valeurs entre des émetteurs, des secteurs d'activité, des pays ou zones géographiques. 11. Dérivés de dividendes : Les contrats Dérivés sur dividendes sont utilisés à l'achat et à la vente pour gérer ou couvrir le risque de dividende, le risque de dividende étant le risque que le dividende d’une action ou d’un indice action ne se réalise pas comme anticipé par le marché. AJOUT DE NOUVEAUX SOUS-JACENTS AUX DERIVES : Le Conseil a décidé de permettre aux compartiments suivants d’investir dans certains dérivés complexes portant par exemple sur la volatilité et la variance: 1) 2) 3) 4) 5) 6) CARMIGNAC PORTFOLIO GRANDE EUROPE, CARMIGNAC PORTFOLIO COMMODITIES CARMIGNAC PORTFOLIO EMERGING DISCOVERY CARMIGNAC PORTFOLIO GLOBAL BOND CARMIGNAC PORTFOLIO CAPITAL PLUS CARMIGNAC PORTFOLIO EMERGING PATRIMOINE Siège social : 5, Allée Scheffer, L-2520 Luxembourg, RCS Luxembourg No B 70.409 4 7) 8) 9) 10) 11) 12) 13) CARMIGNAC PORTFOLIO EMERGENTS CARMIGNAC PORTFOLIO EURO-ENTREPRENEURS CARMIGNAC PORTFOLIO EURO-PATRIMOINE CARMIGNAC PORTFOLIO INVESTISSEMENT CARMIGNAC PORTFOLIO PATRIMOINE CARMIGNAC PORTFOLIO INVESTISSEMENT LATITUDE CARMIGNAC PORTFOLIO CHINA Le paragraphe relatif aux dérivés aura la teneur suivante (ce paragraphe générique est ensuite adapté dans chaque partie spécifique de chaque compartiment en fonction de sa politique respective, les sous-jacents et les ratios précédemment insérés sur les autres dérivés sont maintenus) : « Dans le but de réaliser l’objectif de gestion, le compartiment peut utiliser les instruments dérivés suivants : 1. Nature des marchés d’intervention : Le gérant investit dans des instruments financiers à terme négociés sur des marchés de la zone euro et internationaux, réglementés, organisés ou de gré à gré. 2. Risques sur lesquels le gérant souhaite intervenir (soit directement, soit par l’utilisation d’indices) : - devise, taux crédit, actions (tous types de capitalisations), ETF, dividendes, volatilité, variance (ensemble dans la limite de 10% de l’actif net), indices : sur toutes les classes d’actifs suscitées (concernant la volatilité et la variance, l’ensemble des instruments dérivés ne dépasse pas 10% de l’actif net), et sur les matières premières (dans une limite variable selon les compartiments, avec un maximum de 20% de l’actif net). 3. Nature des instruments dérivés utilisés Les instruments dérivés utilisés par le gérant sont les options (simples, à barrière, binaires), les contrats à terme ferme (futures/forward), les swaps (dont de performance) et les CFD (contract for difference), sur un ou plusieurs sous-jacents. » 4. Nature des interventions : - Couverture - Exposition, et - Arbitrage Ce paragraphe est adapté dans chaque partie spécifique, les limites d’utilisation précédemment fixées par le prospectus pour chaque type de dérivées sont maintenues. PRECISION DE LA CONTRIBUTION DES INSTRUMENTS DERIVES A LA POLITIQUE D’INVESTISSEMENT : Le Conseil décide d’introduire dans chaque compartiment un nouveau paragraphe expliquant les dérivés utilisés « principalement » par les gérants, la liste des dérivés utilisés et l’ordre de priorité sera adapté à chaque politique d’investissement. Cette précision ne modifie en rien la politique d’investissement actuelle ou la gestion du portefeuille, elle est introduite dans une volonté de transparence. L’exemple suivant correspond à la contribution des dérivés pour Carmignac Portfolio Patrimoine, le paragraphe en question est adapté pour chaque compartiment, les investisseurs sont invités à prendre connaissance de la liste des instruments dérivés relative au compartiment qui les intéresse dans la partie spécifique du prospectus. L’utilisation des instruments dérivés fait partie intégrante de la politique principale et ils contribuent de manière importante à la réalisation de l’objectif de gestion. Il est toutefois précisé que, lorsque les conditions de marché l’exigent, dans les limites de la présente politique d’investissement et dans l’intérêt des investisseurs, même les instruments dérivés précisés comme étant les moins utilisés peuvent contribuer de manière importante à la réalisation de l’objectif de gestion. Les gérants ont recours à ces instruments afin de gérer le compartiment d’une manière efficace et dans l’intérêt des investisseurs. CHANGEMENT DE LA METHODOLOGIE DE SUIVI DES RISQUES: Le Conseil a décidé sur base des « profils de risques » qui lui ont été présentés que les compartiments suivants seront suivis selon la méthodologie de la VaR (Value at Risk) relative : CARMIGNAC PORTFOLIO GRANDE EUROPE, CARMIGNAC PORTFOLIO COMMODITIES CARMIGNAC PORTFOLIO EMERGING DISCOVERY CARMIGNAC PORTFOLIO EMERGENTS CARMIGNAC PORTFOLIO EURO-ENTREPRENEURS CARMIGNAC PORTFOLIO EURO-PATRIMOINE CARMIGNAC PORTFOLIO CHINA Il a été considéré par le Conseil, que la VaR (Value at Risk) était à l’heure actuelle, l’outil offrant le meilleur suivi des investissements faits par ces compartiments. INSERTION D’UN PARAGRAPHE EXPLICATIF SUR L’EFFET DE LEVIER POUR TOUS LES COMPARTIMENTS SUIVIS EN VAR: Le Conseil décide de mieux informer les investisseurs sur la méthode de calcul des effets de levier dans tous les compartiments qui sont suivis en VaR (value at risk). La précision suivante est par conséquent insérée : « Effet de levier plus élevé: Il sera généralement dû à l’accroissement du nombre de positions, lesquelles peuvent toutefois compenser les risques du portefeuille ou au recours à des options très en-dehors de la monnaie. Par exemple, de nouvelles positions, constituées en vue de compenser des positions existantes, peuvent avoir pour effet d'accroître le montant notionnel brut des contrats en cours et par conséquent créer un effet de levier important décorrélé du risque réel du portefeuille. Dans tous les cas, leur utilisation est faite de manière conforme à l’objectif d’investissement et au profil de risque du portefeuille. » Siège social : 5, Allée Scheffer, L-2520 Luxembourg, RCS Luxembourg No B 70.409 6 PRECISION INSEREE DANS LE PROSPECTUS SUR LES STRATEGIES DE « RELATIVE VALUE » COMME MOTEUR DE PERFORMANCE : Le Conseil a décidé de préciser que les stratégies dites de « Relative Value » sont utilisées comme moteur de performance dans les compartiments suivants : 1) 2) 3) 4) 5) 6) 7) 8) 9) 10) 11) 12) 13) CARMIGNAC PORTFOLIO GRANDE EUROPE, CARMIGNAC PORTFOLIO COMMODITIES CARMIGNAC PORTFOLIO EMERGING DISCOVERY CARMIGNAC PORTFOLIO GLOBAL BOND CARMIGNAC PORTFOLIO CAPITAL PLUS CARMIGNAC PORTFOLIO EMERGING PATRIMOINE CARMIGNAC PORTFOLIO EMERGENTS CARMIGNAC PORTFOLIO EURO-ENTREPRENEURS CARMIGNAC PORTFOLIO EURO-PATRIMOINE CARMIGNAC PORTFOLIO INVESTISSEMENT CARMIGNAC PORTFOLIO PATRIMOINE CARMIGNAC PORTFOLIO INVESTISSEMENT LATITUDE CARMIGNAC PORTFOLIO CHINA Un paragraphe explicatif relatif à la « Relative Value » sera intégré en conséquence dans ces compartiments. Ce paragraphe aura la teneur suivante (adapté en fonction des sous-jacents autorisés et de la stratégie d’investissement de chaque compartiment): « Le compartiment utilisera comme moteurs de performance des stratégies dites de « Relative Value », visant à bénéficier de la « valeur relative » entre différents instruments, notamment des stratégies : - « Long/Short Equity » : cette stratégie offre à la fois une exposition acheteuse et vendeuse sur les marchés actions, « Fixed Income Arbitrage » : cette stratégie offre une exposition prêteuse et emprunteuse sur différentes zones géographiques, différents segments de la courbe de taux d’intérêt et/ou différents instruments des marchés de taux, - « Long Short Credit » : cette stratégie offre à la fois une exposition acheteuse et vendeuse sur les différents compartiments du marché de crédit, et - « Long/Short Devises » : cette stratégie permet de s’exposer à l’évolution relative de deux ou plusieurs devises. » La stratégie de « Long Short Crédit » ne sera pas disponible pour les compartiments : - Carmignac Portfolio Emergents, - Carmignac Portfolio Emerging Discovery, - Carmignac Portfolio Euro-Entrepreneurs, - Carmignac Portfolio Euro-Patrimoine, - Carmignac Portfolio Investissement, et - Carmignac Portfolio Investissement Latitude. INSERTION D’UNE PRÉCISION RELATIVE À L’UTILISATION FAITE PAR LES GÉRANT DES CFD : Le Conseil a décidé de de préciser dans la politique d’investissement de certains compartiments que : « Le gérant peut également être amené à prendre des positions vendeuses sur les sous-jacents éligibles au portefeuille. Ces positions sont prises au travers d’instruments financiers à terme, dont les CFD (contract for difference). » Cette précision ne modifie pas le processus de gestion et sera insérée dans les compartiments suivants: 1) 2) 3) CARMIGNAC PORTFOLIO GRANDE EUROPE, CARMIGNAC PORTFOLIO COMMODITIES CARMIGNAC PORTFOLIO EURO-ENTREPRENEURS Siège social : 5, Allée Scheffer, L-2520 Luxembourg, RCS Luxembourg No B 70.409 7 4) 5) 6) CARMIGNAC PORTFOLIO EURO-PATRIMOINE CARMIGNAC PORTFOLIO INVESTISSEMENT CARMIGNAC PORTFOLIO PATRIMOINE SUPPRESSION DE L’OBLIGATION DE RESPECTER UNE MOYENNE PONDÉRÉE AU MOINS ÉGALE À « INVESTMENT GRADE » SUR LES ENCOURS OBLIGATAIRES DES COMPARTIMENTS « ACTIONS » : Le Conseil décide de supprimer la moyenne pondérée des notations des encours obligataires afin de donner la possibilité aux gérants de mieux gérer l’allocation des poches obligataires des compartiments suivants : 1) 2) 3) 4) CARMIGNAC PORTFOLIO GRANDE EUROPE, CARMIGNAC PORTFOLIO COMMODITIES, CARMIGNAC PORTFOLIO EURO-ENTREPRENEURS, et CARMIGNAC PORTFOLIO EURO-PATRIMOINE. Cette modification est reflétée par l’insertion des changements suivants : 1. Dans la partie générale du prospectus : « 4.DESCRIPTION DES RISQUES », « f) Risques associés aux investissements en dérivés de crédit ». Le prospectus renvoie désormais aux parties spécifiques, celles-ci doivent préciser si la contrainte s’applique au compartiment, et 2. Pour les compartiments CARMIGNAC PORTFOLIO EURO-ENTREPRENEURS et CARMIGNAC PORTFOLIO EURO-PATRIMOINE, cette modification se reflète par la suppression du paragraphe suivant des parties spécifiques : « La moyenne pondérée des notations des encours obligataires détenus par le compartiment au travers des OPCVM ou en direct est au moins «investment grade» selon l'échelle d'au moins une des principales agences de notation. » Le Conseil décide d’insérer la phrase suivante dans tous les autres compartiments (sauf si cette précision, ou une précision équivalente était déjà présente): « La moyenne pondérée des notations des encours obligataires détenus par le compartiment au travers des OPCVM ou en direct est au moins «investment grade» selon l'échelle d'au moins une des principales agences de notation. » IL EST DECIDE de préciser le montant maximum d’investissement en High Yield par l’insertion du paragraphe suivant dans certains compartiments : « Le compartiment peut investir dans des obligations dont la notation peut être inférieure à «investment grade», dans la limite de 10% de l’actif net. » Les compartiments concernés sont : 1) 2) CARMIGNAC PORTFOLIO GRANDE EUROPE, CARMIGNAC PORTFOLIO COMMODITIES, CHANGEMENT DE DÉNOMINATION DES ANCIENNES CLASSES D’ACTIONS « MDIS » EN «INCOME » Le Conseil a décidé de modifier la dénomination de toutes les classes d’actions «Mdis » pour les nommer désormais « Income ». The following clarification has been added as a result: “Higher leverage: It will generally result from an increase in the number of positions, which may however offset portfolio risks, or from the use of options that are well out of the money. OTHER CHANGES TO DETAILED PARTS OF THE PROSPECTUS: The Board has decided that details on the following sub-funds will be changed as follows: 1. - CARMIGNAC PORTFOLIO GLOBAL BOND: Change of dividend payout frequency for share class F GBP Qdis Hdg (ISIN: LU0807690242). Hitherto quarterly, dividend payouts will now be monthly. The class is renamed Income F GBP Hdg. 2. CARMIGNAC PORTFOLIO GRANDE EUROPE: Details of the investment policy are presented without any impact on asset management, in particular by introducing a part called “asset class”. This part includes asset classes that were already eligible. 3. - CARMIGNAC PORTFOLIO PATRIMOINE: Increase in the minimum initial and subsequent investments in F GBP Qdis and F GBP Qdis Hdg units to GBP 50,000,000 from one share. The breakdown of sub-fund portfolio management will be changed on 16 November 2015 so that it is: o mostly delegated by the Management Company to Carmignac Gestion in Paris (France), and o partially managed by the Management Company through its London branch. Addition of the possibility of Taiwanese distributors charging subscription fees on Class E shares for up to 4% of the invested net assets. - - 4. - CARMIGNAC PORTFOLIO INVESTISSEMENT: The breakdown of sub-fund portfolio management will be changed on 16 November 2015 so that it is: o mostly delegated by the Management Company to Carmignac Gestion in Paris (France), and o partially managed by the Management Company through its London branch. 5. CARMIGNAC PORTFOLIO SECURITE: The sub-fund’s investment policy is amended so that it allows the sub-fund to invest up to 20% of its net assets in bonds denominated in a currency other than euro, while keeping exposure to currencies other than euro below 10% of the net assets through derivatives. 6. CARMIGNAC PORTFOLIO CHINA: The China sub-fund’s cut-off is brought forward from 6 p.m. to 12 noon, and The subscription payments schedule has been changed from three bank business days to two. Investors who do not wish to accept these changes have the option of withdrawing at no cost for a period of 30 days up to 16 December 2015.
