HypothËses : * M. X dÈtient la totalitÈ des actions ordinaires d'une sociÈtÈ de portefeuille. * Dans le contexte d'un gel successoral, les actions ordinaires de M. X sont converties en actions privilÈgiÈes ayant une valeur de rachat correspondant ‡ la juste valeur marchande des actions ordinaires. * Au mÍme moment, des actions ordinaires sont souscrites par une fiducie familiale dont M. X et ses deux enfants majeurs sont bÈnÈficiaires discrÈtionnaires du revenu et du capital. * Aux fins de financement de la souscription par la fiducie familiale, M. X prÍte 500 $ portant intÈrÍt ‡ la fiducie (le taux d'intÈrÍt excËde le taux prescrit). * Dans les mois qui suivent, la sociÈtÈ paie un dividende sur les actions ordinaires dÈtenues par la fiducie qui rembourse son prÍt (et les intÈrÍts) envers M. RÈponse de l'ARC Aux fins de notre rÈponse, nous prÈsumons que la sociÈtÈ a fait suffisamment de bÈnÈfices pour que le versement des dividendes sur les actions ordinaires quelques mois plus tard n'ait pas comme consÈquence de rÈduire la valeur nette de la sociÈtÈ ‡ une valeur qui serait insuffisante pour assurer le rachat des actions privilÈgiÈes dÈtenues par M. X ‡ leur valeur de rachat. Assumptions: * Mr. X owns all of the common shares of a holding corporation. * In the context of an estate freeze, the common shares held by Mr. X are converted into preferred shares having an aggregate redemption price equal to the fair market value of the common shares. * At the same time, a discretionary family trust subscribes for common shares. The income and capital beneficiaries are Mr. X and his two adult children. * Mr. X makes an interest-bearing loan of $500 to the trust to finance its subscription (the interest rate exceeds the prescribed rate). * In the following months, the corporation pays a dividend on the common shares held by the trust. The trust repays its loan to Mr. X (with interest). The conditions of subsection 56(4.2) of the ITA are met. In this scenario, when considering the decision in Howson v. The Queen, 2007 DTC 141 (TCC), can the CRA confirm that subsection 75(2) of the ITA would not apply to the above-mentioned facts to the extent that the loan made by Mr. X to the trust is outside and independent of the terms of the trust? CRA's Response For the purposes of our response, we have assumed that the corporation earned sufficient profits so that the payment of dividends on the common shares, a few months later, would not result in the reduction of the net value of the corporation to a value which would be insufficient to ensure the redemption of the preferred shares held by Mr. X at their redemption price. According to this scenario, subsection 75(2) of the ITA would not apply to the extent that the loan made by Mr. X to the trust is outside and independent of the terms of the trust and to the extent that it is, in law, a loan rather than a contribution to the capital of the trust.
