We are asking for the common law standard of liability. This is very standard wording.
If we cause damage, we are responsible. If the hotel causes damage, the hotel should be responsible for that damage, not production. If the hotel does not cause damage, then the hotel will not be responsible.
eg., A hotel staff member goes into one of the rooms rented by production and breaks the window accidentally. Even though it is a room we have rented, we should not be responsible for the damage. The way the contract is drafted, we would be responsible because the damage occurs in a room we rented.

the berber Hotel contract is not yet signed by the Hotel Manager because he thinks the following:
Regarding the additional mention to add on the hotel contract, the Berbere Palace management disagreed arguing that in the majority of the cases this is the customer who causes damages and loses to the hotel (facilities and room). They also mention that they have more than 15 years existence and experience with upscale reputation so they don't consider their staff would have willful misconduct.

Hi Karim! Our changes to paragraphs 13 & 14 were not made. Were the changes rejected by the hotel or was the wrong copy of the agreement signed? If the hotel agrees to the changes, you and the hotel can initial the changes that I typed and resend the signed initialed copy for our files. See attached.
This agreement has no insurance requirements so a certificate of insurance should NOT be issued to the hotel.

Attached please find the contract and the proposed deal with the Berbere Palace Hotel (the main hotel for
Director, HODs, Lead Cast, cast etc etc)
In essence for us to get the preferential rate we have to guarantee them 1050 nights between the 17th March &
30th June. The total rooms nights guaranteed are below what we expect to use by +/-30% over the duration of
our stay.

We have to pay a deposit of DHS 285,876.00 upfront, which represent 30% of the 1050 guaranteed room
nights, to keep this preferential rate.
According to the contract we need to pay this tomorrow, but I am sure we could let it slip by a day, if you need
the time.

General conditions :

1- LENGTH OF STAY:
According to your schedule and our availability, can be prolonged.
2- ROOM CONFIRMATIONS:
To allow for good room reservation management, production must send us the approximate number
of reservations.
3- TERMS OF ACCOMMODATION:
The production team will stay at the Hotel Le Berbere Palace by agreement in superior rooms,
deluxe rooms or junior suites. For Royal, Vizirs and Grand Vizirs suites, reservations must be
received one month in advance and are subject to availability.
4 – FEES: (price per room and per night, breakfast included):

7- CONFIRMATION:
The hotel is committed to blocking 1050 nights (180 nights in suites and 870 nights in
standard rooms) for the production "THE RED TENT" from the 17th of March 2014 to June
30th 2014, under the following conditions:
- The dates of April 12 and April 13 are not available
- Both parties agree on a timetable for reservations attached to this document according to the
needs of the production from 17th March 2014 until 30 June 2014, and the availability of the
hotel.
In exchange, the production commits to pay a deposit of 30% of the total cost estimated at
952,920.00 Dirhams (nine hundred fifty two thousand nine hundred twenty Dirhams) which

7- CONFIRMATION DE L’OPERATION
L’Hôtel s’engage a bloquer 1050 nuitées (180 nuitées en suite et 870 nuitées en chambre
standard) pour le compte de la production « THE RED TENT» du 17th Avril 2014 au 30 Juin
2014, selon les conditions suivantes:
- Les dates du 12 Avril et du 13 Avril étant non disponibles.
- Les deux parties s’accordent sur un calendrier de réservations ci-joint en annexe en fonction
des besoins de la production a dater du 17th Avril 2014 jusqu’au 30 Juin 2014, et de la
disponibilité de l’hôtel.
En contrepartie la production s’engage a verser un dépôt de garantie de 30% sur le devis global
estime a 952,920.00 Dirhams (neuf cent cinquante deux mille neuf cent vingt Dirhams) , soit une
garantie de 285,876.00 Dirhams (deux cent quatre vingt cinq mille huit cent soixante seize
Dirhams) au plus tard le 10 Avril 2014, sans réponse de la part de la production, l’hôtel considérera
cette opération comme nulle.

L’hôtel déduira de l’acompte reçu a hauteur des paiements non effectues en cas de non respect des

13 – OBJETS DE VALEUR :
La direction de l’hôtel décline toute responsabilité pour les objets de valeur laissés dans les
chambres. La direction a mis à titre gracieux des coffres fort dans chaque chambre ainsi qu’à la

14- DEGATS CAUSES PAR LES MEMBRES DE L’EQUIPE :
Le client assume sa responsabilité pour les dommages causés dans les chambres et les locaux
communs de l’hôtel.

we are trying to avoid signing agreements at this time as per Michael Dreher now that we're in town the
pressure has subsided a little to sign ....we don't want to enter into a binding agreement before we absolutely
have to as we're still weighing up options for the Studio ....both the Studio and Hotel are aware to sing out when
the time comes for them due to other options pressing home...will keep you all advised.

I will address the Atlas Studios agreement under separate email. No issues from Risk Mgmt with the English part of La Berbere Palace agreement. I skimmed through the French document but it would help to get a translation into English please. If my reading of the French is correct, per paragraph 12 of the French document, note that production is solely responsible for anything left in the rooms but there will be a safe in each room. Also, there should be some modifying wording added in paragraph 13 of the French document indicating we are only responsible for damages we cause and we are not responsible for any damages caused by the negligence or willful misconduct of the Hotel. Eg., Except if due to the negligence or willful misconduct of Hotel, the Client assumes liability for any damage caused by Client in the rooms and public areas of the hotel. I don’t believe insurance is addressed in the agreement so a certificate of insurance should not be issued to the hotel..

HOTEL SERVICES AGREEMENT
"THE RED TENT"
This agreement (“Agreement”) is entered into as of [February 20, 2014] between Kasbah
Films SARL ("Producer") and [Le Berbère Palace of Quartier Mansour Eddahbi, Ouarzazate,
Morocco] (“Hotel”), with respect to the production of a proposed television movie tentatively
entitled "THE RED TENT" (the "Picture").
With reference to the standard terms and conditions of the Hotel (attached in the French
language) the following shall be deemed a summary of the agreement between the parties and/or
special conditions which shall govern those standard terms.
1.
Producer has requested that Hotel reserve the following rooms on a "hold" basis awaiting
confirmation that the Picture shall be produced in Morrocco and Hotel confirms it is currently
holding such rooms and suites for the Producer as follows:
40 single rooms
55 single rooms
5 junior suites
April 15 thru 28, 2014
April 28 thru June 30, 2014
(collectively the "Reserved Rooms")
2.
The rates payable for the Reserved Rooms shall include a 40% reduction from standard
published rates in 2014 and shall be inclusive of buffet breakfast as follows:
Superior single room: 750,00DH (for reference only US$92)
Superior double room: 1 010,00 DH
De Luxe single room : 950,00 DH
De Luxe double room: 1 210,00 DH
Junior Suite single: 2 000,00 DH
Suite Vizir single : 2 500,00 DH
Suite Royale single : 10 000,00 DH

To hold the Reserved Rooms after [

refundable deposit of 760.858,00 dhs (US$93,200,00) payable not later than [

including, but not limited to the press, the media, friends, family and acquaintances any and all
information and material which Hotel receives or they learn about, without limitation, the Picture,
any cast, crew or personnel working on the Picture, any and all set and design or other elements.

Cynthia and Dawn - Attached are the first draft deals for the Moroccan hotel and studio facilities. As I am away
this week on vacation I have not been able to review but I will as soon as possible. I know we are in the midst of
setting up the show and still getting the final approval on Kasbah however there is a lot of production in
Morocco at this time and we need to move forward to finalize our deals with both of these facilities. I would be
grateful if both legal and insurance can work with Leo who is the Kasbah Films (our production service
company) production attorney. Karim is on the ground in Morocco and Michael is his partner. Leo is working
out of Paris.

HOTEL SERVICES AGREEMENT
"THE RED TENT"
This agreement (“Agreement”) is entered into as of [February 20, 2014] between Kasbah
Films SARL ("Producer") and [Le Berbère Palace of Quartier Mansour Eddahbi, Ouarzazate,
Morocco] (“Hotel”), with respect to the production of a proposed television movie tentatively
entitled "THE RED TENT" (the "Picture").
With reference to the standard terms and conditions of the Hotel (attached in the French
language) the following shall be deemed a summary of the agreement between the parties and/or
special conditions which shall govern those standard terms.
1.
Producer has requested that Hotel reserve the following rooms on a "hold" basis awaiting
confirmation that the Picture shall be produced in Morrocco and Hotel confirms it is currently
holding such rooms and suites for the Producer as follows:
40 single rooms
55 single rooms
5 junior suites
April 15 thru 28, 2014
(collectively the "Reserved Rooms")
2.
The rates payable for the Reserved Rooms shall include a 40% reduction from standard
published rates in 2014 and shall be inclusive of buffet breakfast as follows:
Superior single room: 750,00DH (for reference only US$92)
Superior double room: 1 010,00 DH
De Luxe single room : 950,00 DH
De Luxe double room: 1 210,00 DH
Junior Suite single: 2 000,00 DH
Suite Royale single : 10 000,00 DH

To hold the Reserved Rooms after [
], Hotel is requiring a partially
refundable deposit of 760.858,00 dhs (US$93,200,00) payable not later than [

If, following payment of the Deposit Producer shall seek partially or totally to cancel the

Hotel shall not enter into any commercial advertising agreement, commercial tie-up or

it passes any confidential Information shall keep confidential and not disclose to anyone,
including, but not limited to the press, the media, friends, family and acquaintances any and all
information and material which Hotel receives or they learn about, without limitation, the Picture,
any cast, crew or personnel working on the Picture, any and all set and design or other elements.

Nos prix s’entendent nets de commission, services et TVA compris. Ils sont à majorer de la taxe
de promotion touristique d’un montant de 12.10 MDH par nuitée, et de la taxe communale de
18.70 MDH. Ces taxes peuvent être sujettes à modification sur décision gouvernementale. Au cas
