Richard Eisenbraun is a partner in our Calgary office. Richard’s practice has a particular
emphasis on corporate tax and business/transaction structuring and implementation.
He has experience working on major purchase, sale and take-over transactions, plans
of arrangement, debt and equity financings, optimizing business structures,
restructuring insolvent companies, “corporate divorce” and other divestiture
transactions. He also advises clients on a broad range of commercial and tax issues,
including shareholder agreements, estate plans and other transactions involving closely
held entities and high-net worth individuals.

Richard has completed Levels I, II and III of the Canadian Institute of Chartered
Accountants’ In-Depth Tax Course, as well as the Canadian Bar Association’s Tax Law
for Lawyers Course. Prior to joining BLG, he worked for an international sport and
entertainment management firm, and also ran his own consulting business.

Represented buyers and targets in corporate take-over transactions, including
those implemented by way of amalgamation or plan of arrangement.

Established or advised on capital structures for clients with various different
businesses, including those that derive revenue or value from domestic and
foreign real estate, oil & gas, mining, renewable energy, technology,
intellectual property, investment assets, professional services and the sale of
tangible goods.

Eligibility opinions for tax-free savings accounts, registered retirement savings
plans and other similar plans for mutual fund trusts, public companies, private
companies and various other types of entities.

Planned or implemented transactions in a variety of “corporate divorce” and
other divestiture scenarios.

Prepared or advised clients regarding a variety of agreements, including
Purchase and Sale Agreements, Unanimous Shareholder Agreements, Trust
Indentures, Settlement Agreements and Employee Incentive Plans.

Provided advice and implemented a variety of transactions for families with
