RÈGLEMENT GÉNÉRAL
ARTICLE 1 - APPLICATION DES CONDITIONS GENERALES DE VENTE - Le fait pour toute personne physique et / ou morale (ci-après l’« Exposant »)
de passer commande avec GL events Exhibitions implique l’adhésion avec GL events Exhibitions aux présentes conditions générales de vente (ci-après les « CGV »)
qui s’appliquent entre les parties de façon exclusive dans toutes leurs relations commerciales, et se substituent à tout autre document, accord écrit ou oral antérieur,
ainsi qu’aux conditions générales d’achat de l’Exposant et / ou du co-Exposant, en tous leurs termes.
ARTICLE 2 - SOUSCRIPTION DE LA RÉSERVATION D’ESPACE - Les réservations d’espace sont souscrites sur des formulaires spéciaux sur support papier
dédié à la manifestation. Elles sont complétées et signées par les Exposants eux-mêmes. Quand la réservation d’espace émane d’une personne morale, mention est faite de
sa forme juridique, de son capital et de son siège social. Elle est signée par les représentants légaux. Le Contrat est ferme et définitif et l’Exposant est engagé dès réception
par GL events Exhibitions du formulaire de participation rempli par l’Exposant ; sous réserve de refus dûment justifié de GL events Exhibitions tel que visé à l’article 4 ci-après
(ci-après le « Contrat »). L’Exposant déclare en avoir pris connaissance et accepter les droits et obligations y afférents. Toute souscription de réservation d’espace implique
l’entière adhésion de l’Exposant :
• Aux présentes Conditions Générales de Vente,
• Au règlement général des manifestations commerciales édité par l’Union Française des Métiers de l’Evénement, en date du 17 mars
2013 (ci-après le « Règlement »),
• Au cahier des charges de sécurité - règlement intérieur du lieu accueillant la manifestation,
• Aux règlements techniques spéciaux figurant dans l’« Espace Exposant » (règlement de construction, process déchets, etc.…). Le Contrat est ainsi composé de
l’ensemble des documents susvisés ainsi que de toutes dispositions d’ordre public applicables aux manifestations organisées en France. L’Exposant s’engage également
à respecter toute disposition nouvelle que GL events Exhibitions lui signifierait, même verbalement, si les circonstances ou l’intérêt de la manifestation l’exigent.
ARTICLE 3 - STANDS EN COMMUN (CO-EXPOSANT) - Tout Exposant qui participe à une manifestation sur le stand d’un autre Exposant, même de façon
ponctuelle, doit officialiser sa présence auprès de GL events Exhibitions, en remplissant une réservation d’espace et en souscrivant un Contrat avec GL events Exhibition
selon les modalités visées aux présentes CGV lesquelles s’appliqueront au co-Exposant. Un droit d’inscription et les frais d’assurance lui seront facturés. Cette réservation
d’espace offrira tous les avantages inhérents à tout Exposant reconnu (inscription au guide, assurance...). En outre, ce co-Exposant devra se conformer à l’obligation de
laisser sur son stand son matériel pendant toute la durée de la manifestation, aucune sortie de matériel n’étant admise.
ARTICLE 4 - CONTRÔLE DES RÉSERVATIONS, ADMISSIONS OU REFUS - GL events Exhibitions statue à toute époque y compris après la réception du
formulaire de réception telle que visée à l’article 2 ci-dessus sur les refus ou les admissions sans recours. Une réservation peut donc être annulée par GL events Exhibitions
qui pourra, sur demande de l’Exposant, justifier son refus. L’Exposant refusé ne pourra se prévaloir du fait qu’il a été admis aux manifestations précédentes, pas plus
qu’il ne pourra arguer que son adhésion a été sollicitée par GL events Exhibitions. Il ne pourra pas non plus invoquer, comme constituant la preuve de son admission,
la correspondance échangée entre lui et GL events Exhibitions ou l’encaissement du prix correspondant aux prestations commandées, ou encore la publication de son
nom sur une liste quelconque. Le rejet de la participation de l’Exposant ne pourra donner lieu au paiement d’aucune indemnité autre que le remboursement des sommes
versées à GL events Exhibitions à l’exclusion des frais d’ouverture de dossier qui resteront acquis à cette dernière. Les conséquences d’une défection sont définies à l’article
24 des CGV. En tout état de cause ne peuvent être admises à exposer à la manifestation que les entreprises et associations régulièrement constituées, ayant au moins un
an d’existence à l’ouverture de la manifestation et dont les activités ont un rapport étroit et sont en adéquation avec la nomenclature et l’objet de ladite manifestation.
ARTICLE 5 - DATE ET DURÉE - 5.1 GL events Exhibitions, organisateur de la manifestation, se réserve à tout moment le droit de modifier sa date d’ouverture ou sa
durée, de décider sa prolongation, son ajournement ou sa fermeture anticipée sans que les Exposants puissent réclamer une quelconque indemnité.
5.2 GL events Exhibitions ne pourra être tenu à aucune indemnisation en cas de survenance d’un événement de force majeure ou d’un cas fortuit tels que définis à
l’article 1148 du Code Civil. Dans l’hypothèse de fermeture administrative imposée par des événements graves et/ou décidée par une autorité détenant les pouvoirs en
matière de sécurité et de police administrative, il sera remboursé à l’Exposant les acomptes versés, sous déduction des frais engagés par GL events Exhibitions pour la
préparation de la manifestation.
ARTICLE 6 - SUSPENSION DES OBLIGATIONS – RESILIATION ANTICIPEE DU CONTRAT PAR GL EVENTS EXHIBITIONS 6.1 GL events Exhibitions se réserve la possibilité de suspendre ses obligations en cas de manquement de l’Exposant à l’une quelconque de ses obligations visées au titre
du Contrat. Si aucune modification n’est intervenue permettant la reprise des obligations par GL events Exhibitions et après mise en demeure adressée à l’Exposant restée
infructueuse pendant une durée de deux (2) jours, GL events Exhibitions pourra résilier automatiquement et de plein droit le présent Contrat par lettre recommandée
avec demande d’avis de réception adressée à l’Exposant. La résiliation prendra alors effet à la date de première présentation de ladite lettre, le cachet de la poste faisant foi.
Les conséquences financières de cette résiliation seront réglées par application des dispositions relatives à l’annulation du Contrat telles que visées au point 24 ci-dessous.
Par ailleurs, GL events Exhibitions sera en droit de réclamer à l’Exposant le paiement d’une à titre de dommages et intérêts en réparation des dommages moraux ou
matériels subis par GL events Exhibitions. Cette indemnité est au moins égale au montant de la participation qui reste acquis à GL events Exhibitions sans préjudice des
dommages et intérêts supplémentaires qui pourraient être demandés. GL events Exhibitions dispose à cet égard d’un droit de rétention sur les articles exposés et les
éléments mobiliers ou décoratifs appartenant à l’Exposant.
6.2 Par ailleurs, le défaut de paiement de l’une des échéances visées à l’article 29 entrainera la possibilité, pour GL events Exhibitions,de résilier immédiatement et de plein
droit le Contrat, sans mise en demeure préalable, et/ou d’interdire l’accès à la manifestation, et ce sans aucune indemnité pour l’Exposant, et ce quelle qu’en soient les
conséquences pour ce dernier. Les sommes déjà versées par l’Exposant à GL events Exhibitions resteront acquises à ce dernier à titre de clause pénale. La résiliation sera
notifiée par GL events Exhibitions à l’Exposant par l’envoi d’une lettre recommandée avec demande d’avis de réception et prendra effet à compter de sa date de première
présentation, le cachet de la poste faisant foi.
ARTICLE 7 - OBLIGATIONS DE L’EXPOSANT - Le fait de conclure un Contrat avec GL events Exhibitions entraîne l’obligation d’occuper le stand, l’emplacement
ou box attribué par GL events Exhibition au minimum 12 (douze) heures avant le début de la manifestation ainsi que de laisser celui-ci installé jusqu’à la clôture de
la manifestation. Il est formellement interdit aux Exposants de procéder à l’emballage ou à l’enlèvement de leurs matériels avant la clôture de la manifestation.
D’une manière générale, l’Exposant doit se conformer strictement aux réglementations en vigueur, ainsi qu’à toute autre réglementation qui lui serait ajoutée ou
substituée et notamment la réglementation en matière de sous-traitance, d’hygiène, de sécurité et travail clandestin. La réservation d’espace emporte soumission aux
mesures d’ordre et de police qui seraient prescrites tant par les autorités que par GL events Exhibitions. Toute infraction quelconque aux documents contractuels tels
que visés à l’article 2 ci-dessus, comme à toute autre disposition visée ci-dessus et à toute autre qui s’imposerait légalement à l’Exposant, pourra entraîner l’exclusion
immédiate de plein droit, temporaire ou définitive de l’Exposant sans aucune indemnité, ni remboursement des sommes versées, sans préjudice de tout dommage et
intérêt pour GL events Exhibitions ainsi que l’application des dispositions de l’article 6 susvisé. GL events Exhibitions décline toute responsabilité sur les conséquences
dues à l’inobservation des documents contractuels et/ou de la réglementation en vigueur.
ARTICLE 8 – CLASSIFICATION - Les Exposants sont groupés par catégories professionnelles par GL events Exhibitions. Ils sont tenus d’être présents dans la
manifestation auquel les échantillons de leur catégorie professionnelle les rattachent. Ils ne peuvent exposer que les produits pour lesquels ils ont fait leur demande. Ils ne
peuvent distribuer que des catalogues et prospectus exclusivement relatifs aux objets qu’ils exposent.
ARTICLE 9 - ÉCHANTILLONS, OBJETS ADMIS - L’Exposant expose sous son nom ou sa raison sociale. Il ne peut présenter sur son emplacement ou box, sous
peine d’exclusion et/ou de résiliation du Contrat, que les matériels, produits, services énumérés dans sa réservation d’espace et acceptés par GL events Exhibitions comme
répondant à la nomenclature de la manifestation. Il ne peut faire de publicité sous quelque forme que ce soit pour des tiers non exposants ou pour les produits de ces tiers
qu’à condition d’y avoir été expressément autorisé par ces derniers. A cet effet, il devra produire, à l’occasion de l’envoi à GL events Exhibitions de la réservation d’espace,
l’attestation spécifique qui lui a été délivrée par les tiers. Il appartient à l’Exposant de prendre toutes les dispositions pour que ses colis lui soient livrés en temps utile.
ARTICLE 10 - ÉCHANTILLONS INTERDITS - Les matières explosives, les produits détonants et en général toutes les matières dangereuses ou nuisibles sont
strictement interdits. L’Exposant qui les aurait amenés dans son stand ou box serait contraint de les enlever sans délai, sur simple demande de GL events Exhibitions,
faute de quoi cette dernière procéderait elle-même à cet enlèvement aux frais de l’Exposant, à ses risques et périls, sans préjudice des poursuites qui pourraient lui
être intentées. L’installation ou le fonctionnement de tout objet et appareil susceptibles de gêner de quelque façon que ce soit les autres exposants et/ou GL events
Exhibitions sont rigoureusement interdits.
ARTICLE 11 - INTERDICTION DE CESSION TOTALE OU PARTIELLE - Le stand, l’emplacement ou box attribué doit être occupé par son titulaire, la cession
de tout ou partie de stand, emplacement ou box sous une forme quelconque est formellement interdite sous peine de fermeture immédiate du stand et de résiliation
anticipée de plein droit du Contrat par GL events Exhibitions.
ARTICLE 12 - PROSPECTUS, HAUT-PARLEURS, RACOLAGE - La distribution de prospectus ne peut être faite qu’à l’intérieur des stands, des emplacements
ou boxes réservés par chaque Exposant. Le racolage et la publicité par hautparleur, de quelque façon qu’ils soient pratiqués, sont rigoureusement prohibés. Les annonces
sonores de la manifestation sont réservées aux informations de service intéressant les Exposants et les visiteurs. Les annonces publicitaires ou à caractère personnel ne
sont pas admises. Préalablement à l’ouverture de la manifestation, les Exposants désirant diffuser sur leurs stands ou emplacements des œuvres musicales par quelque
moyen que ce soit (bandes magnétiques, disques, radio, vidéogrammes, films, musiciens, chanteurs, etc.) devront obtenir auprès de la SACEM Bureau Marocain du droit
d’auteur - 6 rue Mohamed Jazouli - 10000 RABAT - MAROC (tél. +212 537 72 6280 - Fax. +212 537 72 27 070).
ARTICLE 13 - ENSEIGNES, AFFICHES - Il est interdit de placer des enseignes ou panneaux publicitaires à l’extérieur des stands ou boxes en d’autres points que
ceux réservés à cet usage et qui sont indiqués sur les dessins envoyés aux Exposants sur leur demande. Les placards ou affiches posés à l’intérieur du stand et visibles
de l’extérieur devront porter le visa de GL events Exhibitions qui pourra les refuser si ces placards ou affiches présentaient des inconvénients pour le bon ordre ou la
bonne tenue de la manifestation ou encore étaient en contradiction avec le caractère même ou l’objet de la manifestation. La même consigne s’applique aux panneaux
publicitaires mis à la disposition des Exposants dans l’enceinte de la manifestation. En cas d’infraction GL events Exhibitions fera enlever aux frais, risques et périls de
l’Exposant et sans aucune mise en demeure préalable, les panneaux, enseignes ou affiches quelconques apposés au mépris des CGV. L’Exposant s’engage à respecter les
dispositions de la loi n° 91- 32 du 10 janvier 1991 relative à la lutte contre le tabagisme et l’alcoolisme.
ARTICLE 14 - PHOTOGRAPHIES, FILMS, BANDES-SON - Les photographies, films vidéo, bandes-son réalisés par des professionnels dans l’enceinte
du lieu recevant la manifestation pourront être admis, sur autorisation écrite de GL events Exhibitions. Une épreuve ou une copie des supports devra être
remise à GL events Exhibitions dans les quinze jours suivant la fermeture de la manifestation. Cette autorisation pourra être retirée à tout moment et pour
quelque raison que ce soit. L’Exposant autorise expressément GL events Exhibitions à utiliser toutes prises de vue représentant son stand (en ce compris toutes
représentations de ses marques, logos, produits, sauf refus express notifié à GL events Exhibitions) effectuées au cours de la manifestation, pour sa propre
promotion exclusivement, et ce quel qu’en soit le support (en ce inclus les sites web exploités par GL events Exhibitions). A ce titre, l’Exposant cède son droit à
l’image à titre gratuit à la société GL events Exhibitions et/ou à tout tiers mandaté par elle ainsi qu’à l’ensemble des filiales actuelles et futures du groupe GL events.
Il est expressément convenu que par « droit à l’image », l’Exposant cède au groupe GL events le droit : de filmer et de photographier l’image de l’Exposant ainsi que celle de ses
biens à l’occasion de la Manifestation ; de fixer, d’exploiter, de reproduire et de communiquer les images susvisées sur les supports de fixation suivants : catalogues commerciaux,
sites internet www.gl-events.com, www.gl-events-exhibitions.com, chaine de télévision interne à l’occasion de la manifestation, chaine de télévision interne au groupe
GL events ; de fixer, d’exploiter, de reproduire et de communiquer les images susvisées sur les modes de diffusion suivants : télédiffusion, numérisation, écrit, vidéo.
GL events Exhibitions décline toute responsabilité quant à d’éventuelles réclamations ou plaintes de quiconque relatives aux prises de vue, même autorisées. L’Exposant
renonce à toute rémunération de ce chef comme à tout droit d’utilisation de la communication de GL events Exhibitions et/ou du groupe GL events. Les éventuels
commentaires ou légendes accompagnant la reproduction ou la représentation de prises de vue ne devront pas porter atteinte à son image et/ou à sa réputation.
Le groupe GL events utilisera directement et/ou indirectement le droit à l’image ainsi cédé dans le cadre de la présentation et/ou promotion de son activité et/ou son
savoir-faire.
ARTICLE 15 - TENUE DES STANDS – DES BOXES – DES EMPLACEMENTS - La tenue des stands/boxes/emplacements doit être impeccable.
Les emballages en vrac, les objets ne servant pas à la présentation du stand/box/emplacement, le vestiaire du personnel doivent être mis à l’abri des regards
des visiteurs. Le stand/box/emplacement devra être occupé en permanence pendant les heures d’ouverture par une personne compétente. Les Exposants ne
dégarniront pas leur stand/box/emplacement et ne retireront aucun de leurs articles avant la fin de la manifestation, même en cas de prolongation de celle-ci.
Il est interdit de laisser les objets exposés recouverts pendant les heures d’ouverture de la manifestation, les housses utilisées pour la nuit ne doivent pas être vues
des visiteurs, mais rangées l’intérieur des stands/boxes/emplacements à l’abri des regards. GL events Exhibitions se réserve le droit de retirer ce qui recouvrirait les
objets en infraction aux règlements de sécurité sans pouvoir être rendue, en aucune façon, responsable des dommages ou pertes qui pourraient en résulter.
Toute personne employée à la manifestation par les Exposants devra être correctement habillée, toujours courtoise et d’une parfaite tenue. Elle n’interpellera ni
n’ennuiera en aucune façon les visiteurs ou les autres exposants.
ARTICLE 16 - UTILISATION - MODIFICATION DES STANDS, DES BOXES, EMPLACEMENTS - DÉGÂTS, PRIVATION DE JOUISSANCE Les Exposants prennent les stands, emplacements ou boxes attribués dans l’état où ils se trouvent et doivent les maintenir dans le même état. Toute modification (aspect
extérieur, numérotation, hauteur des structures livrées...) des stands est rigoureusement prohibée. Les Exposants sont responsables des dommages causés par leur
installation aux matériels, aux bâtiments, aux arbres ou au sol occupé par eux et doivent supporter les dépenses des travaux de réfection. L’aménagement et l’équipement
des stands, emplacements, boxes par les Exposants doivent être réalisés conformément aux règles figurant dans le « Guide de l’Exposant », tenant notamment à la
configuration des lieux et à l’application des dispositions du cahier des charges de sécurité. Les Exposants situés en extérieur sont tenus de soumettre à GL events
Exhibitions les plans des constructions qu’ils voudraient faire édifier sur leurs emplacements. Si, par suite d’un événement fortuit ou indépendant de sa volonté,
GL events Exhibitions était empêchée de livrer l’emplacement concédé à un Exposant, ce dernier n’aurait droit à aucune autre indemnité qu’au remboursement du prix
de sa participation dans les conditions prévues à l’article 5 paragraphe 2. Toutefois, aucun remboursement ne serait dû si l’Exposant avait été mis par GL events Exhibitions
en possession d’un autre emplacement. L’Exposant devra prendre soin du matériel mis à sa disposition, sous peine de supporter le coût du remplacement du matériel
détérioré. Les installations sont exécutées conformément au règlement de sécurité en vigueur. Les entreprises de décoration intérieure des stands n’ont pas qualité
pour traiter ni exécuter les installations électriques. L’Exposant informera GL events Exhibitions de l’ensemble des caractéristiques du matériel qu’il souhaite installer,
à première demande. En cas de non-respect des conditions précisées dans les pièces constitutives du Contrat par l’Exposant concernant l’apport et la mise en place
d’aménagements supplémentaires, de matériels spéciaux, ou d’installations spéciales, GL events Exhibitions fera procéder d’office à l’enlèvement des éléments visés,
aux frais, risques et périls de l’Exposant, sans préjudice de toute indemnité complémentaire que GL events Exhibitions pourrait lui réclamer. Sécurité : Pendant toute
la durée de la manifestation, l’Exposant doit respecter et faire respecter par les personnes visitant son stand/box/emplacement (visiteurs, prestataires, …) sous sa
responsabilité les dispositions traitant de l’organisation de la sécurité et plus généralement du déroulement de la manifestation.
ARTICLE 17 - ENTREPRISES AGRÉÉES - Les entreprises agréées par GL events Exhibitions sont seules habilitées à effectuer les travaux et fournitures de matériels
dans le cadre de la manifestation.
ARTICLE 18 - DISTRIBUTION DE FLUIDES ET D’ÉNERGIE - 18.1 GL events Exhibitions, tributaire des compagnies et sociétés concessionnaires de la
distribution des fluides et d’énergie, décline toute responsabilité en cas d’interruption de leur distribution quelle qu’en soit la durée.
18.2 Pour des raisons de sécurité, seules les personnes mandatées par GL events Exhibitions sont habilitées à intervenir sur les réseaux électriques de la manifestation,
ouvrir les coffrets et les armoires, lesquels doivent leur rester accessibles à tout moment tout en étant hors de portée du grand public. La fourniture de courant n’est pas
garantie contre les micro-coupures et/ou coupures imputables au fournisseur d’électricité.
18.3 Accès internet/service Wifi. L’Exposant s’engage à utiliser le service internet/Wifi en se conformant aux législations en vigueur. GL events Exhibitions ne saurait
être tenu en aucun cas d’une quelconque responsabilité au titre des messages, données, fichiers, contenus ou signaux émis et/ou reçus par l’Exposant dans le cadre
du service internet/wifi mis à sa disposition par GL events Exhibitions, ainsi que de l’éventuel caractère illicite des sites et contenus visités, consultés ou mis en ligne par
l’Exposant à l’occasion de l’utilisation de son service. En conséquence, GL events Exhibitions est garanti par l’Exposant de tous les dommages directs ou indirects, matériels
ou immatériels causés du fait de l’utilisation par ce dernier du service internet/Wifi. L’Exposant reconnaît être averti des risques de failles relatives à la sécurité et à la
confidentialité des données et contenus envoyés et/ou reçus sur internet. L’Exposant est seul responsable des moyens de protection de la sécurité et de la confidentialité
de ses données, contenus et applications dans le cadre de son utilisation du service internet et Wifi. De plus, toute connexion au service internet et Wifi en utilisant les
identifiants attribués à l’Exposant est réputée effectuée par celui-ci.
18.4 Toute installation par l’Exposant d’un réseau sans fil (de type Wifi, Edge, …) est interdite.
ARTICLE 19 - ÉLIMINATION DES DÉCHETS - GL events Exhibitions se réserve le droit de répercuter tout ou une partie des charges, taxes et contraintes en
application de la réglementation en vigueur. GL events Exhibitions s’engage également à sensibiliser les Exposants à l’intérêt qu’ils ont à gérer leur production de déchets.
ARTICLE 20 – HORAIRES, ACCÈS ET CIRCULATION - Les stands, boxes, emplacements sont accessibles aux Exposants et aux visiteurs aux jours et heures
précisés sur le « Dossier Technique ». Le courant électrique sera interrompu et la circulation à l’intérieur des halls formellement interdite aux Exposants après la fermeture
de la manifestation, le site étant totalement fermé 30 minutes plus tard. L’Exposant devra se conformer aux conditions d’accès et de circulation aux locaux et espaces
extérieurs du parc définies dans le règlement intérieur du lieu de la manifestation.
ARTICLE 21 – PARKING - La location des places de stationnement supplémentaires s’opère au moyen d’un formulaire spécial contenu dans le « Dossier
Technique ». Les cartes devront obligatoirement être apposées de manière apparente derrière le parebrise. Le stationnement est autorisé dans tous les parkings une
heure avant l’ouverture du salon et une heure après sa fermeture. En dehors des heures précisées ci-dessus, le stationnement des véhicules dans les parkings est interdit.
Le stationnement a lieu aux risques et périls des propriétaires des véhicules, les droits perçus n’étant que des droits de stationnement et non de gardiennage. En aucun
cas, il ne pourra être délivré de duplicata de carte de parking.
ARTICLE 22 – STANDS DE RESTAURATION - Tout Exposant exerçant une activité de restauration doit se conformer à la réglementation en vigueur et doit faire
une déclaration auprès de la direction des services vétérinaires concernée, ce dernier ayant droit de visite sur la manifestation.
ARTICLE 23 - LIBÉRATION DES EMPLACEMENTS, STANDS, BOXES - Tous les Exposants doivent enlever leurs échantillons et agencements, mobilier,
décoration immédiatement à compter de la fermeture de la manifestation. GL events Exhibitions décline expressément toute responsabilité au sujet des objets et
matériels laissés en place au-delà du délai fixé ci-dessus. GL events Exhibitions se réserve le droit de faire débarrasser le stand ou box, ou emplacement d’office et à toute
époque, aux frais, risques et périls de l’Exposant, le tout sans préjudice de tout dommage et intérêt en cas de sinistre causé par lesdits objets, matériels.
ARTICLE 24 - ANNULATION, DÉFAUT D’OCCUPATION, RÉDUCTION DE SURFACE - Toute annulation totale ou partielle du Contrat par l’Exposant
pour quelque cause que ce soit entrainera (i) la conservation de l’acompte payé lors de la réservation tel que visé à l’article 29 ci-après ; à défaut de règlement l’acompte
sera immédiatement exigible, (ii) le paiement du solde si l’annulation intervient moins de 45 jours avant le premier jour de la manifestation. Les stands, emplacements ou
boxes non utilisés à 12 heures la veille de l’ouverture de la manifestation seront réputés ne pas devoir être occupés et le Contrat sera alors résilié de plein droit et GL events
Exhibitions pourra, de convention expresse, en disposer à son gré. Les sommes versées au titre du Contrat resteront acquises à GL events Exhibitions.
ARTICLE 25 - ASSURANCE OBLIGATOIRE - L’Exposant souscrira obligatoirement à l’assurance dommage matériel pour un montant de 5 000 € (cinq mille
euros) mise en place par GL events Exhibition et figurant sur le formulaire de participation. Au-delà de cette couverture, une garantie complémentaire devra être
demandée à GL events Exhibitions. Les clauses, garanties, franchises et exclusions (notamment le vol) figurent dans le détail de la notice d’informations transmise à
l’exposant à première demande. Les conditions d’assurance pourront être modifiées en fonction des prescriptions des assureurs. Les éventuelles modifications seront
acceptées par l’Exposant qui s’engage à ne pas les constituer comme de nature à pouvoir remettre en cause le Contrat.
ARTICLE 26 - NUISANCES - En raison du caractère personnel de l’accord le liant à GL events Exhibitions, l’Exposant se doit d’avoir une attitude conforme aux
intérêts généraux de la manifestation, notamment à l’égard des visiteurs et des autres participants. À ce titre, il s’engage en cas de litige ou de contestation avec GL events
Exhibitions ou autres exposants, à ne rien faire qui puisse nuire au bon déroulement de la manifestation. Toute attitude nuisible au bon déroulement de la manifestation
toute infraction aux dispositions des documents contractuels, pourront entraîner, à l’initiative de GL events Exhibitions, l’exclusion immédiate du contrevenant et la
résiliation du Contrat.
ARTICLE 27 - LOI APPLICABLE - Attribution de juridiction les presentes conditions generales de vente et tout contrat passe entre l’exposant et gl events exhbitions
sont soumis a la loi francaise. Tout differend pouvant survenir entre l’exposant et gl events exhibitions relatif a la formation et/ou l’interpretation et/ou l’execution et/
ou la cessation des presentes et/ou de tout contrat conclu entre l’exposant et gl events exhbitions sera de la competence exclusive du tribunal de commerce de lyon,
même en cas d’appel en garantie ou de pluralite de defendeurs, en ce compris tout differend relatif a la rupture du contrat ou de toute relation commerciale au titre
desquelles il serait pris en consideration en application des dispositions de l’article l.442-6 Du code de commerce.
ARTICLE 28 - QUALITÉ D’EXPOSANT
a) les producteurs ou fabricants ;
b) ceux qui, sans être directement producteurs ou fabricants vendent uniquement à des marchands revendeurs des articles fabriqués sous leur marque, d’après leurs
modèles ou leurs dessins ;
c) les syndicats, coopératives ou établissements publics ;
d) les importateurs ou agents de fabriques considérés comme les intermédiaires nécessaires entre les producteurs ou fabricants et la clientèle, étant entendu qu’à l’appui
de leur dossier d’Inscription, ils sont tenus de remettre une «attestation» de marques ou de modèles signée par chacune des firmes dont les fabrications seront exposées.
Des formulaires spéciaux sont à réclamer à GL events Exhibitions. Le comité organisateur de la manifestation se réserve le droit de contrôler la conformité du type de
matériel exposé par rapport à la nomenclature prévue dans la demande d’admission. Si l’une des recommandations ci-dessus n’était pas suivie, le comité organisateur
serait contraint de prendre des mesures pouvant aller jusqu’à la fermeture du stand, de l’emplacement ou du box répréhensible et la résiliation du Contrat.
ARTICLE 29 - PAIEMENT - L’acompte est dû lors de la souscription de réservation d’espace par l’Exposant à GL events Exhibition telle que visée à l’article 2 ci-dessus.
Le solde est dû au 30/06/2016 au plus tard.
• Un dossier d’inscription retourné après le 30/06/2016 devra être réglé en totalité lors de l’inscription.
• Une commande de prestations techniques ne pourra être enregistrée que si toutes les factures antérieures sont intégralement soldées.
• Une commande de prestations techniques ne pourra être livrée à un Exposant n’ayant pas régularisé son solde. La(es) factures
mentionne(nt) la date à laquelle le paiement doit intervenir sans escompte. GL events Exhibitions accepte les modes de règlements, libellés en euros, suivants : chèques
bancaires ou postaux, virement bancaire (à la charge de l’Exposant).
• Pour les Exposants étrangers, le règlement est à effectuer obligatoirement par virement sur notre compte international : GL events

Dans tous les cas, les dispositions de l’article 5 du présent Règlement restent applicables jusqu’à notification par GL events Exhibitions du classement définitif. Outre les
dispositions de l’article 6 tout retard dans le paiement des sommes dues à la date d’échéance, à quelque titre que ce soit, par le Preneur quelle qu’en soit la cause, rendra
exigible (après une mise en demeure préalable) le paiement d’un intérêt de retard calculé sur la base du taux d’intérêt appliqué par la Banque Centrale Européenne à
son opération de refinancement la plus récente, majoré de dix (10) points de pourcentage sans toutefois que ce taux ne puisse être inférieur à trois fois le taux d’intérêt
légal en vigueur à cette date(en fonction de la date d’échéance, le taux BCE applicable pendant le premier semestre de l’année concernée sera le taux en vigueur au
1er janvier de l’année et celui applicable pendant le second semestre sera le taux en vigueur au 1er juillet de l’année). Le Preneur sera également redevable de l’indemnité
forfaitaire pour frais de recouvrement dans les transactions commerciales prévue aux articles L.441-6 et D.441-5 du Code de commerce, ainsi que sur justificatifs,
de toute indemnité complémentaire.
ARTICLE 30 – VENTE AUX PARTICULIERS, VENTE À EMPORTER ET DÉGUSTATION - L’Exposant devra se conformer à la réglementation en vigueur
relative à la vente aux consommateurs et à la vente à distance. La vente et les prises de commandes sont autorisées pendant la manifestation sous réserve du respect de
la réglementation en vigueur. La sortie du matériel acheté ne sera autorisée qu’aux visiteurs munis d’une facture établie en bonne et due forme par l’exposant vendeur.
Tous les exposants pratiquant cette vente doivent tenir un inventaire des entrées et des sorties de marchandises. Sous peine de non-garantie, chaque exposant doit être
en mesure de présenter à tout moment son livre d’inventaire à l’expert. Seules sont interdites les ventes « à la criée », les ventes dites « en boule de neige » et les ventes
« à la postiche » Tout Exposant, qui aurait recours aux techniques de vente susvisées s’exposerait à la résiliation immédiate et de plein droit du Contrat par GL events
Exhibitions ainsi qu’au paiement de dommages et intérêts, sans préjudice d’un éventuel appel en garantie de l’exposant en cas de mise en jeu de la responsabilité de GL
events Exhibitions par un consommateur ou un représentant de celui-ci, victime d’une telle pratique. La dégustation payante de produits alimentaires ou de boissons doit
obligatoirement faire l’objet d’une demande écrite à GL events Exhibitions. L’autorisation de la dégustation payante entraine pour l’exposant l’obligation de se soumettre
à la réglementation particulière s’y rapportant.
ARTICLE 31 - AFFICHAGE DES PRIX - L’Exposant doit se conformer à la réglementation en vigueur relative à l’affichage des prix.
ARTICLE 32 – CIRCULATION DES ALCOOLS - L’Exposant soumis à la réglementation des contributions indirectes devra, de son propre chef, accomplir les
démarches qui lui incombent en matière de licence temporaire et acquit-à-caution. Pendant le cours de la manifestation, l’administration des contributions indirectes
a droit de visite sur les stands.
ARTICLE 33 - RESPONSABILITE DE L’EXPOSANT - L’Exposant est seul responsable de son stand/box/emplacement et de tout mobilier sur lesdits stands/
box/emplacement tant à l’égard des participants, des prestataires de services missionnés par lui, des visiteurs ou invités, que de GL events Exhibitions et il lui incombera de
faire respecter les dispositions énoncées dans le présent document et d’en assurer la publicité. Il fera son affaire personnelle de l’obtention des autorisations nécessaires
et plus particulièrement, sans que cette liste soit exhaustive, à la vente de boissons alcoolisées ou non, à la diffusion de musique en procédant aux déclarations nécessaires
auprès de la SACEM, à la libre disposition des droits de propriété intellectuelle, enseignes, marques, etc…, utilisés sur son stand/box. L’Exposant déclare se soumettre aux
prescriptions légales et réglementaires en vigueur pouvant s’appliquer à la manifestation et se déclare à ce titre se conformer et faire respecter scrupuleusement lesdites
prescriptions en vigueur, notamment en ce qui concerne les enseignes, la signalétique, la voirie, la salubrité, la police, le bruit, l’hygiène, la sécurité et l’inspection du travail,
de façon à ce que la responsabilité de GL events Exhibitions ne puisse jamais être recherchée. L’Exposant s’engage à régler les droits et les taxes qui pourraient être dus à
des organismes tels que la SACEM. Il devra en justifier, par écrit, auprès de GL events Exhibitions au plus tard un mois avant l’ouverture de la manifestation et de l’obtention
de ces autorisations. L’Exposant demeurera seul responsable, tant pénalement que civilement, des éventuelles conséquences d’un défaut d’autorisation, sans qu’il puisse
rechercher la responsabilité de GL events Exhibitions pour quelque cause que ce soit. Il s’engage, en revanche, à relever et garantir GL events Exhibitions de toutes les
conséquences dommageables pouvant résulter, pour cette dernière, du non-respect des dispositions susvisées. L’Exposant qui met en œuvre le matériel de sonorisation
est garant de sa conformité avec le décret n° 981143 du 15 décembre 1998 modifié par le décret 2007-1467 du 16 octobre 2007 relatif aux prescriptions applicables
aux établissements ou locaux recevant du public et diffusant à titre habituel de la musique amplifiée et engage sa responsabilité en cas d’infraction et de réclamation par
un tiers. En cas de dépassement sonore, GL events Exhibitions se réserve le droit de demander à l’Exposant d’apporter les modifications nécessaires. Toute dégradation
constatée après la tenue de la manifestation sera facturée à l’Exposant. Tout dommage, dégradation, perte ou casse, constaté par GL events Exhibitions pendant la période
effective de mise à disposition des lieux (périodes de montage et démontage incluses) sera facturé à l’Exposant, sauf si son origine est imputable à GL events Exhibitions.
Le paiement de la facturation de réparation des dégradations et dommages devra intervenir à réception de ladite facture. Les réparations nécessaires à la remise en état
seront organisées et réalisées par GL events Exhibitions, aux frais exclusifs de l’Exposant. Les frais de remise en état suite aux dommages inhérents à l’installation des matériels
commandés par l’Exposant seront à sa charge exclusive.
ARTICLE 34 - RESPONSABILITE DE GL EVENTS EXHIBITIONS - 34.1 GL events Exhibitions garantit la conformité de ses prestations de services
conformément au Contrat. L’Exposant s’assurera de cette conformité avant toute utilisation. Les réclamations relatives à l’exécution des prestations par GL events
Exhibitions doivent être formulées par écrit à ce dernier avant la fin de la manifestation, pour pouvoir être constatées et prises en comptes. Aucune réclamation ne sera
reçue après cette date.
34.2 Dans le cas où, à l’occasion de l’exécution du Contrat, la responsabilité de GL events Exhibitions serait engagée, à quelque titre et pour quelque cause que ce soit,
tous dommages confondus et notamment dommages directs et indirects (comprenant les préjudices, immatériels), celle-ci sera strictement limitée à une somme au plus
égale au prix ou à la portion du prix indiqué au Contrat, reconnue judiciairement comme étant inexécutée ou défaillante, sans que cette somme ne puisse être supérieure
au(x) plafond(s) des garanties du contrat d’assurance de GL events Exhibitions, plafonds que GL events Exhibitions communiquera à l’Exposant sur simple demande.
ARTICLE 35 - INFORMATIONS NOMINATIVES - En application de la loi informatique et libertés du 1er janvier 1978 l’Exposant dispose d’un droit d’accès et de
modifications aux données nominatives le concernant en écrivant à l’adresse suivante : GL events Exhibitions - BP 223 - 47305 Villeneuve sur Lot CEDEX.

ARTICLE 1. APPLICATION OF GENERAL TERMS AND CONDITIONS OF SALE - When a natural and/or corporate person (hereinafter the “Exhibitor”)
places an order with GL events Exhibitions, there is implied agreement with GL events Exhibitions on these general terms and conditions of sale (hereinafter the “GTCS”)
which apply exclusively between the parties in all of their commercial dealings and replace all other prior documents and agreements, whether written or oral, and all terms
of the Exhibitor’s and or co-Exhibitor’s general terms and conditions of purchase.
ARTICLE 2. RESERVING A SPACE - Space is reserved using special forms, in paper or electronic format, via the websites for each exhibition. The forms are to be
completed and signed by Exhibitors personally. Where space is reserved by a corporate person, it must state its legal form, its capital and its head office. The form must
be signed by the legal representatives. The Contract is binding and final and the Exhibitor is bound by it on receipt by GL events Exhibitions of the participation form
completed by the Exhibitor, subject to any justified rejection by GL events Exhibitions as set out in Article 4 below (hereinafter the “Contract”). The Exhibitor declares that
he has read and agrees to the associated rights and obligations. All space reservations imply that the Exhibitor agrees in full with:
• These General Terms and Conditions of Sale,
• The general regulation for commercial exhibitions published by the Union Française des Métiers de l’Evénement [French union of events
professionals], dated 17 March 2013 (hereinafter the “Regulation”),
• The safety specifications/internal regulations of the place where the exhibition is held,
• The special technical regulations set out in the “Exhibitor Area” (construction regulations, waste processing, etc.). The Contract is therefore composed of all of
the abovementioned documents and all public interest provisions that apply to exhibitions organized in France. The Exhibitor also agrees to comply with any new
provision of which GL events Exhibitions may give it notice, even orally, if the circumstances or the interests of the exhibition so require.
ARTICLE 3. STANDS IN COMMON (CO-EXHIBITOR) - Any Exhibitor that takes part in an exhibition at the stand of another Exhibitor, even temporarily,
must register their presence with GL events Exhibitions by completing a space reservation form and signing a Contract with GL events Exhibitions on the terms set out
in these GTCS, which will apply to the co-Exhibitor. A registration fee and insurance costs will be billed to the co-Exhibitor. The space reservation will provide all associated
benefits to all recognized Exhibitors (entry in the guide, insurance, etc.). In addition, the co-Exhibitor must comply with the obligation that it leave its materials at its stand
throughout the exhibition, and no materials will be permitted to be removed. The main Exhibitor may accommodate a co-Exhibitor on the condition that the minimum
surface area assigned to each Exhibitor at the same stand is ≥9m² (e.g., 1 co-Exhibitor, if stand surface is ≥18m²; 2 co-Exhibitors, if stand surface is ≥27m²).
ARTICLE 4. CONTROL OF RESERVATIONS, ACCEPTANCES OR REJECTIONS - GL events Exhibitions may decide at any time, including after receipt
of the acknowledgement form as set out in Article 2 above, to reject or accept reservations, and no recourse is allowed. A reservation may therefore be cancelled by
GL events Exhibitions which may, if requested by the Exhibitor, justify its rejection. An Exhibitor that is rejected may not rely on the fact that it was accepted for previous
exhibitions, nor may it argue that its agreement to the GTCS was solicited by GL events Exhibitions. An Exhibitor may also not rely, as evidence that it was accepted,
on correspondence between itself and GL events Exhibitions or the fact that the price corresponding to the services requested was deposited, or that its name was
published in any list. Rejection of participation by the Exhibitor may not result in payment of any indemnity other than a refund of the amounts paid to GL events
Exhibitions, with the exception of the costs of opening the file, which will be retained by GL events Exhibitions. The consequences of a cancellation are set out in Article 24
of the GTCS. In any event, only enterprises and associations that are properly incorporated and that have been in existence for at least one year at the time the exhibition
opens, and whose business is closely connected and aligned with the name and purpose of the exhibition, may be accepted for exhibiting at the exhibition.
ARTICLE 5. DATE AND DURATION - 5.1 GL events Exhibitions, the organizer of the exhibition, reserves the right to change the opening date or duration of the
exhibition, or to decide to extend, adjourn it or close it early, at any time, and the Exhibitors may claim no indemnity therefrom.
5.2 GL events Exhibitions may not be required to pay any compensation in the event of force majeure or an unforeseeable event as defined in Article 1148 of the Civil Code.
In the event of an administrative closing made necessary by serious events and/or decided by an authority with powers relating to security and administrative policing,
any down payment made by the Exhibitor will be refunded, after deduction of expenses incurred by GL events Exhibitions in preparing for the exhibition.
ARTICLE 6. SUSPENSION OF OBLIGATIONS – EARLY CANCELLATION OF THE CONTRACT BY GL EVENTS EXHIBITIONS - 6.1 GL events
Exhibitions reserves the option of suspending its obligations in the event that the Exhibitor fails to perform any of its obligations under the Contract. If no change has been
made to enable GL events Exhibitions to resume performance of its obligations, and after no response has been received within two (2) days following a formal notice sent
to the Exhibitor, GL events Exhibitions may automatically cancel this Contract by sending a registered letter with request for acknowledgment of receipt to the Exhibitor.
The cancellation will take effect on the date of first presentation of the letter, of which the postmark will be proof. The financial consequences of cancellation may be
settled by applying the provisions relating to cancellation of the Contract as set out in point 24 below. In addition, GL events Exhibitions will be entitled to claim payment
of an indemnity from the Exhibitor as damages to compensate for moral or material damage suffered by GL events Exhibitions. The indemnity will be at least equal to the
amount of the remaining share to which GL events Exhibitions is entitled without prejudice to the additional damages that might be claimed. GL events Exhibitions will be
entitled, in this regard, to retain the items exhibited and the items of furniture or decor belonging to the Exhibitor.
6.2 In addition, failure to pay any of the instalments referred to in Article 29 will give GL events Exhibitions the option of cancelling the Contract immediately and
automatically, without formal notice, and/or of denying access to the exhibition, without indemnity to the Exhibitor, regardless of the consequences for the Exhibitor.
GL events Exhibitions will be entitled to retain any amounts already paid by the Exhibitor as a penalty clause. GL events Exhibitions will notify the Exhibitor of the
cancellation by sending a registered letter with request for acknowledgement of receipt, and the cancellation will take effect as of the date of first presentation, of which
the postmark will be proof.
ARTICLE 7. OBLIGATIONS OF THE EXHIBITOR - Entering into a Contract with GL events Exhibitions creates an obligation to occupy the stand, location or
box assigned by GL events Exhibition for a minimum of 12 (twelve) hours before the exhibition begins and to leave it installed until the closing of the exhibition. Exhibitors
are formally prohibited from packing or removing their materials before the closing of the exhibition. In general, the Exhibitor must comply strictly with the regulations
in force and with any other regulations that are added to or substituted for them, and in particular with the regulations governing subcontracting, health, safety and
illegal employment. Reserving space implies compliance with public order and policing measures that are imposed both by the authorities and by GL events Exhibitions.
Any breach, of any nature, of the contractual documents as set out in Article 2 above, or of any other provision referred to above or any other provision that may be lawfully
imposed on the Exhibitor, may result in immediate and automatic exclusion of the Exhibitor, temporarily or permanently, without indemnity or refund of the amounts paid,
without prejudice to any damages to GL events Exhibitions and the provisions of Article 6 above. GL events Exhibitions disclaims any liability for the consequences of failure
to comply with the contractual documents and/or the regulations in force.
ARTICLE 8. CLASSIFICATION - Exhibitors are grouped by professional category by GL events Exhibitions. They are required to be present at the exhibition to which
the samples of their professional category assign them. They may exhibit only the products for which they have made application. They may distribute only catalogues
and prospectuses relating exclusively to the items they are exhibiting.
ARTICLE 9. SAMPLES, ITEMS ALLOWED - The Exhibitor will exhibit under its own name or business name. It may present, at its location or box, only the materials,
products, services listed in its space reservation and agreed to by GL events Exhibitions as corresponding to the name of the exhibition, otherwise it may be excluded or
the Contract may be cancelled. The Exhibitor may not engage in any advertising in any form whatsoever for third party non-Exhibitors or for the products of such third
parties, unless expressly so authorized by such third parties. Accordingly, when the space reservation is sent to GL events Exhibitions, the Exhibitor must submit the specific
certificate that has been issued to it by the third parties.
ARTICLE 10. PROHIBITED SAMPLES - Explosive substances, detonators and, in general, all hazardous or harmful substances are strictly prohibited. An Exhibitor
that has brought such substances to its stand or box will be required to remove them forthwith, on simple request by GL events Exhibitions, otherwise GL events Exhibitions
will itself remove them at the Exhibitor’s expense, risk and peril, without prejudice to any proceedings that might be brought against it. The installation or operation of any
item and device that could in any way interfere with the other Exhibitors and/or GL events Exhibitions is strictly prohibited.
ARTICLE 11. PROHIBITION ON TOTAL OR PARTIAL TRANSFER - The stand, location or box assigned must be occupied by its holder, and the transfer
of all or part of a stand, location or box in any form whatsoever is formally prohibited, otherwise the stand may be immediately closed and the Contract automatically
cancelled early by GL events Exhibition.
ARTICLE 12. PROSPECTUSES, LOUDSPEAKERS, SOLICITING - Prospectuses may be distributed only inside the stands, locations or boxes reserved by each
Exhibitor. Soliciting and advertising by loudspeaker, in any manner, is strictly prohibited. Audio announcements at the exhibition are reserved for service information of
interest to Exhibitors and visitors. Advertising or personal announcements are not allowed. Prior to the opening of the exhibition, Exhibitors who wish to play musical works
at their stands or locations, by any method (tape recordings, disks, radio, videos, films, musicians, singers, etc.) must obtain such written legal authorization from SACEM

ARTICLE 13. SIGNS, POSTERS - Placing advertising signs or boards outside stands or boxes at points other than those reserved for that use, as shown on the
drawings sent to Exhibitors at their request, is prohibited. Boards or posters placed inside the stand and visible from the exterior must be approved by GL events Exhibitions,
which may reject them if the boards or posters disturb the good order or good conduct of the exhibition or are inconsistent with the nature or purpose of the exhibition.
The same rule applies to advertising boards made available to Exhibitors in the area around the exhibition. In the event of violation, GL events Exhibitions will have any
boards, signs or posters placed in breach of the GTCS removed at the expense, risk and peril of the Exhibitor and without any prior notice. The Exhibitor agrees to comply
with the provisions of law No. 91-32 of 10 January 1991 relating to the public policy militating against smoking and alcoholism.
ARTICLE 14. PHOTOGRAPHS, FILMS, SOUND RECORDINGS - Photographs, films, videos and sound recordings produced by professionals within the
place where the exhibition is held may be allowed, with written authorization from GL events Exhibitions. A proof or copy of the media must be provided to GL events
Exhibitions within the fifteen days following the closure of the exhibition. Such authorization may be withdrawn at any time and for any reason whatsoever. The Exhibitor
expressly authorizes GL events Exhibitions to use any shots representing its stand (including all representations of its trademarks, logos, products, unless express notice
to the contrary is given to GL events Exhibitions) taken during the exhibition, for its own promotion exclusively, and regardless of the medium (including the websites
operated by GL events Exhibitions). Accordingly, the Exhibitor assigns its right in the image, free of charge, to GL events Exhibitions and/or to any third party mandated
by it, and to all present and future subsidiaries of the GL events Group. It is expressly agreed that by “Copyright Image”, the Exhibitor transfers to the GL events Group the
right: to film and photograph the image of the Exhibitor at the exhibition; to record, exploit, reproduce and communicate the above-mentioned images on the following
recording media: commercial catalogues, the Internet sites www.gl-events.com and www.gl-events-exhibitions.com, internal television service at the exhibition, GL events
Group’s internal television service; to record, exploit, reproduce and communicate the above-mentioned images using the following broadcasting methods: television
broadcasting, digitization, writing, video. GL events Exhibitions disclaims all liability in respect of any claims or complaints of any nature relating to the shots, even if
authorized. The Exhibitor waives any remuneration in this regard and any right to use the communication of GL events Exhibitions and/or GL events Group. No comments
or titles accompanying the reproduction or representation of shots may interfere with its image and/or its reputation. The GL events Group will directly and/or indirectly
use the Copyright Image thus transferred in the presentation and/or promotion of their business and/or their expertise.
ARTICLE 15. MAINTENANCE OF STANDS - BOXES, LOCATIONS - Stands/boxes/locations must be perfectly maintained. Bulk packaging, items that are not
being used for the presentation of the stand/box/location and staff’s items of clothing must be stored out of sight of visitors. The stand/box/location must be occupied
at all times during the opening hours of the Exhibition by a duly-qualified person. Exhibitors will not empty their stand/box/location and will not remove any of their items
before the end of the exhibition, even if the exhibition is extended. The items on display may not be left covered during the opening hours the exhibition; the covers used
at night must not be seen by visitors, and must be stored out of sight inside stands/boxes/locations. GL events Exhibitions reserves the right to remove anything covering
items in violation of safety regulations and may not be held in any way liable for any damage or loss that may result. Any person employed at the exhibition by Exhibitors
must be properly attired and be at all times courteous and well-behaved. No such person will accost or in any way bother visitors or other Exhibitors.
ARTICLE 16. USE, ALTERATION OF STANDS/BOXES/LOCATIONS, RUBBISH, INTERFERENCE WITH OTHERS’ ENJOYMENT - Exhibitors
take the stands, locations or boxes assigned in the condition in which they find them and must maintain them in the same condition. Any alteration (exterior appearance,
numbering, height of the structures delivered, etc.) of stands is strictly prohibited. Exhibitors are liable for damage caused by their installation to the materials, buildings,
trees or ground occupied by them and must pay the costs of repair work. The arranging and equipping of stands, locations and boxes by Exhibitors must be done
in accordance with the rules set out in the “Exhibitor’s Guide”, in particular, relating to the lay-out of the premises and the application of the provisions of the safety
specifications. Exhibitors located outside are required to submit plans for the structures they wish to construct on their locations to GL events Exhibitions. If, as a result
of an unforeseeable event or an event outside its control, GL events Exhibitions were to be prevented from delivering the location assigned to an Exhibitor, the Exhibitor
would not be entitled to any indemnity other than a refund of the price of its participation on the terms set out in Article 5 paragraph 2. However, no refund would be
owed if the Exhibitor was given possession of another location by GL events Exhibitions. The Exhibitor must take care of the material made available to them, otherwise
they must pay the cost of replacing any damaged material. Installations must be carried out in accordance with the safety regulations in force. Firms doing the interior
decoration of stands are not authorized to deal with or perform electrical installations. The Exhibitor will inform GL events Exhibitions of all characteristics of the material it
wishes to install, at the first request. In the event of failure by the Exhibitor to comply with the terms set out in the documents that compose the Contract concerning the
provision and installation of additional equipment, special materials or special installations, GL events Exhibitions will remove the items in question of its own accord, at the
expense, risk and peril of the Exhibitor, without prejudice to any additional indemnity that GL events Exhibitions might claim from it. Safety: Throughout the exhibition,
the Exhibitor must comply with the provisions relating to safety arrangements and, more generally, to the conduct of the exhibition, and ensure compliance by the persons
who visit their stand/box/location (visitors, recipients of services, etc.) at the Exhibitor’s own responsibility.
ARTICLE 17. APPROVED ENTERPRISES - The enterprises approved by GL events Exhibitions are the only ones authorized to carry out work for and supply
material for the exhibition.
ARTICLE 18. DISTRIBUTION OF FLUIDS AND ENERGY - 18.1 GL events Exhibitions, which is dependent on the companies and corporations that hold
concessions for the distribution of fluids and energy, disclaims all liability in the event of any interruption in distribution, regardless of the duration.
18.2 For safety reasons, only persons who are mandated by GL events Exhibitions are authorized to work on the electrical systems at the exhibition and to open switch
boxes and cabinets, which must be accessible to them at all times and out of reach of the general public. The supply of current is not warranted against micro-power cuts
and/or power cuts attributable to the electricity supplier.
18.3 Internet access/WiFi service. The Exhibitor agrees to use the Internet/WiFi service in accordance with the legislation in force. GL events Exhibitions may not, in any
case, be held liable in any way in respect of messages, information, files, content or signals sent and/or received by the Exhibitor while using the Internet/WiFi service made
available to it by GL events Exhibitions, or for the unlawful nature of any site or content visited, consulted or put on line by the Exhibitor while using its service. Accordingly,
the Exhibitor holds GL events Exhibitions harmless from and against all damage, direct or indirect, tangible or intangible, caused by their use of the Internet/WiFi service.
The Exhibitor acknowledges to have been informed of the risks in breaches of the security and confidentiality of the data and content sent and/or received over the
Internet. The Exhibitor is solely responsible for protecting the security and confidentiality of its data, content and applications in its use of the Internet and WiFi service.
In addition, any connection to the Internet and WiFi service using the login information assigned to the Exhibitor is deemed to have been made by the Exhibitor himself.
18.4 Any installation by the Exhibitor of a wireless network (such as WiFi, Edge, etc.) is prohibited.
ARTICLE 19. DISPOSAL OF WASTE - GL events Exhibitions reserves the right to pass on all or part of the charges, taxes and burdens under the regulations in force.
GL events Exhibitions also agrees to make Exhibitors aware of how much it is in their interests to manage their waste production.
ARTICLE 20. TIMES, ACCESS AND CIRCULATION - Stands, boxes and locations are accessible to Exhibitors and visitors on the dates and at the times set out
in the “Exhibitor’s Guide”. Electrical current will be turned off and Exhibitors are formally prohibited from circulating inside halls after the exhibition closes, and the site will
be closed down completely 30 minutes later. The Exhibitor must comply with the terms of access and circulation on the premises and in the exterior spaces of the park as
defined in the internal regulation of the place where the exhibition is held.
ARTICLE 21. PARKING - Additional parking spaces can be rented using a special form found in the “Exhibitor’s Guide”. The cards must be visibly displayed behind
the windscreen. Parking is allowed in all parking lots from one hour before the salon opens to one hour after it closes. Outside the above times, vehicle parking in the car
park is prohibited. Parking is at the risk and peril of vehicle owners, and the fees collected are for parking only, and not for care or control. No duplicate of a parking card
may be issued in any case.
ARTICLE 22. FOOD SERVICE STANDS - Any Exhibitor carrying out a food service activity must comply with the regulations in force and must make a declaration
to the veterinary services branch concerned, which is entitled to inspect the exhibition.
ARTICLE 23. RELEASE OF LOCATIONS, STANDS, BOXES - All Exhibitors must remove their samples and arrangements, furniture and/or decoration
immediately after the closure of the exhibition. GL events Exhibitions expressly disclaims any liability for items or material left in place after the deadline set out above.
GL events Exhibitions reserves the right to clear out the stand, box or location of its own accord and at any time, at the expense, risk and peril of the Exhibitor, without
prejudice to any damages in the event of a loss caused by such items, material.
ARTICLE 24. CANCELLATION, FAILURE TO OCCUPY, REDUCTION OF SURFACE AREA - Any cancellation of the Contract by the Exhibitor, in whole
or in part, for any reason whatsoever, will result in (i) retention of the down payment made at the time of reservation, as set out in Article 29 below; failing payment, the
down payment will be immediately demanded, (ii) and payment of the balance if the cancellation occurs less than 45 days before the first day of the exhibition. Any
stand, location or box that is not in use at 12:00 noon on the day before the opening of the exhibition will be deemed not to have been occupied and the Contract will
then be cancelled automatically and GL events Exhibitions may, by express agreement, dispose of it as it sees fit. GL events Exhibitions will be entitled to retain amounts
paid under the Contract.
ARTICLE 25. MANDATORY INSURANCE - The Exhibitor must take out a physical damage insurance policy to the amount of €5, 000 (five thousand Euros) to be
implemented by GL events Exhibition as shown on the participation form. Above that coverage, supplementary coverage must be requested from GL events Exhibition.
The clauses, coverage, deductibles and exclusions (in particular for theft) are set out in the details of the information notice provided to the Exhibitor at first request.
The insurance terms may be changed based on the requirements of the insurers. Any changes will be accepted by the Exhibitor, who agrees thereby not to assert that
they are such as to permit a challenge to the Contract.
ARTICLE 26. NUISANCES - By reason of the personal nature of the agreement between the Exhibitor and GL events Exhibitions, the Exhibitor must have an attitude
that is consistent with the general interests of the exhibition, in particular towards visitors and other participants. Accordingly, in the event of a dispute or conflict with
GL events Exhibitions or other Exhibitors, they agree to do nothing that could interfere with the proper conduct of the exhibition. Any attitude that interferes with the
proper conduct of the exhibition, and any violation of the provisions of the contractual documents, may, at the initiative of GL events Exhibitions, result in immediate
exclusion of the offender and cancellation of the Contract.
ARTICLE 27. APPLICABLE LAW, ASSIGNMENT OF JURISDICTION - These general terms and conditions of sale and any contract between the exhibitor
and gl events exhibitions are subject to french law. Any dispute that may arise between the exhibitor and gl events exhibitions in relation to the formulation and/or
interpretation and/or performance and/or cessation of these terms and conditions and/or of any contract between the exhibitor and gl events exhibitions will be subject
to the exclusive jurisdiction of the commercial court of lyon, even in the event of a third-party proceeding or a plurality of defendants, including any dispute relating to the
breach of the contract or any commercial relationship in respect of which consideration would be made under the provisions of article l.442-6 Of the commercial code.
ARTICLE 28. STANDING AS EXHIBITOR - The following are recognized as having standing as Exhibitors at the exhibition, and in the following order of priority:
a) producers or manufacturers;
b) those who, while not being directly producers or manufacturers, sell solely to retailers of items manufactured under their brand, based on their models or designs;
c) breeders;
d) associations of breeders;
e) syndicates, cooperatives or public establishments;
f) importers or agents of factories considered to be necessary intermediaries between producers or manufacturers and the clientele, it being understood that in support
of their Registration application, they are required to submit a “certificate” of brands or models signed by each of the firms whose manufactured items will be exhibited.
Special forms must be requested from GL events Exhibitions. The exhibition organizing committee reserves the right to inspect the compliance of the type of material
exhibited with relation to the category specified in the admission application. If any of the above recommendations is not followed, the organizing committee will have to
take measures that may extend as far as to closing the offending stand, location or box and cancelling the Contract.
ARTICLE 29. PAYMENT - The down payment is payable to GL events Exhibition upon reservation of space by the Exhibitor, as set out in Article 2 above. The balance
is payable no later than 06/30/2016.
• A registration application returned after 06/30/2016 must be paid in full at the time of registration.
• An order for technical services may not be placed unless all previous invoices have been paid in full.
• An order for technical services may not be filled for an Exhibitor that has not paid their balance. Invoices will state the date on which payment must be made with no
discount. GL events Exhibitions accepts the following payment methods, in Euros: bank and postal cheques, bank transfer (at the expense of the Exhibitor).

7112 5355 473 BIC/SWIFT CFRFRPP In all cases, the provisions of Article 5 of this Regulation will apply until notification is given by GL events Exhibitions of the final
classification. In addition to the provisions of Article 6, any delay in payment by the Lessee of the amounts due on the due date, for whatever reason, will result (after prior
notice) in payment of late interest becoming payable, calculated on the basis of the interest rate applied by the European Central Bank to its most recent refinancing
operation, plus ten (10) percentage points, but provided that the rate may not be lower than three times the statutory interest rate in effect on that date (based on the
due date, the applicable ECB rate during the first quarter of the year in question will be the rate in effect on 1 January of the year, and the rate applicable during the second
quarter will be the rate in effect on 1 July of the year). The Lessee will also be liable for the flat rate indemnity for the collection costs in commercial transactions provided
in Articles L.441-6 and D.441-5 of the French Commercial Code, and, upon proof, for any additional indemnity.
ARTICLE 30. SALES TO INDIVIDUALS, CASH AND CARRY SALES AND TASTING - The Exhibitor must comply with the regulations in force relating
to sales to consumers and distance selling. Selling and order taking are authorized during the exhibition, on condition of compliance with the regulations in force.
Only visitors with an invoice issued by the vendor Exhibitor in proper form will be authorized to remove material purchased. All Exhibitors engaging in such sales must
keep an inventory recording the entry and exit of goods. Each Exhibitor must be able to present its inventory book to the expert at all times, failing which coverage may
be denied. The only prohibitions are auctions, pyramid schemes and sideshow sales. Any Exhibitor who uses the above-mentioned sales techniques would be liable
to immediate automatic cancellation of the Contract by GL events Exhibitions and payment of damages, without prejudice to any third-party proceedings against the
Exhibitor in the event that GL events Exhibitions were to be held liable by a consumer who was the victim of such a practice or the consumer’s representative. A written
request must be made to GL events Exhibitions for any paid tasting of food or beverages. Authorization for paid tasting imposes an obligation on the Exhibitor to comply
with the special regulations that apply thereto.
ARTICLE 31. POSTING PRICES - The Exhibitor must comply with the regulations in force relating to the posting of prices.
ARTICLE 32. CIRCULATION OF LIQUOR - An Exhibitor that is subject to the regulations respecting indirect taxation must, on its own behalf, perform the
formalities for which it is responsible in respect of temporary licences and in-transit goods. Throughout the exhibition, the indirect taxation authority is entitled to inspect
stands.
ARTICLE 33 – RESPONSIBILITY OF THE EXHIBITOR - The Exhibitor is solely responsible for its stand/box/location and for any furniture in the stand/
box/location in terms of participants, recipients of services delivered by it, visitors or guests invited by it or by GL events Exhibitions and will be responsible for ensuring
compliance with the provisions set out in this document and for making them known. The Exhibitor will be personally responsible for obtaining the necessary
authorizations and, more specifically, and not exhaustively, for the sale of alcoholic or non-alcoholic beverages, for broadcasting music, by making the necessary
declarations to the SACEM, for free access to the intellectual property rights, logos, trademarks, etc., used at its stand/box. The Exhibitor declares that it complies with the
statutory and regulatory provisions in force that may apply to the exhibition and in this respect that it complies with and will scrupulously ensure compliance with such
provisions as are in force, in particular concerning signs, directional signs, roads, cleanliness, police, noise, health, safety and employment inspection, in such a way that
no claim may ever be made in liability against GL events Exhibitions. The Exhibitor agrees to pay the fees and taxes that may be owed to organizations such as the SACEM.
The Exhibitor must prove to GL events Exhibitions in writing, no later than one month before the opening of the exhibition, that it has obtained such authorizations. The
Exhibitor will be solely liable, both criminally and civilly, for any consequences of failure to obtain authorization, and no claim may be made in liability against GL events
Exhibitions for any reason whatsoever. In return, it agrees to indemnify and save GL events Exhibitions from any damage that may result for GL events Exhibitions from
failure to comply with the above-mentioned provisions. An Exhibitor that installs a sound system warrants that it complies with decree No. 981143 of 15 December 1998
as amended by Decree 2007-1467 of 16 October 2007 relating to the provisions applicable to establishments or premises open to the public that ordinarily broadcast
amplified music, and will be liable in the event of violation and of a claim by a third party. In the event that the sound is too loud, GL events Exhibitions reserves the right to
ask the Exhibitor to make the necessary changes. Any wear and tear identified after the exhibition will be billed to the Exhibitor. Any damage, wear and tear, loss or breakage
identified by GL events Exhibitions during the effective period when the premises are made available (assembly and disassembly periods included) will be billed to the
Exhibitor, unless the cause is attributable to GL events Exhibitions. The bill for repair of wear and tear and damage must be paid on receipt. Repairs that are necessary to
restore the premises will be arranged and carried out by GL events Exhibitions, at the sole expense of the Exhibitor. The cost of restoration resulting from damage inherent
in the installation of material ordered by the Exhibitor will be the exclusive responsibility of the Exhibitor.
ARTICLE 34. RESPONSIBILITY OF GL EVENTS EXHIBITIONS - 34.1 GL events Exhibitions warrants the compliance of the services it provides under the
Contract. The Exhibitor will verify such compliance before any use. Claims relating to the performance of services by GL events Exhibitions must be made in writing to
GL events Exhibitions before the end of the exhibition, in order to be recorded and taken into account. No claim will be entertained after that date.
34.2 In the event that GL events Exhibitions incurs liability in the performance of the Contract, on any account and for any reason whatsoever, for all damage combined,
and in particular direct and indirect damage (including intangible damage), such liability will be strictly limited to an amount no greater than the price or portion of the
price set out in the Contract that is judicially recognized as not having been performed or as having been performed improperly, and such amount may be no greater
than the coverage limits in GL events Exhibitions’ insurance policy, which coverage limits GL events Exhibitions will communicate to the Exhibitor on simple request.
