18/01/2008 Services financiers diversifiés (France) WENDEL Reco. abaissée Forte baisse de la valeur des actifs et décote trop modérée dans le contexte actuel Q Actualité Vendre (12m) (Achat) Cours 16/01/08 Obj. cours 12m 78.9 67.0 La baisse de la valeur des actifs du portefeuille a plusieurs impacts négatifs : 1) le recul du cours de Saint-Gobain a amené Wendel, ces dernières semaines à répondre à des appels de marge ; 2) la valeur de linvestissement en fonds propres de Wendel dans SaintGobain (1.5 Md) a chuté de 74% ; un recul supplémentaire de lordre de 10% du cours de Saint-Gobain amènerait cette valeur à 0 ; et 3) le ratio « loan-to-value » atteint la limite de 25% au-delà de laquelle S&P indiquait dans son étude du 14/12/07 quil pourrait abaisser à nouveau son rating (passé de BBB+ à BBB en novembre dernier). Enfin, la décote sur lANR instantané ressort à 11% seulement (contre 25% mi-décembre), ce qui nous semble modeste si lon se place dans lhypothèse dune poursuite de la baisse des marchés actions, dont limpact sur lANR serait amplifié par la dette supportée par Wendel et ses participations. Q Impact Nous abaissons significativement notre obj. de cours (67 vs 130 ) et adoptons une recommandation Vendre (vs Achat). Jusquà présent, notre obj. de cours était fondé sur un ANR à horizon 12 mois. Il prenait en compte les obj. de cours des analystes de SG (ou du consensus de marché) pour les actifs cotés (plus de 70% de lactif brut réévalué de Wendel). Il intégrait également une décote spécifique de 10% liée au risque et aux incertitudes relatifs à la prise de participation dans Saint-Gobain. Nous adoptons une vision beaucoup plus conservatrice : 1) en prenant désormais pour référence lANR instantané (fondé sur les cours de Bourse actuels) et 2) en appliquant une décote de 10% à la valeur des actifs hors dette. Cours 1 an Price MA 100 145 120 95 Wendel utilisant des montages financiers intégrant un effet de levier significatif et la holding supportant une dette financière nette de 1.5 Md, nous calculons quappliquer une décote de 10% sur les actifs hors dette (soit, selon nous, se « protéger » contre une baisse de 10% supplémentaire des marchés actions) revient « mécaniquement » à appliquer une décote de 25% à lANR par action pour fixer notre nouvel obj. de cours. 70 2007 (th) 750 500 250 0 2007 Source : SG Equity Research Q Objectif de cours & recommandation Sur la base des cours au 16/01/08, nous estimons lANR par action à 89 , conduisant à un obj. de cours de 67 après application dune décote de 25% justifiée ci-dessus. Notre recommandation passe dAchat à Vendre, tenant compte dun potentiel de baisse de 15% et de la sensibilité spécifique du modèle de société dinvestissement à la baisse des marchés boursiers.
