See comments attached from Risk Mgmt to the Insur/Indemn provisions. There are some problems with these provisions. If the Bell chooses to hire its own legal counsel and incur legal expenses, they do so at their own cost; however, we will defend Bell in any claims for which we are liable. We won't amend our insurance policies. They are what they are. Thanks,

Further to Melissa's e-mail and conversation earlier today with Mark, please find attached hereto our proposed comments
to the Bell Canada Location Agreement, along with an English translation of the insurance and indemnification provisions.
I also draw your attention to the following:
1) Sections 3 and 7 provide that in no circumstance shall the leased premises be made available to Producer after June
24, 2014. Considering the production intends to use the premises in support of filming taking place on June 22 and 23,
2014, we recommend inquiring about additional flexibility in this regard.
2) While I understand that no filming will take place at the leased premises, please note that the Location Agreement does
contain a clause requiring Producer to blur or remove from photographs and/or recordings any symbol that would enable
a third party to identify the leased premises.
As always, please do not hesitate to contact me should you have any questions concerning the foregoing.

Hi Melissa, Philippe & Spring, We have to rent a hall in a Bell Canada building and must use their contract, here attached. The contract is in French and they do not have an English version. This contract is only for a catering hall, support and extras holding. We are not filming in or on this property. They are asking for $5,000,000.00 in general liability. 12. Lessee shall submit to Lessor, prior to the beginning of the use of the Premises, in a form
reasonably satisfactory to Lessor, proof of commercial general civil liability insurance and allrisk insurance being in effect for the duration of the lease of the Premises, for amounts not
inferior to five million dollars ($5,000,000) and for the full replacement value of Lessee’s
property on the Premises respectively. Each of the insurance policies shall designate Lessor as
additional insured as its interests may appear and the all-risk insurance policy shall contain an
expressblanket waiver of any right of subrogation that Lessee’s insurer may have against Lessor
and those for which Lessor is responsible under law in accordance with the indemnity provisions
herein, and the commercial general civil liability insurance shall contain a cross-liability clause
between the co-insured parties. Lessee shall provide Lessor with the certificate of insurance and
the amendment provided in Schedule C upon execution of this Agreement.
13. Except if due to the negligence or willful misconduct of the Lessor or those for whom Lessor
is responsible under the law, Lessee shall be responsible for any damage, loss or theft of
equipment used during the Event. Moreover, Lessee shall ensure that the assembly and
disassembly of the equipment that Lessee brings in the Building and the delivery of such
equipment shall be carried out at the times and location designated by Lessor, acting reasonably.
14. Except if due to the negligence or willful misconduct of the Lessor or those for whom the
Lessor is responsible under the law, LesseeLessor shall indemnify and hold Lessor harmless and
free from any claim, action, damage, loss, liability and expense (including, but not limited to,
those relating to physical injury (including death), bodily injury or property damage) arising out
of or resulting from this lease or any event, in or around the Premises andor arising out of the
occupation or use by Lessee of the Premises or any part of the Building, or caused in whole or in
part by any act or omission of Lessee, its representatives, employees, agents or contractors or due
to or arising out of any fault of Lessee under this lease. Should Lessor become party to any
litigation whatsoever caused by or formed against Lessee, in accordance with the indemnity
provisions herein, Lessee shall defend, protect, indemnify and hold harmless Lessor and pay all
reasonable costs and disbursements and all resasonable outside legal fees incurred or paid by
Lesseeor relating to any such litigation.

AMENDMENT TO THE CIVIL LIABILITY INSURANCE POLICY
The present document shall be submitted by Lessee to its insurer. The insurer must attach to its

of thirty (30) days being given by registered mail to the Lessor.
5.
The amendment shall be valid for a duration of 96 hours following the end of the event.

Any notice or correspondence from the insurer shall be addressed to
