Composition of the Regional Board The Regional Board shall consist of: A. A maximum of 19 representatives of the Regular Members of the Region. B. Of these, 15 are elected after consultation within the sub-regions by the Regional Assembly as follows : 5 places will be directly given to the members with the highest yearly traffic number in the sub region (major contributors). The ranking will be made on the basis of the statistics average of the last three years preceding the year of the elections. The ten places left will be subdivided between the other countries of the sub-regions as stipulated here after : C. North Africa : 2 members West Africa : 3 members East Africa : 2 members Central Africa : 1 member Southern Africa : 2 members (Note: The countries belonging to the five sub-regions are listed in Appendix 1) The other 4 members are: the Past Chair of the region, the representative of ASECNA, the representative of the host airport of the upcoming annual conference and the representative of Business Partners (only Gold members). The latter three have no voting rights. The President is elected from among the 15 elected members D. The retiring President shall be member of the Regional Board until he/she is replaced by his/her successor. E. Only the official representatives of Regular Members of the Region may become Members of the Regional Board. F. Members of the Regional Board are elected for a term of three renewable years. G. Any member of the Regional Board who ceases to be employed by the Regional Member that he/she represents or any member of the Board who represents an airport which ceases to be a Member of the Region, shall automatically vacate his/her seat on the Board. Any Member of the Regional Board may resign by notifying the President in writing. H. Alternates of members of the Regional Board shall be appointed in the same way as Regular Members. They shall attend sessions only in the absence of the Regular Member I. A position of Treasurer preferably from within the Board should be established. The Treasurer is a Member of the Executive Committee meetings. Article 16. Duties of the Regional Board A. The Regional Board shall determine regional policies for implementation by the SecretaryGeneral in accordance with the Internal Rules and decisions of the Regional Assembly. The Election of the ACI Africa Board members 2017-2019 4 Regional Board shall report to the Regional Assembly, shall supervise application of these Internal Rules within the framework of laws and regulations in force and shall draw up the agenda for the General Assembly. B. The Board shall transmit to the World Governing Board for information applications received from the Region for regular and associate membership of ACI in accordance with the ACI's Constitution. It shall also take decisions on admission or refusal of new Regional Associate Members, or on the termination or suspension of membership. C. ACI Africa President and the Vice President shall represent the Region at the World Governing Board. The Board shall nominate additional members as such seats become available. D. The Board shall appoint the Secretary-General. E. The Board shall report to ACI Headquarters on the utilization of funds received from ACI Headquarters, submitting justificatory documents for the ACI Auditor. F. The Board shall approve the regional programme of activities, and its participation in the work of other regional agencies. G. The Board may undertake any other duties assigned to it by the Regional Assembly in accordance with the ACI Constitution. H. Board Members are expected to travel on Board Business at their own expense. Article 17. Proceedings of the Regional Board A. The quorum for the work of the Board shall consist of not less than half of its Members. B. The Regional Board shall reach its decisions by a majority of votes cast. C. The Regional Board shall meet at least twice a year. It shall meet when summoned by the President or at the request of at least half of its Members. D. The Regional Assembly may pass a vote of censure on the Regional Board, following which the Regional Assembly shall elect a new Regional Board. E. In all cases of urgency, decisions may be taken by email vote of the members of the Regional Board. F. Minutes shall be kept of all Regional Board meetings, and shall be signed by the person presiding over the meeting. Article 18. Election of Board Members: During the first Board meeting of ACI Africa (spring meeting) of the election year, the SecretaryGeneral shall prepare the state of the outgoing members according to the status of ACI Africa (Article 15/E). This state shall be approved by the Board at this spring meeting. Information to Board Members and request for application: Three months before the General Assembly, the Secretary-General shall inform Regular Members (top management) and Business Partners who have paid their dues (by email and by registered letter) of the upcoming elections and quotas for each region according to the status of ACI Africa and request candidature proposal. Reception of nominations: Application forms should be received (by email or postal letter) by ACI Africa regional office no later than one month before the date of the Assembly. Election of Members of a sub-region: In case the number of candidates is equal to positions in the sub-region, the nominees will be selected for the sub region. Election of the ACI Africa Board members 2017-2019 5 In case the number of nominees exceeds the number of positions of the sub-region, the ACI Africa regional office shall inform members of the sub-region to review their proposals for candidature. In case of non-compromise between members of a sub-region, elections will be held at the Assembly. Article 19. President and Vice-President of the Region A. The Regional Board shall recommend candidates for the President and Vice President positions from among its members for a one term of three years. Nominations may also be made from the floor of the Regional Assembly; such nominee(s) must be members of the Regional Board. The President and Vice-President shall be elected by the Regular Members at the Regional Assembly. The election shall be decided by a majority of votes cast. B. The President may delegate certain of his powers to the Vice-President and to members of the Regional Board, but any such delegation shall always be revocable at any time by him/her. C. If a Vice-President resigns or becomes unqualified to continue in this capacity, the President shall propose to the Assembly the name of a successor in accordance with paragraph A above, for the remaining portion of the relevant term. Article 20. Replacement of the President A. If the President resigns or becomes unqualified to continue in office, the Vice-President shall succeed to the President’s position. Following the Vice-President’s fulfillment of the term of office of the former President, he or she shall then be eligible to serve a three-year term as President. The Board shall nominate a candidate from among its members as Vice-President to the Assembly. B. If the Regional Assembly makes a formal vote of censure on the Regional Board, the Regional Assembly shall immediately elect the new President who shall take office immediately. During the time between the vote of censure and the new President's taking office, the oldest person representing a Regular Member at the Regional Assembly shall chair the Assembly, notwithstanding the provisions of Article 17D above. C. The retiring President shall not be eligible for re-election. D. If the President and the Regional Board are severely in disagreement and if the President is unwilling to resign; the President or the Regional Board may decide in the interests of the Region to submit the dispute to the Regional Assembly. The Regional Assembly shall then hold a secret ballot to decide the issue. If the result of the ballot is against the position of the Board, see ACI Constitution Article 21. Article 21. Election of the President and the Vice-President During the first Board meeting of ACI Africa (spring meeting) of the election year, the Secretary-General shall submit the criteria for the position of the President and the Vice-president of ACI Africa according to the status (Article 18) Information to members and request of candidacy: A month before the Assembly, the Secretary-General shall inform Board candidates and request nominating candidates. Reception of candidatures: Application forms should reach ACI Africa regional office no later than 20 days before the date of the Assembly (by email or postal letter). Election of the President and the Vice-President of the Board: In case there is only one candidate for the position of President and only one for the Election of the ACI Africa Board members 2017-2019 6 position of the Vice-president, the nominees will be considered for ACI Africa Board. In case the number of nominees exceeds the number of positions, the candidates shall be informed to review their proposals for candidatures. In case of non-compromise between candidates, elections will be held at the Assembly. In case the number of candidates is less than the number of positions, the candidacy will be restarted at the Assembly. Article 22. Duties of the Treasurer A. Present the Audit report to the Governing Board. B. Oversee the accounting. C. Help with the audit. D. Attend Executive Committee meetings. Article 23. Duties of the Secretary- General The Secretary- General shall: A. Prepare meetings of the Regional Assembly and the Board, and keep the relevant minutes; B. Prepare Regional Conferences in co-operation with the host airport and ACI Headquarters; C. Prepare the regional budget in cooperation with ACI Headquarters; D. Keep the Region's accounts under control of ACI Headquarters' Treasurer; E. Manage day to day business; F. Pass on information to Regional Members; G. Organize and co-ordinate the Regional Working Groups and their work, H. Manage the performance of the Regional Office Staff. Election of the ACI Africa Board members 2017-2019 7 PART IV : EXECUTIVE COMMITTEE Article 24. Members of the Executive The members of the Executive Committee shall be members of the Governing Board. They shall be appointed in accordance with Article 15 and shall implement the policies of the Governing Board. Article 25. Composition of the Executive Committee The Executive Committee shall consist of 7 members as follows: the elected Chair and Vice-Chair of the ACI Africa Regional Board of Directors, a representative of each sub-region (not including the Vice-president of the sub-region), and the Treasurer, appointed in accordance with the provisions of Article 15(I). The Secretary-General of ACI Africa may, at the invitation of the Chair, also attend Executive Committee meetings without voting rights. Article 26. Meeting of the Executive Committee Meetings of the Executive Committee shall be held at any time and place determined by the executive committee members and subject to the notification seventy-two (72) hours in advance in writing notice or by mail to each member of the committee. Three (3) members shall constitute a quorum. No replacement of members is authorized; the physical presence of members is required. Absent members cannot invalidate such meeting or cancel decision taken thereat. Any member of the Committee may at any time waive notice of a meeting and may ratify, approve and confirm the proceedings that have been made. Article 27. Authorities and Duties A. Meetings shall be called by the Chair. The Executive Committee shall make proposals and recommendations to the Governing Board. The Executive Committee shall provide continuity of governance between meetings of the Governing Board. B. The Executive Committee shall monitor and co-ordinate the activities of the regional standing committees. C. The Executive Committee shall be responsible for developing services to members. D. The Executive Committee shall approve the chair and secretary of regional standing committees and African representatives to World Standing Committees. E. Decisions may be taken by a postal or e-mail vote of the members of the Executive Committee. Votes at a telephonic meeting must be ratified by a postal or e-mail vote. F. The Executive Committee shall oversee and monitor the activities of the Secretary-General of ACI Africa. G. The Executive Committee shall oversee and monitor the implementation of the ACI Africa Strategic Plan. H. Any motion for a supplementary dues assessment must first be submitted to the Executive Committee, where at least three (3) sub-Regions’ representatives must vote in favor before it may be submitted to the Governing Board. Election of the ACI Africa Board members 2017-2019 8 PART V : REPRESENTATIVES OF ACI AFRICA TO WORLD GOVERNING BOARD Article 28. Member of the World Governing Board The World Governing Board is composed of 29 members and of 2 observers (maximum per region) representing the five regions of ACI. Within the World Governing Board, there shall be Executive and Audit Committees. Members of the Executive and Audit Committees should be members of the World Governing Board. The Executive Committee consists of the elected Chair and Vice-Chair of ACI, the immediate past Chair and the President/Chair of each region designated by each region and the Treasurer. The Audit Committee members must not be on the Executive Committee. The number of representatives and advisors depends on the traffic identified in each region. Members of the World Governing Board are entitled to two terms of three years each. (Exceptions are made regarding the Presidents/Chairs of the regions). No replacement of members is authorized; the physical presence of members is required. Missing three successive meetings automatically cancels the designation of the World Governing Board member who will be replaced by another member. The English language is the official language of meetings. ACI doesn’t support any expenses related to attendance of meetings of the World Governing Board. Article 29. Procedures and rules for appointing ACI Africa members to the World Governing Board Currently the African region is assigned five positions in the World Governing Board: 3 members and 2 advisors. Representatives of ACI Africa to the World Governing Board shall be members of ACI Africa Board of Directors. Two seats are automatically allocated to the Chairman and Vice-Chairman of ACI Africa. The three remaining seats (one member and two advisors) shall be distributed between members of the ACI Africa Board. In case of a vacancy of a member position, the oldest advisors assume the position. It is preferable that advisors shall be representative of the sub-regions and the different categories of airports. . Commitment of Board Members Board members for the October 2016 elections must be able to serve for a 3 year term; Board Members remain in regular contact with ACI Africa members in order to represent their interests and needs during Board Meetings; Board members should keep up to date on the developments in the field of aviation and airport management internationally; Board Members must be able to attend, prepare for and actively participate in all Board meetings and functions. The ACI Africa Board holds 2 face-to-face Board meetings each year. Face-to-face Board meetings are organized in conjunction with Working Group meetings and the Annual General Assembly to minimize travel. Board members will receive an agenda and materials for study prior to each meeting. Board Members are also asked between Board meetings to participate in email or phone discussions to resolve issues and take decisions on timely matters. Because ACI Africa Board is spread across the whole continent, ACI Africa Board Members must be ready to participate actively in telephone, email and web-based communication between Board meetings; Board members should be willing to serve on committees and offer to take special assignments related to the Board functions listed above; Board members should be willing to represent ACI Africa at international events or at meetings with international partner or potential partner organizations; Board members should follow conflict of interest, confidentiality and financial policies established by ACI Africa; Board members should be willing to work with ACI Africa staff, Board members and others for raising funds to help ACI Africa to achieve its sustainability goals; Board members should be willing to be elected to represent the African region in the Board of ACI World. 2. Nomination criteria for candidates Commitment to ACI Africa ’s vision and mission and an understanding of how to support its goals and objectives; Regular Board members should be CEO’s or senior managers of the direction of their organizations; Alternate members should be executives/directors within their organization and aviation industry; High-quality leadership with commitment and contributions to programs that benefit airports of Africa; Ability to objectively consider various perspectives to guide major policy decisions of ACI Africa ; Strong interpersonal skills and the capacity to work collegially with others; Expertise in special areas needed by ACI Africa, including knowledge of governance, strategic planning, development of membership organizations, aviation and airport management; Ability to be a public spokesperson on behalf of ACI Africa and its principles It is desirable that the ACI Africa Board represents the overall interests of the airport community in Africa, and reflects the geographic, ethnic, and linguistic diversity of member countries. For the 2016 elections, it is necessary that all candidates are willing to serve as vice president or president, if elected by the Council. Election of the ACI Africa Board members 2017-2019 14 3. Election procedures of the ACI Africa Board Nominations and election procedures are created to ensure transparency and promote a positive atmosphere during the nomination and election process. These procedures are encoded in the ACI Africa By-law / Statute. The ACI Africa Regional Office is tasked with organizing the nominations process and elections within the rules established by the Board. 4. Nominations Procedures for the 2016 elections: 4.1. The nominations process in 2016 is completely open to ACI Africa members whose dues are in good financial standing/up-to-date. That is, both ACI Africa Regular Members and World Business Partners are encouraged to nominate themselves or others as candidates for election to the Board. Following the ACI Africa Spring Meeting in April 2016, the nomination process shall be initiated within the five sub-regions. The sub-regions should co-ordinate the election process internally. The names of the nominated candidates should be submitted to the regional office of ACI Africa by email ([email protected]; [email protected]) before 30 June 2016. 4.2. Sub-region election Process ACI Africa Co-ordination Process If nominations exceed the number of positions available, the General Secretary will inform the region to review the nominees. In case the number of candidates remains higher than the number of positions for the subregion, an election for the sub-region will be organized at the time of the General Assembly in October. The Regional Office will contact all nominees personally at the time of their nomination to find out if they accept their nomination. The nominated candidates shall be presented to current Regional Board the on 15 October 2016, for ratification. At the conclusion of the Board meeting, the Newly Regional Board shall recommend a candidate for President and Vice President from among its members for a one term of three years 4.3. Selection of the ACI Africa President The Newly Regional Board shall recommend a candidate for President and Vice President from among its members for a one term of three years. Nominations may also be made from the floor of the Regional Assembly; such nominee(s) must be members of the Regional Board. The President and Vice- President shall be elected by the Regular Members at the Regional Assembly. The election shall be decided by a majority of votes cast.
