Octobre 2016 LE NOUVEAU RÉFÉRENTIEL COMPTABLE LUXEMBOURGEOIS 2016 : ANTICIPEZ LES CHANGEMENTS AVANT LA CLOTURE Les modifications de la Loi comptable luxembourgeoise adoptées en décembre 2015 revisitent le référentiel comptable luxembourgeois pour les exercices débutant à partir du 1er janvier 2016. Une augmentation des seuils qualifiant les “grandes” sociétés Un plus grand nombre de sociétés auront désormais la possibilité de bénéficier des exemptions optionnelles applicables aux sociétés de taille moyenne. Il s’agit notamment de la possibilité de préparer un compte de profits et pertes abrégé et de réduire les informations portées à l’annexe des comptes annuels. De nouvelles règles d’évaluation Lorsque leur durée d’utilisation ne peut pas être estimée de manière fiable, les fonds de commerce et les frais de développement sont amortis sur une période maximale de 10 ans, contre 5 ans auparavant. Les corrections de valeur exceptionnelles appliquées au fonds de commerce sont irréversibles, même lorsque les raisons qui ont motivé ces corrections de valeur ont cessé d’exister. Les frais de recherche ne peuvent plus être activés. Par conséquent, leur valeur nette comptable doit être reprise au compte de profits et pertes au plus tard au 31 décembre 2016, avec mention à l’annexe. Les corrections de valeur exceptionnelles sur les éléments de l’actif circulant constituées afin d’éviter une modification de leur évaluation dans un proche avenir en raison de fluctuations de valeur ne sont plus permises. Modifications du schéma de présentation des comptes annuels Présentation du bilan et du compte de profits et pertes Le schéma de présentation du bilan et du compte de profits et pertes a été revu. Le compte de profits et pertes est maintenant présenté sous forme de liste par opposition à une présentation sous forme de tableau distinguant les charges et les produits. La classification des produits et des charges par nature reste inchangée. La transition de l’ancien schéma au nouveau schéma de présentation a fait l’objet d’une publication de la Commission des Normes Comptables (voir Q&A CNC 16/010). Un des changements les plus importants est la disparition des rubriques “Charges exceptionnelles” et “Produits exceptionnels”. Ces éléments doivent à présent être classés dans les rubriques d’exploitation ou financière selon leur nature. Les charges et produits, dont la taille ou l’incidence sont exceptionnelles, doivent être mentionnés dans l’annexe (voir Q&A CNC 16/008 émis par la Commission des Normes Comptables). La présentation des produits et charges financières a également été revue. Les lignes directrices quant à la classification de ces comptes ont été proposées par la Commission des Normes Comptables, dans sa publication Q&A CNC 16/011. Contenu de l’annexe des comptes annuels Les principales modifications sont les suivantes : - - - Une description plus détaillée des principes comptables et des méthodes d’évaluation ; Une description des événements significatifs postérieurs à la date de clôture des comptes annuels; Des informations sur les éléments de taille ou d’incidence exceptionnelle ; Lorsqu’une provision pour impôt différé est comptabilisée, la mention des modifications de ces soldes durant l’exercice ; D’avantage d’informations à fournir en annexe sur les transactions avec les parties liées. Les impacts liés à l’adoption des nouvelles règles d’évaluation sont également à renseigner dans l’annexe. Lorsqu’ il a été procédé à des compensations entre des postes d’actif et de passif ou entre des postes de charges et de produits, les montants compensés sont indiqués comme des montants bruts dans l’annexe. Le principe d’information « significative » a été introduit. Ce terme définit le statut d’une information dont on peut raisonnablement penser que l’omission ou l’inexactitude risque d’influencer les décisions que prennent les utilisateurs sur base des comptes annuels. Contenu du rapport de gestion Compte tenu de l’obligation de mentionner les événements significatifs postérieurs à la date de clôture du bilan dans l’annexe, il n’est plus obligatoire d’en faire mention dans le rapport de gestion. Par ailleurs, la nouvelle législation prévoit un contrôle plus approfondi du rapport de gestion par le Réviseur d’entreprises agréé. Increase in the thresholds defining large companies A larger number of undertakings will have the opportunity to benefit from possible exemptions applicable to medium entities. This includes the option to prepare an abridged profit and loss account and to disclose less information in the notes. In’000 EUR Old New Net Turnover 35,000 40,000 Total Balance Sheet 17,500 20,000 Average number of employees 250 250 The thresholds for the consolidation exemption for small groups (art. 313 of the amended Law on Commercial Companies) have also been increased to the amounts indicated in the previous table. New valuation rules Where the useful life cannot be reliably estimated, goodwill and development costs can be written off over a period not exceeding 10 years, instead of the previous 5 years. Additional exceptional impairments on goodwill cannot be reversed anymore, even if the reasons for which the value adjustments were made have ceased to apply. Research costs cannot be capitalised anymore. As a result, such costs must be derecognised by 31 December 2016 at the latest. Relevant information must be disclosed in the notes. Exceptional value adjustments on current assets to avoid a change in their valuation in a near future due to value fluctuations are not allowed anymore. Revisions to the layout of the annual accounts Layout of the balance sheet and profit and loss account The layout of the balance sheet and profit and loss account has been revised. The profit and loss account is now structured in the form of a list, whereas, in the previous layout, income and expenses were presented separately in the form of a table. The presentation of income and expenses by nature remains unchanged. Guidance on the transition from the former layout to the new one has been provided by the Commission des Normes Comptables (see Q&A CNC 16/010). One of the most important changes consists in the removing of the captions “Extraordinary charges” and “Extraordinary income”. Those items must now be classified as operational or financial items, according to their nature. Charges and income, whose size or incidence are extraordinary, are now to be disclosed in the notes (see Q&A CNC 16/008 issued by the Commission des Normes Comptables). The presentation of financial income and expenses has also been reviewed. Further guidance on the new mapping of the accounts can be found in the Q&A CNC 16/011 issued by the Commission des Normes Comptables. Content of the notes to the annual accounts The major modifications include: A more detailed description of the accounting policies and measurement bases; Information about material post-balance sheet events; Information about items with an extraordinary size or impact; Where a provision for deferred tax is recognised, movements in deferred tax balances; A broader scope of information on related party transactions to be disclosed in the notes. The impact of the new valuation rules and of the implementation of these new regulations must be disclosed in the notes. Where a set-off between assets and liabilities or between income and expenditure has been done, the amounts set-off must be specified as gross amounts in the notes. The principle of Materiality has been introduced. This term refers to the status of information where its omission or misstatement could reasonably be expected to influence decisions that users make on the basis of the annual accounts. Content of the management report As information about material postbalance sheet events have to be disclosed in the notes, Management bodies are not requested to disclose them in their management report. Moreover, the new regulation foresees more controls by the Réviseur d’entreprises agréé on the management report. Januar 2016 begonnen haben. Erhöhung der Schwellenwerte zur Definition von großen Unternehmen In Zukunft wird eine größere Anzahl an Unternehmen die Möglichkeit haben, Vereinfachungsregeln in Anspruch zu nehmen, die für mittlere Unternehmen gelten. Dies beinhaltet die Option, die Gewinn- und Verlustrechnung verkürzt darzustellen und im Anhang weniger Details offenzulegen. in’000 EUR alt neu Nettoumsatz 35.000 40.000 Bilanzsumme 17.500 20.000 Durchschnittliche Anzahl Mitarbeiter 250 250 Ebenso angehoben wurden die Schwellenwerte (siehe obige Tabelle) für die Befreiung von der Konsolidierungspflicht für kleine Gruppen (Art. 313 des geänderten Gesetzes über die Handelsgesellschaften). Neue Bewertungsregeln In den Fällen, in denen die Nutzungsdauer des Goodwills oder der Entwicklungskosten nicht zuverlässig zu bestimmen ist, kann die Abschreibung über maximal 10 statt wie bisher 5 Jahre erfolgen. Zusätzliche außerordentliche Wertminderungen auf den Goodwill können nicht mehr rückgängig gemacht werden, auch nicht, wenn die Wertminderungsgründe, weggefallen sind. Forschungskosten dürfen nicht mehr aktiviert werden. Folglich sind bisher aktivierte Forschungskosten spätestens bis zum 31. Dezember 2016 auszubuchen und im Anhang zu erläutern. Außerordentliche Wertminderungen auf Umlaufvermögen zur Vermeidung von Bewertungsänderungen in naher Zukunft aufgrund von Wertschwankungen sind nicht mehr erlaubt. Neuregelungen zur Darstellung des Jahresabschlusses Darstellung der Bilanz und der Gewinn& Verlustrechnung Die Darstellung der Bilanz und der Gewinn- & Verlustrechnung wurde neu gegliedert. Die Gewinn- & Verlustrechnung wird von nun an in Staffelform dargestellt, wogegen in der vorherigen Gliederung Aufwendungen und Erträge getrennt voneinander in Kontoform gegenübergestellt wurden. Die Darstellung nach dem Gesamtkostenverfahren wird beibehalten. Die Überleitung von der alten zur neuen Darstellung ist der Veröffentlichung der Commission des Normes Comptables (siehe Q&A CNC 16/010) zu entnehmen. Eine der wichtigsten Änderungen besteht im Wegfallen der Posten „Außerordentliche Aufwendungen“ und „Außerordentliche Erträge“. Diese Posten müssen von nun an gemäß ihrer Wesensart den betrieblichen Aufwendungen bzw. Erträgen oder den Finanzaufwendungen bzw. Finanzerträgen zugeordnet werden. Aufwendungen und Erträge, die der Höhe oder dem Grunde nach außerordentlich sind, sind von nun an im Anhang zu erläutern (siehe hierzu die von der Commission des Normes Comptables herausgegebenen Q&A CNC 16/008). Die Darstellung der Finanzerträge und – aufwendungen wurde ebenfalls überarbeitet. Eine Anleitung für die neue Zuordnung der Konten bieten die von der Commission des Normes Comptables herausgegebenen Q&A CNC 16/011. Anhangangaben Die wichtigsten Änderungen betreffen: - Eine detailliertere Beschreibung der Rechnungslegungsgrundsätze und Bewertungsmethoden; - Informationen über wesentliche Ereignisse nach dem Bilanzstichtag; - Informationen zu der Höhe oder dem Grunde nach außerordentlichen Sachverhalten; - Sofern Rückstellungen für latente Steuern gebildet sind, Angaben zu den Änderungen ihrer Salden; - Umfangreichere Angaben zu Geschäften mit nahestehenden Personen und Unternehmen. Die Auswirkungen der neuen Bewertungsregeln und die Anwendung dieser neuen Vorschriften müssen im Anhang angegeben werden. Wenn eine Saldierung von Aktiva und Passiva oder Erträgen und Aufwendungen vorgenommen wurde, müssen die jeweiligen Bruttobeträge in den Erläuterungen offengelegt werden. Das Prinzip der Wesentlichkeit wurde eingeführt. Dieser Begriff bezieht sich auf den Status von Informationen, wenn vernünftigerweise zu erwarten ist, dass ihre Auslassung oder fehlerhafte Angaben, Entscheidungen beeinflussen die Nutzer des Jahresabschlusses treffen. Inhalt des Lageberichtes Da Angaben über wesentliche Ereignisse nach dem Bilanzstichtag im Anhang offengelegt werden müssen, ist eine Angabe im Lagebericht nicht mehr erforderlich. Zu guter Letzt sehen die neuen Vorschriften umfangreichere Kontrollen des Lageberichtes durch den Réviseur d’entreprises agréé vor.
