The text of the General Conditions is also available at the Issuer and can be consulted on www.bcccorporate.be. Article 1 - Definitions his Card to the merchant constitutes a payment order given by the Card Holder to the Issuer, in favour of the merchant. 2. The Card Holder is solely responsible for communicating his Card data, when this is not for the immediate purchase of goods or services (reservations, guarantee, hire, emergency check-out, etc...). Any request for reimbursement following such communication of data can only be directed towards the merchant. 3. The consent can not be withdrawn by the Card Holder, no more than a payment order can be revoked once it has been received by the Issuer. 4. In case of contestation by the Card Holder, the Issuer reserves the right, after an inquiry regarding the disputed payment order and on presentation of sufficient proof or assumptions, to charge the transaction to the Card Holder. In the conditions below, the following terms will be used: - The Issuer = BCC Corporate NV, being the issuer of the Card; - The Card = the MasterCard Office Manager Card; - The Card Holder = the natural person in whose name and for whose use a MasterCard Card has been issued by the Issuer; - The Card Account = the account opened by the Issuer in name of the Card Holder. - The Principal Holder = the company in whose name an Internal Account has been opened. - The Internal Account = the main account opened by the Issuer in the name of the Principal Holder to which the Card Accounts of the Card Holders are linked. - The Payee = the natural or legal person who is the intended recipient of funds which have been the subject of a payment transaction; Article 7 - Blocking of the Card Article 2 – Issuing and Characteristics of the Card Article 8 – Refusal of Payment Orders 1. The Issuer reserves the right to refuse the issuing of a Card. 2. The Card may only be used by the Card Holder, in conformity with the conditions in force at the time of use and within the agreed spending limit for each Card. 3. Using the Card implies acceptance of the present General Conditions and the special conditions appearing on the Card and the monthly statements, or otherwise communicated by the Issuer. 4. The MasterCard Office Manager Card should only be used for professional ends. 5. At the Principal Holder’s request, the Issuer can deliver a Card to anyone designated by the Principal Holder and authorized by it to use the Card. 6. Depending on the chosen method of payment in the document of the opening of company account, the Card Holder or the Principal Holder will solely or jointly be responsible for the payment of the expenditures with the Card, in accordance with the provisions of article 10. 7. The Card always remains the property of the Issuer and must be returned to the Issuer immediately by the Card Holder or the Principal Holder on first request. 1. The Issuer reserves the right to refuse to execute a payment order, except where all the conditions set out for the consent with the execution of a payment order are met. 2. The refusal and, if possible, the reasons for it and the procedure for correcting any factual mistakes that led to the refusal shall be notified to the (Principal) Card Holder in writing and/or via the Payee. 3. The Issuer may charge for such a notification if the refusal is objectively justified. Article 3 – Renewal of the Card 1. Before the Card expires a new Card will be sent to the Card Holder by mail, unless the Card Holder or the Principal Holder sends a notice to the contrary in writing two months before the expiry date or the Issuer refuses to issue a new Card. 2. On receipt of his new Card, the Card Holder signs it and immediately destroys the old Card. Article 4 – Security Measures 1. For security reasons, the Card Holder will sign the Card upon receipt with a ballpoint pen. 2. A secret personal identification number is also sent to the Card Holder under sealed cover that he should destroy after memorising the PIN. This PIN can be changed by the Card Holder, entirely on his own responsibility. In order to prevent any fraudulent use, the Card Holder expressly undertakes to keep his personal identification number secret. The PIN is not to be communicated to anyone else, nor noted on the Card or on any other document. Non-compliance with this rule is considered by the Issuer to be gross negligence without prejudice to the judgment of courts and tribunals. 3. Notably, in order to avoid fraudulent use by a third party, the Card Holder agrees to keep the Card safe and, for example, not to leave it in a car or in a place which is accessible to the public, unless, in the latter case, it is kept in a locked cupboard or drawer. Considered to be places which are accessible to the public are places to which many people have access, without being open to the public. Article 5 – Monthly spending limits 1. The applicable limits of use are communicated to the Card Holder when the Card application is made. 2. Within the limits of minimum and maximum amounts set by the Issuer (communicated to the Card Holder), the applicable limits may be adapted twice yearly, upon request by the Card Holder and with the agreement of the Issuer, according to the needs of the Card Holder. 3. Furthermore, the Card Holder may, within the limits of the abovementioned minimum and maximum amounts, request a modification of applicable limits in the following cases: 1. following the loss or theft of the Card; 2. in the case of charges in the statements of expenditure due to any transaction made without the Card Holder’s consent. Article 6 – Consent with a Payment Transaction 1. A payment transaction is considered to be authorised only if the Card Holder has given consent to execute the payment transaction in the following manner: a. By signing the debit note presented by the Payee. b. In case of electronic cash withdrawals or payments for which a secret personal identification number is necessary, this personal identification number replaces the autograph signature and constitutes the electronic signature of the Card Holder. c. Only the Card Holder can buy goods or services sold through communication technology at a distance (such as the telephone, mail, fax, Internet) with his Card. In this event, the sole communication by the Card Holder of the number and the expiry date of 1. The Issuer reserves the right to block the Card for objectively justified reasons related to the security of the Card, the suspicion of unauthorised or fraudulent use of the Card, or a significantly increased risk that the (Principal) Card Holder may not be unable to fulfil his liability to pay. 2. In such cases the Issuer shall inform the (Principal) Card Holder of the blocking of the Card and the reasons for it, where possible, before the Card is blocked and at the latest immediately thereafter, unless giving such information would compromise objectively justified security reasons of is prohibited by other relevant legislation. 3. The Issuer shall unblock the Card or replace it with a new Card once the reasons for blocking no longer exist. Article 9 – Statement of Expenditure 1. Each month, whenever the Card(s) has (have) been used, the Issuer puts at the disposal of the (Principal) Cardholder an electronic and/or paper statement of expenditure. If a statement of expenditure is put at the disposal of the Principal Cardholder, this statement will contain a summary of all expenditures of all Card Holders. 2. This statement records all the transactions carried out by the Card Holder using his Card, as well as the internal bookings which have been recorded by the Issuer on the Card Account since the previous statement. For every cash withdrawal with the Card, the statement records a commission calculated on the amount requested. The applicable commission rate is the one in force at the moment of the cash withdrawal and can be consulted at any time on www.bcc-corporate.be, as mentioned in article 14. 3. A fee is charged every year on the statement of expenditure. An early termination of the agreement will under no circumstances entail even partial reimbursement of the annual fee. 4. All transactions in foreign currency are converted into the currency of the Card Account at a rate which will be fixed by the Issuer on the basis of the exchange rate officially published by the European Central Bank on the day the transactions are received by the Issuer. 5. The Issuer reserves the right to set off credit and debit balances against each other. 6. The Card Holder agrees to read the statements of expenditure sent to him/her immediately. The Card Holder will not be able to reproach the Issuer for not communicating account details, unless a serious or intentional error in the authority of the Issuer can be proven. Article 10 – Terms of Payment 1. On receipt of the statement, the total amount of each statement must be settled before the due date given on the statement. 2. Depending on the chosen method of payment in the document of the opening of company account, the Card Holder or the Principal Holder will solely or jointly be responsible for the payment of the expenditures with the Card, and in particular: a) “central billing, central settlement”: only the Principal Cardholder receives a statement of expenditures and is responsible for the payment. b) “individual billing, individual settlement with joint and several liability”: only the Cardholder receives and pays for the statement of expenditures; however, the Principal Cardholder is jointly and severally liable for the payment of any debit balance from the second reminder onwards, as well as for the interests and costs resulting from the non payment or the late payment. c) “individual billing, individual settlement with private liability”: the Cardholder is always responsible for the payment. 3. In case of non-payment by the due date, the balance will legally and without notification be increased by the contractual interest recorded on the monthly statement, calculated as from the date of the statement and in force at the time the monthly statement is issued. 4. If the Card Holder does not respect the terms of payment or exceeds his spending limit, the Issuer reserves the right to terminate the present contract and demand immediate payment of all outstanding amounts. In that case, in addition to the above-mentioned interests, the Issuer will also charge compensation amounting to 15% of the balance owed with a minimum of 25 euro. The Issuer also reserves the right to withdraw the Card in these circumstances. Article 11 – Dispute of Payment Transactions 1. Any irregularity relating to the monthly statement should be notified to the Issuer by the Card Holder, as soon as he is aware of it, imperatively within 3 months following receipt of the statement. The statement of expenditure is presumed to have been communicated to the Card Holder three days after the date mentioned on the statement. 2. Without prejudice to the above, the Issuer will, in the case of a dispute of a transaction made with the Card, provide proof that the transaction was recorded correctly and accounted for, as long as the Issuer is notified of the dispute within three months after the statement of expenditure was sent. Loss or theft, in the sense of the present General Conditions, denotes any dispossession of the Card or disclosure of the PIN code. Misappropriation in the sense of the present General Conditions denotes any use of the Card, the PIN code and/or the Card data by a third party. 2. As soon as the (Principal) Card Holder becomes aware of the loss, theft or misappropriation of the Card and/or the disclosure of the PIN code, the (Principal) Card Holder must inform the Issuer immediately by contacting Card Stop by telephone on 070 344 344 (or +32 70 344 344 if phoning from abroad). The telephone call will be recorded by an automated system, and the recorded information will be used as evidence in the case of dispute. The Issuer shall provide the (Principal) Cardholder with the means to prove, for 18 months after notification, that he made such notification. The (Principal) Card Holder should also report the loss or theft of his Card to the competent authorities within 24 hours and send evidence of this to the Issuer if requested. The (Principal) Card Holder also undertakes to communicate to the Issuer any information required for its investigations. 3. In the case of theft, loss or misappropriation of the Card, the Card Holder’s or the Principal Card Holder’s responsibility is limited to 150 EUR for non-authorised transactions made before notification. However, the (Principal) Card Holder shall bear all the losses relating to any unauthorised payment transactions if he incurred them by acting fraudulently or by failing to fulfil one or more of his contractual or legal obligations or gross negligence. In such cases, the maximum amount of 150 EUR shall not apply. 4. After notification, the (Principal) Card Holder is no longer responsible for the consequences related to the loss, theft or misappropriation of the Card, unless the Holder is guilty of gross negligence or fraud. 5. The non-compliance with the present General Conditions, as well as the precautions described in the annexe which are part of the present General Conditions, is considered by the Issuer to be gross negligence without prejudice to the judgment of courts and tribunals. 1. The parties may terminate the present contract at any time, without indemnities. 2. The Card related to the terminated Card Account must be returned to the Issuer immediately, cut in half. The Issuer declines any liability for transactions carried out with the Card after the termination of the contract. 3. In the event of cancellation, the (Principal) Card Holder remains liable for all the transactions carried out with the Card until its actual return to the Issuer. The (Principal) Card Holder is to pay the debit balance on the Card Account, as well as to respect any other undertakings he has made to the Issuer by using the Card or the data it contains. The (Principal) Card Holder undertakes to cancel any subscription paid by debit of the Card. Article 13 – Responsibility of the Issuer Article 18 – Processing of Data 1. Without prejudice to the obligations and responsibilities of the (Principal) Card Holder described in the present General Conditions, the Issuer is responsible: a) for the non-execution or incorrect execution of transactions made with the Card using devices, terminals or equipment authorised by the Issuer, without prejudice to the provisions of articles 7 and 8. b)for transactions made without the authorisation of the Card Holder, and all errors or irregularities occurring in the management of the Card Holder’s account attributable to the Issuer, without prejudice to the provisions of article 12. c) in the case of counterfeit of the Card by a third party, for the use of the counterfeit Card, without prejudice to the provisions of article 12. 2. Neither can the Issuer be held responsible if the Card is refused because of a technical problem. 3. The Issuer only undertakes to provide a means and not a result. 4. The Issuer can in no way be held responsible in case a Payee refuses to accept the Card. Any conflict arising between the (Principal) Card Holder and the Payee is to be settled mutually. 5. However, the responsibility of the Issuer is limited to: a) the amount of the non-executed or incorrectly executed transaction, including the interest charged on the amount; b) the sum which might be necessary to re-establish the situation of the Card Holder before the unauthorized transaction occurred, including the interest charged on the amount; c) the necessary sum to re-establish the situation of the Card Holder before the use of the counterfeit Card; d) the amount of the costs which might have been assumed by the Card Holder to determine the compensable damage, as long as the costs are established in convincing documents. 1. Personal information concerning the (Principal) Card Holder provided by the (Principal) Card Holder or by third parties, including the data relating to transactions carried out by him by means of the Card, is stored in one or more files. The Issuer is the holder of these files. 2. These data will be used by the Issuer for the preparation and management of its relation with the (Principal) Card Holder, for its own commercial use, and to prevent and combat abuses, in particular to safeguard the prevention, investigation and detection of payment fraud. 3. The (Principal) Card Holder has a right of access to the data relating to him. If they are incorrect, incomplete or irrelevant, he may require their amendment or removal. The (Principal) Card Holder wishing to exercise this right may do so by a written dated and signed request to the Issuer (Customer Contact Center), accompanied by a copy of both sides of his identity card. The (Principal) Card Holder may also dispute the processing of information about him or her by the Issuer for direct marketing, upon request and free of charge. 4. The Commission of the Protection of Privacy maintains a register of computerized data of personal nature. The Card Holder requiring additional information can consult this register. Article 14 - Rates 1. Are (or can be), among other thing, the object of fixing rates: cash withdrawal, the issuing of a new Card in replacement of a stolen, lost or damaged Card, the issuing of a new code in the case of forgetfulness, unfounded dispute of a transaction, the sending of paper statement (€5/year), the payment without structured communication (15€/ payment), … 2. All rates can be consulted at any time www.bcc-corporate.be. 3. The Issuer has the right to modify these costs and rates in accordance to the provisions of article 16. 4. The Cardholder and the Principal Cardholder expressly agree that the Issuer has the right to apply, for each payment order, the costs and rates in force at the date of the payment order. Article 16 – Modifications of Conditions 1. The Issuer reserves the right to modify the present General Conditions at any time, as well as the special conditions recorded on the monthly statements or the Card, by means of a written communication to the Card Holder, or possibly on the monthly statement. 2. These modifications become opposable 1 month after the notification has been sent unless the Cardholder and/or Primary Cardholder return their Card within this term 3. After this period, any use of the Card indicates acceptance without reserve by the Principal Holder and the Cardholder of the modified conditions. Article 17 – Change of Address 1. In the event of change of address, the Principal Holder and/or the Card Holder should immediately inform the Issuer in writing. 2. The Principal Holder must also notify the Issuer in writing as to any modification of statutes, change in activity or commercial name. In such case, the Issuer may immediately terminate the present contract. Article 19 - Jurisdiction 1. The agreement between the Issuer and the (Principal) Cardholder is governed by Belgian Law, including International Private Law. 2. Considering the purely professional use of the Card, the Cardholder and the Primary Cardholder expressly agree that the provisions of Title II and Title III of the Payment Services Law and the provisions of the Consumer Credit Law shall not be applicable, with exception of such provisions that can not be excluded. 3. Any dispute arising from the present agreement between the Issuer and the Cardholder and/or the Primary Cardholder shall be brought solely before the Court of Brussels and the Justice of the Peace of the 3rd Brussels Canton.
