Consumer Information in Accordance with Article 246b, Section 2(1) in Conjunction with Article 246b, Section 1(1) of the Introductory Act to the German Civil Code [EGBGB] (English Version) 1. General Information on the Start-up a. Company, Address for Service, and Commercial Register Entry LUUV Forward GmbH, Fuldastr. 57, 12043 Berlin, Germany, listed in the commercial register of the local court [Amtsgericht] Charlottenburg under HRA 156960 b. Authorized Representative Tim Kirchner and Felix Kochbeck c. Principal Commercial Activity According to the object described in the bylaws of the start-up, the principal commercial activity of the start-up is the development, production, marketing, and sale of products in the area of photography and film technology while using innovative production processes. d. Responsible Supervisory Authority None 2. Information on the Provision of Loans a. Risk Warning A loan provided to the start-up carries specific business risks because of its specific characteristics (i.e., that of a subordinated loan). Possible past revenues are no indicator of future revenues. The financial service does not relate to financial instruments whose price depends on fluctuations in the financial market. This investment carries considerable risks and may lead to a complete loss of the assets invested. b. Essential Characteristics of the Financial Service Offered The start-up offers a subordinated profit-participating loan with qualified subordination for purchase. The qualified profit-participating loan granted to the issuer does not constitute a share in the company in accordance with company law, but it grants the investor (i.e., the lender) a contractual claim to the repayment of the loan amount with final maturity (no redemption payments during the time to maturity), to the payment of a profit-independent fixed interest rate of 1 % p.a. on the loan amount provided (no interest payments during the time to maturity), and to annual payments of bonus interest that depend on the profits of the start-up (these payments will be made annually in all years where there is a profit) and of bonus interest after termination of the loan or – alternatively – of bonus interest after a sale of the start-up (exit). The investor will participate according to his/her amount of holding. The amount of holding for each €5 of the loan amount is at least 0.0001538462 %, but it may reduce during the time to maturity of the loan if additional equity investments in the start-up occur or if the start-up launches equity-based crowdfunding campaigns (also called "dilution"). The loan is a qualified subordinated loan because all claims of the investor are excluded as long and insofar as making such claims would cause the opening of insolvency proceedings against the start-up. The subordinated profitparticipating loans are thus shares in a business with similar characteristics as equity. If the start-up becomes insolvent, the claims of the investors will be satisfied from the assets in the insolvency only after the claims of all other external creditors have been satisfied. There is no obligation to make further contributions. The subordinated loan contract has an indefinite duration. c. Conclusion of the Contract In order to grant a subordinated loan to the start-up, the investor has to complete the investment process on the Internet platform www.companisto.com. By clicking the button intended for this purpose on the website after having selected the investment amount, the Companist makes an offer to conclude a contract on a profit-participating loan according to the provisions of this contract. The profit-participating loan contract does not come into force until Companisto or the start-up confirms the conclusion of the contract in an email. The conclusion of a written contract in addition to the above procedure is not necessary. The profit-participating loan contract is subject to the condition precedent that the start-up receives profit-participating loans worth at least €100,000 from investors. d. Minimum Period The loan is granted for an indefinite period. For information on terminating the contract, please see the following paragraph. e. Conditions for Termination The qualified subordinated profit-participating loan is granted for an indefinite period. It may be terminated with effect from 31 December 2023 at the earliest (minimum term). Once the minimum term has ended, the profit-participating loan may be terminated at the end of a fiscal year of the start-up as long as the four-month notice period for the investor or the three-month notice period for the start-up is observed. The right to extraordinary termination for good cause remains unaffected. The contract does not include any penalties. f. Applicable Law, Competent Court The loan contract itself and the rights and obligations resulting from this contract are governed by the law of the Federal Republic of Germany. Venue for the settlement of disputes arising from and in relation to this contract is the location of the headquarters of the start-up insofar as is permitted by law. g. Languages of the Contract and of Communication German h. Service Provisos There is no proviso that a service with an equivalent quality and price is to be provided. The profit-participating loan contract is subject to the condition precedent that the start-up receives profit-participating loans worth at least €100,000 from investors. i. Total Price, Price Components, Taxes Paid The minimum loan amount is €5. Companisto Beteiligungs GmbH & Co. KG normally receives a share of ten percent in any of the investors' returns that exceed the repayment of the loan amount. This share does not apply to the loan amount and to a fixed interest rate stipulated in the contract, but solely to any additional returns of the investors. Other price components do not exist. The execution of the loan contract does not lead to any costs for the investor, but the start-up may use the loan amount provided to cover the transaction costs that it has to bear because of the equity-based crowdfunding campaign, particularly the fee for being listed on the platform. Subscription for the loan is not subject to value-added tax. j. Details on Payment and Delivery Payment is made through direct debit, bank transfer, Sofortüberweisung, Giropay, or credit card. There is no delivery of documents. k. Additional Costs of Using Means of Distance Communication The start-up does not charge any such costs. l. Validity of Information/Offer This information remains valid until any amendments are announced. The investment will be possible until full placement (investment limit), and the offer period will end at midnight on 26 May 2016 (extended investment period) at the latest unless the offer ends prematurely. m. Extrajudicial Complaint and Appeal Procedures In the case of disputes resulting from the application of the German Civil Code [BGB] with regard to distance contracts on financial services, there is, without prejudice to the right to begin legal proceedings, the option of contacting the arbitration body created at Deutsche Bundesbank. Existence of a Guarantee Fund or of Other Compensation Regimes There is neither a guarantee fund nor any other compensation regime. In particular, there is no deposit insurance system covering investors' claims resulting from the loan contract. 3. Right to Cancel Information on the Right to Cancel in Accordance with Section 2d of the German Act on Capital Investment [VermAnlG] Right to Cancel In accordance with section 2d of the German Act on Capital Investment [VermAnlG], you may cancel your contractual declaration in text form (e.g., in a letter, fax, or email) within 14 days and without stating a reason, or – if you receive a participation confirmation before this period ends – you may also cancel it by returning the participation confirmation. The cancellation period starts at the time you receive this information in text form, but not before the recipient receives the participation confirmation. The timely dispatch of the cancellation notice or the participation confirmation suffices to comply with the cancellation period. If you have already transferred the participation entirely or partially before the end of the cancellation period, you are obliged to pay compensation. You can avoid the obligation to pay compensation by not transferring the participation until you have decided not to use your right to cancel. Obligations to refund payments must be fulfilled within 30 days. For you, the period starts when you dispatch your cancellation notice or the participation confirmation; for us, it starts when we receive either of these. Zuständige Aufsichtsbehörde Keine 2. Informationen zur Darlehensgewährung a. Risikohinweis Eine Darlehensgewährung an das Startup ist wegen ihrer spezifischen Merkmale (nachrangiges Darlehen) mit spezifischen unternehmerischen Risiken behaftet. Etwaige in der Vergangenheit erwirtschaftete Erträge sind keine Indikatoren für künftige Erträge. Die Finanzdienstleistung bezieht sich nicht auf Finanzinstrumente, deren Preis von Schwankungen auf dem Finanzmarkt abhängig ist. Der Erwerb dieser Vermögensanlage ist mit erheblichen Risiken verbunden und kann zum vollständigen Verlust des eingesetzten Vermögens führen. b. Wesentliche Merkmale der angebotenen Finanzdienstleistung Das Startup bietet den Erwerb eines unbesicherten partiarischen Nachrangdarlehens mit qualifiziertem Rangrücktritt an. Das qualifiziert nachrangige partiarische Darlehen vermittelt keine gesellschaftsrechtliche Beteiligung, sondern räumt dem Investor als Darlehensgeber einen endfälligen vertraglichen Anspruch auf Rückzahlung des Darlehensbetrages (keine Tilgung während der Laufzeit), auf Zahlung einer endfälligen ertragsunabhängigen Festverzinsung in Höhe von 1% p.a. auf den bereitgestellten Darlehensbetrag (keine Zinszahlung während der Laufzeit) und eines jährlichen vom Gewinn des Startups abhängigen Bonuszinses (dieser wird, soweit ein Gewinn anfällt, jährlich ausgezahlt), eines Bonuszinses nach Kündigung und alternativ eines Bonuszinses nach einem Verkauf des Startups ein (Exit). Der Umfang der Beteiligung des Investors richtet sich dabei nach dessen Beteiligungsquote. Die Beteiligungsquote beträgt je 5-Euro-Darlehensbetrag mindestens 0,0001538462%, wobei sich die Beteiligungsquote über die Darlehenslaufzeit reduzieren kann, wenn weitere Eigenkapitalinvestitionen in das Startup erfolgen oder Crowdinvestings (Schwarmfinanzierungen) für das Startup stattfinden (sogenannte „Verwässerung“). Qualifiziert nachrangig ist das Darlehen, da sämtliche Ansprüche des Investors solange und soweit ausgeschlossen werden, wie ihre Geltendmachung einen Grund für die Eröffnung des Insolvenzverfahrens des Startups herbeiführen würde. Die partiarischen Nachrangdarlehen sind somit unternehmerische Beteiligungen mit eigenkapitalähnlichen Eigenschaften. Im Falle einer Insolvenz des Startups werden die Investoren erst nach allen anderen Fremdgläubigern aus der Insolvenzmasse bedient. Eine Nachschusspflicht besteht nicht. Der Nachrangdarlehensvertrag ist unbefristet. c. Zustandekommen des Vertrages Um ein Nachrangdarlehen an das Startup zu gewähren hat der Investor den Investmentprozess auf der Internetplattform unter www.companisto.com vollständig zu durchlaufen. Durch das Anklicken des hierfür vorgesehenen Buttons auf der Webseite nach Auswahl der Investitionshöhe durch den Companisten, gibt der Companist ein Angebot auf Abschluss eines partiarischen Darlehensvertrages nach Maßgabe dieses Vertrages ab. Der partiarische Darlehensvertrag kommt erst dann zustande, wenn Companisto oder das Startup den Abschluss des Vertrages mit einer E-Mail bestätigten. Eines gesonderten schriftlichen Vertragsschlusses bedarf es darüber hinaus nicht. Der partiarische Darlehensvertrag kommt unter der aufschiebenden Bedingung zustande, dass das Startup mindestens partiarische Darlehen in Höhe von insgesamt EUR 100.000 von Investoren einwirbt. d. Mindestlaufzeit Die Laufzeit des Darlehens ist unbefristet. Zu den Kündigungsmöglichkeiten siehe nachfolgenden Absatz. e. Vertragliche Kündigungsbedingungen Das qualifiziert nachrangige partiarische Darlehen ist unbefristet. Es kann frühestens zum 31.12.2023 gekündigt werden (Mindestlaufzeit). Nach Ablauf der Mindestlaufzeit kann das partiarische Darlehen unter Einhaltung einer Kündigungsfrist von vier Monaten durch den Investor bzw. von drei Monaten für das Startup zum Ende eines Geschäftsjahres des Startups gekündigt werden. Das Recht zur außerordentlichen Kündigung aus wichtigem Grund bleibt unberührt. Vertragsstrafen sind nicht vorgesehen. f. Anwendbares Recht, zuständiges Gericht Der Darlehensvertrag selbst und die Rechte und Pflichten aus diesem Vertrag unterliegen dem Recht der Bundesrepublik Deutschland. Gerichtsstand für sämtliche Streitigkeiten aus und im Zusammenhang mit diesem Vertrag ist, soweit gesetzlich zulässig, der Sitz des Startups. g. Vertrags- und Kommunikationssprachen Deutsch h. Leistungsvorbehalte Es gibt keinen Vorbehalt, eine in Qualität und Preis gleichwertige Leistung zu erbringen. Der partiarische Darlehensvertrag kommt unter der aufschiebenden Bedingung zustande, dass das Startup mindestens partiarische Darlehen in Höhe von insgesamt EUR 100.000 von Investoren einwirbt. i. Gesamtpreis, Preisbestandteile, abgeführte Steuern Der Mindestdarlehensbetrag beträgt EUR 5. Von den von den Investoren erzielten Erträgen, die über die Rückzahlung des Darlehensbetrages hinausgehen, erhält die Companisto Beteiligungs GmbH & Co. KG regelmäßig eine Gewinnbeteiligung von zehn Prozent. Die Gewinnbeteiligung bezieht sich nicht auf den Darlehensbetrag und nicht auf eine vertraglich vereinbarte Festverzinsung, sondern nur auf darüber hinaus erzielte Erträge der Investoren. Weitere Preisbestandteile existieren nicht. Die Abwicklung des Darlehensverhältnisses ist für den Investor nicht mit Kosten verbunden, wobei die Transaktionskosten, die das Startup für das Crowdinvesting zu tragen hat, insbesondere die Gebühr für das Listing auf der Plattform, vom Startup aus dem gewährten Darlehensbetrag gedeckt werden dürfen. Die Zeichnung des Darlehens ist nicht umsatzsteuerpflichtig. j. Einzelheiten der Zahlung und Lieferung Die Zahlung erfolgt per Lastschrift, Überweisung, Sofortüberweisung, Giropay oder Kreditkarte. Eine Lieferung von Urkunden erfolgt nicht. k. Zusätzliche Kosten für die Benutzung von Fernkommunikationsmitteln Solche Kosten werden durch das Startup nicht in Rechnung gestellt. l. Gültigkeitsdauer der Informationen / des Angebots Diese Information gilt bis zur Mitteilung von Änderungen. Die Möglichkeit zum Erwerb dieser Vermögensanlage besteht bis zu deren Vollplatzierung (Investmentlimit), spätestens endet die Angebotsfrist mit Ablauf des 26.05.2016 (verlängerte Investitionsfrist), sofern das Angebot nicht vorzeitig beendet wird. m. Außergerichtliche Beschwerde- und Rechtsbehelfsverfahren Bei Streitigkeiten aus der Anwendung der Vorschriften des Bürgerlichen Gesetzbuches (BGB) betreffend Fernabsatzverträge über Finanzdienstleistungen besteht, unbeschadet des Rechts, die Gerichte anzurufen, die Möglichkeit, die bei der Deutschen Bundesbank eingerichtete Schlichtungsstelle anzurufen. Die Verfahrensordnung ist bei der Deutschen Bundesbank erhältlich. Die Adresse lautet: Deutsche Bundesbank, Schlichtungsstelle, WilhelmEpstein-Str. 14, 60431 Frankfurt. Der Beschwerdeführer hat zu versichern, dass er in dieser Streitigkeit noch kein Gericht, keine Streitschlichtungsstelle und keine Gütestelle angerufen und auch keinen außergerichtlichen Vergleich geschlossen hat. n. Bestehen eines Garantiefonds oder anderer Entschädigungsregelungen Es bestehen weder Garantiefonds noch andere Entschädigungsregelungen. Für die Forderungen der Investoren aus dem Darlehensvertrag besteht insbesondere keine Einlagensicherung. 3. Widerrufsrecht Hinweis auf das Widerrufsrecht gem. § 2d VermAnlG Widerrufsrecht Sie können Ihre Vertragserklärung innerhalb von 14 Tagen ohne Angabe von Gründen in Textform (z. B. Brief, Fax, E-Mail) oder – wenn Ihnen eine Beteiligungsbestätigung vor Fristablauf überlassen wird – auch durch Rücksendung der Beteiligungsbestätigung gemäß § 2d VermAnlG widerrufen. Die Frist beginnt nach Erhalt dieser Belehrung in Textform, jedoch nicht vor Eingang der Beteiligungsbestätigung beim Empfänger.
