Kunde:
Beide gemeinsam nachfolgend als „Parteien“ bezeichnet / Following both together named as
„Parties“.
Die
Parteien
sind
daran
interessiert,
vertrauliche Informationen über die in der
Anlage aufgeführten Assets und/oder Projekte
(die „Properties“) auszutauschen, um einen
mögliches
gemeinsames
Projekt
(die
"Transaktion") prüfen zu können.
The Parties wish to share confidential
information about the assets and/or
projects
listed
in
the
annex
(the
“Properties”) to examine a possible mutual
project (the "Transaction").

Parties agree as follows:
"Informierende Parteien" sind R:XO und XXX,
deren Gesellschafter und/oder deren jeweilige
Mitarbeiter, Vertreter oder Berater.
"Disclosing Parties" means R:XO and XXX,
its shareholders and/or its respective
representatives, employees or advisors.
"Vertrauliche Informationen" im Sinne dieser
Vereinbarung
sind
alle
geschäftlichen,
finanziellen, technischen, juristischen oder
sonstigen Informationen, die nicht öffentlich
bekannt sind. Vertrauliche Informationen sind
auch
alle
Notizen,
Analysen,
Zusammenstellungen, Interpretationen oder
anderen
Dokumente,
die
durch
die
Informierenden Parteien erstellt werden. Das
gilt unabhängig davon, ob diese Informationen
schriftlich, mündlich oder auf andere Weise
überlassen oder zugänglich gemacht werden.
"Confidential Information" means any and
all commercial, financial, technical, legal
and/or other information that is not in the
public domain. Confidential Information
shall
also
include
notes,
analyses,
compilations, studies, interpretations or
other documents prepared by the Disclosing
Parties. This is irrespective of whether such
Confidential Information is disclosed in
written, oral or any other form.

All Confidential Information shall remain the
exclusive property of the Disclosing Parties.
The Parties shall keep the Confidential
Information strictly private and confidential
and shall not deal with, use or disclose
Confidential Information for any purpose
other than the Permitted Purpose. The
Parties
must
treat
all
Confidential
Information with utmost care.
Vertrauliche Informationen dürfen nur eigenen
Angestellten
oder
externen
Beratern
(zusammenfassend die "Vertreter") und auch
nur insoweit überlassen oder zugänglich
gemacht werden, als das zur Erreichung des
Erlaubten Zwecks unumgänglich ist.
Confidential Information may be disclosed
only to directors, employees and external
advisors (collectively its "Representatives")
and only to the extent that such disclosure
is strictly necessary to fulfil the Permitted
Purpose.
Vertrauliche Informationen dürfen die Parteien
nur solchen Vertretern überlassen oder
zugänglich machen, die durch Vertrag oder
Gesetz zur vertraulichen Behandlung der
überlassenen Informationen in dem hier
beschriebenen Ausmass verpflichtet worden
sind.
No disclosure must be made by the Parties
to
any
Representative
unless
the
Representative is, by contract or by
operation of law, under an obligation to
keep strictly private and confidential all
Confidential Information disclosed to the
Representative, in the same manner and to
the same extent.

werden
die
Parteien
die
Vertreter
auf
die
Vertraulichkeit
der
Informationen und die in dieser Vereinbarung
übernommenen Verpflichtungen hinweisen.
The Parties must, prior to any disclosure of
such Confidential Information, inform its
Representatives of the confidential nature
of the disclosure and of the obligations
under this Agreement.
Sollten die Parteien oder einer ihrer Vertreter
oder Berater aufgrund gesetzlicher Vorschriften
zur Offenlegung Vertraulicher Informationen
verpflichtet sein, wird schnellstmöglich darüber
informiert. Die Offenlegung ist nur nach
Ausschöpfung aller Rechtsmittel und nur
insoweit zulässig, als sie gesetzlich zwingend
erforderlich ist. Die Parteien werden den
Umfang der Offenlegung exakt dokumentieren.
If the Parties or any of its Representatives
is required by operation of law to disclose
any Confidential Information, the Parties or
its Representatives, as the case may be,
will notify it with prompt notice. Any
disclosure is permitted only to the extent
that all available remedies have been
exhausted and that such disclosure is
mandatorily required by law. The Parties
must precisely document the extent of such
disclosure.

sonstigen
Kennzeichnungen
oder
Vertraulichkeitsvermerken der Informierenden
Parteien versehen sein bzw. werden.
All copies or reproductions shall contain,
upon copying or reproduction, the same
proprietary or confidential notices and
legends which appear on the original
Confidential Information.
2. Unbeschadet der Regelungen in Ziffer 1 sind
folgende von den Informierenden Parteien
überlassenen Informationen nicht bzw. nicht
mehr Vertrauliche Informationen:

be, or shall cease to be, Confidential

Vertreter(n) bereits ohne Bindung an

bekannt waren.

the Parties or its Representatives on
a non-confidential basis at the time
of its disclosure hereunder.
Dies muss durch entsprechende schriftliche

3. Es steht im freien Ermessen der
Informierenden Parteien, in welchem Umfang
Vertrauliche Informationen überlassen werden.
3. Nothing contained herein shall obligate
the Disclosing Parties to disclose to the
Receiving Party any particular data or
information whether or not it is otherwise
part of any Confidential Information.
Die Informierenden Parteien übernehmen keine
ausdrückliche

oder
Haftung
für
die
Vollständigkeit
oder
Richtigkeit
der
Vertraulichen Informationen.
None of the Disclosing Parties is making
any representation or warranty, expressed
or implied, as to the accuracy or
completeness
of
the
Confidential
Information.

wegen

Überlassung

Nutzungsoder
gewerblichen
Schutzrechten verbunden.

licenses or patents is granted or implied by
the
disclosure
or
transmissions
of
Confidential Information.
Die Informierenden Parteien sind berechtigt,
die Verhandlungen jederzeit ohne Angabe von
Gründen abzubrechen. Die Überlassung der
Vertraulichen
Informationen
begründet
keinerlei Verpflichtungen im Hinblick auf die
Transaktion.
The Disclosing Parties shall be entitled at
any time to terminate any discussions or
negotiations without prior notice. The
release
or
delivery
of
Confidential
Information does not create any obligations
in respect of the Transaction.
Im Hinblick auf mögliche Ansprüche Dritter
erklären sich die Parteien damit einverstanden,
dass die Informierenden Parteien unter keinen
Umständen für Schäden, Verluste, Auslagen
und Kosten haften, die aufgrund oder im
Zusammenhang mit der Verwendung der
vertraulichen Informationen entstehen.
The Parties agree that the Informing Parties
shall under no circumstances be under any
obligation to reimburse of nor shall they be
liable for any expenses, costs, damages or
losses incurred from the usage of the
Confidential Information.
4.
Die Parteien
verpflichtet
sich, den
Informierenden Parteien innerhalb von 14
Tagen nach Erhalt einer entsprechenden
schriftlichen Aufforderung alle in Schriftform
erhaltenen
vertraulichen
Informationen
zurückzugeben oder - wenn die Informierenden
Parteien dies verlangen - diese vollständig zu
vernichten. Sie werden auch auch allen Dritten,
an
die
sie
vertrauliche
Informationen
überlassen hat, auffordern, dies tun. Dies gilt
auch
für
alle
Kopien
oder
sonstigen
Wiedergaben sowie ferner alle erstellten
Zusammenfassungen, Besuchsberichte und
sonstigen Unterlagen (auch auf Datenträgern),
die vertrauliche Informationen enthalten.
(ausgenommen hiervon ist jede Form von
backup-Systemen zur idR automatisierten
Datensicherung).
4. The Parties must within 14 days of
receipt of a written request to do so, return
all Confidential Information disclosed to it
by the Disclosing Parties under this
Agreement and all copies and other
reproductions thereof, together with all
summaries, reports and analyses reflecting
Confidential Information or shall, if so
directed by the Informing Parties, destroy
such copies and other reproductions
thereof, as well as all summaries, reports
and
other
materials
(including
the
elimination of data concerned that is stored
in any electronic medium) containing
Confidential Information, and shall inform
that any person to which it has disclosed
Confidential Information shall do the
same.Exceptions are any kind of backupsystems for automatically data-storage.

circumstances

6. Mit dieser Vereinbarung werden auch für die
Informierenden
Parteien
eigenständige
Erfüllungs- und ggf. Schadenersatzansprüche
begründet (Vertrag zugunsten Dritter).
6. Any of the Disclosing Parties shall
severally be entitled to enforce claims set
forth in this Agreement, be it for specific
performance,
damages
or
otherwise
(Vertrag zugunsten Dritter).
7. Die Parteien erklären gegenseitig den
Verzicht auf alle Umgehungsversuche innerhalb
der definierten Transaktion.
7. Parties declare herewith to each other
not to circumvent one of the Parties within
the Transaction.
8. Die Parteien vereinbaren hiermit zu
gegebenem
Zeitpunkt
verbindlich
den
Abschluss einer Beratungs- / Beteiligungsund/oder
Provisionsvereinbarung
für
die
Transaktion.
8. The Parties agree herewith and already
binding to sign a consulting- / shareholder
and/or commission agreement at later,
fitting stage of transaction.
9. Diese Vereinbarung beginnt am Tag der
Unterzeichnung und endet zwei (2) Jahre nach
dem Ende der Gespräche oder Verhandlungen
zwischen den Vertragsparteien über den
Erlaubten Zweck, unabhängig davon, ob diese
Gespräche oder Verhandlungen erfolgreich sind
oder nicht.
9. This Agreement shall commence as of
the date it has been signed and shall
terminate two (2) years after the
termination
of
any
discussions
or
negotiations between the Parties regarding
the Permitted Purpose regardless of
whether the discussions and negotiations
are successful or not.
Änderungen
und
Ergänzungen
dieser
Vereinbarung bedürfen der Schriftform. Dies
gilt
auch
für
die
Änderung
dieses
Schriftformerfordernisses.
All changes and amendments to this
Agreement (including any amendment to
this form clause) must be made in writing.
Diese Vereinbarung tritt an die Stelle aller
früheren Vereinbarungen zur Vertraulichkeit
von und zum Umgang mit Vertraulichen
Informationen.
This Agreement supersedes all prior
agreements
with
respect
to
the
confidentiality of, and the manner of
dealing with, Confidential Information.
Sollten
einzelne
Bestimmungen
dieses
Vertrages ganz oder teilweise unwirksam sein
oder werden, oder sollte sich in dem Vertrag
eine Lücke befinden, so soll hierdurch die
