OPEN END CERTIFICATES ON THE RBS BRAZIL BASKET (ISIN: CH0019094652)

(THE “SECURITIES”)
The Royal Bank of Scotland plc (“RBS”) is the issuer of the above mentioned Securities (pursuant to a
banking business transfer scheme approved by the Court of Session in Scotland on 23 September 2011).
On 19 February 2014, the Issuer announced that it had reached agreement with BNP Paribas S.A.
(“BNPP”) for the disposal of certain assets and liabilities related to its structured retail investor products
and equity derivatives businesses, as well as associated market-making activities (the “Proposed
Transaction”). In connection with the implementation of the Proposed Transaction, RBS hereby gives
notice to the Holders of the Securities under General Condition 4 (Notices) of the proposed replacement
of the Basket.
Pursuant to Product Condition 4(b)(1)(B) of the Securities, RBS (in its capacity as the Calculation Agent)
is proposing to replace the existing Basket with the BNP Paribas Brazil Price Return (BRL) (the
“Successor Basket”) on 8 July 2015 (the “Scheduled Substitution Date”) on the basis that the
Successor Basket uses a substantially similar formula for and method of calculation as used in the
calculation of the existing Basket. The Basket Level of the Successor Basket will be published on each
Business Day under Reuters Code: .BNPIABBP.
Following the replacement of the existing Basket with the Successor Basket, BNPP as the “Successor
Sponsor” will be responsible (directly or through an agent) for making determinations as regards the
ADRs that are eligible for inclusion within the Successor Basket and will determine the quantity of such
ADRs to be included. RBS will not verify the composition and weighting of the companies in the
Successor Basket resulting from the methodology employed by BNPP.
With effect from the Scheduled Substitution Date, (i) the Basket will cease to be calculated and published
by RBS, (ii) the Successor Basket will be calculated and published by BNP Paribas Arbitrage S.N.C., (iii)
all references in the Conditions (including in the Underlying Information attached thereto) to either the
Basket, the Basket Sponsor or the Reuters Code under which the Basket Level is published, shall be read
as references to the Successor Basket, the Successor Sponsor, or the successor Reuters Code
.BNPIABBP, respectively, and (iv) the description and rules applicable to the Basket, as set out in the
Underlying Information attached to the Product Conditions relating to the Securities, shall continue to
apply except as amended above.

Gemäß Allgemeiner Bedingung 4 der Wertpapiere (General Condition 4, Notices) gibt die Emittentin
hiermit den Wertpapierinhabern die folgenden Anpassungen in den Korbbestandteilen bekannt:
Die Wertpapiere beziehen sich auf einen Korb von vier von der Emittentin begebenen Open End
Zertifikaten (die „Korbbestandteile“), die sich auf verschiedene Themenindizes beziehen. Dabei
handelt es sich unter anderem um (i) die RBS Brazil Index Open End Zertifikate, ISIN: NL0000411478
/ WKN: ABN176 („Korbbestandteil 1“), die die Wertentwicklung des RBS Brazil Index nachbilden,
und (ii) die RBS India Index Open End Zertifikate, ISIN: NL0000202166 / WKN: 256685
(„Korbbestandteil 2“), die die Wertentwicklung des RBS India ADR/GDR TR Index nachbilden.
Am 19. Juni 2015 hat die Emittentin den Inhabern des oben genannten Korbbestandteils 1 und des
oben genannten Korbbestandteils 2 die Ersetzung der jeweiligen Basiswerte, des RBS Brazil Index
und des RBS India ADR/GDR TR Index (die „RBS Indizes”), durch Nachfolgeindizes der BNP Paribas
S.A. mit Wirkung zum 8. Juli 2015 mitgeteilt, wie in der beigefügten “Mitteilung über die geplante
Beendigung und Ersetzung des Index” (Notice of Proposed Termination and Substitution of Index)
ausgeführt.
Die vorliegende Mitteilung wird von der Emittentin veröffentlicht, um Inhaber der RBS BRIC Basket
Open End Zertifikate auf die Ersetzung der RBS Indizes in Korbbestandteil 1 und Korbbestandteil 2
durch Nachfolgeindizes der BNP Paribas S.A. hinzuweisen. Es werden keine Anpassungen an den
Bedingungen der RBS BRIC Basket Open End Zertifikate vorgenommen.
Diese Mitteilung sollte zusammen mit den Bedingungen der Wertpapiere gelesen werden. Begriffe, die
hierin nicht abweichend definiert sind, haben die Bedeutung, die ihnen in den Bedingungen
zugewiesen ist.

The Issuer hereby gives notice to the Holders of the Securities in accordance with General Condition 4
(Notices) relating to the Securities of the following adjustments to the Basket Constituents:
The Securities are linked to a basket consisting of four open end certificates (the “Basket
Constituents”) issued by the Issuer which reference different thematic indices, including (i) the RBS
Brazil Index Open End Certificates, ISIN: NL0000411478 / WKN: ABN176 (“Basket Constituent 1”),
which track the performance of the RBS Brazil Index, and (ii) the RBS India Index Open End
Certificates, ISIN: NL0000202166 / WKN: 256685 (“Basket Constituent 2”), which track the
performance of the RBS India ADR/GDR TR Index.
On 19 June 2015 the Issuer gave notice to the holders of Basket Constituent 1 and Basket Constituent
2 referred to above of the substitution of their respective underlying indices, the RBS Brazil Index and
the RBS India ADR/GDR TR Index (the “RBS Indices”), effective on 8 July 2015 by BNP Paribas S.A.
successor indices, as specified in the enclosed “Notice of Proposed Termination and Substitution of
Index”.
This Notice has been issued to advise Holders of the RBS BRIC Basket Open End Certificates of the
substitution of the RBS Indices by BNP Paribas S.A. successor indices in Basket Constituent 1 and
Basket Constituent 2. No adjustments will be made to the Conditions of the RBS BRIC Basket Open
End Certificates.
This Notice should be read in conjunction with the Conditions relating to the Securities. Capitalised
terms not otherwise defined herein shall have the meaning ascribed to them in those Conditions.

Am 19. Februar 2014 hat die Emittentin der Wertpapiere (The Royal Bank of Scotland plc, „RBS“)
bekannt gegeben, dass sie sich mit BNP Paribas S.A. („BNPP“) über den Verkauf bestimmter
Vermögenswerte und Verbindlichkeiten aus ihrem Geschäft mit strukturierten Produkten für
Privatanleger und Aktienderivaten und damit zusammenhängenden Market-Making-Aktivitäten
geeinigt hat (die „Geplante Transaktion“). Im Zusammenhang mit der Umsetzung der Geplanten
Transaktion gibt die Emittentin hiermit den Wertpapierinhabern gemäß Allgemeiner Bedingung 4
(Mitteilungen) (General Condition 4 (Notices)) die geplante Beendigung und Ersetzung des Index
bekannt.
Gemäß Produktbedingung 4(c)(1)(B) der Wertpapiere (Product Condition 4(c)(1)(B)) plant die RBS (in
ihrer Eigenschaft als Berechnungsstelle), den derzeitigen Index am 8. Juli 2015 (der „Geplante
Ersetzungstag“) durch den BNP Paribas Brazil Price Return Index (BRL) (Bloomberg-Seite:
BNPIABBP Index) (der „Nachfolgeindex“) zu ersetzen. Der Nachfolgeindex verwendet eine im
Wesentlichen ähnliche Formel und Methode zur Indexberechnung wie der derzeitige Index.
Nach der Ersetzung des derzeitigen Index durch den Nachfolgeindex wird BNPP als der
„Nachfolgesponsor“ (entweder selbst oder durch einen Beauftragten) an bzw. nach den jeweils dafür
vorgesehenen Neugewichtungstagen (re-weighting dates) für die Auswahlprüfung der gegenwärtigen
und
zukünftigen
Unternehmen
im
Nachfolgeindex
zuständig
sein.
Die
RBS
wird
die
Zusammensetzung des Nachfolgeindex und die Gewichtung der Unternehmen im Nachfolgeindex, die
aufgrund der von BNPP angewandten Methodik der Auswahlprüfung ausgesucht wurden, nicht
überprüfen.

Ab dem Geplanten Ersetzungstag (i) wird der Index nicht mehr von der RBS veröffentlicht werden, (ii)

gelten alle Bezugnahmen in den Bedingungen auf den Index, den Index-Sponsor und die ReutersSeite AAHDE44 als Bezugnahmen auf den Nachfolgeindex, den Nachfolgesponsor bzw. die
Bloomberg-Seite BNPIABBP Index und (iv) ersetzen die im vorhergehenden Absatz genannte
Beschreibung und die dort genannten Indexregeln des Nachfolgeindex vollständig sämtliche früheren
Beschreibungen und Indexregeln des bisherigen Index und gehen diesen vor.

Gemäß Allgemeiner Bedingung 4 der Wertpapiere (General Condition 4, Notices) gibt die Emittentin
hiermit den Wertpapierinhabern die folgenden Anpassungen in den Korbbestandteilen bekannt:
Die Wertpapiere beziehen sich auf einen Korb von vier von der Emittentin begebenen Open End
Zertifikaten (die „Korbbestandteile“), die sich auf verschiedene Themenindizes beziehen. Dabei
handelt es sich unter anderem um (i) die RBS Brazil Index Open End Zertifikate, ISIN: NL0000411478
/ WKN: ABN176 („Korbbestandteil 1“), die die Wertentwicklung des RBS Brazil Index nachbilden,
und (ii) die RBS Total Return India ADR/GDR Index Open End Zertifikate, ISIN: NL0000048536 /
WKN: ABN537 („Korbbestandteil 2“), die die Wertentwicklung des RBS India ADR/GDR TR Index
nachbilden.
Am 19. Juni 2015 hat die Emittentin den Inhabern des oben genannten Korbbestandteils 1 und des
oben genannten Korbbestandteils 2 die Ersetzung der jeweiligen Basiswerte, des RBS Brazil Index
und des RBS India ADR/GDR TR Index (die „RBS Indizes”), durch Nachfolgeindizes der BNP Paribas
S.A. mit Wirkung zum 8. Juli 2015 mitgeteilt, wie in der beigefügten “Mitteilung über die geplante
Beendigung und Ersetzung des Index” (Notice of Proposed Termination and Substitution of Index)
ausgeführt.
Die vorliegende Mitteilung wird von der Emittentin veröffentlicht, um Inhaber der RBS BRIC II Basket
(Brazil, Russia, India, China) Open End Zertifikate auf die Ersetzung der RBS Indizes in
Korbbestandteil 1 und Korbbestandteil 2 durch Nachfolgeindizes der BNP Paribas S.A. hinzuweisen.
Es werden keine Anpassungen an den Bedingungen der RBS BRIC II Basket (Brazil, Russia, India,
China) Open End Zertifikate vorgenommen.
Diese Mitteilung sollte zusammen mit den Bedingungen der Wertpapiere gelesen werden. Begriffe, die
hierin nicht abweichend definiert sind, haben die Bedeutung, die ihnen in den Bedingungen

The Issuer hereby gives notice to the Holders of the Securities in accordance with General Condition 4
(Notices) relating to the Securities of the following adjustments to the Basket Constituents:
The Securities are linked to a basket consisting of four open end certificates (the “Basket
Constituents”) issued by the Issuer which reference different thematic indices, including (i) the RBS
Brazil Index Open End Certificates, ISIN: NL0000411478 / WKN: ABN176 (“Basket Constituent 1”),
which track the performance of the RBS Brazil Index, and (ii) the RBS Total Return India ADR/GDR
Index Open End Certificates, ISIN: NL0000048536 / WKN: ABN537 (“Basket Constituent 2”), which
track the performance of the RBS India ADR/GDR TR Index.
On 19 June 2015 the Issuer gave notice to the holders of Basket Constituent 1 and Basket Constituent
2 referred to above of the substitution of their respective underlying indices, the RBS Brazil Index and
the RBS India ADR/GDR TR Index (the “RBS Indices”), effective on 8 July 2015 by BNP Paribas S.A.
