Dealer BNP Paribas 2 PART A – CONTRACTUAL TERMS Terms used herein shall be deemed to be defined as such for the purposes of the conditions (the "Conditions") set forth in the base prospectus dated 7 March 2016 (the "Base Prospectus") which constitutes a base prospectus for the purposes of Article 5.4 of the Directive 2003/71/EC as amended (the "Prospectus Directive"). This document constitutes the final terms of the Notes (the "Final Terms") described herein for the purposes of Article 5.4 of the Prospectus Directive and must be read in conjunction with such Base Prospectus. Full information on the Issuer and the offer of the Notes is only available on the basis of the combination of these Final Terms and the Base Prospectus. SPECIFIC CONTROLLER Fides Audit, as specific controller (contrôleur spécifique) of the Issuer, has certified that the value of the assets of the Issuer will be greater than the value of its liabilities benefiting from the privilège defined in Article L. 513-11 of the French Monetary and Financial Code (Code monétaire et financier), after settlement of the issue of the Notes. Aux membres du conseil d’administration, En notre qualité de contrôleur spécifique de AXA Bank Europe SCF et en exécution des dispositions prévues par les articles L. 513-23 et R. 513-16 du code monétaire et financier, nous avons procédé à la vérification du respect des règles relatives au ratio de couverture prévues aux articles L. 513-12 et R. 513-8 du code monétaire et financier dans le cadre de l’émission d’obligations foncières d’une valeur unitaire au moins égale à 500 millions d’euros. Par décision en date du 16 décembre 2015, le conseil d’administration de la société AXA Bank Europe SCF a fixé le plafond maximum du programme d'émissions de ressources bénéficiant du privilège institué par l'article L. 513-11 du code monétaire et financier, à 1,65 milliard d’euros ou son équivalent en devises, pour le premier trimestre 2016. En date du 22 février 2016, le Directeur Général de la société AXA Bank Europe SCF a décidé de limiter le montant maximum des émissions au cours du premier trimestre 2016 à 1,5 milliard d’euros ou son équivalent dans une autre devise. Dans le cadre de ce programme trimestriel d’émissions, par décision en date du 31 mars 2016, Monsieur Geert Van de Walle, Directeur Général de AXA Bank Europe SCF, a autorisé une émission de ressources bénéficiant du privilège institué par l’article L. 513-11 du code monétaire et financier, pour un montant de 500 000 000 euros en date de règlement du 4 avril 2016. L'article L. 513-12 du code monétaire et financier dispose que le montant total des éléments d'actif de votre société doit être supérieur au montant des éléments de passif bénéficiant du privilège mentionné à l'article L. 513-11 de ce code. En outre, l’article R. 513-8 de ce code dispose que les sociétés de crédit foncier sont tenues de respecter à tout moment un ratio de couverture des ressources privilégiées par les éléments d’actifs au moins égal à 105%. Il nous appartient d’attester du respect de ces règles au titre de la présente opération. Le respect de ces règles, après prise en compte de l’émission susvisée, a été vérifié sur la base d’informations financières estimées et prévisionnelles établies sous votre responsabilité. Les informations prévisionnelles ont été établies à partir des hypothèses traduisant la situation future que votre conseil d’administration a estimé la plus probable à la date de la présente émission. Ces informations sont jointes à la présente attestation. Nous avons mis en œuvre les diligences que nous avons estimé nécessaires au regard de la doctrine professionnelle de la Compagnie nationale des commissaires aux comptes relative à cette mission. Nos travaux ont consisté à : - vérifier la conformité du montant de l’émission visée ci-dessus avec le procès-verbal du conseil d’administration autorisant cette émission ; - examiner le processus d’élaboration des données financières prévisionnelles tenant compte de la présente émission, étant rappelé que, s’agissant de prévisions présentant par nature un caractère incertain, les réalisations différeront parfois de manière significative des informations prévisionnelles établies ; - vérifier les modalités de calcul du ratio de couverture issu de ces données prévisionnelles, telles qu’elles sont prévues par les articles 8 et 9 du règlement 99-10 du CRBF et par l’instruction 2016-I09 de l’Autorité de contrôle prudentiel et de résolution ; 5 +#'3/31-%.,+*.!"'('/3(')'/3%!0#!,'/!($% 6 %)!'( # + * / ! # / & ' $ % . ! 0 $ ' / & - $! $ # ! - vérifier le respect des règles prévues aux articles L. 513-12 et R. 513-8 sur la base de ces données financières prévisionnelles. Nos travaux ne portent pas sur la vérification du respect des règles prescrites par le Règlement (UE) n°575/2013 applicable au 1er janvier 2014. Le respect par la société AXA Bank Europe SCF des dispositions prévues aux articles L. 513-12 et R. 513-8 du code monétaire et financier, après prise en compte du présent programme trimestriel d’émissions incluant l’émission susvisée, appelle de notre part les observations suivantes : 1. Les données issues des systèmes d’information comportent des anomalies et des erreurs dans le calcul de la valeur réexaminée des biens financés ou apportés en garantie des créances belges cédées à l’organisme de titrisation. Nous comprenons qu’une modification des systèmes d’information est en cours depuis le 30 juin 2014 et que sa finalisation prévue au 30 juin 2015 a été reportée au 31 mars 2016. Dans ce contexte, AXA Bank Europe SCF a effectué manuellement les calculs de la valeur réexaminée des biens financés en tenant compte d’hypothèses conservatrices : indices de revalorisation « capés » à 1. 2. Certaines créances cédées au fond commun de titrisation Royal Street sont garanties par des biens « mixtes ». Par mesure de prudence, AXA Bank Europe SCF a appliqué une quotité de financement de 60% à l’intégralité des créances, y compris celles qui financent des biens résidentiels pour lesquels la quotité devrait être de 80%. Nous comprenons qu’un processus d’identification des créances finançant les biens « mixtes » est en cours, afin de pouvoir appliquer à l’avenir la quotité de 60% aux seules créances concernées. 3. Certaines créances françaises ne sont pas évaluées de manière prudente, conformément à l’article 1 du règlement 99-10 du CRBF, car elles incluent notamment les frais de notaire. Nous comprenons que ce point devrait être corrigé au 31 mars 2016. L’impact sur le ratio de couverture des observations mentionnées ci-dessus ne remet pas en cause le respect des articles L. 513-12 et R. 513-8 du code monétaire et financier, après prise en compte du présent programme trimestriel d’émissions incluant l’émission visée ci-dessus. Cette attestation est établie à votre attention et à celle de l'Autorité de contrôle prudentiel et de résolution et nous n’acceptons aucune responsabilité vis-à-vis de tout autre tiers auquel cette attestation serait diffusée ou parviendrait. Cette attestation est régie par la loi française. Les juridictions françaises ont compétence exclusive pour connaître de tout litige, réclamation ou différend pouvant résulter de notre lettre de mission ou de la présente attestation, ou de toute question s’y rapportant.
