The Company, incorporated under the Business Canadian Corporations Act, is an exploration company operating in Canada and Mexico. Its stock is trading on TSX Stock Exchange on symbol EFG, on american stock exchange Over-the Counter QX (OTCQX) on symbol FGEXF and on Frankfurt exchange on symbol F12. The Company has not yet determined whether the mining properties have economically recoverable ore reserves. The exploration and development of mineral deposits involves significant financial risks. The success of the Company will be influenced by a number of factors, including exploration and extraction risks, regulatory issues, environmental regulations and other regulations. For the year ended August 31, 2010, the Company recorded a net loss of $3,325,687 ($891,413 in 2009). Management periodically seeks additional forms of financing through the issuance of shares and the exercise of warrants and share purchase options to continue its operations, and in spite of the obtention in the past, there is no guarantee of success for the future. If management is unable to obtain new funding, the Company may be unable to continue its operation, and amounts realized for assets may be less than amounts reflected in these financial statements. The accompanying financial statements have been prepared on a going concern basis, which contemplates the realization of assets and liquidation of liabilities during the normal course of operations and do not reflect the adjustments to the carrying values of assets and liabilities, the reported revenues and expenses and balance sheet classifications that would be necessary if the going concern assumption would not be appropriate. These adjustments could be material. MODIFICATIONS DE CONVENTIONS COMPTABLES 2- CHANGES IN ACCOUNTING POLICIES Écarts d’acquisition et actifs incorporels Goodwill and Intangible Assets Au cours de l’exercice, la Société a adopté le nouveau chapitre 3064, « Écarts d’acquisition et actifs incorporels ». Le nouveau chapitre stipule qu’au moment de leur identification initiale, les actifs incorporels doivent être comptabilisés comme des actifs seulement s’ils respectent la définition d’un actif incorporel et les critères de constatation. En ce qui concerne l’évaluation ultérieure des actifs incorporels, des écarts d’acquisition et des informations à fournir, le chapitre 3064 reconduit les exigences de l’ancien chapitre 3062, « Écarts d’acquisition et autres actifs incorporels ». L’adoption de ces recommandations n’a pas eu d’incidence sur les états financiers de la Société. During the year, the Company adopted Section 3064 “Goodwill and Intangible Assets“. The new section states that upon their initial identification, intangible assets are to be recognized as assets only if they meet the definition of an intangible asset and the recognition criteria. As for subsequent measurement of intangible assets, goodwill and disclosure, Section 3064 carries forward the requirements of the old Section 3062 “Goodwill and Other Intangible Assets”. The adoption of these recommendations did not have effect on the Company’s financial statements. Instruments financiers - informations à fournir et présentation Au cours de l’exercice, conformément aux dispositions transitoires applicables, la Société a adopté les modifications au chapitre 3862 du Manuel de l’ICCA, « Instruments financiers-informations à fournir ». Tous les instruments financiers comptabilisés à la juste valeur au bilan doivent être classés selon une hiérarchie comportant trois niveaux soit : Financial Instruments - Disclosures During the year, in accordance with the applicable transitional provisions, the Company adopted revised section 3862 of the CICA Handbook, “Financial Instruments-Disclosures”. This section was amended to enhance disclosures about fair value measurements and the liquidity risk of financial instruments. Modifications comptables futures Future Accounting Changes Regroupements d’entreprises, états financiers consolidés et participations sans contrôle Business Combinations, Consolidated Financial Statements and Non-controlling Interests En janvier 2009, l’ICCA a publié trois nouvelles normes comptables : le chapitre 1582, « Regroupements d’entreprises », le chapitre 1601, « États financiers consolidés », et le chapitre 1602, « Participations sans contrôle ». Ces nouvelles normes s’appliqueront aux états financiers des exercices ouverts le 1er janvier 2011 ou après cette date. La Société évalue actuellement les exigences de ces nouvelles normes. In January 2009, the CICA issued three new accounting standards: Section 1582, “Business Combinations”, Section 1601, “Consolidated Financial Statements”, and Section 1602, “Noncontrolling interests”. These new standards will be effective for years beginning on or after January 1st, 2011. The Company is in the process of evaluating the requirements of these new standards. L’entente de coparticipation prendra fin lors de la clôture de la transaction de vente avec Ressources X-Ore inc. 11a) COMMITMENTS In February 2009, the Company signed a joint venture agreement with the public company X-Ore Resources Inc. (subsidiary of Blue Note Mining Inc.). According to this agreement, the joint venture is created to perform exploration and development works and if necessary, bring in operation a mine on the Croinor 1 property. Actually, the respective partner’s interests are 50%. According to the agreement, all of the expenses, profits, costs, expenses, responsibilities, obligations and risks resulting from the joint venture enterprise will be shared by the parties in proportion of their respective interest. X-Ore Resources Inc. will act as operator. The operator is entitled to management fees amounting to 15% of the exploration expenses and 5% of the development works. If a party decides not to participate in a program or a budget, its interest will decrease for the benefit of the other part. The joint venture will continue as long as the parties will hold an undivided interest in the Croinor 1 property. During the year, the Company incurred $1,706,915 in exploration expenses on the Lac Pivert / Rose project (Nil in 2009) and $42,222 for claims (Nil in 2009). These expenses were incurred with ConsulTeck, a company controlled by the interim President and Chief Executive Officer of the Company. In relation with these transactions, an amount of $272,646 was payable as at August 31, 2010 (Nil in 2009). This amount is included in accounts payable and accrued liabilities. The president of the Company also owns 37.5% of the royalty on the Lac Pivert / Rose project. This royalty consists of a 2% NSR, half of which can be purchased by the Company for $1,000,000. De plus, comme la majorité des comptes débiteurs le sont auprès des gouvernements provincial et fédéral sous forme de crédits de taxes à la consommation et d’aide gouvernementale, le risque de crédit est minimal. b) Credit risk Credit risk is the risk that one party to a financial instrument fails to meet its obligation and causes the other party to incur a financial loss. Financial instruments which potentially expose the Company to credit risk mainly consist of cash, accounts receivable and receivables from an exploration partner. The credit risk on cash is limited because the contracting parties are banks with high credit ratings assigned by international credit-rating agencies. Also, as the majority of its receivables are from the governments of Quebec and Canada in the form of sales taxes receivable and government’s incentives, the credit risk is minimal. ii) Fair value hierarchy iv) Currency risk Some of the Company’s purchases are denominated in foreign currencies, in particular US dollars and Mexican pesos. At the end of August 2010, the Company had enough funds available for its next year to meet its financial liabilities and future financial liabilities from its commitments. 16- POLICIES AND PROCESSES FOR MANAGING CAPITAL As at August 31, 2010, the capital of the Company consisted of shareholders’ equity amounting to $7,175,559. The Company’s capital management objective is to have sufficient capital to be able to meet its exploration and mining development plan in order to ensure the growth of its activities. It also has the objective to have sufficient cash to finance its exploration expenses, investing activities and working capital requirements. There were no significant changes in the Company’s approach to capital management during the year ended August 31, 2010.
