Introduction
The Conference and the seminar will take place in the
incomparable venue: The Westin Palace Hotel, one of the
more charming and well-known hotels of Madrid, located in
the cultural and artistic heart of the city and famous for its
wonderful stained glass dome. There couldn’t be a better
venue to host the meetings of the Bureau, the Extended
Bureau and all other AIJA organs and commissions!
The city of Madrid will welcome you on Wednesday in one of
its most representative venues and you will be delighted by
the visit to the Reina Sofia Museum on Friday, which includes
a guided tour and dinner as well, to close the outstanding
seminar. On Saturday we will have a “tapas” dinner among
friends in the old town.

Public M&A:
An Interdisciplinary Seminar
Whether your practice regularly exposes you to mergers and
acquisitions involving public companies or you deal only
with private issuers – or even if your involvement in M&A is
limited to reading about corporate mergers in the business
pages of your local newspaper, AIJA’s November conference,
entitled “Public M&A – An Interdisciplinary Seminar”, promises
to improve your knowledge and skill set in business law.
In beautiful Madrid, the financial centre of Spain, you will
have the unique opportunity to hear from both skilled legal
practitioners and other actors from the sphere of public
mergers and acquisitions. This interdisciplinary seminar will
begin with an introduction to the basics of public M&A and
a discussion of the differences between public and private
merger transactions. Once the stage has been set, you will
be exposed to specific legal specialties as they relate to
public M&A, including litigation, tax law, employment law
and competition (antitrust) law, followed by a “Master’s Class
in Public M&A”. At various points throughout, you will learn
directly from senior executives of public companies and
investment banks what they expect from their legal counsel.
The day-and-a-half-long scientific portion of the November
Conference will be filled with practical real-life examples from
the business world that will benefit both the novice lawyer
and the M&A expert.

en bourse: séminaire interdisciplinaire

de fusions et acquisitions (F/A) de sociétés cotées en bourse,
que vous traitiez uniquement avec des sociétés fermées ou que
votre intérêt pour les F/A se limite à consulter les avis de fusion
dans la section « Économie » de votre quotidien, la conférence
de l’AIJA de novembre, intitulée « F/A de sociétés cotées
en bourse – séminaire interdisciplinaire », vous permettra
assurément d’améliorer vos connaissances et vos compétences
en droit des sociétés.
Saisissez l’occasion unique de venir entendre les juristes
compétents et autres intervenants du domaine des F/A
de sociétés cotées en bourse, qui se sont donnés rendezvous dans la magnifique ville de Madrid, centre financier

séminaire, suivie d’une discussion sur les différences entre les

The Seminar will be held in English and in French without simultaneous
translation. The number of participants is limited. Enrolment takes place
on a first-come, first-served basis. The organisers reserve the right to
cancel or modify the Seminar.
A participant, who cannot attend, may send a substitute participant
without cost. A cancellation of participation will be handled as follows,
provided the cancellation has been sent in a timely manner to AIJA in
writing:
• Up to October, 7, 2010: Refund of 100% of the registration fees paid
reduced by an administrative fee of 50 EUR
• Up to November, 4, 2010: Refund of 50% of the registration fee paid
reduced by an administrative fee of 50 EUR
• After November, 4, 2010: No further refund.
In order to avoid problems with refunds, we strongly advise those who
require a visa to enter Spain to apply for their Spanish visa as soon as
possible.

• avant le 4 novembre 2010 : 50% des droits vous seront remboursés
• après le 4 novembre 2010 : aucun remboursement n’est prévu.
