These general conditions take precedence over all other conditions notwithstanding any reservations, restrictions or contrary clauses stipulated
in any orders placed by our clients unless expressly accepted by us in writing. Any customer placing an order with us is deemed to have read,

The signature of an order, which must be sent to us by mail or by fax, amounts to a definitive and irrevocable order.
3. Prices
Our Prices are quoted ex works, including packaging, but excluding taxes. These prices are liable to be modified without prior notice, in particular,
in the event of currency fluctuations or any other circumstances which might affect the price of raw materials or labour.
4. Delivery times
The delivery times are purely indicative. A delay in delivery shall, under no circumstances whatsoever, entitle the purchaser to refuse the goods
ordered or to claim any compensation of whatever nature. Delivery times - even those given firmly or guaranteed – are automatically suspended

circumstances which can be likened to “force majeur”. The delivery time will only commence as of receipt of the deposit as stipulated at the time
of ordering, and, in the case of upholstered items incorporating the client’s fabric, as of the date of receipt of such fabric, as well as receipt of the
said deposit.
5. Delivery
Unless otherwise stipulated in writing, deliveries are made at the purchaser’s address and in accordance with the conditions stated in the order.
Transport costs are calculated based on the carrier’s tariffs and shall be borne by the purchaser. All merchandise travels at the risk of the purchaser.
These costs are always based on a “ground floor delivery” and are only valid for delivery to a business address. Deliveries made to private individuals must be requested in writing and this will remain subject to our acceptance. Deliveries to third parties are always at the purchaser’s full and
exclusive liability. The goods are packed for transport by companies specialized in furniture transport and in accordance with standard practice.
6. Warehousing
Once the merchandise is ready to be shipped, we will warehouse it for two weeks. Beyond this time, we will charge warehousing fees based on
the duration and volume, namely 5 €/m3/day.
7. Delivery cancellation
The seller has the right to cancel all or part of any delivery if the purchaser’s solvency shall have substantially deteriorated, if previous invoices are
outstanding or if the purchaser’s corporate status shall have changed.
8. Receipt of merchandise
Our goods have to be unpacked and checked on reception. Any damage noticed on reception must be mentioned on the carrier’s delivery note.
For a claim to be admissible it must be sent to the carrier by registered letter with acknowledgement of receipt within 48 hours of reception. All
remarks must be precise, detailed and evidenced. A copy of this letter must be sent to us. No return or replacement will be accepted without our
prior written approval and unless they are returned to us in their original packaging. In the case of additional orders, we are unable to guarantee
exact conformity of the colours of fabrics, leather and wood tints with those of products previously delivered.
9. Payment
A deposit of 50% is required when placing an order, with the balance due on delivery. If payment of an invoice is not made on its due date, a charge
amounting to 15% of the total invoice amount, with a minimum of 150 Euros, in addition to late payment interest at the rate of 2% per month shall
be automatically due without the need for any other formality.
10. Ownership of merchandise
The seller retains the ownership title of all merchandise until full payment of the principal amount together with all interest and costs has been
received. Notwithstanding such retention of ownership of the merchandise, all liabilities associated with its safe custody are exclusively borne by
the purchaser. Any deposit may be retained by us and affected to any losses on resale.
11. Models
We reserve the right to change our models for technical or aesthetic reasons without prior notice. Any differences between a product and its
photographic depiction cannot constitute grounds for cancelling or refusing the product.
12. Sales via Internet
The purchaser expressly undertakes not to sell any JNL s.a. / n.v. products via the internet or any form of direct mail sales.
13. Defects
In the event of any manufacturing defect, the purchaser’s rights are limited to the repair or replacement of the defective merchandise within the
time limits required for its production. Furthermore, changes in colour or warpage of wood shall, under no circumstances, be considered as manufacturing defects.
14. Cancellation
No cancellation, either full or partial, of a confirmed order can be accepted. Without prejudice to any course of action we may decide to take as
a result of a cancellation, any deposit received will be invoiced in full in order to cover the expenses occasioned by such cancellation.
15. Jurisdiction
In the event of any dispute, the Justice of the Peace of Nivelles – Belgium shall have sole jurisdiction.

CONDITIONS GÉNÉRALES
1. Conditions générales
Nos conditions générales de vente sont seules d’application nonobstant toutes réserves, restrictions ou clauses contraires stipulées dans les
commandes de nos clients sauf acceptation expresse et écrite par nous. Toute commande sous-entend l’acceptation totale des présentes
conditions.
2. Commande
La signature du bon de commande qui doit nous être renvoyé par fax ou par courriel vaut commande définitive et irrévocable.
3. Tarif
Nos prix s’entendent hors taxe et départ usine, emballage compris. Ces prix sont susceptibles d’être modifiés sans préavis, notamment en
fonction des fluctuations monétaires ou de tout autre incidence pouvant avoir une répercussion sur le prix des matières premières ou de la maind’œuvre.
4. Délai de livraison
Les délais de livraison sont toujours donnés à titre purement indicatif. Un retard de livraison ne saurait en aucun cas, pour quelque motif que
ce soit, nonobstant toute convention particulière contraire, constituer un motif de refus, ni ouvrir droit à une indemnisation sous quelque forme
que ce soit. Les délais de livraison - même ceux qui seraient garantis ou stipulés fermes - sont suspendus de plein droit en cas d’incendie, bris de
machine, grève ou fermeture des ateliers, retard dans les approvisionnements, interruption des transports, et généralement dans tous les autres
cas assimilables à la force majeure. Le délai de livraison ne prend cours qu’à dater de la réception de l’acompte prévu à la commande et dans le
cas d’une commande de siège avec un tissu fourni par le client à partir de la réception du tissu, ce qui n’exclut pas le paiement de l’acompte.
5. Livraison
Sauf stipulation contraire écrite, la livraison se fera à l’adresse de l’acheteur ainsi que selon les conditions mentionnées sur le bon de commande.
Les frais de transport sont calculés sur base des tarifs des sociétés de transport et sont à la charge de l’acheteur. Les marchandises voyagent
aux risques et périls de l’acheteur. Ces frais s’entendent toujours livraison « rez de chaussée » et sont valables uniquement pour les adresses
professionnelles. La livraison chez les particuliers doit faire l’objet d’une demande expresse qui reste soumise à notre seule appréciation. Les
marchandises sont emballées pour leur transport par des sociétés spécialisées dans le transport de mobilier.
6. Stockage
Nous assurons le stockage des marchandises pendant un délai de 2 semaines après la mise à disposition de celles-ci. Passé ce délai, nous facturons
des frais de stockage dont le montant sera calculé en fonction de la durée et du volume occupé par les marchandises sur une base de 5€/m3/
jour.
7. Réserve de livraison
Le vendeur se réserve le droit d’annuler tout ou partie de la commande en cas de dégradation importante de la solvabilité de l’acheteur, du non
paiement de factures antérieures auprès du vendeur ou de tout autre fournisseur, ou de modification de forme de société.
8. Réception des marchandises
Nos marchandises doivent être déballées et examinées dès leur réception, en tout état de cause. Tout dégât constaté à la réception doit être
notifié sur le bon de livraison du transporteur. Toute réclamation, pour être recevable, doit être notifiée au transporteur par lettre recommandée
avec accusé de réception dans les 48h de la réception des marchandises. Les réserves doivent être précises, caractérisées et motivées. Une copie
de cette lettre nous sera adressée. Aucun retour ni échange de marchandises ne seront acceptés sans notre accord écrit préalable, et pour autant
qu’elles nous soient retournées dans leur emballage d’origine. Dans le cas d’un complément de commandes nous ne pouvons garantir une absolue
conformité des coloris des tissus cuirs et teintes des boiseries par rapport aux produits précédemment livrés.
9. Règlement
Un acompte de 50 % est exigible à la commande, le solde à la livraison. A défaut du paiement du montant de la facture à son échéance, il sera
dû, de plein droit et sans autre formalité, une indemnité de 15% du montant de la facture avec un minimum de 150€ et des intérêts de retard de
2% par mois de retard.
10. Réserve de propriété
Le vendeur conserve la propriété des biens livrés jusqu’au paiement effectif de l’intégralité du prix en principal et accessoires. Les risques et
responsabilités liés à la garde de ces marchandises n’en demeurent pas moins à la charge de l’acheteur. Les acomptes seront conservés pour les
pertes éventuelles à la revente.
11. Modèles
Nous nous réservons le droit de modifier sans préavis nos modèles pour des raisons techniques ou esthétiques. Toue différence par rapport au
document photographique ne peut constituer une cause d’annulation ou de refus de la marchandise.
12. Ventes par Internet
L’acheteur s’engage expressément à ne pas vendre les produits de la société JNL s.a./ n.v. via le réseau Internet ou tout autre mode de vente par
correspondance.
13. Défauts
En cas de défaut d’exécution, les droits du client sont expressément limités à la remise en état ou au remplacement de la marchandise défectueuse
dans les délais nécessaires à sa réalisation. En outre, toutes modifications dans les teintes et tous mouvements du bois ne pourront en aucun cas
être considérés comme des défauts d’exécution.
14. Annulation de commande
Aucune annulation, totale ou partielle, de commande confirmée ne peut être acceptée. Sans présager des suites que nous donnerons à cette
annulation, l’acompte reçu sera conservé et facturé dans son intégralité afin de couvrir les frais engendrés par cette annulation
15. Juridictions
En cas de litige, la Justice de Paix de Nivelles est seule compétente.
