Nature of Activities Matamec Explorations Inc. est une société d’exploration minière qui a une stratégie axée sur la découverte de gisements aurifères en Ontario, et en uranium et en métaux de base au Québec. Pour l’or, la Société a ciblé l’est du camp minier de Timmins où certaines propriétés n’ont pas suffisamment été explorées en surface et/ou en profondeur. Les nombreuses propriétés d’uranium et de métaux de base de la Société se répartissent dans plusieurs régions du Québec. Matamec Explorations Inc. is a mining exploration company with its strategy focusing on the discovery of significant gold deposits in Ontario, and uranium and base metals deposits in Québec. For gold, the Company has mainly targeted the East Timmins mining camp, in particular properties that are underexplored or have only been explored near-surface. Matamec’s numerous uranium and base metal properties are located throughout the province of Québec. La Société est engagée dans l’acquisition, l’exploration et la mise en valeur de propriétés minières. La récupération des montants indiqués au titre des propriétés minières et des frais reportés connexes dépend de la découverte de réserves économiquement récupérables, de la capacité de la Société d’obtenir le financement nécessaire pour mener à terme la mise en valeur et la production rentable future, ou du produit de la cession de tels biens. En Ontario, la Société détient une participation de 51 % dans la propriété Montclerg (Canada, Durham-Gervais et Montclerg), de 50 % dans les propriétés Matheson-Colbert et 2W. Sur l’une ou l’autre de ces propriétés, il est possible d’y découvrir de l’or, de l’uranium et d’autres métaux. Propriétés minières: coûts d’acquisition et frais d’exploration reportés (FER) Coûts d’acquisition Durant la période, les coûts d’acquisition des propriétés minières (voir le tableau ci-bas) ont augmenté de 1 585 666 $ pour les propriétés aurifères en Ontario (99 %) et d’uranium au Québec (1 %). L’augmentation est principalement due en Ontario aux paiements d’option et à des frais professionnels relatifs à la signature des différentes ententes relatives aux propriétés aurifères Matheson JV et Montclerg. Au Québec, la Société a continué l’acquisition de propriétés en prévision d’un éventuel transfert des propriétés d’uranium à sa filiale en propriété exclusive, Mabec Uranium inc. La ventilation par propriétés des coûts d’acquisition de 1 435 666 $ et des frais d’exploration reportés de 1 289 068 $, avant crédits d’impôts et droits miniers à recevoir de 436 571$, effectués durant la période est la suivante : The Company is engaged in acquiring, exploring and developing mining properties. The recoverability of the investment in mining properties and the related deferred costs depends upon the discovery of economically recoverable ore reserves, the Company’s ability to obtain the necessary financing to continue development and the ability of the Company to reach profitable production from the properties or to obtain sufficient proceeds from the sale of such assets. In Ontario, the Company holds a 51% interest in the Montclerg property (Canada, Durham-Gervais and Montclerg), and a 50% interest in both the Colbert and 2W properties. Furthermore, it holds the rights to acquire a 50% interest in the MathesonExplorers and Matheson-Pelangio properties, and a 25% interest in the Matheson JV property. In Québec, the Company holds a 100% interest in many mining properties: Lespérance, Sakami, Tansim, UN3 à UN32, Valmont, Vulcain and Zeus. On one or more of these properties, the geology indicates that it may be possible to discover gold, uranium and other metals. Mining Properties: Acquisition Cost and Deferred Exploration Costs (DEC) Acquisition Costs During the period, acquisition costs of mining properties (see table below) increased by $1,585,666 for gold properties in Ontario (99%) and for uranium properties in Quebec (1%). In Quebec, the Company continued the acquisition of properties in case of a possible transfer of its uranium properties to its wholly owned subsidiary, Mabec Uranium inc. En consultant le tableau, les frais d’exploration reportés ont été effectués principalement selon les provinces sur la propriété Matheson JV en Ontario, et sur les propriétés Vulcain et Zeus au Québec. La seule campagne de forages de la Société est en cours présentement sur la propriété Matheson JV. For the deferred mining costs of the period, the Company incurred an amount of $1,289,068. As illustrated by the table, the deferred mining costs has increased specially by province on Matheson JV property in Ontario, and on Vulcain and Zeus properties in Québec. The Company’s only drilling campaign is in progress on the Matheson JV property. Ontario – Camp minier aurifère de Timins In Ontario, the Company incurred $283,682 of deferred exploration costs in 2007 (22% of DEC incurred by Matamec) for the period. Eleven drill holes tested the Target A between surface and 350 metres vertical depth Quant aux propriétés Montclerg et 2W, la Société planifie des programmes d’exploration à être réalisés dans la deuxième partie de 2008. Québec – Uranium, Terres rares et diamants Au Québec, 1 005 386 $ ont été engagés en frais d’exploration reportés en 2008 (78 % des FER engagés par Matamec), dont 923 163 $ sur la propriété Vulcain. À l’hiver dernier, plusieurs cibles forées n’ont pas intersectées de roches ultramafiques pouvant contenir des minéralisations économiques. Les résultats d’analyse n’ont pas été à la hauteur des objectifs. Toutefois, une cible majeure est à l’étude. Sur la propriété Zeus, la Société continue l’exploration de la propriété dans le but de découvrir de nouvelles minéralisations en uranium, en uranium-or et en terres rares. De plus, elle continue l’évaluation des ressources historiques du gisement de Kipawa pour son contenu en terres rares, en yttrium et en zirconium considérant la demande mondiale projetée pour les prochaines années. Un rapport technique 43-101 est en cours. Pour la propriété Lespérance, la société Northern Superior Resources inc. (anciennement Superior Diamonds inc.) a poursuivi l’exploration du diamant et a réalisé un court programme de sondages d’environ 400 mètres à l’hiver 2008. Les résultats sont attendus cette année. À la fin de la période, l’aide gouvernementale se chiffre à 857 378 $ en augmentation de 472 894 $ par rapport au 31 décembre 2007. Elle est composée de crédits d’impôts remboursables des Ministères du Revenu et des Ressources naturelles et Faune du Québec sur les frais d’exploration réalisés, particulièrement sur les propriétés Vulcain et Zeus. Pour la propriété La Grande Est, les derniers frais d’exploration reportés au montant de 5 550 $ ont été radiés suite à l’abandon de la propriété au 31 décembre 2007. Présentement, plusieurs cibles demeurent non testées sur plusieurs propriétés. Au cours des prochains trimestres, la Société entend poursuivre ses programmes d’exploration sur where historic values have been encountered but have been inadequately drilled and large gaps remain unexplored above the 350 metre depth. Québec – Base metals, diamonds and uranium In Quebec, $1,005,386 were incurred in deferred exploration costs in the period (78% of FER incurred by Matamec), of which $923,163 on Vulcain property. Last Winter, many targets drilled did not intersected ultramafic rocks which be contained economic mineralization. The assay results did not reach our objectives. But, the Company works on a major target. For the Zeus property, the Company is exploring the property in order to discover new uranium, uranium-gold and REE ore mineralisation. In addition, it continues the evaluation of historical resources on the Kipawa deposit for its content of REE, yttrium and zirconium considering the forecast world demand for the future. A 43-101 technical report is in progress. For the Lespérance property, the Northern Superior Resources inc. company (previously Superior Diamonds inc.) continues diamond exploration and realized a short drilling program of an average of 400 metres in winter 2008. The results are expected later in 2008. In the end of the period, governmental subsidies amounted to $857,378 an increase of $472,894 compared to December 31, 2007. It is composed of a refundable tax credit by the Ministère du Revenu et des Ressources naturelles et Faune du Québec on incurred exploration costs, mainly on the Vulcain and and Zeus properties. On the La Grande Est property, the last deferred exploration costs on the amount of $5,550 were written off following the abandonment of the property on December 31, 2007. For the next quarters, the Company intends to pursue its exploration program on the Matheson JV and Montclerg property in the Timmins Mining Camp in Ontario. Under the market conditions, the Company modified its transfer plan of its Québec properties portfolio to Mabec Uranium inc. Résultats d’exploitation et déficit Pour la période de six mois terminée le 30 juin 2008, les revenus d’intérêts s’établissent à 19 558 $ comparativement à 18 406 $ au 30 juin 2007. Par comparaison, les revenus correspondent aux intérêts sur les placements résultant de l’augmentation des liquidités obtenues principalement des derniers financements. Pour cette même période, les frais d’administration se chiffrent à 433 282 $ comparativement à 250 672 $ en 2007. Cet écart de 182 610 $ provient d’une augmentation de la plupart des types de dépenses, principalement de la rémunération à base d’actions, des honoraires professionnels, des voyages et frais de représentation, des intérêts sur l’obligation non garantie, des honoraires de consultation, du loyer et frais de loyer, ainsi que d’une baisse des salaires et charges sociales. L’augmentation de 51 131 $ de la rémunération à base d’actions s’explique par les charges à comptabiliser par l’octroi de 800 000 options d’achat d’actions à une seconde firme en relations aux investisseurs (200 000) en février, au vice-président Exploration-Ontario (200 000) en avril et à un nouvel administrateur (400 000) en juin, et la hausse de 46 827 $ des honoraires professionnels est principalement due à l’addition d’une deuxième firme en relations aux investisseurs. L’accroissement des dépenses de voyages et frais de représentation de 27 843 $ s’explique par une plus grande participation de la Société à des salons d’investissement reliés à l’exploration minière, de 25 352 $ des intérêts sur obligation non garantie par l’émission en mars et le refinancement en avril de deux obligations non garanties, de 22 411 $ des honoraires de consultation par l’accroissement des ressources au service comptabilité/finances, et de 9 785 $ en loyer et frais de bureau par un déménagement du siège social dans un espace plus grand en février. Au 30 juin 2008, la perte nette est de 419 274 $ (0,01 $ par action) comparativement à une perte nette de 232 266 $ (0,00 $ par action) au 30 juin 2007. L’écart s’explique par la hausse des frais d’administration de 182 610 $ et de la radiation de 5 550 $ en frais reportés de la propriété la Grande Est au 30 juin 2008 comparativement au 30 juin 2007. La perte nette par action a été calculée selon le nombre moyen pondéré de 65 497 077 actions Operating Results and Deficit For the period ended June 30, 2008, interest income amounted to $19,558 compared to $18,406 as of June 30, 2007. The income consists mainly of interests on investments resulting from cash obtained mainly from last financings. For the same period, administration fees reached $433,282 compared to $250,672 as 2007. This $182,610 difference results from an increase in the majority of the expenses, mainly stock option remuneration, professional fees, travelling and representation expenses, interests on unsecured debenture, consultations fees, rent and office expenses, and decrease in salaries and fringe benefits. The $51,131 increase of the stock option remuneration can be explained by the expenses related to the granting of 800,000 stock options to a second relation firm (200,000) in February, to the Vice-President Exploration-Ontario (200,000) in April and to a new director (400,000) in June, and the increase of $46,827 on the professional fees due to the hiring of a second investors relation firm. The increase of $27,483 of travel and representation expenses is due to a greater participation of the Company in Investment Conferences related to mining exploration, of $25,352 for interests due to the unsecured debentures to the issuing in March and the refinancing in April of the two unsecured debentures, of $22,411 of the consulting fees following the increase of resources on the Accounting/Finance department, and of $9,785 increase for rent and office expenses following the new location of the head office on larger space last February. At June 30, 2008, the net loss was $419,274 ($0.01 per share) compared to a net loss of $232,266 ($0.00 per share) as at June 30, 2007. The difference is explained by the increase in administration expenditures of $182,610 and by the write-off of $5,550 deferred costs for the La Grande Est property at June 30, 2008, compared to June 30, 2007. The net loss per share was calculated according to the weighted average of 65,497,077 common shares outstanding at June 30, 2008, compared with a weighted average number of 48,322,671 common shares as at June 30, 2007. Cash and Financing The Company’s cash and cash equivalents amounted to $727,936, a decrease of 1,062,191 compared with the beginning of the period, mainly due to the exploration programs on Vulcain and Matheson JV properties and the acquisition of a 50 interest in the Matheson-Colbert property. Cette augmentation de 1 743 670 $ est en majeure partie attribuable aux coûts d’acquisition des propriétés Matheson-Colbert (675 000 $), M atheson-Explorers (650 000 $) et Matheson-Goldcorp (31 875 $), et aux frais d’exploration reportés des propriétés Vulcain (923 162 $) et Matheson JV (244 040 $). The Company’s total assets amounted to $9,589,587 compared with $7,845,917 as at December 31, 2007. This increase of $1,743,670 is mainly due to the acquisition costs of the Matheson-Colbert ($675,000), Matheson-Explorers ($650,000) and Matheson-Goldcorp ($31,875) properties, and to the deferred exploration costs of the Vulcain ($923,162) and Matheson JV properties ($244,040). Quant au passif, il se chiffre pour la période à 2 828 964 $, soit une hausse de 577 661 $ comparativement au 31 décembre 2007. Cette hausse est attribuable à la diminution du passif à court terme (119 992 $) et de l’augmentation de la dette à long terme (697 653 $) par l’émission d’une débenture non garantie au mois de mars (671 123 $) et le refinancement de l’obligation non garantie de 400 000 $ échéant le 21 mars 2008 et les intérêts dus par une obligation non garantie de 444 000 $ à un taux annuel de 9 % échéant le 21 mars 2009. As for the liabilities, it totals for the period to $2,828,964, an increase of $577,661 compared to December 31, 2007. This increase is due to a decrease of the current liabilities ($119,992) and the increase of the long term debt ($697,653) mainly by the issuing of an unsecured debenture in March and the refinancing of the $400,000 unsecured debenture ending March 21, 2008 and the interest due by a $444,000 unsecured debenture at an annual interest rate of 9% ending March 21, 2009. Au cours de la période de six mois se terminant le 30 juin 2008, la Société a émis 5 481 360 actions ordinaires et accréditives, dont 2 354 167 actions ordinaires pour l’acquisition d’intérêts dans les propriétés Matheson-Explorers, Matheson-Goldcorp et Montclerg (831 875 $) et de 2 225 000 actions ordinaires accréditives d’un placement réalisé en mars auprès d’investisseurs privés (675 000 $). Comme événements postérieurs à la date du bilan de la période, la Société s’est engagée à transférer à une société privée ses intérêts dans les propriétés Uranium Nord et UN2 en contrepartie d’une redevance de 1 % et de 1 751 236 actions représentant 11,5 % du capital émis de cette société, dont la juste valeur n’a pu être établie au 30 juin 2008. Options et bons de souscription Au 30 juin 2008, la Société a octroyé 800 000 nouvelles options d’achat d’actions portant le nombre d’options en circulation à 5 135 000. Cette augmentation est attribuable à l’octroi de 200 000 nouvelles options en février dernier à une firme en relations aux investisseurs à un prix de 0,17 $ l’action, de 200 000 options à un prix de 0,17 $ à un consultant en avril 2008 et de 400 000 options à un prix de 0,195 $ en juin 2008 à un nouvel administrateur. Des 5 278 000 options autorisées par le régime d’options d’achat d’actions, 3 724 000 peuvent être exercées à la fin de la période à un prix moyen pondéré de 0,14$ l’action. Ces options ont été accordées aux six administrateurs et dirigeants, ainsi qu’à des consultants en conformité avec la politique de la Société. During the six month period ended June 30, 2008, the Company issued 5,481,360 common and flow-through common shares, of which 2,354,167 common shares were for the acquisition of interests in the Matheson-Explorers, Matheson-Goldcorp and Montclerg properties ($831,875) and 2,225,000 flow-through common shares for the closing in March of an financing with private investors ($675,000). As for subsequent events after the balance sheet date, the Company is commited to transfer to a private company its interest in the Uranium Nord and UN2 properties in consideration of a 1 royalty and 1,751,236 shares of said company, which represents 11.5 of its outstanding capital. The fair value of the shares could not be determined as at June 30, 2008. Options and Warrants At June 30, 2008, the Company granted 800,000 new stock options bringing the number of granted stock options to 5,135,000. This increase is due to the issuance of 200,000 new stock options last February to an investors relations firm at a $0.17 exercise per share, 200,000 options at $0.17 per share to a consultant on April 2008 and 400,000 options at $0.195 per share to a new director on June 2008 .Of the 5,278,000 stock options authorised for the stock option plan, 3,724,000 stock options can be exercised at the end of the period at a weighed $0.14 average exercise per share. These stock options were granted to six directors and consultants according to a Company policy. Risk and Uncertainties The Company is considered as an exploration company. It must obtain financing regularly in order to pursue its exploration activities. Notwithstanding the fact that the Company was able to get financing in the past, there is no guarantee of success for the future. Liquidity Needs for the Next Year For the next quarters of 2008, the Company’s needs in cash are estimated at $1,600,000, of which $250,000 for working capital, $1,200,000 in order to add 8,000 metres to the drilling programs for the properties, and $150,000 for the transfer project of the uranium properties to Mabec Uranium Inc. At present time, the Company’s cash position allows it to pursue exploration programmes on all its properties, however only part of its forecasted fixed costs. Information Disclosure Controls and Procedures Company management, including the president and chief financial officer, participated in an assessment of the effectiveness of information disclosure controls and procedures for the period ended June 30, 2008. Based on this assessment, the president and chief financial officer have concluded that such controls and procedures were effective and reliable at the end of the period ended June 30, 2008, and were applied in such a way as to provide reasonable assurance that material information on the Company was adequately disclosed.
