Le Groupe
The Group
Notre Groupe a été créé en 1988, initialement pour fédérer des sociétés industrielles
auparavant indépendantes, leaders dans le domaine du bien d’équipement industriel.
L’appartenance au Groupe leur a permis de consolider leur position, de sécuriser leurs clients,
fournisseurs et financeurs.
Le Groupe s’est ensuite consolidé par la réalisation d'opérations de croissance externe.
L’arrivée d’Equistone comme investisseur financier principal, et de Cerea Capital, investisseur
spécialisé dans l'agroalimentaire, en mars 2013 a permis d’accélérer la mise en place d’un
Groupe structuré, doté de méthodes et d’outils communs, et le déploiement de renforcement des
synergies entre les sociétés du Groupe.

Our Group was originally created in 1988, initialy to unite formerly independent industrial
companies, leaders in the field of industrial equipment. Belonging to the Group allowed them to
consolidate their position, secure their clients, suppliers and financiers.
The Group was then consolidated by external growth plans.
The arrival of Equistone as main financial investor, and of Cerea Capital, as investor specialized
in Agrifood, in March 2013, allowed acceleration of the establishment of a structured group, with
methods and common tools, and with a strategy of synergies between the companies of the
Group.

OUR HISTORY
Historiquement, les filiales du Groupe fonctionnaient de manière relativement indépendante,
avec des cultures d’entreprise et des méthodes ou outils de contrôle différents.
Historically, the Group’s subsidiaries worked independantly with different company cultures and
environments, and a variety of monitoring methods.
A partir de 2014, la Direction du Groupe, avec l’appui de ses actionnaires, a décidé la mise en
place d’un pilotage plus intégré de Bretèche Industrie, s’appuyant sur une équipe, sur des
méthodes, des règles et des outils communs, afin de favoriser la croissance des filiales, tout en
maîtrisant les risques pris par chacune d’entre elles.
Since 2014, the Group Management, with the assistance of its shareholders, wanted to create
an internal control policy to reduce the risk of the subsidiaries and promote the growth of our
companies.
In the case of external growth, the aim is to facilitate and accelerate integration of new
subsidiaries.
Une telle organisation a également pour but de faciliter et d’accélérer l’intégration de nouvelles
filiales rejoignant le Groupe dans le cadre d’opérations de croissance externe.

NOTRE HISTOIRE
Le groupe et ses filiales se sont engagés dans une démarche RSE (responsabilité sociétale
de l’entreprise), démarche qui prend en compte les contraintes spécifiques à nos domaines
d'activités (agroalimentaire et pharmaceutique/cosmétique), l’évolution des valeurs et de nos
clients.
De multiples actions de préservation des ressources environnementales (réduction de la
consommation de papier, valorisation des matières), de formation et de prévention de la santé de
leurs salariés ont été engagées depuis plusieurs années par les sociétés du Groupe.
L’ORGANISATION ACTUELLE DE LA R.S.E

LA SYNERGIE « made in » Bretèche Industrie

Elles concernent principalement l’industrie boulangère. Notre Groupe se positionne comme un expert de la
production de pâte depuis le stockage des ingrédients, leur transport et dosage, la production de levains,
puis le pétrissage. Plusieurs réalisations ont marqué l’année 2015 dans ce domaine :
Un projet-clé : « fusion »
Nos sociétés ont développé une solution d’automatisation des différents équipements de production
de pâte, des silos aux pétrins. Elle permet à Estève, VMI et Tecnal d’intégrer leurs équipements dans un
système de supervision et de traçabilité unifié : écrans communs, « plug and play » assuré entre tous les
équipements, tout est fait pour faciliter l’intégration, la mise en production et la supervision de la
production.
They mainly concern the baking industry. Our Group is clearly positioned as an expert in the production of
bread dough from the storing of ingredients, their transportation and dosing, production of dough and kneading.
In 2015, several achievements have been marked in this area:
A key project “fusion”
Our companies have developed a solution of common automation of different bread dough production
equipment, silos to mixers. It allows Estève, VMI and Tecnal to integrate their equipment into a unified
supervision and traceability system: common screens, ‘plug and play’ assured between all equipments,
unique ergonomics, done to facilitate integration, production and supervision of production.
Les synergies techniques
L’expertise en commun dans le domaine du Levain en Boulangerie
Plusieurs projets industriels ont permis d’associer la maîtrise technologique de Tecnal dans le process
fluide et lavage (NEP/CIP) à l’expertise d’Esteve et VMI pour promouvoir une gamme complète
d’installations de levure et levain liquides.
Un « cas d’école » pour le Groupe : Diosna / Isernhäger
Notre « jeune » filiale Isernhäger a su très vite mettre son expertise des équipements de fabrication des
levains au service de nos autres filiales du Pôle Boulangerie pour réaliser des affaires en commun et
proposer à nos clients industriels une solution « clé en main » de production de pâte : déjà 8 affaires
négociées générant un Chiffre d’Affaires de plus de 7,6M€.
Les synergies commerciales
Vmi et Diosna vendent chaque année des équipements dans plus de 100 pays. Cette très large couverture
des marchés mondiaux leur permet d’en faciliter l’accès aux autres sociétés : Estève, Isernhäger et Tecnal.

Pôle Boulangerie - Client suédois - Budget : 2,4M€ - Filiales impliquées : Esteve et Tecnal
Le client est historique pour Esteve. Tecnal a apporté son expertise sur le lot « levain », avec une
supervision globale de la part d’Esteve.
Pôle Boulangerie - Client français - Budget : 6,9M€ - Filiales impliquées : Esteve, Vmi et Tecnal
Une synergie entre Tecnal pour le dosage de liquides pâtissiers, Esteve pour le dosage de pulvérulents et Vmi
(pétrins).
Pôle Boulangerie - Client français - Budget : 500K€ - Filiales impliquées : Esteve, Vmi et Tecnal
Installation intégrant un pétrin VMI, un système de pompage Tecnal et une solution globale de dosage
et de traçabilité Esteve. Les cuves VMI sont connectées au système central, ce qui permet de piloter
l’ensemble des étapes de fabrication de façon agile.
Pôle Boulangerie - Client turc - Budget : 850K€ - Filiales impliquées : Diosna, Isernhäger et Esteve
La première réalisation faite en commun entre Diosna, Isernhäger et Esteve. Une vraie démarche
commerciale commune.
Pôle Fromagerie - Client canadien - Budget : 6,5M€ - Filiales impliquées : Tecnal et Chalon Mégard
Une ligne de soins en fromagerie qui associe le savoir-faire de Tecnal en mécanisation des claies et
l’apport d’une solution technique adaptée sur un tunnel de soin de la part de Chalon Mégard.
LE DEVELOPPEMENT DU GROUPE
Acquisition d’Isernhäger - Cette société s’insérait parfaitement bien dans le focus du Groupe sur les
équipements de production de pâte. Elle était faite pour nous rejoindre, et les synergies ont été immédiates,
ce qui a permis au chiffre d’affaires d’Isernhäger de croître de 50% en un an.

Common expertise in the field of Bakery Baking
Several projects of our industrial customers combined the technological expertise of Tecnal in the field
of fluid process and industrial washing (CIP) with the baking expertise of Esteve and VMI, to promote a
full range of baking equipment and process liquids..
A «case-study» for the Group: Diosna / Isernhäger
Our “new” subsidiary Isernhäger has quickly put its expertise in manufacturing of baking equipment at the
service of our other subsidiaries of the Bakery area to achieve a common business and offer our
industrial clients a «turnkey» solution of bread dough production: already 8 projects executed generating
a turnover of 7,6 M€.
Commercial synergies
Annually, VMI and Diosna sell equipment to more than 100 countries. This growth in business in world
markets opens access for other companies to do business with us: Esteve, Isernhäger and Tecnal.

20M€. L’objectif de cette opération est de diminuer le coût de notre dette et de bénéficier de plus de

L’entreprise Simon a d’abord été une société de
mécanique, fabriquant des équipements pour le domaine agricole. C’est progressivement qu’elle s’est
adaptée aux attentes de ses clients locaux dans le
domaine laitier et a pu développer des machines innovantes, vite devenues des références mondiales.
L’entreprise a d’emblée choisi une stratégie de
croissance à l'export sur le marché Beurrier, pour
cibler des usines de fabrication de beurre industriel.
Simon a fêté sa 1500e machine installée dans le
monde en 2010.
The company Simon was, at first, a mechanical
company, manufacturing equipment for the agricultural sector. It has gradually adapted to the needs of
its local customers in the dairy field and was able
to develop innovative machines, quickly become a
global standard.
The company has, at the outset, chosen a strong
export growth strategy on the butter market, to
target industrial butter manufacturing plants.
Simon celebrated its 1500th machinery installed
worldwide in 2010.
