Algemene verkoopen leveringsvoorwaarden Conditions generales de vente et de livraison General conditions of sale and delivery 19 Algemene verkoop- en leveringsvoorwaarden Royal Delft Groep 1. Definities 1.1. In deze algemene voorwaarden (“Voorwaarden”) wordt verstaan onder: Verkoper: Royal Delft en de aan haar gelieerde werkmaatschappijen die producten en/of diensten leveren aan Koper (volledige naam Royal Delft: N.V. Koninklijke Delftsch Aardewerkfabriek “De Porceleyne Fles Anno1653” voorheen Joost Thooft en Labouchere); Koper: Iedere natuurlijke of rechtspersoon in opdracht van wie Verkoper producten levert, dan wel met wie Verkoper een Overeenkomst aangaat of met wie Verkoper in onderhandeling is over het sluiten van een Overeenkomst; Overeenkomst: iedere overeenkomst die tussen Verkoper en Koper tot stand komt, elke wijziging of aanvulling daarop, almede alle (rechts)handelingen ter voorbereiding en ter uitvoering van die overeenkomst; Producten: alle zaken die het onderwerp zijn van een Overeenkomst; Order: iedere opdracht van Koper, in welke vorm dan ook. 2.Toepasselijkheid 2.1. Deze algemene voorwaarden zijn van toepassing op elk aanbod van en elke overeenkomst met Verkoper. 2.2. De toepasselijkheid van algemene voorwaarden van Koper wordt door Verkoper uitdrukkelijk van de hand gewezen. 3. Aanbiedingen, totstandkoming van Overeenkomsten en opgaven en aanduidingen van Producten 3.1. Een aanbieding of (prijs)opgave van Verkoper bindt hem niet en geldt slechts als een uitnodiging tot het plaatsen van een Order door Koper. 3.2. Een Overeenkomst kan slechts tot stand komen indien en voor zover Verkoper een Order van Koper schriftelijk aanvaardt of door Verkoper uitvoering aan een Order wordt gegeven, tenzij Koper bewijst dat Verkoper de Order van Koper anderszins – en onverkort en onvoorwaardelijk – heeft aanvaard. Indien Verkoper op verzoek enige prestatie verricht voordat volledige overeenstemming is bereikt over de prijs en betalingscondities voor die prestatie, zal Koper Verkoper daarvoor, met inachtneming van het bepaalde in de artikelen 5 en 6, betalen conform de dan bij Verkoper geldende tarieven. 3.3. Alle opgaven door Verkoper van getallen, maten, gewichten en/of andere aanduidingen van de Producten zijn met zorg gedaan, maar Verkoper kan er niet voor instaan dat zich terzake geen afwijkingen zullen voordoen. Getoonde of verstrekte monsters, tekeningen of modellen zijn slechts aanduidingen van de betreffende Producten. Wanneer Koper aantoont dat de (af)geleverde Producten zodanig afwijken van de opgaven van Verkoper of van de monsters, tekeningen of modellen, dat het naar maatstaven van redelijkheid en billijkheid onaanvaardbaar zou zijn tot afname daarvan verplicht te blijven, heeft Koper het recht om de Overeenkomst te ontbinden, echter zonder tot enige vorm van schadevergoeding gerechtigd te zijn. 4. Wijzigingen en aanvullingen 4.1. Wijzigingen van en aanvullingen op enige bepaling in een Overeenkomst en/of de Voorwaarden kunnen slechts schriftelijk worden overeengekomen. 4.2. Wanneer een wijziging en/of aanvulling als bedoeld in lid 1 wordt overeengekomen, geldt deze wijziging of aanvulling slechts voor de betreffende Overeenkomst. 5. Prijzen en BTW 5.1. Alle prijzen van Verkoper zijn uitgedrukt in Euro’s en exclusief omzetbelasting, een en ander tenzij anders aangeduid. Tenzij in Verkopers brochures, prijscouranten of ander promotiemateriaal anders wordt vermeld of tenzij nadrukkelijk anders overeengekomen, komen separaat ten laste van Koper de kosten van speciale vormen van verpakking en verzending, de kosten van in- en uitvoerrechten en accijnzen, alsmede alle (overige) heffingen of belastingen opgelegd of geheven terzake van enige prestatie. 6. Betaling 6.1. In geval van (af)levering van Producten zal Koper de hem in rekening gebrachte bedragen, in de valuta vermeld op de factuur, op het moment van (af)levering van bedoelde Producten aan Verkoper betalen, tenzij schriftelijk anders overeengekomen. Alle betalingen zullen, ter keuze van Verkoper, te zijner kantore of op een door hem aan te wijzen giro- of bankrekening worden gedaan. 6.2. Eventuele bezwaren tegen facturen, specificaties, omschrijvingen en prijzen moeten binnen 10 dagen schriftelijk ter kennis van Verkoper worden gebracht. Indien dit niet mogelijk is op grond van enige niet aan Koper toe te rekenen oorzaak, zal Koper zijn bezwaren in ieder geval zo spoedig als redelijkerwijs mogelijk is schriftelijk aan Verkoper mededelen. 6.3. Alle aan Koper in rekening gebrachte bedragen moeten zonder korting of inhouding worden voldaan. 6.4. Koper is niet gerechtigd tot verrekening van een vordering zijnerzijds met een vordering van Verkoper, tenzij dit hem op basis van een in kracht van gewijzigde gegane rechterlijke of arbitrale uitspraak wordt toegestaan. 6.5. Koper heeft niet het recht om zijn verplichtingen op te schorten, tenzij Koper binnen 30 dagen na het opeisbaar worden van de desbetreffende verplichtingen het geschil voorlegt aan de volgens artikel 18.3 bevoegde rechter. 6.6. Indien op enig moment bij Verkoper gerede twijfel bestaat en kan bestaan omtrent de kredietwaardigheid van Koper, en/of in het geval Koper bij herhaling niet correct of niet tijdig betaalt en hij door Verkoper ter zake is gewaarschuwd, is Verkoper gerechtigd, alvorens (verder) te presteren, ook voor lopende Overeenkomsten van Koper te eisen dat vooruitbetaling van de koopsom van de Producten plaatsvindt of dat deze een deugdelijke zekerheid stelt, ter hoogte van het bedrag dat Verkoper onder de Overeenkomst van Koper te vorderen mocht hebben, daaronder mede begrepen de in het handelsverkeer gebruikelijke rembourscondities en condities van documentair krediet zoals onherroepelijke letters of credit, cash against documents of cash against delivery. 6.7. Koper is, zonder nadere ingebrekestelling, over alle bedragen die niet uiterlijk op de laatste dag van de betalingstermijn zijn betaald, vanaf die dag rente verschuldigd gelijk aan het 1-maandtarief van de Euro Interbank Offered Rate, vermeerderd met 3% (berekend op jaarbasis). Telkens na afloop van een maand wordt het bedrag waarover de rente wordt berekend vermeerderd met de over die maand verschuldigde rente. 6.8. Indien Koper ook na het verstrijken van een nadere betalingstermijn het verschuldigde bedrag en rente niet heeft betaald, is Koper verplicht Verkoper alle buitengerechtelijke en gerechtelijke kosten inclusief redelijke kosten voor juridische bijstand in of buiten een procedure, te vergoeden. Indien door Verkoper uit coulanceoverwegingen of anderszins, aan Koper uitstel voor het verrichten van enige prestatie wordt gegeven, heeft de nieuwe termijn steeds een fataal karakter. 7. Afleveringstermijn 7.1. De door Verkoper opgegeven afleveringstermijn voor Producten is gebaseerd op de ten tijde van het sluiten van de Overeenkomst voor Verkoper geldende omstandigheden en, voorzover samenhangend met prestaties van derden, op de door die derden aan Verkoper verstrekte gegevens. De afleveringstermijn en/of uitvoeringstermijn zal door Verkoper zo veel mogelijk in acht worden genomen. 7.2. Genoemde termijnen gaan in op de datum van de schriftelijke orderbevestiging door Verkoper. Indien Verkoper voor de uitvoering van de Overeenkomst gegevens dan wel hulpmiddelen nodig heeft die door Koper moeten worden verstrekt, gaan de termijnen in op de dag dat alle benodigde gegevens of hulpmiddelen in het bezit zijn van Verkoper, doch niet eerder dan op de datum van de schriftelijke orderbevestiging. 20 7.3. Koper draagt er zorg voor dat zijnerzijds niets in de weg staat aan het nakomen van bepaalde overeengekomen termijnen, waaronder begrepen afleverings- en afnametijdstippen. 7.4. Bij overschrijding van enige termijn heeft Koper geen recht op schadevergoeding ter zake, tenzij sprake is van opzet of grove schuld van Verkoper of zijn leidinggevend personeel. Koper heeft evenmin recht op ontbinding of opzegging van de Overeenkomst, tenzij de overschrijding van de termijn zodanig is dat van Koper redelijkerwijs niet kan worden verlangd dat hij (het desbetreffende gedeelte van) de Overeenkomst in stand laat. Koper is alsdan, na ingebrekestelling bevattende een redelijke nadere nakomingstermijn, gerechtigd de Overeenkomst bij aangetekend schrijven te ontbinden of op te zeggen, echter slechts voor zover dat strikt noodzakelijk is. 7.5. Verkoper heeft te allen tijde het recht de Producten in gedeelten af te leveren. 8. Aflevering en risico 8.1. De aflevering van de Producten, inclusief de kosten van de (af)levering en de overgang van het risico, geschiedt, indien dit in de offerte of opdrachtbevestiging tot uitdrukking is gebracht en vervolgens is overeengekomen, volgens de in het handelsverkeer gebruikelijke condities, zoals exw., f.o.b., c.i.f., c.f.r. etc., en in al zulke gevallen zijn de Incoterms 2000 van de Internationale Kamer van Koophandel te Parijs daarop van toepassing. 8.2. Indien de in het vorige lid bedoelde condities niet zijn overeengekomen, geschiedt de aflevering en de risico-overgang van de Producten en de verpakking daarvan steeds op de plaats en het tijdstip waarop de Producten gereed zijn voor verzending aan Koper (“ex works”). Verkoper zal Koper zo spoedig mogelijk op de hoogte stellen van bovengenoemde tijdstip en plaats en Koper zal de Producten zo spoedig mogelijk, doch uiterlijk binnen 8 dagen na de kennisgeving afnemen. 8.3. Mocht Koper de Producten om een niet-rechtsgeldige reden niet of niet tijdig afnemen, zal hij zonder ingebrekestelling in verzuim zijn. Verkoper is alsdan gerechtigd de Producten voor rekening en risico van Koper op te slaan. Koper blijft de koopsom, vermeerderd met de rente en kosten bij wege van schadevergoeding verschuldigd. 8.4. In het geval een zaak (bijvoorbeeld toonkasten of –rekken of promotiemateriaal) aan Koper ter beschikking wordt gesteld, zonder dat de zaak wordt verkocht, blijven alle (intellectuele) eigendomsrechten bij Verkoper berusten, ook in het geval Koper een vergoeding betaalt, maar is de zaak vanaf het verlaten van Verkopers bedrijfsterreinen, of die van zijn toeleverancier, volledig voor rekening en risico van Koper. Koper draagt zorg voor een volledige verzekering van de zaken in kwestie ten gunste van Verkoper en geeft Verkoper desgevraagd inzage in het polisblad. 9. Overmacht 9.1. Indien Verkoper door een niet toerekenbare tekortkoming (“overmacht”) niet aan zijn verplichtingen jegens Koper kan voldoen, worden die verplichtingen opgeschort voor de duur van de overmachttoestand. 9.2. Indien de overmachttoestand tenminste drie maanden heeft geduurd, hebben beide partijen het recht de Overeenkomst schriftelijk, geheel of gedeeltelijk, te ontbinden. 9.3. Onder overmacht van Verkoper wordt verstaan elke van de wil van Verkoper onafhankelijke omstandigheid, waardoor de nakoming van (het betreffende gedeelte van) zijn verplichtingen jegens Koper wordt verhinderd, vertraagd of oneconomisch gemaakt of waardoor de nakoming van deze verplichtingen in redelijkheid niet van Verkoper kan worden verlangd, waaronder maar niet beperkt tot werkstakingen, transportstoringen, onlusten en oorlogstoestanden, natuurrampen, diefstal, molest, brand en het niet (tijdig) nakomen van leveranciers van Verkoper. 9.4. Partijen zullen elkaar zo spoedig mogelijk van een (mogelijke) overmachttoestand op de hoogte stellen. 10. Eigendomsvoorbehoud 10.1. Het eigendom van de Producten gaat, niettegenstaande de feitelijke aflevering, pas over op Koper nadat deze al hetgeen hij ter zake van krachtens overeenkomst afgeleverde of af te leveren Producten aan Verkoper verschuldigd is of zal worden, volledig heeft voldaan, daaronder mede begrepen de koopsom, eventuele ingevolge deze Voorwaarden of de Overeenkomst verschuldigde toeslagen, rente, belastingen en kosten, alsmede eventuele krachtens zodanige Overeenkomst verrichtte of te verrichten werkzaamheden. 10.2. Alle door Koper verrichte betalingen strekken in eerste instantie tot voldoening van eventuele rente en kosten en vervolgens ter voldoening van de oudste openstaande facturen. 10.3. Voordat de eigendom van de Producten op Koper is overgegaan, is Koper niet gerech¬tigd de Producten aan derden te verhuren of in gebruik te geven, aan derden te verpan¬den, of anderszins ten behoeve van derden te bezwaren. Koper is slechts gerechtigd de Producten, waarvan Verkoper eigenaar is, aan derden te verkopen en (af) te leveren, voor zover dit in het kader van Kopers normale bedrijfsuitoefening noodzakelijk is. 10.4. Koper is gehouden de onder eigendomsvoorbehoud afgeleverde Producten zorgvuldig en als herkenbaar eigendom van Verkoper te bewaren, en deze ten gunste van Verkoper volledig te verzekeren. Op eerste verzoek van Verkoper zal Koper Verkoper een kopie verstrekken van het polisblad. 10.5. Indien en zolang Verkoper eigenaar van de Producten is, zal Koper Verkoper onverwijld schriftelijk op de hoogte stellen wanneer enig onderdeel van de Producten verloren is gegaan dan wel is beschadigd, of de Producten in beslag worden genomen en/of anderszins aanspraak wordt gemaakt op (enig onderdeel van) de Producten. Voorts zal Koper Verkoper op Verkopers eerste verzoek mededelen waar de Producten, waarvan Verkoper eigenaar is, zich bevinden. 10.6. Bij beslag, (voorlopige) surseance van betaling of faillissement zal Koper onmiddellijk de beslagleggende deurwaarder, de bewindvoerder of de curator wijzen op de (eigendoms) rechten van Verkoper. 11. Intellectuele eigendom 11.1. Verkoper verklaart dat, voor zover hij weet, door de Producten geen inbreuk wordt gemaakt op geldende rechten van intellectuele eigendom van derden. 11.2. Koper staat ervoor in geen inbreuk te maken (noch derden zulks toe te staan of mogelijk te maken) op intellectuele eigendomsrechten van Verkoper, dan wel zijn toeleveranciers, met betrekking tot de Producten, bijvoorbeeld door de Producten te kopiëren, te bewerken of na te maken. 12. Inspectie en reclame 12.1. Koper is verplicht de Producten onmiddellijk na aankomst op de plaats van bestemming of, indien dit eerder is, na ontvangst door hemzelf of door een in zijn opdracht handelende derde, nauwkeurig te (doen) inspecteren. Eventuele reclames over gebreken aan de Producten die zijn te wijten aan materiaal- of fabricagefouten, alsmede verschillen in hoeveelheid, gewicht, samenstelling of kwaliteit tussen de afgeleverde Producten en de daarvoor op de orderbevestiging en/of factuur gegeven beschrijving, moeten uiterlijk binnen 10 dagen na aankomst van de Producten schriftelijk aan Verkoper worden medegedeeld. Gebreken, die redelijkerwijs niet binnen de boven gestelde termijn hadden kunnen worden geconstateerd, moeten onmiddellijk na constatering en in ieder geval uiterlijk binnen zes maanden na aankomst van de Producten schriftelijk aan Verkoper worden gemeld. 12.2. Koper zal alle door Verkoper voor onderzoek van de reclame gewenste medewerking verlenen. 12.3. Koper heeft geen recht tot reclameren ten aanzien van Producten waarvan door Verkoper geen controle op de reclame kan plaatshebben. 12.4. Het staat Koper niet vrij de Producten te retourneren, voordat Verkoper daarmee schriftelijk heeft ingestemd. De redelijke kosten van retourneren zijn alsdan voor Verkoper. De Producten blijven voor risico van Koper, totdat deze in de macht zijn gekomen van Verkoper. 12.5. Gebreken ter zake van een afzonderlijke partij Producten die onderdeel uitmaakt van een uit meer partijen bestaande leverantie, geven Koper slechts het recht op ontbinding van de gehele Overeenkomst wanneer van Koper instandhouding van het resterende gedeelte van de Overeenkomst niet in redelijkheid kan worden verlangd. 12.6. Koper kan geen aanspraken ter zake van reclames over gebreken van Producten doen gelden jegens Verkoper zolang Koper enige daarmee samenhangende verplichting jegens Verkoper niet is nagekomen. 12.7. Indien tijdig, correct en overeenkomstig de bepalingen van dit artikel is gereclameerd en naar het redelijke oordeel van Verkoper genoegzaam is aangetoond dat de Producten niet voldoen aan de overeengekomen eisen, zal Verkoper de keus hebben hetzij de niet deugdelijk gebleken Producten kosteloos te vervangen door nieuwe Producten tegen retournering van de ondeugdelijk gebleken Producten, hetzij de betreffende Producten deugdelijk te repareren, hetzij Koper alsnog een in onderling overleg vast te stellen korting op de koopprijs te verlenen. Door voldoening aan één van de hiervoor genoemde prestaties zal Verkoper volledig zijn gekweten en zal Verkoper tot geen enkele (verdere) (schade)vergoeding zijn gehouden. 13. Garantie 13.1. De Producten worden gedurende een periode van twaalf maanden na aflevering gegarandeerd tegen gebreken als gevolg van materiaal- en/of fabricagefouten. De garantie houdt in dat Verkoper naar zijn keuze voor zijn rekening de Producten zal herstellen of vervangen. Alle vervangen zaken worden eigendom van Verkoper. 13.2. De garantie is niet van toepassing indien de gebreken (gedeeltelijk) het gevolg zijn van onjuist, onzorgvuldig of onoordeelkundig gebruik of een overeenkomstig de gebruiktijd natuurlijke slijtage. 13.3. Verkoper staat uitdrukkelijk niet in voor aanbevelingen of adviezen ter zake van het gebruik van de Producten door derden, noch staat Verkoper in voor zodanige adviezen of instructies van Koper aan zijn afnemers. 14. Aansprakelijkheid en vrijwaring 14.1. Verkoper is nimmer aansprakelijk voor enige indirecte schade van Koper of derden, waaronder mede begrepen gevolgschade, immateriële schade, bedrijfs- of milieuschade. 14.2. De aansprakelijkheid van Verkoper jegens Koper uit welken hoofde dan ook is per gebeurtenis (waarbij een samenhangende reeks gebeurtenissen als één gebeurtenis geldt) beperkt tot de betreffende contractsom (exclusief B.T.W.). Indien geen contractsom kan worden aangewezen, is Verkopers aansprakelijkheid beperkt tot het bedrag dat hij ter zake van zijn bedrijfsaansprakelijkheidsverzekeraar ontvangt. In alle gevallen is de aansprakelijkheid beperkt tot een maximaal bedrag ad 250.000 Euro. 14.3. De aansprakelijkheidsbeperkingen in de leden 1 en 2 blijven buiten toepassing voor zover de betreffende schade is veroorzaakt door opzet of grove schuld van Verkoper of zijn leidinggevend personeel of voor zover Verkopers aansprakelijkheid voortvloeit uit het dwingend toepasselijke productenaansprakelijkheidsrecht. 15. Overige verplichtingen en verantwoordelijkheden Koper 15.1. Koper zal aan Verkoper alle voor de uitvoering van verkopers werkzaamheden benodigde gegevens steeds tijdig ter beschikking stellen en staat in voor de juistheid en volledigheid daarvan. 15.2. Koper zal op de Producten aangebrachte merk- en/of herkenningstekens niet geheel of gedeeltelijk verwijderen of onzichtbaar maken. 16. Ontbinding 16.1. In geval van (voorlopige) surseance van betaling, faillissement, stillegging of liquidatie van het bedrijf van Koper, heeft Verkoper het recht alle Overeenkomsten met Koper te ontbinden, tenzij Verkoper Koper binnen redelijke tijd mededeelt nako¬ming van (een deel van) de betreffende Overeenkomst(en) te verlangen, in welk geval Verkoper zonder ingebrekestelling gerechtigd is: – de uitvoering van de betreffende Overeenkomst(en) op te schorten totdat betaling voldoende zeker is gesteld; en/of – al zijn eventuele verplichtingen ten opzichte van Koper op te schorten, een en ander onverminderd Verkopers andere rechten onder welke Overeenkomst met Koper dan ook en zonder dat Verkoper tot enige schadevergoeding is gehouden. 16.2. Indien Koper niet behoorlijk of niet binnen een gestelde termijn of anderszins tijdig voldoet aan enige verplichting die voor hem uit enige Overeenkomst mocht voortvloeien, is Koper in verzuim en is Verkoper gerechtigd zonder ingebrekestelling of rechterlijke tussenkomst: – de uitvoering van die Overeenkomst en direct daarmee samenhangende Overeenkomsten op te schorten totdat betaling voldoende zeker is gesteld; en/of – die Overeenkomst en direct daarmee samenhangende Overeenkomsten geheel of gedeeltelijk te ontbinden, een en ander onverminderd Verkopers andere rechten onder welke Overeenkomst met Koper dan ook en zonder dat Verkoper tot enige schadevergoeding is gehouden. 16.3. Ingeval zich een gebeurtenis voordoet als bedoeld in lid 1 of lid 2 zijn respectievelijk alle vorderingen van Verkoper op Koper en de bedoelde vorderingen uit hoofde van de betreffende Overeenkomst(en) onmiddellijk en in het geheel opeisbaar en is Verkoper gerechtigd de betreffende Producten terug te nemen. In dat geval zullen Verkoper en zijn gemachtigde(n) zijn gerechtigd om de terreinen en gebouwen van Koper te betreden teneinde de Producten in bezit te nemen. Koper is verplicht de nodige maatregelen te nemen teneinde Verkoper in de gelegenheid te stellen zijn rechten te ef¬fectueren. 18.4. De toepasselijkheid van: – Het Verdrag der Verenigde Naties inzake internationale koopovereenkomsten betreffende roerende zaken; Wenen, 11 april 1980 (“Weens Koopverdrag”); en – Het Verdrag inzake het recht dat van toepassing is op international koopovereenkomsten betreffende roerende zaken; ’s-Gravenhage, 22 december 1986 (“Haags Verdrag Toepasselijke Wet Internationale Koop”), wordt nadrukkelijk door partijen uitgesloten. Specifieke opdracht De in dit hoofdstuk “specifieke opdracht” vermelde bepalingen zijn, naast de overige bepalingen van deze algemene voorwaarden van toepassing indien Verkoper Producten vervaardigt of doet vervaardigen in specifieke opdracht van Koper. 19. Prijzen 19.1. Tenzij anders overeengekomen, zal van Koper een aanbetaling van 30%, dan wel vooruitbetaling van de opstartkosten worden gevraagd. 19.2. In geval van verhoging van een of meer kostprijsfactoren is Verkoper gerechtigd om de prijs dienovereenkomstig te verhogen, tenzij de verhoging bij de orderbevestiging reeds bekend was. 20. (Intellectueel) eigendom 20.1. Alle tekeningen, mallen, litho’s, ontwerpen, schetsen, modellen, alsmede de grafische vormgeving van (handels)namen, merken, beeldelementen en logo’s, door of namens Verkoper bij de uitvoering van de Overeenkomst vervaardigd, blijven het (intellectueel) eigendom van Verkoper. 20.2. Koper garandeert dat het gebruik van door Koper verstrekte gegevens, (handels) namen, merken of anderszins, Verkoper niet in strijd brengt met wettelijke voorschriften of rechten van derden. Koper vrijwaart Verkoper volledig van alle directe en indirecte schade voortvloeiende uit aanspraken welke derden jegens Verkoper geldend maken uit hoofde van de schending van de vorenbedoelde garantie. 20.3. Indien een aanbieding vergezeld gaat van begrotingen, plannen, catalogi of andere bescheiden, blijven deze te allen tijde eigendom van Verkoper en moeten op eerste verzoek franco aan Verkoper worden teruggezonden. Ze mogen zonder toestemming van Verkoper niet vermenigvuldigd worden, noch aan derden ter inzage worden gegeven. 21. Uitvoering Overeenkomst 21.1. Verkoper is bevoegd om, indien hij dit noodzakelijk dan wel wenselijk acht voor een juiste uitvoering van de opdracht en na overleg met de Koper, bij de uitvoering van de Overeenkomst anderen in te schakelen, waarvan de kosten aan Koper zullen worden doorberekend conform de verstrekte prijsopgaven. 21.2. Eventuele specifieke wensen van Koper inzake het transport resp. de verzending, worden slechts uitgevoerd indien Koper verklaard heeft de meerdere kosten daarvan te zullen dragen. 21.3. Geringe en/of gebruikelijke afwijkingen geven nimmer aanleiding tot enige reclame. Verkoper is gerechtigd maximaal 15% meer of minder dan besteld te leveren. Daarnaast is verkoper gerechtigd ten hoogste 5% zogenaamde “tweede keus” te leveren, met dien verstande dat daarop een nader overeen te komen korting wordt gegeven. Deze Algemene Voorwaarden zijn gedeponeerd bij de Kamer van Koophandel te ’s-Gravenhage en zullen op Kopers eerste verzoek kosteloos aan hem worden toegezonden. 17. Overdracht van rechten en verplichtingen 17.1. Het is Verkoper toegestaan de in enige Overeenkomst met Koper omschreven rechten en verplichtingen aan derden over te dragen. In het geval verplichtingen van VKM worden overgedragen dient Verkoper Koper hiervan voorafgaand op de hoogte te brengen en heeft Koper het recht de Overeenkomst te ontbinden. Verkoper is niet tot enige (schade)vergoeding ter zake gehouden. 17.2. Koper is niet gerechtigd zijn rechten en/of verplichtingen uit een Overeenkomst aan enige derde over te dragen, zonder de voorafgaande schriftelijke toestemming van Verkoper. 18. Toepasselijk recht, informatieplichten bevoegde rechter 18.1. Op deze Voorwaarden, alsmede op alle Overeenkomsten en alle geschillen die daaruit mochten voortvloeien of daarmee mochten samenhangen, is Nederlands recht van toepassing. 18.2. Indien deze Voorwaarden van toepassing zijn in een internationale verhouding met Koper, zal deze Verkoper steeds direct informeren over alle bepalingen in deze Voorwaarden die in het land van Koper niet afdwingbaar zijn. Mits op voorhand door Verkoper geaccordeerd, zal Verkoper alsdan de redelijke kosten van een eventueel daartoe benodigd extern juridisch onderzoek dragen. Koper zal, voor zover hij met het bepaalde in de eerste zin van dit lid in gebreke blijft, zich niet in of buiten rechte beroepen op de mogelijke niet-afdwingbaarheid van dergelijke bepalingen en Verkoper vrijwaren voor enige schade die mocht ontstaan, tenzij Verkoper heeft geweigerd om de redelijke kosten als hierboven bedoeld te voldoen. 18.3. Voor zover door toepasselijke nationale of internationale rechtsregels niet dwingend anders wordt voorgeschreven, zullen alle geschillen tussen partijen in eerste instantie bij uitsluiting worden voorgelegd aan de bevoegde rechter te ‘s-Gravenhage, onverminderd Verkopers recht om het geschil in plaats daarvan voor te leggen aan de anders op grond van nationale of internationale rechtsregels bevoegde rechter. 21 General conditions of sale and delivery Royal Delft Groep 1. Definitions 1.1 In these general conditions (“Conditions”), the following terms have the following meanings: Seller: Royal Delft and its affiliated operating companies that provide products and/or services to the Purchaser (full name of Royal Delft: N.V. Koninklijke DelftschAardewerkfabriek “De Porceleyne Fles Anno 1653” previously Joost Thooft & Labouchere); Purchaser: Each natural person or legal person on whose order the Seller supplies products or with whom the Seller enters into an Agreement or with whom the Seller negotiates the conclusion of an Agreement; Agreement: each agreement concluded between the Seller and the Purchaser, each amendment or addition thereto, as well as all (juristic) acts in preparation or implementation of that agreement; Products: all goods that are the subject of an Agreement; Order: each order of a Purchaser, in whatever form. 2. Applicability 2.1. These general conditions apply to each offer from and each agreement with the Seller. 2.2. The applicability of general conditions of the Purchaser is expressly excluded by the Seller. 3. Offers, conclusion of Agreements and quotations and specifications regarding Products 3.1. An offer or (price) quotation of the Seller does not bind him and is only an invitation to the Purchaser to place an Order. 3.2. An Agreement can only be concluded if and insofar as the Seller accepts an Order of the Purchaser in writing or the Seller carries out an Order, unless the Purchaser proves that the Seller has accepted the Order of the Purchaser in any other way – and fully and unconditionally. If the Seller delivers a performance on request before full agreement about the price and payment conditions applicable to that performance has been reached, the Purchaser will pay the Seller in accordance with the Seller’s then applicable rates, with due observance of the provisions of Articles 5 and 6. 3.3. Although the Seller exercises due care when providing numbers, measurements, weights and/or other specifications regarding the Products, it cannot guarantee that deviations will not occur. Samples, drawings or models shown or provided only serve to indicate the Products. If the Purchaser proves that the Products delivered or provided deviate so much from the statements, samples, drawings or models provided or shown by the Seller, that, according to the principle of good faith it would be unacceptable for the Purchaser to be obliged to purchase them, the Purchaser will have the right to terminate the Agreement, but without being entitled to any form of compensation. 4. Amendments and additions 4.1. Amendments and additions to any provision of an Agreement and/or the Conditions can only be agreed in writing. 4.2. If an amendment and/or addition as referred to in paragraph 1 is agreed, that amendment or addition only applies to the Agreement concerned. 5. Prices and VAT 5.1. All prices of the Seller are expressed in euros and excluding turnover tax, all this unless specified otherwise. Unless stated otherwise in the Seller’s brochures, price lists or other promotional material or unless expressly agreed otherwise, the costs of special arrangements regarding packaging and shipment, the costs of customs and excise, as well as all (other) levies or taxes imposed or levied in respect of any performance will be charged separately to the Purchaser. 6. Payment 6.1. If Products are delivered, the Purchaser must pay the Seller the amounts charged to him in the currency stated in the invoice at the time of delivery of those Products, unless agreed otherwise in writing. All payments must be made at the Seller’s office or into a giro account or bank account designated by him, such at the Seller’s discretion. 6.2. Objections to invoices, specifications, descriptions and prices, if any, must be made known to the Seller in writing within 10 days. If this is not possible due to a cause beyond the Purchaser’s control, the Purchaser must at any rate inform the Seller of his objections in writing as soon as reasonably possible. 6.3. All amounts charged to the Purchaser must be paid without discount or deduction. 6.4. The Purchaser is not entitled to setoff a claim on his part against a claim of the Seller, unless he is permitted to do so pursuant to a final judicial decision or arbitral award. 6.5. The Purchaser is not entitled to suspend his obligations, unless the Purchaser submits the dispute to the court with jurisdiction in accordance with Article 18.3 within 30 days of the relevant obligations having become due and payable. 6.6. If the Seller has or may have obvious misgivings about the creditworthiness of the Purchaser from time to time, and/or if the Purchaser repeatedly fails to pay correctly or in good time and has been warned by the Seller on that account, the Seller will be entitled to demand, before delivering any (further) performance, also within the framework of current agreements, that the Purchaser pays the purchase price of the Products in advance or furnishes adequate security in an amount equal to what the Seller may claim from the Purchaser under the Agreement, including also cash conditions and conditions of documentary credit, such as irrevocable letters of credit, cash against documents or cash against delivery, in accordance with standard business practice. 6.7. The Purchaser owes interest equal to the 1-month rate of the Euro Interbank Offered Rate, increased by 3% (calculated on an annual basis), on all amounts not paid on the last day of the payment term, from that last day, without notice of default being required. After the end of each month, the amount on which the interest is calculated is increased by the interest due for that month. 6.8. If the Purchaser has still not paid the amount and interest due after the expiry of a further payment term, the Purchaser will be obliged to compensate the Seller for all extrajudicial and judicial costs, including the reasonable costs of legal assistance. If the Seller grants the Purchaser a postponement for delivering any performance, as a goodwill gesture or for any other reason, the new payment term is always a strict deadline. 7. The term of delivery 7.1. The term of delivery for products stated by the Seller is based on the circumstances applicable at the Seller at the time of the conclusion of the Agreement and, insofar as related to the performances of third parties, to the data provided to the Seller by those third parties. The Seller will as much as possible observe the term of delivery and/or the term of performance. 7.2. The aforementioned terms commence on the date of the written order confirmation by the Seller. If the Seller needs data or tools to be provided by the Purchaser for the performance of the Agreement, the terms commence on the date on which all the required data or tools have been received by the Seller, but not before the date of the written order confirmation. 7.3. The Purchaser must ensure that nothing for his part precludes observance of certain agreed terms, including the terms of delivery and acceptance. 7.4. The Purchaser will not be entitled to any damages if a term is exceeded, unless there is question of intent or gross negligence of the Seller or his managerial staff. Nor will the Purchaser be entitled to terminate the Agreement, unless the exceeding of the term is such that the Purchaser cannot reasonably be required to maintain (the relevant part of) the Agreement. If that is the case, the Purchaser, after giving notice of default with a reasonable further term for performance, will be entitled to terminate the Agreement by registered 22 letter, provided only insofar that that is strictly necessary. 7.5. The Seller may at any time deliver the Products in consignments. 8. Delivery and risk 8.1. If this is expressly stated in the offer or the order confirmation and has subsequently been agreed, the delivery of the Products, including the costs of the delivery and the passing of the risk, is in accordance with standard business conditions, such as EXW., f.o.b., c.i.f., c.f.r. etc., and in such cases always subject to the Incoterms 2000 of the International Chamber of Commerce in Paris. 8.2. If the conditions mentioned in the previous paragraph have not been agreed, the delivery and the passing of the risk in respect of the Products and the packaging thereof are always in the place where and at the time at which the products are ready for shipment to the Purchaser (“ex works”). The Seller will inform the Purchaser as soon as possible of the above-mentioned time and place and the Purchaser will accept the Products as soon as possible, but not later than 8 days after the notice. 8.3. If the Purchaser fails to accept the Products (in time) for a legally invalid reason, he will be in default without notice of default being required. The Seller will then be entitled to store the Products at the expense and risk of the Purchaser. The Purchaser will continue to owe the purchase amount, increased by interest and costs by way of damages. 8.4. If an item (for example show cases or show racks or promotional material) is made available to the Purchaser without the item being sold, all (intellectual) property rights remain vested in the Seller, also if the Purchaser pays a fee, but the item will be entirely at the expense and risk of the Purchaser from the time it has left the Seller’s business premises. The Purchaser must arrange full insurance for the items concerned in favour of the Seller and will allow the Seller to inspect the policy schedule at the Seller’s request. 9. Force majeure 9.1. If the Seller is unable to fulfil his obligations towards the Purchaser due to a non-attributable failure (force majeure), the obligations concerned will be suspended for the duration of the force majeure situation. 9.2. If the force majeure situation has lasted at least three months, both parties will be entitled to terminate the Agreement in writing, wholly or in part. 9.3. Force majeure in relation to the Seller means each circumstance independent of the Seller’s will as a result of which fulfilment of (the relevant part of) his obligations towards the Purchaser is prevented, delayed or made uneconomical or as a result of which the fulfilment of those obligations cannot reasonably be required of the Seller, including without limitation, strikes, transportation disturbances, riots and war, acts of God, theft, wilful damage, fire and non-performance or untimely performance by suppliers of the Seller. 9.4. The parties will inform each other as soon as possible of a (possible) force majeure situation. 10. Retention of title 10.1. Notwithstanding the actual delivery, the ownership of the Products does not pass to the Purchaser until after he has paid in full all that he owes or will owe the Seller for the Products delivered or to be delivered pursuant to the Agreement, including the purchase sum, any surcharges due pursuant to these Conditions or the Agreement, interest, taxes and costs, as well as any work done or to be done pursuant to such an Agreement. 10.2 All payments made by the Purchaser will first be utilized to settle any interest and costs, and will subsequently be utilized to settle those invoices that have been outstanding the longest. 10.3. Before the ownership of the Products has passed to the Purchaser, the Purchaser will not be entitled to hire the Products out to third parties or give them in use or pledge them to third parties, or otherwise encumber them in favour of third parties. The Purchaser will only be entitled to sell and deliver the products owned by the Seller to third parties, insofar as necessary within the framework of the Purchaser’s normal business operations. 10.4. The Purchaser must keep the Products delivered subject to retention of title carefully and identifiable as property of the Seller and insure them fully in favour of the Seller. On the Seller’s demand, the Purchaser must provide the Seller with a copy of the policy schedule. 10.5. If and as long as the Seller is the owner of the Products, the Purchaser must immediately inform the Seller if any part of the Products has gone lost or is damaged or if (any part of) the Products (is) are seized and/or otherwise claimed. In addition, the Purchaser must inform the Seller on demand of the location of the Products of which the Seller is the owner. 10.6. In case of a seizure, a (provisional) moratorium or a liquidation, the Purchaser will immediately inform the seizor, the bailiff, the administrator or the receiver of the (ownership) rights of the Seller. 11. Intellectual property 11.1. The Seller declares that, to the best of his knowledge, the Products do not infringe on valid intellectual property rights of third parties. 11.2. The Purchaser guarantees that he will not infringe on the intellectual property rights of the Seller or his suppliers in respect of the Products (and will not allow or enable third parties to do so), for example by copying, adapting or imitating the Products. 12. Inspection and complaint 12.1. The Purchaser is obliged to inspect or have inspected the Products meticulously immediately on arrival at the place of destination or, if earlier, on receipt by himself or a third party acting on his behalf. Any complaints about defects in the Products in terms of material or workmanship, as well as about differences in terms of amount, weight, composition and quality between the Products delivered and the relevant description on the order confirmation and/or the invoice must be made known to the Seller in writing within 10 days of arrival of the Products. Defects that could not reasonably have been established within the above-stated term must be reported to the Seller in writing immediately after having been established or at any rate within six months of arrival of the Products. 12.2. The Purchaser will give the Seller all assistance required by him for the investigation of the complaint. 12.3. The Purchaser has no right to complain about Products if investigation of the complaint by the Seller is impossible. 12.4. The Purchaser is not free to return the Products before the Seller has given his written permission. The reasonable costs of returning will then be borne by the Seller. The Products remain at the Purchaser’s risk until they are under the Seller’s control. 12.5. Defects with regard to a separate lot of Products that is part of a delivery consisting of one or more lots only entitles the Purchaser to termination of the entire Agreement if the Purchaser cannot reasonably be required to maintain the remaining part of the Agreement. 12.6. The Purchaser may not enforce claims arising from complaints about defects of Products against the Seller, so long as the Purchaser has failed to fulfil any related obligation towards the Seller. 12.7. If a complaint has been made in time, correctly and in accordance with the provisions of this article and it is in the Seller’s reasonable opinion sufficiently proven that the Products do not fulfil the agreed requirements, the Seller will, at his own discretion, replace the Products that appear to be defective by new Products on returning of the defective Products or repair the Products concerned skilfully or give the Purchaser a discount off the purchase price determined in mutual consultation. By delivering one of the above-mentioned performances, the Seller will be fully discharged and the Seller will not be obliged to make any (further) (damage) payment. 13. Warranty 13.1. The Products are warranted to be free from defects in material and workmanship for a period of 12 months after delivery. The warranty means that the Seller will, at his discretion, repair or replace the Products at his expense. All products replaced become the property of the Seller. 13.2. The warranty does not apply if the defects are (partially) due to incorrect, careless or inexpert use or represent normal wear and tear for the period of use. 13.3. The Seller does expressly not warrant recommendations or advice regarding the use of the Product from third parties, nor does the Seller warrant such recommendations or instructions from the Purchaser to his customers. 14. Liability and indemnification 14.1. The Seller will never be liable for any indirect damage of the Purchaser or third parties, including also consequential damage, immaterial damage, trading loss and environmental damage. 14.2. The Seller’s liability towards the Purchaser, on whatever ground, per event (a series of related events counting as one event) is therefore limited to the relevant contract sum (excluding VAT). If it is not possible to designate a contract sum, the Seller’s liability will be limited to the amount he receives in the case from his corporate liability insurer. The liability is in all cases limited to a maximum amount of 250,000 euros. 14.3. The limitations of liability in the paragraphs 1 and 2 do not apply insofar as the damage concerned is due to intent or gross negligence of the Seller or his managerial staff or insofar as the Seller’s liability arises from mandatory law regarding product liability. 15. Other obligations and responsibilities of the Purchaser 15.1. The Purchaser must provide the Seller with all the information required for the performance of the Seller’s duties in good time and guarantee that it is correct and complete. 15.2. The Purchaser shall not in whole or partially remove or make invisible brand names and/or other identifying marks affixed to the Products. Specific assignment In addition to the other provisions in these general terms and conditions, the provisions included in this chapter “specific assignment” apply if the Seller produces products (or has products produced) on the specific instruction of the Purchaser. 19.Prices 19.1. Unless agreed otherwise, the Purchaser will be asked to make a down payment of 30% or an advance payment of the start-up costs. 19.2. In the event of an increase of one or more costs price factors, the Seller will be authorised to raise the price accordingly, unless it was already aware of the increase at the time of the order confirmation. 20. (Intellectual) property 20.1. All drawings, moulds, lithos, designs, sketches, models, as well as the graphic design of (trade) names, visual elements and logos made by or on behalf of the Seller in the performance of the Agreement will remain the (intellectual) property of the Seller. 20.2. The Purchaser warrants that the use of the details, (trade) names, trademarks or other items provided by the Purchaser does not result in the Seller being in breach of statutory provisions or rights of third parties. The Purchaser indemnifies and holds harmless the Seller against all direct and indirect loss arising from claims that third parties enforce against the Seller on the basis of a breach of the abovementioned guarantee. 20.3. In the event that an offer is accompanied by budgets, plans, catalogues or other documents, these will continue to be the property of the Seller at all times and must be returned to the Seller, postage paid, upon request. They may not be multiplied without permission from the Seller, nor be submitted to third parties for inspection. 21. Performance of the Agreement 21.1. If he considers this necessary or desirable for the proper execution of the assignment, and following consultation with the Purchaser, the Seller is authorised to engage others in the performance of the Agreement, the costs of which will be charged to the Purchaser in accordance with the submitted quotations. 21.2. Any specific wishes of the Purchaser with regard to the transport or the dispatch will only be met if the Purchaser has agreed to bear the additional costs involved. 21.3. Small and/or customary derogations will never lead to a right of recovery of any kind. The Seller is authorised to deliver up to 15% more or less than the ordered quantity. In addition, the Seller is authorised to deliver up to 5% of so-called “second choice”, on the understanding that this will be subject to a discount, to be agreed upon at a later stage. These General Conditions have been filed with the Chamber of Commerce in The Hague and will be sent to the Purchaser on demand, free of charge. 16. Termination 16.1. In the event of a (provisional) moratorium, liquidation, interruption or winding-up of the business of the Purchaser, the Seller will be entitled to terminate all agreements with the Purchaser, unless the Seller informs the Purchaser within a reasonable period of time that he requires performance of the relevant Agreement, in which case the Seller will be entitled, without notice of default being required, to: – suspend the performance of the relevant Agreement(s) until payment is sufficiently secured; and/or – suspend all its obligations towards the Purchaser, if any, all this without prejudice to the Seller’s other rights under any Agreement with the Purchaser and without the Seller being obliged to pay any damages. 16.2. If the Purchaser fails to fulfil any obligation arising for it under any Agreement properly or within a stipulated period or otherwise on time, the Purchaser will be in default and the Seller will be entitled, without notice of default or judicial intervention being required, to: – suspend the performance of that Agreement and agreements related with it until payment is sufficiently secured; and/or – terminate in whole or partially that Agreement and agreements related with it, all this without prejudice to the Seller’s other rights under any Agreement with the Purchaser and without the Seller being obliged to pay any damages. 16.3. If an event as referred to in paragraph 1 or paragraph 2 occurs, all claims of the Seller against the Purchaser and the above-mentioned claims under the agreement(s) concerned will become immediately and fully due and payable and the Seller will be entitled to take back the Products concerned. The Seller and his authorized representatives will then be entitled to enter the sites and buildings of the Purchaser to take possession of the Products. The Purchaser will be obliged to take the necessary measures to enable the Seller to effect his rights. 17. Assignment of rights and obligations 17.1. The Seller may assign the rights and obligations described in any Agreement with the Purchaser to a third party. If the Seller intends to transfer his obligations, he must inform the Purchaser of that intention in advance and the Purchaser will have the right to terminate the Agreement. The Seller will not be obliged to make any (damage) payment. 17.2. The Purchaser may not assign his rights and/or obligations under an Agreement to a third party without the prior written consent of the Seller. 18. Application law, duty of disclosure and competent court 18.1. These Conditions as well all agreements and all disputes arising from them or related to them are governed by Dutch law. 18.2. If these Conditions apply in an international relationship with the Purchaser, the latter must always immediately inform the Seller of any provisions of these Conditions that cannot be enforced in the country of the Purchaser. Provided approved by the Seller in advance, the Seller will then bear the reasonable costs of any required external legal investigation. Insofar as the Purchaser fails to comply with the provisions of the first sentence of this paragraph, he may not invoke the possible non-enforceability in or out of court and must indemnify the Seller against any damage resulting there from, unless the Seller has refused to pay the reasonable costs as referred to above. 18.3. Provided that applicable national or international rules of law do not prescribe otherwise as mandatory, all disputes between the parties will in the first instance only be submitted to the competent court in The Hague, without prejudice to the Seller’s right to submit the dispute instead to the court otherwise competent pursuant to national or international rules of law. 18.4. The applicability of: – The United Nations Convention on Contracts for the International Sale of Goods; Vienna, 11 April 1980 (“Vienna Sales Convention”); and – The Convention on the Law Applicable to Contracts for the International Sale of Goods; The Hague, 22 December 1986 (“The Hague Convention on Applicable Law International Sales”),is expressly excluded by the parties. 23 Conditions Generales de vente et de livraison Royal Delft Groep 1. Définitions 1.1. Dans les conditions générales (“Conditions”), est entendu par : Vendeur: Royal Delft et les sociétés qui lui sont affiliées, qui livrent des produits et/ ou des services à l´Acheteur (nom complet de Royal Delft : N.V. Koninklijke Delftsch Aardewerkfabriek “De Porceleyne Fles Anno 1653” anciennement Joost Thooft et Labouchere); Acheteur: Toute personne physique ou morale sur l’ordre de laquelle le Vendeur livre des produits ou bien avec laquelle le Vendeur conclut un Contrat ou avec laquelle le Vendeur négocie la conclusion d’un Contrat; Contrat: Tout contrat conclu entre le Vendeur et l’Acheteur, toute modification ou tout complément de celui-ci, ainsi que tous les actes (juridiques) permettant de préparer ou d’exécuter ce contrat; Produits: Tous les biens faisant l’objet d’un Contrat ; Commande: Tout ordre de l’Acheteur, sous quelle forme que ce soit. 2. Applicabilité 2.1. Les présentes conditions générales s’appliquent à toute offre du Vendeur et à tout Contrat avec le Vendeur. 2.2. L’applicabilité des conditions générales de l’Acheteur est expressément rejetée par le Vendeur. 3. Offres, établissement de Contrats et désignations et dénominations de Produits 3.1. Une offre ou devis de la part du Vendeur n’est pas contraignant(e) pour celui-ci et constitue uniquement une invitation, à l’adresse de l’Acheteur, à placer une Commande. 3.2. Un Contrat peut uniquement être conclu lorsque et pour autant que le Vendeur a accepté par écrit une Commande de l’Acheteur ou lorsque le Vendeur fait exécuter une Commande, à moins que l’Acheteur ne prouve que le Vendeur a accepté d’une autre manière – et intégralement et inconditionnellement – la Commande de l’Acheteur. Lorsque le Vendeur livre, sur demande, une prestation avant qu’un accord total n’ait été conclu relativement au prix et aux conditions de paiement concernant cette prestation, l’Acheteur procèdera au paiement de cette prestation, en considération de ce qui est stipulé dans les articles 5 et 6, conformément aux tarifs en vigueur à ce moment chez le Vendeur. 3.3. Toutes les indications fournies par le Vendeur relatives aux nombres, mesures, poids et/ou autres désignations de Produits sont transmises avec soin, mais le Vendeur ne peut garantir l’absence d’anomalies en ce sens. Les échantillons présentés et fournis, les dessins ou modèles se sont que des indications relatives aux Produits concernés. Lorsque l’Acheteur prouve que les Produits livrés sont non conformes aux désignations de Vendeur ou aux échantillons, dessins ou modèles, qu’il ne serait pas acceptable de maintenir l’obligation de les acheter au regard des critères de bonne foi, l’Acheteur est en droit de résilier le Contrat, sans toutefois être en droit de prétendre à quelque forme d’indemnisation que ce soit. 4. Modifications et compléments 4.1. Les modifications et les compléments de toute disposition d’un Contrat et/ou des Conditions peuvent être uniquement convenus par écrit. 4.2. Lorsqu’une modification et/ou un complément, tel que stipulé dans l’alinéa 1, est convenu, cette modification ou ce complément vaut uniquement pour le Contrat concerné. 5. Prix et TVA 5.1. Tous les prix du Vendeur sont exprimés en Euros, taxes sur le chiffre d’affaires non comprises, à moins que cela ne soit indiqué autrement. Sauf si cela est indiqué autrement ou s’il en a été convenu autrement dans les brochures, les catalogues de prix ou autre matériel promotionnel du Vendeur, sont séparément facturés à l’Acheteur les frais de formes spéciales d’emballage ou d’expédition, les frais de droits et taxes de douane à l’importation et à l’exportation, ainsi que tous les (autres) impôts et taxes, imposés ou levés sur toute prestation. 6. Paiement 6.1. Dans le cas d’une livraison de Produits, l’Acheteur paiera au Vendeur les montants lui ayant été facturés, dans la monnaie mentionnée sur la facture, au moment de la livraison des Produits concernés, à moins qu’il n’en ait été convenu autrement par écrit. Tous les paiements auront lieu, au choix du Vendeur, dans ses bureaux ou par versement sur un compte bancaire / compte courant postal désigné par lui. 6.2. Toute réclamation éventuelle relative à des factures, des spécifications, des descriptions et des prix doit être transmise par écrit au Vendeur dans un délai de 10 jours. Si ceci n’est pas possible pour une raison non imputable à l’Acheteur, l’Acheteur fera part en tout cas de sa réclamation par écrit au Vendeur dans les délais les plus raisonnables. 6.3. Tous les montants facturés à l’Acheteur devront être payés sans réduction ou retenue. 6.4. L’Acheteur n’est pas autorisé à compenser une créance de sa part par une créance du Vendeur, à moins qu’il n’y soit autorisé en vertu d’une décision judiciaire ou arbitrale permettant cette modification. 6.5. L’Acheteur n’a pas le droit de suspendre ses obligations, à moins que l’Acheteur ne soumette, conformément à l’article 18.3, le litige à un tribunal compétent dans les 30 jours suivant l’exigibilité des obligations concernées. 6.6. Si à un moment donné, un doute fondé existe ou peut exister chez le Vendeur quant à la solvabilité de l’Acheteur, et/ou dans le cas où l’Acheteur ne s’acquitte pas à plusieurs reprises, correctement ou à temps, de ses obligations de paiement et que le Vendeur lui a adressé un avertissement à ce sujet, le Vendeur est en droit, avant de fournir des (d’autres) prestations, d’exiger - également pour les Contrats en cours de l’Acheteur - un paiement anticipé du prix d’achat des Produits ou d´exiger que l’Acheteur fournisse une garantie effective d’un montant égal à celui que le Vendeur pourrait exiger conformément au Contrat de l’Acheteur, ce qui inclut les conditions de remboursement habituelles dans le domaine des échanges commerciaux et les conditions de crédit documentaire comme les lettres de crédit irrévocables, les documents contre paiement et les livraisons contre paiement. 6.7. L’Acheteur doit, sans toute autre mise en demeure, sur tous les montants qui ne sont pas payés au plus tard le dernier jour du délai de paiement, un intérêt à compter de ce jour équivalent au tarif mensuel 1 de l’Euro Interbank Offered Rate, auquel viennent s’ajouter 3% (calculés sur base annuelle). A la fin de chaque mois, l’intérêt dû sur ce mois vient, chaque fois, s’ajouter au montant sur lequel l’intérêt est calculé. 6.8. Dans le cas où l’Acheteur, également après l’échéance d’un nouveau délai de paiement, n’a pas payé le montant et l’intérêt, l’Acheteur est tenu de rembourser au Vendeur tous les frais judiciaires et extra judiciaires, y compris les frais raisonnables d’assistance juridique dans le cadre ou en dehors d’une procédure. Dans le cas où le Vendeur permet à l’Acheteur, par indulgence ou autre, de différer l’exécution d’une prestation quelconque, le nouveau délai devient fatal. 7. Délai de livraison 7.1. Le délai de livraison mentionné par le Vendeur pour des Produits est basé sur les circonstances existant pour le Vendeur au moment de la conclusion du Contrat et, pour autant que cela soit lié à des prestations de tiers, sur les données transmises au Vendeur par ces tiers. Le délai de livraison et/ou d’exécution sera, pour autant que possible, respecté par le Vendeur. 7.2. Les délais mentionnés entrent en vigueur à la date de la confirmation écrite de la commande par le Vendeur. Lorsque le Vendeur a besoin de données ou de moyens pour l’exécution du Contrat, lesquels doivent être fournis par l’Acheteur, les délais entrent en vigueur le jour où toutes les données ou les moyens nécessaires sont en possession du Vendeur, néanmoins pas avant la date de la confirmation écrite de la commande. 24 7.3. L’Acheteur veille à ce que rien, de sa part, ne gêne le respect des délais convenus, dates de livraison et de réception incluses. 7.4. En cas de transgression de quelque délai que ce soit, l’Acheteur n’a pas droit à un dédommagement, à moins qu’il ne soit question de dol ou de faute grave de la part du Vendeur ou du personnel de sa direction. L’Acheteur n’a pas non plus le droit de résilier ou d’annuler le Contrat, à moins que la transgression du délai soit telle que ne peut être raisonnablement demandé de la part de l’Acheteur qu’il laisse intact le Contrat (ou la partie concernée du Contrat). L’Acheteur est alors, après une mise en demeure comprenant un nouveau délai d’exécution raisonnable, en droit de résilier ou d’annuler le Contrat par lettre recommandée, mais uniquement pour autant que ceci soit absolument nécessaire. 7.5. Le Vendeur est, en tout temps, en droit de procéder à des livraisons partielles de Produits. 8. Livraison et risques 8.1. La livraison des Produits - y compris les frais de livraison et le transfert du risque - a lieu, si ceci a été mentionné dans l’offre ou la confirmation de commande et ensuite convenu, conformément aux conditions valant habituellement dans les échanges commerciaux, telles : exw., f.o.b., c.i.f., c.f.r., etc., et dans tous ces cas, les règles Incoterms 2000 de la Chambre de commerce internationale de Paris sont d’application. 8.2. Dans le cas où les conditions stipulées dans l’alinéa précédent n’ont pas été convenues, la livraison, le transfert de risque des Produits et l’emballage de ceux-ci ont toujours lieu sur le lieu et à l’heure/date où les Produits sont prêts à être expédiés à l’Acheteur (“ex works”, c´est–à-dire “départ usine”). Le Vendeur informera dans les meilleurs délais l’Acheteur de l’heure/date et du lieu et l’Acheteur réceptionnera les Produits dans les meilleurs délais, cependant au plus tard dans les 8 jours suivants la notification. 8.3. Dans le cas où l’Acheteur ne réceptionne pas les Produits dans les temps impartis ou pour des raisons non-légitimes, il est en défaut sans mise en demeure. Le Vendeur est alors autorisée à stocker les Produits à la charge et aux risques de l’Acheteur. L’Acheteur continue à devoir le prix d’achat auquel viennent s’ajouter les intérêts et les frais de dédommagement dus. 8.4. Dans le cas où un bien (par exemple: vitrines ou étagères de présentation ou matériel de promotion) est mis à disposition de l’Acheteur, tous les droits de propriété (y compris intellectuelle) demeurent la propriété du Vendeur, même si l’Acheteur paie une rétribution, cependant que le bien est à la charge et aux risques de l’Acheteur dès que celui-ci quitte les terrains d’exploitation du Vendeur ou ceux de son fournisseur. L’Acheteur veille à contracter une assurance complète pour la couverture des biens en question, au profit du Vendeur et permet au Vendeur de consulter la police d’assurance sur demande. 9. Cas de force majeure 9.1. Dans le cas où le Vendeur, en raison d’un manquement ne lui étant pas imputable (“force majeure”), ne peut satisfaire à ses obligations envers l’Acheteur , ces obligations sont suspendues pendant la durée du cas de force majeure. 9.2. Si le cas de force majeure dure au moins trois mois, les deux parties sont en droit de résilier par écrit, une partie ou la totalité du Contrat. 9.3. Par cas de force majeure pour le Vendeur, on entend l’ensemble des circonstances indépendantes de la volonté du Vendeur qui font obstacle, retardent ou rendent nonéconomiques ses obligations envers l’Acheteur ou ne permettent pas, raisonnablement, d’attendre du Vendeur qu’il respecte ses obligations ; ces circonstances comprennent, sans s´y limiter : grèves, problèmes de transport, troubles et guerres, catastrophes naturelles, vols, avaries, incendies et non-respect d’engagements (dans les temps impartis) de la part de fournisseurs du Vendeur. 9.4. Les parties s’informeront mutuellement, dès que possible, d’un cas de force majeure ou de la possibilité d´un tel cas. 10. Réserve de propriété 10.1. La propriété des Produits n’est transférée à l’Acheteur, nonobstant la livraison de fait, que lorsque celui-ci a payé la totalité des montants qu’il doit ou devra au Vendeur en vertu du Contrat relativement aux Produits livrés ou devant être livrés, ce qui inclut le prix d’achat, les suppléments, intérêts, impôts et frais découlant éventuellement des Conditions ou du Contrat, ainsi que les activités éventuellement exécutées ou à exécuter en vertu du Contrat. 10.2. Tous les paiements effectués par l’Acheteur sont destinés en premier lieu à acquitter les intérêts et frais éventuels et en second lieu à acquitter les plus anciennes factures demeurant impayées. 10.3. Avant que la propriété des Produits ne soit transmise à l’Acheteur, l’Acheteur n’est pas autorisé à louer les Produits à des tiers ou à permettre à des tiers leur utilisation, à les donner en gage à des tiers où à les grever autrement au profit de tiers. L’Acheteur est uniquement autorisé à vendre ou à livrer les Produits dont le Vendeur est propriétaire pour autant que ceci soit nécessaire dans le cadre de l’exploitation de l’Acheteur. 10.4. L’Acheteur est tenu de conserver les Produits livrés sous réserve de propriété soigneusement et de manière à ce qu’ils puissent être identifiés comme étant la propriété du Vendeur et de les assurer complètement au profit du Vendeur. A la première demande du Vendeur, l’Acheteur fournira au Vendeur une copie de la police. 10.5. Dans le cas où et tant que le Vendeur est propriétaire des Produits, l’Acheteur informera le Vendeur sans délai et par écrit du fait qu´une quelconque partie des Produits a été perdue ou endommagée, que les Produits sont saisis et/ou que les Produits (ou une partie de ceux-ci) sont, d’une autre manière, réclamés. Par ailleurs, l’Acheteur informera le Vendeur, à la première demande de celui-ci, de l’endroit où se trouve les Produits dont le Vendeur est propriétaire. 10.6. En cas de saisie, de mise (provisoire) en règlement judiciaire ou de faillite, l’Acheteur appellera l’attention de l’huissier chargé de la saisie, de l’administrateur ou du liquidateur judiciaire sur les droits (de propriété) du Vendeur. 11. Propriété intellectuelle 11.1. Le Vendeur déclare que, pour autant qu’il le sache, les Produits ne portent pas atteinte à des droits de propriété intellectuelle de tiers en vigueur. 11.2. L’Acheteur garantit ne pas violer les droits de propriété intellectuelle du Vendeur ou de ses fournisseurs relatifs aux Produits (et garantit qu’il ne le permettra et ne le rendra possible à des tiers), par exemple en copiant ou transformant les Produits ou en fabricant des contre-façons. 12. Inspection et réclamation 12.1. L’Acheteur est tenu de procéder, lui-même, ou de faire procéder par un tiers agissant sur son ordre à une inspection soigneuse des Produits, immédiatement après arrivage sur les lieux de destination ou immédiatement après réception si celle-ci a lieu avant. Les réclamations éventuelles concernant les vices de Produits dus à des défauts de matériau ou de fabrication, concernant également des différences de quantité, de poids, de composition ou de qualité entre les Produits livrés et la description mentionnée sur la confirmation de commande et/ou la facture doivent être transmises par écrit au Vendeur au plus tard dans les 10 jours suivant l’arrivage des Produits. Les vices n’ayant pu être raisonnablement constatés dans les délais susmentionnés doivent être signalés par écrit au Vendeur immédiatement après constatation et, en tout cas, au plus tard dans les six mois suivant l’arrivage des Produits. 12.2. L’Acheteur apportera pleinement sa collaboration au traitement de la réclamation de la part du Vendeur. 12.3. L’Acheteur n’est pas en droit de déposer une réclamation relativement à des Produits sur lesquels le Vendeur ne peut exercer aucun contrôle relatif à ladite réclamation. 12.4.L’Acheteur n’est pas autorisé à retourner les Produits avant que le Vendeur n’en ait fourni l’autorisation écrite. Les frais raisonnables de renvoi sont alors à la charge du Vendeur. Les Produits demeurent aux risques de l’Acheteur, jusqu’à ce qu’ils soient restitués sous l’autorité du Vendeur. 12.5. Les vices relatifs à un lot séparé de Produits faisant partie d’une livraison composée d’un ou plusieurs lots confèrent uniquement à l’Acheteur le droit de résiliation de l’ensemble du Contrat lorsqu’il ne peut être raisonnablement demandé à l’Acheteur qu’il maintienne la part restante du Contrat. 12.6. L’Acheteur ne peut faire valoir envers le Vendeur aucun droit relatif à des réclamations portant sur des vices de Produits tant qu’il n’a pas respecté toute obligation envers le Vendeur en rapport à ces Produits. 12.7. Lorsque la réclamation a été faite à temps, correctement et conformément aux dispositions du présent article et que, de l’avis raisonnable du Vendeur, il est suffisamment prouvé que les Produits ne satisfont pas aux exigences convenues, le Vendeur pourra choisir soit de remplacer gratuitement les Produits défectueux contre renvoi de ces Produits défectueux, soit de réparer correctement les Produits défectueux, soit d’accorder une réduction sur le prix d’achat, laquelle sera déterminée en commun accord. Après avoir fourni l’un des services susmentionnés, le Vendeur sera totalement acquittée de son obligation et ne sera tenue de verser aucune autre (nouvelle) compensation (ou dédommagement). 13. Garantie 13.1. Les Produits sont garantis durant une période de douze mois suivant la livraison contre les vices dus à des défauts de fabrication et/ou de matériau. Cette garantie implique que le Vendeur peut choisir de remplacer ou de réparer les Produits à sa charge. Tous les Produits remplacés deviennent la propriété du Vendeur. 13.2. La garantie ne s’applique pas lorsque les vices sont dus (partiellement ou non) à un usage abusif, négligent ou peu judicieux ou à une usure naturelle conforme à la durée d’utilisation. 13.3. Le Vendeur décline expressément toute responsabilité vis-à-vis des recommandations et conseils relatifs à l’utilisation des Produits de la part de tiers et ne se porte non plus caution pour de tels conseils ou instructions de la part de l’Acheteur à l’endroit de sa clientèle. 14. Responsabilité et clause de sauvegarde 14.1. Le Vendeur n’est jamais responsable de quelque dommage indirect que ce soit causé par l’Acheteur à des tiers, ce qui inclut les dommages consécutifs, les dommages immatériels, les dommages d’exploitation et les dommages environnementaux. 14.2. La responsabilité du Vendeur envers l’Acheteur, de quelque chef que ce soit, est limitée, par événement (une série d’événements en rapport les uns avec les autres valant pour un événement unique), au montant du Contrat concerné (hors TVA). Lorsque aucune somme contractuelle ne peut être avancée, la responsabilité du Vendeur se limite au montant qu’il reçoit de son assurance responsabilité d’entreprise. Dans tous les cas, la responsabilité est limitée à un montant maximal de 250 000 euros. 14.3. Les limitations de responsabilité stipulées dans les alinéas 1 et 2 ne s’appliquent pas dans la mesure où le dommage concerné est causé par un dol ou une faute grave de la part du Vendeur ou du personnel de sa direction ou dans la mesure où la responsabilité découle du droit applicable et contraignant de responsabilité du fait des produits. 15. Autres obligations et responsabilités de l’Acheteur 15.1. L’Acheteur mettra toujours en temps opportun à la disposition du Vendeur toutes les données nécessaires à l’exécution de ses activités et garantira que ces données sont complètes et correctes. 15.2. L’Acheteur n’ôtera pas, ni ne rendra invisible(s), la marque apposée sur les Produits et/ou les signes permettant de les reconnaître. 16. Résiliation 16.1. En cas de mise en règlement judiciaire (provisoire), de faillite, d’arrêt des activités ou de liquidation de l’entreprise de l’Acheteur, le Vendeur est en droit de résilier tous les Contrats avec l’Acheteur, à moins que le Vendeur ne fasse savoir à l’Acheteur, dans un délai raisonnable, qu’il tient au respect de/des Contrat(s) concerné(s) (ou d´une partie de celui/ceux-ci) ; le cas échéant le Vendeur est autorisée, sans mise en demeure, à : – suspendre l’exécution du (des) Contrat(s) jusqu’à ce que le paiement soit suffisamment garanti ; et/ou – suspendre toutes ses obligations éventuelles envers l’Acheteur, ce, sans préjudice des autres droits du Vendeur relevant de quelque Contrat que ce soit avec l’Acheteur et sans que le Vendeur soit tenue de verser quelques dommages et intérêts que ce soit. 16.2. Lorsque l’Acheteur ne satisfait pas, correctement ou dans un délai convenu ou autrement dans les temps impartis, à une quelconque obligation à laquelle il est tenu du fait de quelque Contrat que ce soit, l’Acheteur est en défaut et le Vendeur est en droit, sans mise en demeure ou sans entremise judiciaire : – de suspendre l’exécution de ce Contrat et des Contrats en rapport direct avec celui-ci, jusqu’à ce qu’une garantie de paiement suffisante soit fournie ; et/ou – de résilier partiellement ou entièrement ce Contrat et les Contrats en rapport direct avec celui-ci, ce, sans préjudice des autres droits du Vendeur relevant de quelque Contrat que ce soit avec l’Acheteur et sans que le Vendeur soit tenue de verser quelques dommages et intérêts que ce soit. 16.3. Dans le cas où survient un événement tel que stipulé dans l’alinéa 1 ou 2, toutes les créances du Vendeur sur l’Acheteur et toutes les créances du chef du (des) Contrat(s) concerné(s) sont immédiatement et entièrement exigibles et le Vendeur est autorisée à reprendre les Produits concernés. Dans ce cas, le Vendeur et son (ses) mandataire(s) sont autorisés à accéder aux terrains et aux immeubles de l’Acheteur afin de reprendre possession des Produits. L’Acheteur est tenu de prendre les mesures nécessaires pour permettre au Vendeur d’effectuer ses droits. 18.4. L’application de : – la Convention des Nations unies sur les contrats de vente internationale de marchandises ; Vienne, le 11 avril 1980 (“Convention de Vienne sur les contrats de vente”) ; et – la Convention sur le droit applicable aux contrats de vente internationale relative aux marchandises ; La Haye, 22 décembre 1986 (“Convention sur la loi applicable aux contrats de vente internationale de marchandises”), est expressément exclue par les parties. Commande spécifique Les dispositions visées dans le présent chapitre “commande spécifique” s’appliquent, outre les autres dispositions des présentes conditions générales, si le Vendeur fabrique ou fait fabriquer des Produits sur commande spécifique de l’Acheteur. 19. Prix 19.1. Sauf accord contraire, il sera demandé à l’Acheteur un acompte de 30% ou le paiement anticipé des frais de démarrage. 19.2. Dans le cas d’une hausse d’un ou plusieurs éléments du prix de revient, le Vendeur est en droit de majorer le prix en conformité, sauf si la hausse était déjà connue au moment de la confirmation de la commande. 20. Propriété (intellectuele) 20.1. Tous les dessins, moules, lithographies, plans, esquisses, modèles, ainsi que le graphisme des dénominations (commerciales ou non), marques, éléments d’image et logos, réalisés par ou pour le compte du Vendeur dans le cadre de l’exécution du Contrat, demeurent la propriété (intellectuelle) du Vendeur. 20.2. L’Acheteur garantit que l’utilisation des données, dénominations (commerciales ou non), marques et autres, fournies par l’Acheteur ne met pas le Vendeur en infraction par rapport aux dispositions légales ou aux droits de tiers. L’Acheteur sauvegarde le Vendeur contre tout préjudice direct et indirect découlant de réclamations que des tiers font valoir à l’encontre du Vendeur du chef de la violation de la garantie précitée. 20.3. Si une offre est accompagnée de devis, plans, catalogues ou autres documents, ceux-ci demeurent à tout moment la propriété du Vendeur et doivent être réexpédiés franco de port au Vendeur à la première demande. Il est interdit de les reproduire ou de les dévoiler à des tiers sans l’autorisation du Vendeur. 21. Exécution du Contrat 21.1. Le Vendeur est habilité, dans la mesure où il estime que cela est nécessaire ou souhaitable pour la bonne exécution de la commande et après concertation avec l´Acheteur, à faire appel à des tiers, dans le cadre de l´exécution du Contrat, dont les coûts seront portés en compte à l´Acheteur conformément au devis présenté. 21.2. Les éventuels souhaits spécifiques de l´Acheteur en ce qui concerne le transport, respectivement l´envoi, seront seulement satisfaits si l´Acheteur a déclaré qu´il supporterait le surcoût correspondant. 21.3. Les écarts minimes et/ou usuels ne pourront en aucun cas donner lieu à une réclamation. Le Vendeur est en droit de livrer au maximum 15% en plus ou en moins de la quantité commandée. De plus, le Vendeur est en droit de livrer dans la limite de 5% une qualité dite “de second choix”, étant entendu qu´une réduction correspondante à convenir ultérieurement sera accordée. Ces Conditions générales ont été déposées à la Chambre de Commerce et d’Industrie de la Haye et seront envoyées gratuitement à l’Acheteur à la première demande de sa part. 17. Transfert de droits et obligations 17.1. Le Vendeur est autorisée à transmettre à des tiers les droits et obligations définis dans tout Contrat passé avec l’Acheteur. Dans le cas où des obligations du Vendeur sont transmises, le Vendeur doit en informer par avance l’Acheteur et l’Acheteur est en droit de résilier le Contrat. Dans ce cas, le Vendeur n’est pas tenue de verser une compensation (dommages et intérêts). 17.2. L’Acheteur n’est pas autorisé à transmettre à des tiers ses droits et/ou obligations découlant d’un Contrat sans avoir obtenu, par avance, l’autorisation écrite du Vendeur. 18. Droit applicable, obligation d’information et tribunal compétent 18.1. Le droit néerlandais s’applique aux présentes conditions, ainsi qu’à tous les Contrats et à tous les litiges pouvant découler de ceux-ci ou en rapport avec ceux-ci. 18.2. Lorsque les présentes Conditions s’appliquent dans le cadre d’une relation internationale avec l’Acheteur, celui-ci informera immédiatement le Vendeur de l’ensemble des clauses des présentes Conditions qui ne sont pas contraignantes dans le pays de l’Acheteur. À condition que le Vendeur ait donné préalablement son accord, le Vendeur prendra en charge les coûts raisonnables éventuellement liés à une étude juridique externe à cet effet. Dans le cas où l’Acheteur demeure en défaut relativement à ce qui est stipulé dans la première phrase du présent alinéa, celui-ci ne pourra faire appel judiciairement ou extrajudiciairement à la possibilité de non force exécutoire de telles clauses et garantira le Vendeur contre tout dommage pouvant être encouru, à moins que le Vendeur ait refusé de s’acquitter des coûts raisonnables visés ci-dessus. 18.3. Dans la mesure où cela n´est pas prescrit autrement de manière contraignante par des règles de droit nationales ou internationales, tous les litiges entre les parties seront, en première instance, exclusivement soumis au tribunal compétent de La Haye, sans préjudice du droit du Vendeur de soumettre le litige à un autre tribunal compétent sur la base de règles de droits nationales ou internationale. 25
