MISE EN PLACE D’UN MANDAT DE GESTION PROGRAMMEE
Paris, 8 août 2014 - Ancien Président de Lafarge et bénéficiaire d’options de souscription
attribuées en 2004, Monsieur Bertrand Collomb, Président d’Honneur, a conclu le 2 août 2014, un
mandat de gestion programmée portant exclusivement sur l’exercice de ces options (et la cession
des actions issues de ces exercices). Les caractéristiques principales des options 2004 sont
détaillées au paragraphe 3.5 du Document de référence 2013 de la Société.
Conformément à la recommandation n°2010-07 de l’Autorité des Marchés Financiers, le mandat
prévoit notamment (i) que l’exécution de l’instruction ne peut débuter que 3 mois après sa
conclusion et (ii) la non-immixtion du dirigeant dans l’exécution du mandant.
Des copies du mandat et de l’instruction ont été déposées auprès de l’AMF.
SIGNING OF PROGRAMMED TRADING MANDATES
Paris, August 8th, 2014 - The former Chairman of Lafarge benefiting from 2004 stock-options to
subscribe new shares, Mr. Bertrand Collomb, the Honorary Chairman, signed on August 2nd,
2014 a programmed trading mandate exclusively covering the exercise of these stock-options
(and the sale of the shares resulting from these exercises). The main characteristics of the 2004
stock-options are detailed in section 3.5 of the Registration Document 2013 of the Company.
In accordance with Recommendation No. 2010-07 of the “Autorité des Marchés Financiers”, the
mandate notably provides that (i) the instruction can only be executed three months after signing
and (ii) the executive cannot intervene in the execution of the mandate.
Copies of mandate and instruction have been filed with the AMF.
