Processed and transmitted by NASDAQ OMX Corporate Solutions. The issuer is solely responsible for the content of this announcement. Geneva, Switzerland, 7 February 2014 (SIX:ADXN), Addex Therapeutics, a leading company pioneering allosteric modulation-based drug discovery and development, announced today top-line data from a Phase 2a clinical study of ADX71149 in anxious depression, conducted by Janssen Research & Development, LLC, on behalf of its affiliate Janssen Pharmaceuticals, Inc. Overall, ADX71149 was well- tolerated and treatment emergent adverse events reported were similar to those seen in previous clinical studies. Based on a preliminary analysis of the primary efficacy end point, the 6-Item Hamilton Anxiety Subscale, (HAM-A6), ADX71149 did not meet the criterion for efficacy signal detection versus placebo. The placebo response was considered acceptable. Despite a lack of signal on the primary outcome measure, treatment with ADX71149 showed efficacy signals on several anxiety measures (HDRS17 anxiety somatization factor, IDS-C30 anxiety subscale) and on all depression measures (HDRS17, HAM-D6 and IDS-C30). This study will be presented by Janssen at a future scientific meeting and submitted for publication in a peer-reviewed medical journal. Although efficacy signals were evident, overall the data does not support the further development of ADX71149 in anxious depression. Further exploration of ADX71149 in other indications remains of potential interest. 'This proof-of-concept study was testing a new mechanism of action in an MDD subpopulation (anxious depression) that had not been studied in clinical trials to date. We greatly appreciate the efforts and resources that our partner, Janssen has deployed to further our understanding of this mechanism and advance the program,' said Tim Dyer, CEO at Addex. 'In the coming months we will work with Janssen to identify the best future development path for the program.' This was a multicenter, double-blind, placebocontrolled, flexibly-dosed study of adjunctive ADX71149 in adults with Major Depressive Disorder (MDD) with significant anxiety symptoms. The primary objective was to evaluate efficacy, as assessed by change from baseline on a 6-item subscale of the Hamilton Anxiety Scale (HAM-A6), and overall safety and tolerability of treatment with adjunctive ADX71149 compared to placebo in subjects with MDD with anxiety symptoms being treated with an SSRI or SNRI. Secondary outcome measures included those assessing depressed mood (HDRS17; IDS-C30, HAM-D6), and anxiety (HAM-A-14; HDRS17 anxiety somatization factor, IDS-C30 anxiety subscale). The study consisted of 3 phases: a screening phase up to 2 weeks, an 8-week double-blind treatment phase (included two 4-week treatment periods), and a 2- week post-treatment (follow up) phase. Following an initial fixed up-titration from 25mg to 50mg b.i.d, ADX71149 was dosed flexibly in the range of 50mg to 150mg b.i.d. Of the 121 randomized subjects, 100 subjects (82.6%) completed the 8-week double blind treatment phase. About mGlu2 Activation and ADX71149 ADX71149 is a novel, first-in-class potent, oral, small molecule positive allosteric modulator (PAM) of metabotropic glutamate receptor 2 (mGlu2), a Family C class of G Protein Coupled Receptor (GPCR). The development of ADX71149 is part of a worldwide research collaboration and license agreement between Addex and Janssen Pharmaceuticals, Inc. to discover, develop and commercialize a novel mGlu2 PAM medication for the treatment of anxiety, schizophrenia and other undisclosed indications. Under the terms of the agreement, Addex is eligible for up to a total of EUR112 million in milestone payments based on potential development and regulatory achievements. In addition, Addex is eligible for low double-digit royalties on sales of any mGlu2 PAM medication developed under the agreement. About Anxious Depression Unipolar depression is the leading cause of disability worldwide (2008 WHO Global Burden of Disease Report) and anxiety symptoms are commonly reported in major depressive disorder (MDD) patients. Around 85% of adults with MDD exhibit significant anxiety symptoms (Gorman, 1996); and approximately 50% of outpatients with MDD have a comorbid anxiety disorder, 58% lifetime (Fava et al., 2000; Kessler et al., 1996). Comorbid anxiety results in more severe depressive symptoms, increased suicide risk, more chronic course, poorer and slower treatment response, greater functional and occupational impairment, increased societal burden/socioeconomic costs, and increased health care utilization. The first line treatments for MDD patients with comorbid anxiety are SSRIs and SNRIs, however, this subpopulation is less responsive and continues to demonstrate a great unmet need. Adjunctive treatments to SSRIs/SNRIs for anxious depression result in significant added side effect burden and are often poorly tolerated in long term treatment. The STAR*D clinical study, the largest effectiveness study evaluating next-step therapies in realworld patients with major depressive disorder, showed that patients with anxious depression were less likely to achieve remission or respond to treatment than those with non-anxious depression (Fava et al. 2008). MEO1V - METSO OYJ - EUR Determining the acquisition cost of Metso and Valmet shares Thomson Reuters (07/02/2014) Determining the acquisition cost of Metso and Valmet shares under the Finnish income tax system Metso Corporation's stock exchange release on February 7, 2014 at 2:15 p.m. local time Metso Corporation's Pulp, Paper and Power businesses were transferred to Valmet Corporation through a partial demerger as of December 31, 2013 and Metso shareholders received one (1) Valmet share for each of their Metso shares as a demerger consideration. As a result of the demerger, the original acquisition cost of Metso shares will be split between Metso and Valmet shares under the Finnish income tax system. Acquisition costs vary, depending on the time when the shares were originally acquired. Determining this cost is necessary for tax purposes to calculate the capital gain or loss from the sale of the shares in question. According to the Finnish Tax Administration the weighted average share prices of the first trading day on January 2, 2014 are to be used in determining the acquisition cost of Metso Corporation's and Valmet Corporation's shares for Finnish income tax purposes. As a result, the acquisition costs are to be allocated between the two companies' shares as follows: 78.80% (Metso Corporation) and 21.20% (Valmet Corporation). Example: If a shareholder acquired a Metso share prior to the partial demerger at a cost of EUR 25.00, the acquisition cost of the Metso share following the partial demerger will be considered as EUR 19.70 (78.80%) and that of the Valmet share as EUR 5.30 (21.20%). The method for splitting the acquisition cost of shares described above does not apply to shareholders resident outside Finland. We recommend that shareholders liable for tax living outside Finland consult their tax advisers on how the acquisition cost of their shares will be treated locally. SBMO - SBM OFFSHORE NV - EUR SBM OFFSHORE STATEMENT ON RECENT MEDIA REPORTS February 7, 2 Thomson Reuters (07/02/2014) Recent media reports have picked up a publication that was brought to the Company's attention last week, and was first posted on the internet October 18, 2013. The publication shows great similarity to an e-mail attachment the Company received from a former employee shortly before the publication was posted online. The former employee concerned left the Company in June 2012 on the basis of a mutually agreed upon termination initiated by himself. Following his departure, the Company had no contact with the employee until March 2013. At that time, the employee attempted extortion by threatening to make disclosures based on his interpretation of certain materials he had illegally obtained or retained. A representative of the employee indicated that he would be prepared not to do so if the Company would make payments in the amount of some EUR3 million. SBM Offshore refused to entertain the former employee's threat. Upon being notified of the Company's decision, the publication was posted on Wikipedia. The Company will be taking steps against the former employee. The allegations now made by the former employee relate to an ongoing investigation into potentially improper sales practices. The investigation is being conducted by outside counsel and forensic accountants which has been publicly disclosed and of which the competent authorities and investors have been informed by the Company for over eighteen months. The Company remains in active dialogue with these authorities. As mentioned by the Company in its comments to yesterday's 2013 earnings release, the investigation centers around potentially improper sales practices in two countries in Africa, and in one other country outside of Africa. As previously stated, it is not yet possible to provide further information or an estimate of the potential outcome, financial or otherwise. The document published on the internet is not a Company produced document. Since the investigation is still ongoing, SBM Offshore cannot comment on its contents, however it is safe to note that it is partial, taken out of context and to the extent factually correct, is outdated. Processed and transmitted by NASDAQ OMX Corporate Solutions. The issuer is solely responsible for the content of this announcement. ALLSCHWIL/BASEL, SWITZERLAND 07 February 2014 - Actelion Ltd (SIX: ATLN) today announced the approval of Opsumit® (macitentan) 10 mg for the treatment of pulmonary arterial hypertension (PAH) by the Therapeutic Goods Administration (TGA) of Australia. Opsumit, as monotherapy or in combination with approved PAH treatments (phosphodiesterase-5 inhibitors or inhaled prostanoids), is indicated for the treatment of idiopathic and heritable PAH as well as PAH associated with connective tissue disease and PAH associated with congenital heart disease with repaired shunts in patients with WHO Functional class II,III or IV symptoms. Professor Trevor Williams, Clinical Director of the Department of Allergy, Immunology and Respiratory Medicine at Alfred Hospital and Monash University, Melbourne, Australia commented, 'The approval of Opsumit is a key milestone in the management of PAH. We now have confidence that we can improve long term clinical outcomes both in treatment naïve patients and those on combination therapy. Hopefully all new pulmonary arterial hypertension drugs will be subjected to such extensive level of rigorous clinical evaluation and demonstrate clinically important results.' The TGA's approval was based on data from the landmark Phase III SERAPHIN study. In the SERAPHIN study, treatment with macitentan 10 mg resulted in a 45% risk reduction (hazard ratio [HR] 0.55; 97.5% CI: 0.39 to 0.76; logrank p < 0.0001) of the composite morbidity-mortality endpoint when compared to placebo. Jean-Paul Clozel, M.D. and Chief Executive Officer of Actelion gave his reaction to the news: 'This approval marks a significant moment for the PAH community in Australia as Opsumit is the first and only PAH treatment with proven longterm efficacy in controlled clinical trials in PAH, and will now offer hope of a better future to those living with this disease. Actelion is now working to make this important medicine available to patients around Australia in the coming months.' The most common adverse events that were reported at a frequency at least 3% greater on macitentan than on placebo were nasopharyngitis (14.0% macitentan vs 10.4% placebo), headache (13.6% vs 8.8%) and anaemia (13.2% vs 3.2%) Opsumit was approved by the US FDA in October 2013, Health Canada in November 2013 and by the EU Commission in December 2013. It is also undergoing regulatory assessment in other countries including Switzerland. ### NOTES TO THE EDITOR ABOUT OPSUMIT(®) (MACITENTAN) Opsumit (macitentan) is a novel dual endothelin receptor antagonist (ERA) that resulted from a tailored drug discovery process with the target of developing an ERA to address efficacy and safety [2,3]. ABOUT THE SERAPHIN STUDY SERAPHIN (Study with an Endothelin Receptor Antagonist in Pulmonary arterial Hypertension to Improve cliNical outcome) was the largest and longest randomized, controlled study in PAH patients to include a clearly defined morbidity/mortality primary endpoint [1]. The pivotal Phase III study was designed to evaluate the efficacy and safety of Opsumit (macitentan) - a novel dual endothelin receptor antagonist that resulted from a tailored drug discovery process - through the primary endpoint of time to first morbidity and all-cause mortality event in patients with symptomatic PAH. Global enrolment was completed in December 2009 with a total of 742 patients. Patients were randomized 1:1:1 to receive two different doses of macitentan (3 mg and 10 mg once daily) or placebo. Patients were allowed to receive PAH background therapy throughout the study, either PDE-5 inhibitors or oral/inhaled prostanoids. This event-driven study was conducted in 151 centers from almost 40 countries in North America, Latin America, Europe, Asia-Pacific and Africa and was completed in the first half of 2012, with 287 patients having an adjudicated event. ABOUT SERAPHIN STUDY DATA Patients were randomized to placebo (n=250), macitentan 3 mg (n=250), or macitentan 10 mg (n=242). The primary end point occurred in 46.4%, 38.0%, and 31.4% of the patients in these groups, respectively. The hazard ratio for macitentan 3 mg versus placebo was 0.70 (97.5% CI, 0.52 to 0.96; p=0.0108) and the hazard ratio for macitentan 10 mg versus placebo was 0.55 (97.5% CI, 0.39 to 0.76; p<0.0001). Worsening of pulmonary arterial hypertension was the most frequent primary end point event. The effect of macitentan on this end point was observed irrespective of background therapy for pulmonary arterial hypertension. [3] ... (truncated) ...
