INFORMATION MEMORANDUM SHORT-TERM PROMISSORY NOTES UNCONDITIONALLY AND IRREVOCABLY GUARANTEED BY THE GOVERNOR AND COMPANY OF THE BANK OF SCOTLAND The distribution of this Information Memorandum (the “Memorandum”) and the offer, sale or delivery of the Short-Term Promissory Notes described herein (the “Notes”) in certain jurisdictions may be restricted by law. Persons into whose possession this Memorandum may come should inform themselves about and observe any such restrictions, including those set forth under the heading “Selling Restrictions”. The Notes have not been and will not be registered under the U.S. Securities Act of 1933. This Memorandum is to be read in conjunction with the most recently published Annual Reports of HBOS Treasury Services plc (the “Issuer”) and The Governor and Company of the Bank of Scotland (the “Guarantor”). Copies of the most recent Annual Reports of the Issuer and the Guarantor may be obtained on request from the dealers (the “Dealers”) from time to time appointed by the Issuer in relation to the Notes. This Memorandum is not intended to provide the basis of any credit or other evaluation and should not be considered as a recommendation by the Issuer, the Guarantor or any Dealer that any recipient of this Memorandum should purchase any of the Notes. Each investor contemplating the purchase of Notes is advised to make, and shall be deemed to have made, its own independent investigation of the financial condition and affairs, and its own appraisal of the creditworthiness of, the Issuer and of the Guarantor. This Memorandum does not constitute an offer or invitation by or on behalf of the Issuer or any Dealer to any person to purchase any Notes, and does not in any way obligate the Issuer to accept an offer to purchase any Notes. Neither the delivery of this Memorandum nor any offers or sales made on the basis hereof shall under any circumstances create any implication that this Memorandum is correct at any time subsequent to, or that there has been no change in the affairs of the Issuer or of the Guarantor since, the date hereof. No person has been authorised to give any information or to make any representation not contained in this Memorandum or any supplement hereto and, if given or made, such information or representation must not be relied upon as having been so authorised. None of the Issuer, the Guarantor nor any Dealer makes any comments about the treatment for taxation purposes of payments or receipts in respect of the Notes to or by a holder of Notes and each investor contemplating acquiring Notes is advised to consult a professional advisor. December 22, 2003 BUSINESS DESCRIPTION The Issuer, a direct, wholly-owned subsidiary of the Guarantor, was registered in England and Wales on 26 February 1992 (registered no. 2692890) for the purpose of taking over and developing the Guarantor’s treasury operations. The Issuer is an “authorised person” under the Financial Services and Markets Act 2000. The Guarantor, which was established by an Act of the Parliament of Scotland in 1695, is a United Kingdom clearing bank with its headquarters in Edinburgh. The Guarantor is an “authorised person” under the Financial Services and Markets Act 2000. As at 31 December 2002, the Guarantor operated from locations throughout the world including 354 branch outlets in Scotland, England, Jersey, Isle of Man and overseas branches in New York City, Hong Kong, Paris, Amsterdam, Singapore, Grand Cayman and Frankfurt and representative offices in Chicago, Illinois; Houston, Texas; Los-Angeles, California; Seattle, Washington; and Minneapolis, Minnesota. It is a member of the British Bankers’ Association and the Committee of Scottish Clearing Bankers. The Bank Notes (Scotland) Act 1845 confirmed the Guarantor’s right to issue bank notes in Scotland. At 31 December 2002 circulation of such notes was approximately £821 million. At 31 December 2002, the Guarantor had approximately 360 (directly and indirectly held) subsidiaries. The Guarantor together with its subsidiaries and subsidiary undertakings (as defined in the Companies Act 1985) are collectively referred to as the “Bank of Scotland Group”. The Guarantor is a direct, wholly owned subsidiary undertaking of HBOS plc, the listed group holding company. HBOS plc together with its subsidiaries and subsidiary undertakings (as defined in the Companies Act 1985) are collectively referred to as the “HBOS Group”. The Head Office of the Guarantor is located at The Mound, Edinburgh EH1 1YZ, Scotland. The Guarantor has unconditionally and irrevocably guaranteed the payment in full of each Note when due and further agreed that its obligations under the guarantee shall be unconditional, irrespective of the validity, regularity or enforceability of any Note, any change in or amendment to any Note, any waiver or consent by the holder of any Note with respect to any provisions thereof, or any other circumstance (other than payment) which might otherwise constitute a legal or equitable discharge or defence of a guarantor. The Issuer provides centralised wholesale multi-currency funding, liquidity management and treasury services to HBOS plc and its subsidiary undertakings in the United Kingdom and Republic of Ireland. From 1 April 2003, the Issuer also has management responsibility for treasury functions in BOS International (Australia) Limited. The Issuer manages the market risk arising from the HBOS Group’s Retail Banking, Business Banking and Corporate Banking Divisions. It operates in the world’s foreign exchange and money markets and also provides treasury services to certain of HBOS Group’s customers from offices in London and Glasgow. The Issuer also trades in foreign exchange and in a limited range of derivative instruments primarily for risk management purposes. The Issuer leads the debt capital issuance and asset securitisation activities of HBOS Group in the United Kingdom. The Issuer’s registered office is located at 33 Old Broad Street, London ECN 1HZ, England. The Issuer has no subsidiaries. 2 DESCRIPTION OF THE SHORT-TERM PROMISSORY NOTES Issuer: HBOS Treasury Services plc Guarantor: The Governor and Company of the Bank of Scotland Principal Amount: The aggregate principal amount of the Short-Term Promissory Notes described herein (the “Notes”) outstanding at any one time will not exceed C$4,000,000,000, or such amount that does not exceed at any time such aggregate principal amount of Notes as has been authorised by the respective Boards of Directors (or committee thereof, as the case may be) of the Issuer and the Guarantor, respectively, to be outstanding at such time, in lawful money of Canada (“Canadian Dollars” or “C$”) or the equivalent thereof, at the respective dates of issue of the Notes, in lawful money of the United States of America (“United States Dollars” or “US$”). Forms of Note: (a) Certificated Form of Notes Notes denominated in United States Dollars will be issued in certificated form in the form attached as Schedule 2. (b) Book Entry Form of Notes Notes denominated in Canadian Dollars may be issued in “book entry” form (the “Book Entry Notes”) in the form attached as Schedule 1 as now permitted under the Depository Bills and Notes Act (Canada). The Book Entry Notes must be purchased or transferred through participants (“Participants”) in a debt clearing system operated by The Canadian Depository for Securities Limited (“CDS”) which include securities brokers and dealers, banks and trust companies. Indirect access to the CDS book entry system is also available to other institutions (“Indirect Participants”) that maintain custodial relationships with a Participant, either directly or indirectly. The Issuer will cause the Book Entry Notes to be delivered to or held on behalf of, and registered in the name of, CDS or its nominee. Each purchaser of a Book Entry Note will receive a customer confirmation of purchase from the registered dealer from whom such Book Entry Note is purchased in accordance with the practices and procedures of that registered dealer. Practices of registered dealers may vary, but generally customer confirmations are issued promptly after execution of a customer order. No holder of Book Entry Notes will be entitled to a certificate or other instrument from the Issuer or CDS evidencing that person’s interest in or ownership of such Book Entry Note, or will be shown on the records maintained by CDS, except through an agent of the holder who is a Participant or an Indirect Participant of CDS. Registration of interests in and transfers of Book Entry Notes will only be made through the debt clearing system of CDS. Neither the Issuer nor any registered dealers acting on its behalf will assume any liability for: (a) any aspect of the records relating to the beneficial ownership of the Book Entry Notes held by CDS or the payments relating thereto; (b) maintaining, supervising or reviewing any records relating to the Book Entry Notes; or (c) any advice or representation made by or with respect to CDS including those contained in this Memorandum or relating to the rules governing CDS or any action to be taken by CDS or at the direction of its 3 Participants. The rules governing CDS provide that it acts as the agent and depositary for the Participants and, subject to any Participant agreeing with CDS that it will enforce payment of the Book Entry Notes directly, CDS has a statutory duty to enforce payment of the Book Entry Notes on behalf of the Participants. Once payment of the principal and interest on the Book Entry Notes is made by or on behalf of the Issuer to CDS, the Issuer will be discharged of its obligation to pay under such Notes. As a result, Participants must look solely to CDS and holders of Book Entry Notes must look solely to Participants (and not to the Issuer in any case) for payments of principal and interest on the Book Entry Notes once such a payment is made by or on behalf of the Issuer to CDS. The ability of a holder to pledge Book Entry Notes or take action with respect thereto (other than through a Participant or an Indirect Participant) may be limited due to the lack of physical certificates. Denominations: The Notes will be issued in multiples of C$1,000 or, as the case may be, US$1,000, subject to a minimum of C$100,000 or the equivalent thereof, at the respective dates of issue, in United States Dollars. Maturities: The Notes will mature up to but not exceeding 365 days from and including their respective dates of issue. Rates of Interest: Available upon request. Delivery and Settlement: Delivery of Certificated Notes will be made against payment in immediately available funds. The Notes can be issued for same day delivery to the purchaser through the main branch in Montreal, Toronto, Winnipeg, Calgary or Vancouver of the Canadian chartered bank designated in the Notes. Delivery of Book Entry Notes into safekeeping will be made in accordance with the rules established by CDS. Payment: Payment of each Note will be made when due on behalf of the Issuer (i) on Certificated Notes, at the main branch of the Royal Bank of Canada in the city designated on the Note or (ii) on Book Entry Notes through the debt clearing system operated by CDS. Redemption: Not redeemable prior to maturity. Status: The Notes will (subject to any applicable statutory provisions) rank pari passu among themselves and equally with all other present and future unsecured and unsubordinated obligations of the Issuer, other than the obligations preferred by mandatory provisions of law. Purpose: The net proceeds from the sale of the Notes will be used for general funding purposes. Guarantee: The Notes are unconditionally guaranteed as to payment of principal and any interest by the Guarantor. Governing Law: The Notes will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. The Deed of Guarantee in respect of the Notes will be governed by and construed in accordance with English law. 4 Eligibility: Eligibility of the Notes for investment by certain purchasers is governed by general restrictions and provisions set out in statutes applicable to such purchasers, and in certain cases, subject to prudent investment standards established by such purchasers. Rating: The Notes have been rated R-1 (middle) by Dominion Bond Rating Service Limited. Residents of Nova Scotia: Residents of Nova Scotia shall not purchase Notes pursuant to this Memorandum unless they receive an addendum hereto that sets out the statutory rights required by the Securities Act (Nova Scotia). 5 SELLING RESTRICTIONS General The Issuer has not taken and will not take any action that would permit a public offering of the Notes or distribution of this Memorandum or any other material relating to the Notes in any country or any jurisdiction where action for that purpose is required. No person may directly or indirectly offer, sell or distribute any Note or distribute this Memorandum, the Annual Reports or any circular, advertisement or other offering material relating to the Notes in any country or jurisdiction except under circumstances which will result in compliance with all applicable laws and regulations. Canada A prospectus has not been filed with respect to the Notes under applicable Canadian securities legislation and the Notes may only be offered and sold in Canada or to Canadian residents by persons authorised to do so pursuant to an exemption from the prospectus requirements of such legislation. United States The Notes have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons. Accordingly, each Dealer has agreed that it will not offer to sell any Notes within the United States or to, or for the account or benefit of, U.S. persons and that it will have sent to each dealer to which it sells such Notes a confirmation or other notice setting forth these restrictions. Terms used in this paragraph have the meanings given to them by Regulation S under the Securities Act. United Kingdom Each Dealer has represented and agreed that: (i) it has not offered or sold and, prior to the expiry of the period of six months from the issue date of such Notes, will not offer or sell any such Notes to persons in the United Kingdom except to persons whose ordinary activities involve them in acquiring, holding, managing or disposing of investments (as principal or agent) for the purposes of their businesses or otherwise in circumstances which have not resulted and will not result in an offer to the public in the United Kingdom within the meaning of the Public Offers of Securities Regulations 1995; (ii) it has only communicated or caused to be communicated and will only communicate or cause to be communicated an invitation or inducement to engage in investment activity (within the meaning of section 21 of the Financial Services and Markets Act 2000 (“FSMA”)) received by it in connection with the issue or sale of any Notes in circumstances in which section 21(1) of the FSMA would not, if each of the Issuer and the Guarantor were not authorized persons, apply to the Issuer or the Guarantor; and (iii) it has complied and will comply with all applicable provisions of the FSMA (and all rules and regulations made pursuant to the FSMA) with respect to anything done by it in relation to any Notes in, from or otherwise involving the United Kingdom. 6 EXTRACTS FROM THE MEMORANDUM AND ARTICLES OF ASSOCIATION OF HBOS TREASURY SERVICES PLC Memorandum of Association The Memorandum of Association of the Issuer, adopted by Special Resolution of its shareholders on 25th February 1992, provides inter alia as follows: “4. The objects for which the Company is established are: (1) To carry on the business of banking of all kinds in any part of the world, and to transact and do all matters, acts and things incidental thereto, or which may at any time hereafter be normally carried on as part of or in connection with the prosecution of such business or which may conduce or be calculated, directly or indirectly to facilitate or render profitable the business of a banking, financial and monetary nature (including that of a bank, discount house, merchant bank, investment bank and financier) or of dealing in money and securities of any kind, and in particular (but without prejudice to the generality of the foregoing): A) To raise, borrow and receive money on loan, deposit, current account or otherwise and through the issue, sale, purchase and repurchase, and dealing in of all kinds of security, bond, note, bill, certificate, instrument and financial obligation, to obtain the use and control of money and securities and to act, and to employ and use the same, in any manner usual among bankers in the operation of a Treasury function and otherwise or which may be calculated to promote the undertaking or business or otherwise to advance the interests of the Company.” Articles of Association The Articles of Association of the Issuer, also adopted by Special Resolution of its shareholders on 25th February 1992, provide inter alia as follows: “General powers of Board 101. Subject to the provisions of the Acts, the Memorandum of Association of the Company and these Articles and to any directions given by the Company in general meeting by Special Resolution, the business of the Company shall be managed by the Board which may exercise all the powers of the Company, whether relating to the management of the business of the Company or not. No alteration of the Memorandum of Association or these Articles and no Special Resolution shall invalidate any prior act of the Board which would have been valid if that alteration had not been made or that Resolution had not been passed. The powers given by this Article shall not be limited by any special power given to the Board by any other Article. Borrowing powers 102. The Board may exercise all the powers of the Company to borrow money and to mortgage or charge all or any part or the undertaking, property and assets (present and future) and uncalled capital of the Company and, subject to the Acts, to issue debentures and other securities, whether outright or as collateral security for any debt, liability or obligation of the Company or of any third party. 7 Power of Attorney 104. The Board may by power of attorney otherwise appoint any person to be the agent of the Company for such purposes and with such powers, authorities and discretions (not exceeding those vested in or exercisable by the Board under these regulations) and for such period and subject to such terms and conditions as the Board may think fit. The Board may remove any person so appointed and may revoke or vary any such appointment but no person dealing in good faith and without notice of the revocation or variation shall be affected by it. Delegations to individual Directors 105. The Board may entrust to and confer upon any Director any of its powers, authorities and discretions (with power to sub-delegate) upon such terms and conditions and with such restrictions as it thinks fit, and either collaterally with, or to the exclusion of, its own powers, authorities and discretions and may from time to time revoke or vary all or any of them but no person dealing in good faith and with out notice of the revocation or variation shall be affected by it.” * * * * The undersigned, Stephanie Cole, Senior Manager, Executive Office of the Issuer, hereby certifies that the foregoing extracts of the Memorandum and Articles of Association of the Issuer are true and correct and that such Memorandum and Articles have not been amended since 10 June 2002 and are in full force and effect as of the date hereof. For the purposes of this opinion we have examined the following: (a) a resolution of the board of directors of the Issuer dated December 16, 2003, authorising the borrowing of money by the issue and sale of up to C$4 billion of the Notes; (b) a certificate of Gordon McQueen, a director of the Guarantor dated December 16, 2003 authorising the guarantee of the Notes; (c) a specimen of the forms of Notes; (d) a letter of Dominion Bond Rating Service Limited dated December 10, 2003 confirming the rating of R-1 (middle) of the Notes; (e) the agreement dated October 25, 2002, as amended (the “Note Issuance Service Agreement”) between the Issuer and Royal Bank of Canada (the “Bank”) wherein the Issuer has appointed the Bank as its agent to countersign (in the case of Notes issued in certificated form only) and deliver the Notes and to effect payments thereon; 12 (f) the deed of guarantee dated October 25, 2002 (the “Guarantee”); (g) the opinion dated the date hereof of Allen & Overy, English counsel to the Issuer (the “English Counsel Opinion”); (h) the opinion dated the date hereof of Shepherd + Wedderburn WS, Scottish counsel to the Guarantor (the “Scottish Counsel Opinion”); and (i) opinions dated the date hereof of the following counsel (the “Local Counsel”) relating to the laws of the jurisdictions set forth opposite their respective names (the “Local Counsel Opinions”): (i) Stewart, McElvey, Stirling, Scales – Newfoundland, Nova Scotia, New Brunswick and Prince Edward Island; (ii) Aikins, MacAulay & Thorvaldson – Manitoba; and (iii) MacPherson Leslie & Tyerman LLP – Saskatchewan. We have also examined originals or photostatic or certified copies of such corporate records and such indentures, agreements and other instruments, governmental authorisations or orders, certificates of public officials and of corporate representatives and such other documents and have considered such questions of law as we have deemed relevant and necessary as a basis for the opinions expressed herein. In such examination we have assumed the genuineness of all signatures and the authenticity of all documents submitted to us as originals and the conformity with the originals of all documents submitted to us as certified copies thereof. We are only qualified to express opinions with respect to the laws of the Provinces of Ontario, Quebec, Alberta and British Columbia and the federal laws of Canada applicable therein. In connection with the opinions set forth herein, we have relied: (a) as to matters governed by English law, upon the English Counsel Opinion with respect to the opinions expressed below (i) in paragraphs 1 and 3 in their entirety and (ii) in paragraphs 5, 6 and 7 insofar as such opinions refer to the laws of England; (b) as to matters governed by Scottish law, upon the Scottish Counsel Opinion with respect to the opinions expressed below in paragraphs 2, 4 and 8 in their entirety; and (c) as to matters governed by the laws of any Province of Canada other than those in which we are qualified to express opinions, upon the Local Counsel Opinions with respect to the opinions expressed below in paragraph 9 insofar as such opinions refer to the laws of the respective Provinces of such Local Counsel. The opinions expressed herein are subject to the following qualifications and reservations, namely: (a) the enforcement of the Notes and of the Guarantee may be limited by applicable bankruptcy, reorganization, winding-up, insolvency, moratorium or other similar laws of general application affecting the enforcement of creditors’ rights from time to time in effect and is subject to the equitable or statutory powers of the courts of Canada to stay proceedings before them, to stay the execution of judgments and to grant relief against forfeiture; (b) the enforcement of the Notes and of the Guarantee is subject to general principles of equity or principles substantially to the same effect in civil law and, in particular, no opinion is expressed 13 as to the availability of equitable remedies as such for the enforcement of any provision of the Notes; and (c) a judgment of a court in Canada may only be awarded in Canadian currency and, notwithstanding any provision of the Notes, the rate at which interest is payable on any judgment obtained in respect of any obligation contained in the Notes may be limited by the Interest Act (Canada), the Judgment Interest Act (Alberta) or the Court Order Interest Act (British Columbia) to a rate which is less than the rate stipulated in the Notes. Based and relying upon and subject to the foregoing, we are of the opinion that: 1. The Issuer is a company duly incorporated and existing under the laws of England. 2. The Guarantor is a United Kingdom clearing bank duly established and existing under the laws of the Scotland. 3. The Issuer has all necessary power and authority to create, issue and deliver the Notes, and has taken all necessary action to authorise the issue, creation and delivery of the Notes in an aggregate principal amount at any one time outstanding not exceeding C$4,000,000,000 or such other aggregate principal amount of Notes as has been authorised by the respective Boards of Directors (or committee thereof, as the case may be) of the Issuer and the Guarantor, respectively, to be outstanding at such time in lawful money of Canada or the equivalent thereof in the lawful money of the United States. 4. The Guarantor has all necessary corporate power to give the Guarantee, and the Guarantee has been duly authorised by all necessary corporate action on the part of the Guarantor. 5. Under the laws of the Province of Ontario and under the laws of England, the Notes issued in certified form will, when duly executed by the Issuer, duly completed and countersigned by the Bank under the Note Issuance Service Agreement and delivered against payment therefore, constitute valid and binding obligations of the Issuer enforceable against the Issuer in accordance with their respective terms. 6. Under the laws of the Province of Ontario and under the laws of England, the Notes issued in book entry form will, when duly completed by the Bank under the relevant provisions of the Note Issuance Service Agreement and delivered against payment therefor, constitute valid and binding obligations of the Issuer enforceable against the Issuer in accordance with their respective terms. 7. Under the laws of the Province of Ontario and under the laws of England, the indebtedness evidenced by the Notes will constitute direct, unconditional and unsecured obligations of the Issuer and will rank (subject to any applicable statutory provisions) pari passu without any preference among themselves and (subject as aforesaid) equally with all other present and future unsecured and unsubordinated obligations of the Issuer. 8. When duly executed by the Guarantor, the Guarantee will constitute a valid and binding obligation of the Guarantor enforceable against the Guarantor in accordance with its terms. 9. Au cours de cet examen, nous avons tenu pour acquis l’authenticité de toutes les signatures et de tous les documents qui nous ont été soumis à titre d’originaux et la conformité avec les originaux de tous les documents qui nous ont été soumis à titre de copies conformes de ceux-ci. Nous sommes uniquement qualifiés pour donner des avis à l’égard des lois des provinces d’Ontario, de Québec, d’Alberta et de la Colombie-Britannique et des lois fédérales du Canada qui s’y appliquent. En nous fondant sur ce qui précède et sous réserve de ce qui précède, nous sommes de l’avis suivant : 1. l’émetteur est une société dûment constituée et existant sous le régime des lois de l’Angleterre; 2. le garant est une banque de compensation du Royaume-Uni dûment établie et existant sous le régime des lois de l’Écosse; 3. l’émetteur dispose de tous les pouvoirs nécessaires pour créer, émettre et livrer les billets et a pris toutes les mesures nécessaires pour autoriser l’émission, la création et la livraison des billets dont le montant en capital global impayé à tout moment n’est pas supérieur à 4 000 000 000 $ CA ou à tout autre montant en capital global impayé de billets que le conseil d’administration (ou un comité de celui-ci, selon le cas) de l’émetteur et du garant, respectivement, aura autorisé en monnaie légale du Canada ou son équivalent en monnaie légale des États-Unis; 4. le garant dispose de tous les pouvoirs nécessaires en tant que personne morale pour accorder la garantie et il a pris toutes les mesures nécessaires en tant que personne morale pour dûment autoriser la garantie; 5. aux termes des lois de la province d’Ontario et des lois de l’Angleterre, les billets émis sous forme de certificat constitueront, lorsqu’ils seront dûment signés par l’émetteur, dûment remplis et contresignés par la banque aux termes de la convention de service d’émission de billets et remis contre paiement, des obligations valables liant l’émetteur et qui lui seront opposables conformément à leurs modalités respectives; 6. aux termes des lois de la province d’Ontario et des lois de l’Angleterre, les billets émis sous la forme d’une inscription en compte constitueront, lorsqu’ils seront dûment remplis par la banque aux termes des dispositions pertinentes de la convention de service d’émission de billets et remis contre paiement, des obligations valables liant l’émetteur et qui lui seront opposables conformément à leurs modalités respectives; 7. aux termes des lois de la province d’Ontario et des lois de l’Angleterre, les créances dont font foi les billets constitueront des obligations directes, inconditionnelles et non garanties de l’émetteur et (sous réserve de toute disposition des lois applicables) auront égalité de rang sans préférence entre elles et (sous réserve de ce qui précède) avec toutes les autres obligations non garanties et non subordonnées, actuelles et futures, de l’émetteur; 8. lorsqu’elle sera dûment signée par le garant, la garantie constituera une obligation valable liant le garant et qui lui sera opposable conformément à ses modalités; 9. aucun dépôt ni enregistrement n’est nécessaire aux termes des lois canadiennes sur les valeurs mobilières applicables pour que l’émetteur offre les billets en vente par l’intermédiaire de personnes autorisées à ce faire : 14 s.r.l.
